"HANDLEWITHCARE","KEEPAWAYFROMMOISTUE",andtheshippingmark.TIMEOFTRANSPORTATION:BEFOREJUL.30,2014.裝貨時(shí)間：2014年7月30日之前。PLACEOFTRANSPORTATION:起運(yùn)地點(diǎn)：PLACEOFDESTINATION:DALIAN,CHINA.目的地：中國(guó)大連。INSURANCE:TobecoveredbytheSellerfor110%(onehundredandtenpercent)oftotalcontractvalueagainstALLRisks.保險(xiǎn)：由賣(mài)方按合同價(jià)的110%投保一切險(xiǎn)。PAYMENT:ByT/T.ThepaymentshallbeeffectedafterreceiptthecontractgoodsandthedocumentstipulatedinClause10.支付：現(xiàn)款電匯方式。DOCUMENTFORPAYMENT:ThesellershallpresentfollowingdocumentstoBuyertoeffectthepayment.TwocopiesofCommercialInvoice,TwocopiesofPackingList,ThreecopiesofCertificatesofQualityissuedbymanufacturerOnecopyofcertificateoforiginOnecopyofHealthCertificate6)AfillingcertificatefromfactoryFumigationCertificateorNon-woodPackingMaterialCertificateTherelevantinsurancepolicywhichbecovered110%ofthetotalcontractvalueagainstALLRisks.Fivecopiesoflabels(frontandback)Incaseofbyseatransportation,thesellershallsendsimultaneouslywithshipmentonecopyeachoftheabovementioneddocumentstoXXXCO.LTD.支付單據(jù)：賣(mài)方將向買(mǎi)方提供如下單據(jù)以履行支付。商業(yè)發(fā)票兩份；裝箱單兩份；制造商出具的質(zhì)量證明書(shū)一份。原產(chǎn)地證一份（正本）衛(wèi)生證一份（正本）工廠出具灌裝證明一份有木質(zhì)包裝情況下的熏蒸證明或非木質(zhì)包裝證明投保一切險(xiǎn)的保險(xiǎn)單。標(biāo)簽五份（正面、背面）如果采用海運(yùn)，賣(mài)方在裝船的同時(shí)將如上單據(jù)各一份寄送給目的港的xxx公司。DATEOFSHIPPING:ThedateofBillofLadingshallberegardedastheactualdateofshipment.裝運(yùn)日期：提單上的日期將被視為裝運(yùn)日期。GUARANTEEOFQUALITY:TheSellerguaranteethatcompliesinallrespectswiththequalityandspecificationsstipulatedinthisContract.Thesellerguaranteesthatchoosetherightmeansoftransportationwillbethegoodsarrivedattheportofdestination.1）質(zhì)量保證：賣(mài)方保證貨物的質(zhì)量和規(guī)格與本合同的規(guī)定相符。賣(mài)方保證選用合適的運(yùn)輸方式將貨物運(yùn)抵目的港。INSPECTION:Suchasthequalityofthegoodsinconformitywiththecontractandspecification,thebuyerofthecommodityinspectionbureaubeinvitedforinspection,andshallhavetherighttoclaimagainsttheselleraccordingtoareportissuedbythecommodityinspectionbureauinspection.(1)如貨物的質(zhì)量與規(guī)格與合同不符，買(mǎi)方應(yīng)請(qǐng)商檢局進(jìn)行檢驗(yàn)，并有權(quán)根據(jù)商檢局出具的檢驗(yàn)報(bào)告向賣(mài)方索賠。CLAIMS:IncasethattheSellerareliableforthediscrepanciesandaclaimismadebyBuyerwithinthetime-limitofinspectionandqualityguaranteeperiodasstipulatedinClause14ofthisContract,theSellershallsettletheclaimupontheagreementoftheBuyersinoneorthecombinationofthefollowingways:AgreetotherejectionofthegoodsandrefundtotheBuyersthevalueofthegoodssorejectedinthesamecurrencyascontractedhereinandtobearalldirectlossesandexpensesinconnectiontherewithincludinginterestaccrued,bankingcharges,freight,insurancepremium,inspectioncharges,storage,stevedorechargesandallothernecessaryexpensesrequiredforthecustodyandprotectionoftherejectedgoods.Devaluethegoodsaccordingtothedegreeofinferiority,extentofdamageandamountoflossessufferedbytheBuyers.TheclaimsmentionedaboveshallberegardedasbeingacceptediftheSellersfailtoreplywithin30daysafterreceivingtheBuyers'claim.14之一或混合的方式處理索賠。同意買(mǎi)方退貨，并將退貨金額以成交原幣償還買(mǎi)方，并負(fù)擔(dān)因退貨而發(fā)生的一切直接損失和費(fèi)用，包括利息、銀行費(fèi)用、運(yùn)費(fèi)、保險(xiǎn)費(fèi)用、商檢費(fèi)、倉(cāng)儲(chǔ)費(fèi)和裝卸費(fèi)。30天內(nèi)沒(méi)有答復(fù)將被認(rèn)為接受上述索賠。FORCEMAJEURE:Thesellershallnotbeheldresponsibleforthedelayinshipmentornon-deliveryofthegoodsduetoForceMajeure,suchaswar,seriousfire,flood,typhoonandearthquake,orothereventsagreeduponbetweenbothparties,whichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingortransit.TheSellershalladvisetheBuyerbycable/teleximmediatelyoftheoccurrencementionedaboveandwithinfourteendaysthereafter,shallsendbyairmailtotheBuyerfortheiracceptanceacertificateoftheaccidentissuedbytheCompetentGovernmentAuthorities,wheretheaccidentoccursasevidencethereof.UndersuchcircumstancestheSeller,however,arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.不可抗力：由于嚴(yán)重的火災(zāi)、水災(zāi)、臺(tái)風(fēng)、地震以及雙方同意的其它不可抗力事故，致使賣(mài)方交貨延遲或不能交貨時(shí)，賣(mài)方可不負(fù)14航空寄交買(mǎi)方,依不可抗力事件之輕重,一部或全部免除合同責(zé)任。ARBITRATION:AlldisputesinconnectionwiththisContractortheexecutionthereofshallbestettedfriendlythroughnegotiations.Incasenosettlementcanbereached,thecasemaythenbesubmittedforarbitrationtoChinaInternationalEconomicandTradeArbitrationCommissioninaccordancewiththeRulesofArbitrationpromulgatedbythesaidArbitrationCommission.TheArbitrationshalltakeplaceinDalianandthedecisionoftheArbitrationCommissionshallbefinalandbindinguponbothparties;neitherpartyshallseekrecoursetoalawcourtnorotherauthoritiestoappealforrevisionofthedecision.Arbitrationfeeshallbebornebythelosingparty.仲裁：一切因執(zhí)行本合同或與本合同有關(guān)的爭(zhēng)議，應(yīng)由雙方友好協(xié)商解決，如經(jīng)協(xié)商不能
