2、ALS鑒于甲方愿意錄用乙方，乙方愿意到甲方工作，按照中華人民共和國(guó)勞動(dòng)法、中華人民共和國(guó)勞動(dòng)合同法和上海市勞動(dòng)和同條例等我國(guó)國(guó)家和地方政府的有關(guān)法律法規(guī)和行政規(guī)章,以及甲方制定的各項(xiàng)規(guī)章制度，本著平等、自愿的原則，經(jīng)甲、乙雙方協(xié)商一致，特簽訂本勞動(dòng)合同（以下簡(jiǎn)稱(chēng)“本合同”）。WHEREAS,PartyAintendstoemployPartyBandPartyBintendstoworkforPartyA,InaccordancewithLabourLawofthePeoplesRepublicofChina,LawofthePeoplesRepublicofChinaonEmployment

4、ngtermsandconditions:、合同條款3.TermsandConditions第一條(合同類(lèi)型與期限)Article1TypeandValidityTermofAgreement（一）本合同為有無(wú)固定期限的勞動(dòng)合同，合同期從年月日起，至年月日止。其中試用期為個(gè)月，自年一月日起至年月日止。ThisAgreementisanemploymentcontractwithfixed-termoruncertainterm;thevaliditytermofthisAgreementcommencesonthedateof(),andexpiresonthedateof(),includi

6、istoworkatthepositionof（）inthedivisionof（）;PartyBshallbesubjecttotheworkarrangementmadebythedivisionheorsheworksinorthedirectorathigherlevel.（二）乙方應(yīng)履行甲方制定的崗位職責(zé)，按時(shí)、按質(zhì)、按量完成其本職工作。PartyBshallperformhisorherworkdutiesprovidedbyPartyA,andshallcompletehisorherworktaskinaccordancewiththeprovisionsintermsofti

7、melimit,qualityandworkload.（三）乙方承諾，愿服從甲方根據(jù)工作需要、乙方工作能力及其表現(xiàn)而安排或調(diào)動(dòng)的工作崗位。并同意在下列情況下本合同不作變更處理。PartyundertakestoacceptthearrangementorchangeofworkmadebyPartyAinlightofPartyA'sworkrequirementsandPartyB'sworkingabilityandperformance;PartyBagreesthatthisAgreementmaynotbealteredunderanyofthefollowingci

8、rcumstances:1、乙方的工作地點(diǎn)由所在部門(mén)安排。今后因工作需要乙方在甲方所在本市的全部經(jīng)營(yíng)辦公場(chǎng)所及附屬場(chǎng)所（包括公司自有產(chǎn)權(quán)的物業(yè)或租賃的物業(yè)，）之間調(diào)整時(shí)。1. PartyB'sworkingsiteistobearrangedbythedivisionheorsheworksin;PartyAistochangePartyB'sworkingsitewithinallitsbusinessofficesandattachedsitesinthecitywherePartyAisdomiciled（includingPartyA'sownpropertyo

9、rotherpremisesleasedbyPartyA）,onthebasisofPartyA'sworkingrequirement;2、甲方因工作需要，臨時(shí)指派乙方到境內(nèi)外短期出差地點(diǎn)工作的。2. PartyAassignsPartyBtoworkathomeorabroadonbusinesstravelforashorttermonthebasisofPartyA'sworkingrequirement.3、甲方因工作需要，安排乙方臨時(shí)外借到其它部門(mén)或其它他單位工作的。3. Inresponsetoworkingrequirement,PartyAtemporaril

10、yassignsPartyBtoworkatotherdivisionsofPartyAorotherentities.（四）因工作需要，乙方被指派到外省市或境外企業(yè)或機(jī)構(gòu)長(zhǎng)期工作的，協(xié)商一致后，本合同作變更處理。Where,inresponsetoworkingrequirement,PartyAassignsPartyBtoworkinenterprisesororganizationslocatedinotherprovincesormunicipalitiesorabroadforlongperiod,thisAgreementmaybealteredonthebasisofmutua

11、lconsentthroughnegotiation.第三條（工作時(shí)間和休息休假）Article3WorkingHoursandHoliday（一）乙方的崗位實(shí)行全日制標(biāo)準(zhǔn)工時(shí)工作制度，甲方安排乙方每日工作時(shí)間不超過(guò)8小時(shí)，每周工作五天。PartyBistoworkunderthefull-timestandardworkingtimesystem:PartyAmayrequirePartyBtoworkfornomorethan8hourseverydayandforfivedayseveryweek.（二）甲方由于工作需要，經(jīng)與乙方協(xié)商后可以延長(zhǎng)工作時(shí)間，一般每日不超過(guò)1小時(shí)，因特殊原因需

12、要延長(zhǎng)工作時(shí)間的，在保障乙方身體健康的前提下工作時(shí)間不得超過(guò)3小時(shí)，每月不得超過(guò)36小時(shí)。Ifnecessaryforwork,PartyAmay,onthebasisofnegotiationwithPartyB,extendPartyBsworkinghoursfornomorethanonehoureverydaygenerally;whereitisnecessarytoextendworkinghoursunderspecialcircumstances,suchextensionofworkinghoursmaynotexceedthreehourseverydayonthepre

13、miseofbeingnoharmfultoPartyBshealth,andnomorethanatotalof36hourseverymonth.（三）乙方有享受?chē)?guó)家規(guī)定的各類(lèi)休息休假的權(quán)利，具體按甲方的職工工作時(shí)間及休息休假管理辦法執(zhí)行。PartyBisentitledtoalltheholidaysandleavesprovidedbytheState,towhichtheImplementationRulesforEmployeesWorkingHoursandHolidaysformulatedbyPartyAshallapply.（四）如遇國(guó)家或本市政府有關(guān)部門(mén)調(diào)整工作時(shí)間和休息

14、、休假時(shí)間，或甲方在特殊季節(jié)臨時(shí)調(diào)整休息、休假時(shí)間的，不作本合同變更處理。WheretheStateortherelevantauthoritiesofthislocalmunicipalityreadjuststheprovisionsonworkinghours,holidaysorleaves,orPartyAreadjuststheprovisionsonholidaysorleaves,thisAgreementmaynotbedeemedasbeingaltered.第四條（勞動(dòng)報(bào)酬）Article4Remuneration（一）乙方的勞動(dòng)報(bào)酬包括每月發(fā)放的固定工資和以及相關(guān)的津貼

15、補(bǔ)貼、每季度考核發(fā)放的績(jī)效工資等部分組成，按照甲方薪酬管理規(guī)定執(zhí)行。合同簽訂后甲方發(fā)給職工薪酬告知書(shū)，具體明確薪酬類(lèi)別和標(biāo)準(zhǔn)。職工薪酬告知書(shū)作為本合同的附件，與本合同具有同等法律效力。TheremunerationforPartyBincludesfixedmonthlysalary,allowance,quarterlyperformance-basedwageandthelike,andtheremunerationistobepaidinaccordancewithPartyAsregulationsonremuneration.Afterexecutionhereof,PartyAis

16、tosendPartyBaNotificationofEmployeesRemuneration,whichspecifiesthetypeandstandardoftheremuneration;suchNotificationconstitutesanannextothisAgreementandhavethesamelegalbingingforceasthisAgreement.（二）在履行本合同期間的日常操作中，甲方依照職工薪酬告知書(shū)中約定的薪酬標(biāo)準(zhǔn)作以下扣除處理的，本合同不作變更處理。If,inthecourseoftheperformanceofthisAgreement,Par

17、tyAdeductsanypaymentoftheremunerationinaccordancewiththeNotificationofEmployeesRemuneration,thisAgreementmaynotbedeemedasbeingaltered.1、由公司代扣代繳的個(gè)人所得稅。2、由職工個(gè)人承擔(dān)的社會(huì)保險(xiǎn)費(fèi)、住房公積金、企業(yè)年金的扣款。3、因職工違反公司規(guī)章制度所發(fā)生違約金、賠償?shù)瓤劭睢?、因職工發(fā)生事假等非帶薪假期所作的扣款。5、因法院對(duì)職工涉案判決所指定公司執(zhí)行的扣款。6、其它符合法律及公司制度而發(fā)生的扣款。1. Penalty,compensationandthelikearisingfromPartyBsbreachofPartyAsregulationsorrules;4. DeductionofremunerationmadebyPartyAowingtoprivateaffairleaveandleavestakenbyPartyBotherthan

19、leaveswithpayment;5. DeductionofremunerationmadebyPartyAundertheorderofcourtonthebasisofthejudgementofcaseconcerningPartyB;6. DeductionofremunerationincompliancewithlawsorPartyAsregulationsystem.（三）在本合同期間，甲方因調(diào)增職工薪酬標(biāo)準(zhǔn)的，本合同不作變更處理。If,duringthevaliditytermofthisAgreement,PartyAincreasestheremunerationfo

20、remployees,thisAgreementmaynotbedeemedasbeingaltered.（四）甲方每月5日以貨幣形式通過(guò)銀行轉(zhuǎn)賬到乙方個(gè)人帳戶(hù)的辦法支付乙方工資，包括崗位工資、工齡工資及按月發(fā)放的相關(guān)補(bǔ)貼。乙方同意屬于乙方可得的績(jī)效工資、補(bǔ)貼津貼等按甲方薪酬管理規(guī)定的日期和形式發(fā)放，屆時(shí)甲方以電子郵件等形式通知乙方。PartyAshall,onthefifthdayofeachandeverymonth,payPartyBremunerationbytransferringthecurrencytoPartyBsaccountthroughbank,includingpost

21、-basedwage,workingage-basedwageandrelevantallowancetobepaidonamonthlybasis.PartyBagreesthatalltheperformance-basedwage,allowanceandthelikemaybepaidonthedateandbythemeansprovidedbyPartyAwithrespecttoremuneration,andPartyAistonotifyPartyBbymeansofemailofthepaymentthereafter.（五）若乙方提供了正常勞動(dòng)，甲方支付給乙方的工資報(bào)酬不

22、得低于本市政府規(guī)定的最低工資標(biāo)準(zhǔn)。TheremunerationpaidbyPartyAtoPartyBmaynotbelessthantheminimumlevelprovidedbythelocalmunicipalgovernment,providedthatPartyBprovidesnormalworkforPartyA.（六）甲方每月向乙方發(fā)放上月工資清單。該清單屬于保密范圍，應(yīng)妥善保管，不得泄露給本人家庭成員以外的任何第三人、員工之間不得相互打探，如有疑義可以向甲方人力資源部咨詢(xún)。PartyAshall,onamonthlybasis,sendPartyBremuneration

23、listforthelastmonth;suchremunerationlistmustbetreatedasconfidentialinformationandkeptproperly,andsuchlistmaynotbedisclosedtoanythirdpartiesotherthanthefamilymembersofPartyB;employeesmaynotenquireofoneanotherabouttheremuneration;intheeventofanyobjection,PartyBmayconsultPartyAshumanresourcedepartment.

24、第五條（社會(huì)保險(xiǎn)及其它）Article5SocialInsuranceandOtherMatters（一）甲方按照國(guó)家和上海市的有關(guān)規(guī)定，為乙方交納社會(huì)保險(xiǎn)和住房公積金。PartyAshallpaysocialinsurancepremiumandhousingaccumulationfundsforPartyBinaccordancewiththerelevantregulationsoftheStateandShanghaimunicipality.（二）乙方原意按照國(guó)家和上海市的有關(guān)規(guī)定，由個(gè)人承擔(dān)的社會(huì)保險(xiǎn)、住房公積金部分由甲方在工資中代扣代繳。PartyBagreesthatPart

25、yAmay,fromtheremunerationpayabletoPartyB,withholdthepartofsocialinsurancepremiumandpublicremunerationfundtobebornebyPartyBandPartyAmaypaysuchwithheldpartonbehalf,inaccordancewiththerelevantregulationsoftheStateandShanghaimunicipality.（三）乙方因病或非因工負(fù)傷期間，享有上海市規(guī)定的醫(yī)療期和疾病休假待遇。IfPartyBsufferssicknessornon-wo

26、rk-relatedinjury,PartyBisentitledtomedicaltreatmentperiodandsickleavetreatmentprovidedbyShanghaimunicipality.（四）符合計(jì)劃生育政策的乙方（女職工）享有本市規(guī)定的產(chǎn)假和其它特殊待遇，事前乙方須提出申請(qǐng)，經(jīng)甲方（但不限于甲方，如果需要政府有關(guān)機(jī)構(gòu)審核批準(zhǔn)的）核準(zhǔn)后執(zhí)行。PartyB（ifPartyBisafemaleemployee）isentitledtomaternityleaveandotherspecialtreatmentprovidedbythislocalmunicipali

27、ty,providedthatshemustbeincompliancewiththeStatesfamilyplanningpolicyandPartyBshallsubmitanapplicationtoPartyA（iftheapprovalofthegovernmentisnecessary,PartyBshallsubmitsuchapplicationtocompetentauthorities）forapprovalinadvance.（五）乙方享有甲方按國(guó)家或本市政府及甲方的規(guī)定設(shè)定的福利待遇，具體按甲方的有關(guān)辦法執(zhí)行。PartyBisentitledtothewelfarep

28、rovidedbyPartyAinaccordancewiththerelevantprovisionsmadebytheState,thelocalmunicipalgovernmentorPartyA;PartyAsrelevantimplementationrulesshallapplytothewelfare.（六）如遇國(guó)家或本市政府調(diào)整社會(huì)保險(xiǎn)、住房公積金的政策，甲方相應(yīng)調(diào)整乙方的社會(huì)保險(xiǎn)、住房公積金的，本合同不作變更處理。If,intheeventofthereadjustmentmadebytheStateorlocalmunicipalgovernmentofthepolicy

29、onsocialinsuranceorhousingaccumulationfund,PartyAreadjuststhesocialinsuranceandhousingaccumulationfundforPartyBaccordingly,thisAgreementmaynotbedeemedasbeingaltered.第六條（勞動(dòng)保護(hù)、勞動(dòng)條件和職業(yè)危害防護(hù)）Article6LaborProtection,WorkingConditionandPreventionagainstOccupationalHazard（一）乙方享有甲方提供的相應(yīng)的勞動(dòng)保護(hù)和勞動(dòng)條件。（二）乙方享有甲方執(zhí)行

30、的國(guó)家勞動(dòng)標(biāo)準(zhǔn)提供的職業(yè)危害防護(hù)條件。PartyBisentitledtothecorrespondinglaborprotectionandworkingconditionbyprovidedbyPartyA.PartyAshallprovidePartyBwithpreventingconditionsagainstoccupationalhazardinaccordancewiththeStateslaborstandard.第七條（勞動(dòng)紀(jì)律和規(guī)章制度）Article7LaborDisciplineandRegulationsandRules（一）甲方應(yīng)根據(jù)國(guó)家有關(guān)法律、法規(guī)，依法制定各

31、項(xiàng)規(guī)章制度。（二）乙方應(yīng)誠(chéng)實(shí)守信，自覺(jué)遵守國(guó)家的法律、法規(guī)和社會(huì)公德、職業(yè)道德，自覺(jué)維護(hù)甲方的聲譽(yù)和利益，保守甲方秘密。（三）甲方有權(quán)根據(jù)乙方的表現(xiàn)或行為，依據(jù)國(guó)家的法律、法規(guī)、行政規(guī)章和甲方的規(guī)章制度，給予乙方相應(yīng)的獎(jiǎng)勵(lì)或處理。其中：1、乙方如發(fā)生符合甲方職工獎(jiǎng)勵(lì)辦法規(guī)定的積極行為的，甲方可以按照職工獎(jiǎng)勵(lì)辦法給與乙方獎(jiǎng)勵(lì)；2、乙方如發(fā)生違反甲方規(guī)章制度的消極行為的，甲方有權(quán)按職工違規(guī)處理辦法給與處理。PartyAshallformulatevariousregulationsandrulesinaccordancewiththeStatelawsandregulations.PartyBsh

33、eStateslaws,regulationsandadministrativerulesandPartyAsregulationsandrules.1） IfPartyBhasanypositiveactionsdeservingawardasprovidedinPartyAsRulesofAwardingEmployees,PartyAmayawardPartyBinaccordancewiththeRulesofAwardingEmployees.2） IfPartyBhascommittedanyactionsinbreachofPartyAsregulationsorrules,Pa

34、rtyAmaytreathimorherinaccordancewiththeRulesforTreatmentofEmployeesinBreachofRegulations.第八條（教育與培訓(xùn)）Article8EducationandTraining（一）甲方可以根據(jù)工作需要不定期地對(duì)乙方進(jìn)行所必須的教育與培訓(xùn)。（二）乙方應(yīng)參加甲方的各項(xiàng)教育與培訓(xùn)安排。（三）凡由甲方出資培訓(xùn)乙方，雙方另行簽訂培訓(xùn)/教育協(xié)議，因乙方原因而提前解除勞動(dòng)合同，乙方應(yīng)賠償甲方的培訓(xùn)等費(fèi)用，具體賠償標(biāo)準(zhǔn)執(zhí)行培訓(xùn)/教育協(xié)議的約定。PartyAmayeducateortrainPartyBirregularlywhen

35、necessaryinthelightoftheworkingrequirements.PartyBshallparticipateinalltheeducationandtrainingcoursesarrangedbyPartyA.WherePartyAinvestsintrainingofPartyB,thetwopartiesshallconcludeagreementforeducation/trainingseparately;ifthisEmploymentAgreementisterminatedearlierthanoriginallystipulatedforreasons

36、attributabletoPartyB,PartyBshallcompensatePartyAthetrainingfeeinaccordancewiththestipulationsinsuchagreementforeducation/training.第九條（保密約定）Article9Confidentiality（一）雙方簽訂本合同后，乙方應(yīng)遵守甲方保密條例，不得泄露甲方秘密，不得在合同期內(nèi)再受聘其他任何單位從事與甲方相同或類(lèi)似或有競(jìng)爭(zhēng)沖突的業(yè)務(wù)。不得引誘甲方的其他在職職工離職。PartyBshall,aftersigningofthisAgreement,observePartyAsConfidentialityRules,andmaynotdiscloseanyofPartyAsconfidentialinformation;duringthevaliditytermhereof,PartyBmaynotengageinanybusinesssimilarwithorincompetitionwithPartyAsbusinessforanyotheremp
