國(guó)際貨物運(yùn)輸代理協(xié)議(中英文)AGENCYAGREEMENTOFCARGOTRANSPORTATIONContractdate:**簽約日期：****甲方（托運(yùn)方）：****乙方（承運(yùn)方）：**PartyA(Consignor)PartyB(ConsigneeforTransport)(雙方信息略)根據(jù)《中華人民共和國(guó)合同法》及相關(guān)道路運(yùn)輸法律法規(guī)，甲乙雙方本著合法、公平、平等、協(xié)商一致、誠(chéng)實(shí)信用的原則簽訂本合同，并共同遵守。雙方就代理貨物運(yùn)輸及相關(guān)責(zé)任、權(quán)利達(dá)成如下協(xié)議：根據(jù)《中華人民共和國(guó)合同法》和其他有關(guān)道路運(yùn)輸?shù)姆煞ㄒ?guī)，雙方遵循合法、公平、平等和自愿的原則，共同遵守并簽訂本合同，就代理貨物運(yùn)輸及各自的權(quán)利和責(zé)任達(dá)成一致。###一、代理范圍：SCOPEOFAGENCY**1.**乙方作為國(guó)際貨物運(yùn)輸代理，接受甲方委托處理以下國(guó)際運(yùn)輸事務(wù)：PartyB,actingastheagencyforinternationalcargotransportation,acceptsPartyA’scommissionforthefollowinginternationaltransportationmatters.###二、甲方責(zé)任：PartyA’sDutyandResponsibility**1.**甲方應(yīng)對(duì)所提供的委托單、報(bào)關(guān)單、許可證、合同、商檢證明、核銷文件、發(fā)票、裝箱單和提單等文件的真實(shí)性、合法性和完整性負(fù)責(zé)。PartyAisresponsiblefortheauthenticity,legality,andcompletenessoftheentrusteddocuments,includingtheentrustmentform,customsdeclaration,license,contract,commodityinspectioncertificate,cancellationverificationdocuments,invoice,packinglist,andbilloflading.**2.**甲方應(yīng)根據(jù)本協(xié)議中規(guī)定的運(yùn)費(fèi)和其他費(fèi)用的結(jié)算條款支付運(yùn)費(fèi)及相關(guān)費(fèi)用；對(duì)于運(yùn)費(fèi)到付的貨物，甲方作為第二償付人，在收貨方拒付運(yùn)費(fèi)的情況下承擔(dān)支付責(zé)任。PartyAshallpaythetransportationfeesandotherrelatedexpensesinaccordancewiththesettlementtermsspecifiedinthisagreement.Forfreightcollectshipments,PartyAwillactasasecondarypayerandassumepaymentresponsibilityiftheconsigneerefusestopaythefreight.###三、乙方責(zé)任：PartyB’sDutyandResponsibility**1.**乙方應(yīng)嚴(yán)格遵循國(guó)際運(yùn)輸操作流程。PartyBshallstrictlyadheretotheproceduresforinternationaltransportation.**2.**乙方應(yīng)盡最大努力確保甲方委托的運(yùn)輸在規(guī)定的時(shí)間內(nèi)完成。PartyBshallmakeeveryefforttoensurethatthetransportationentrustedbyPartyAiscompletedwithinthespecifiedtimeframe.**3.**乙方保證其活動(dòng)不超出本協(xié)議規(guī)定的代理范圍，并自覺(jué)維護(hù)客戶利益，不得以任何不當(dāng)理由損害甲方的利益。PartyBguaranteesthatitsactivitieswillnotexceedthescopeofagencyspecifiedinthisagreementandwillconsciouslysafeguardtheclient'sinterests,refrainingfromharmingPartyA'sinterestsforanyimproperreasons.**4.**乙方應(yīng)對(duì)已簽收的貨物負(fù)責(zé)，直到將其移交給承運(yùn)人或甲方及其代表。PartyBshallberesponsibleforthegoodsoncesignedforreceiptuntiltheyaretransferredtothecarrierortoPartyAoritsrepresentatives.**5.**乙方有責(zé)任向甲方提供運(yùn)輸咨詢，并協(xié)助設(shè)計(jì)最安全、快捷和經(jīng)濟(jì)的運(yùn)輸方案；對(duì)于已運(yùn)輸?shù)呢浳?，乙方?yīng)按照甲方的要求報(bào)告貨物狀態(tài)。PartyBhastheresponsibilitytoprovidePartyAwithtransportationconsultationandassistindesigningthesafest,fastest,andmosteconomicaltransportationroutes;fordeliveredgoods,PartyBshallreportontheconditionofthegoodsasrequiredbyPartyA.**6.**除不可抗力外，乙方應(yīng)對(duì)因自身過(guò)失或故意造成的運(yùn)輸延誤、額外費(fèi)用、貨物短裝、破損及其他后果負(fù)責(zé)。Exceptforforcemajeure,PartyBshallbeliablefordelays,additionalcosts,shortshipments,damages,andotherconsequencesarisingfromitsnegligenceorintentionalactions.###四、運(yùn)輸貨物描述DescriptionofTransportGoods**1.**貨物名稱：NameofGoods**2.**貨物包裝：Package**3.**運(yùn)輸方式：ModeofTransport**4.**起運(yùn)地及目的地：PlaceofDispatchandDestination**5.**其他事項(xiàng)：Miscellaneous###五、運(yùn)輸費(fèi)用TransportCost**1.**運(yùn)費(fèi)：Freight**2.**報(bào)關(guān)、報(bào)檢：CustomsandInspectionFees**3.**卸貨、倉(cāng)儲(chǔ)費(fèi)用：UnloadingandStorageFees**4.**保險(xiǎn)費(fèi)：InsurancePremium**5.**其他費(fèi)用:otherfees###六、費(fèi)用結(jié)算SettlementofFees**1.**甲方應(yīng)在貨物運(yùn)輸完成后，按照雙方約定的結(jié)算周期支付乙方的運(yùn)費(fèi)及相關(guān)費(fèi)用。PartyAshallpayPartyBthefreightandrelatedexpensesaccordingtotheagreedsettlementperiodafterthetransportationofthegoodsiscompleted.**2.**甲方如需變更運(yùn)輸方式或運(yùn)輸時(shí)間，應(yīng)提前通知乙方，并承擔(dān)因此產(chǎn)生的額外費(fèi)用。IfPartyAneedstochangethemodeoftransportationorthetransportationschedule,itmustnotifyPartyBinadvanceandbearanyadditionalcostsincurredasaresult.**3.**乙方應(yīng)按時(shí)向甲方提供費(fèi)用清單及相應(yīng)的發(fā)票，甲方應(yīng)在收到后及時(shí)審核并支付。PartyBshalltimelyprovidePartyAwithalistofexpensesandcorrespondinginvoices,andPartyAshallpromptlyreviewandmakepaymentuponreceipt.###七、違約責(zé)任LiabilityforBreachofContract**1.**任何一方如未能履行本合同的約定，應(yīng)承擔(dān)違約責(zé)任，并賠償因違反合同而給對(duì)方造成的損失。Ifeitherpartyfailstofulfilltheprovisionsofthiscontract,itshallbearliabilityforbreachofcontractandcompensatetheotherpartyforthelossescausedbythebreach.**2.**由于不可抗力導(dǎo)致的合同無(wú)法履行，雙方均不承擔(dān)違約責(zé)任，但應(yīng)及時(shí)通知對(duì)方并提供相關(guān)證明。Neitherpartyshallbearliabilityforbreachofcontractduetoforcemajeurethatpreventstheexecutionofthecontract;however,theymustpromptlynotifytheotherpartyandproviderelevantproof.###八、合同的變更與解除ModificationandTerminationoftheAgreement**1.**本合同一經(jīng)簽署，任何一方不得擅自變更或解除，需經(jīng)雙方協(xié)商一致并書(shū)面確認(rèn)。Oncethiscontractissigned,neitherpartymayunilaterallymodifyorterminateitwithoutmutualagreementandwrittenconfirmation.**2.**如一方嚴(yán)重違反合同，另一方有權(quán)單方面解除合同，并要求賠償損失。Ifonepartyseriouslybreachesthecontract,theotherpartyhastherighttounilaterallyterminatethecontractandseekcompensationfordamages.###九、爭(zhēng)議解決DisputeResolution**1.**本合同的履行及解釋均適用中華人民共和國(guó)法律。TheperformanceandinterpretationofthiscontractshallbegovernedbythelawsofthePeople'sRepublicofChina.**2.**雙方因本合同發(fā)生的爭(zhēng)議，應(yīng)首先通過(guò)友好協(xié)商解決；如協(xié)商不成，任一方可向合同簽署地的人民法院提起訴訟。Intheeventofadisputearisingfromthiscontract,bothpartiesshallfirstattempttoresolveitthroughfriendlynegotiation;ifnegotiationfails,eitherpartymayfilealawsuitinthePeople'sCourtattheplaceofcontractsigning.###十、其他事項(xiàng)Miscellaneous**1.**本合同自雙方簽字蓋章之日起生效，有效期為兩年。Thiscontractshalltakeeffectfromthedateofsignatureandsealbybothpartiesandshallbevalidfortwoyears.**2.**本合同一式兩份，甲乙雙方各持一份，具有同等法律效力。Thiscontractisexecutedintwocopies,witheachpartyholdingonecopy,bothhavingeq
