Article1Definitions

(b)“Price”referstothetotalpriceagreeduponbybothpartiesforthesupplyoftheGoods.

(c)“DeliveryDate”referstothedatebywhichPartyAshalldelivertheGoodstoPartyB.

(d)“PaymentDate”referstothedatebywhichPartyBshallpaythePricetoPartyA.

Article2ScopeofCooperation

2.1PartyAagreestosupplytheGoodstoPartyBasspecifiedintheattachmenttothisContract.

2.2PartyBagreestopurchasetheGoodsfromPartyAinaccordancewiththetermsandconditionssetforthinthisContract.

Article3Delivery

3.1PartyAshalldelivertheGoodstoPartyBontheDeliveryDate.

3.2Incaseofanydelayindelivery,PartyAshallbearallthelossesanddamagesincurredbyPartyB.

Article4PriceandPayment

4.1ThePriceforthesupplyoftheGoodsshallbe[Price](hereinafterreferredtoasthe“ContractPrice”).

4.2PartyBshallmakethepaymentfortheContractPricetoPartyAonthePaymentDate.

Article5Quality

5.1ThequalityoftheGoodsshallcomplywiththequalitystandardsspecifiedintheattachmenttothisContract.

5.2IncasethequalityoftheGoodsfailstomeettheagreedstandards,PartyAshallberesponsiblefortherepairorreplacementoftheGoodsatnoadditionalcosttoPartyB.

Article6ForceMajeure

6.1IfeitherpartyisunabletoperformitsobligationsunderthisContractduetoforcemajeureevents,suchasnaturaldisasters,war,orgovernmentactions,thepartyaffectedshallnotifytheotherpartyinwritingwithin[NumberofDays]aftertheoccurrenceoftheforcemajeureevent.

6.2Insuchcases,theaffectedpartyshallbeexemptedfromtheperformanceofitsobligationsunderthisContractforthedurationoftheforcemajeureevent.

Article7Termination

7.1EitherpartymayterminatethisContractupontheoccurrenceofthefollowingcircumstances:

(a)Abreachofcontractbytheotherparty;

(b)AforcemajeureeventthatpreventstheotherpartyfromfulfillingitsobligationsunderthisContract.

Article8GoverningLawandDisputeResolution

8.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

8.2AnydisputearisingfromorinconnectionwiththisContractshallberesolvedthroughfriendlynegotiations.Ifthenegotiationsfail,thedisputeshallbesubmittedtothe[Jurisdiction]courtsforarbitration.

Article9Miscellaneous

9.1ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,understandings,orrepresentations,whetherwrittenororal.

9.2AnyamendmentormodificationofthisContractshallbemadeinwritingandsignedbybothparties.

Article2ScopeofCooperation

2.1PartyAagreestosupplytheGoodstoPartyBasspecifiedintheattachmenttothisContract.

2.2PartyBagreestopurchasetheGoodsfromPartyAinaccordancewiththetermsandconditionssetforthinthisContract.

2.3ThirdPartyshallprovideguidanceandadvicetoPartyAintheselection,procurement,andsupplyoftheGoods,andshallensurethequalityandreliabilityoftheGoods.

Article3Delivery

3.1PartyAshalldelivertheGoodstoPartyBontheDeliveryDate.

3.2Incaseofanydelayindelivery,PartyAshallbearallthelossesanddamagesincurredbyPartyB.

3.3ThirdPartyshallmonitorthedeliveryprocessandensurethattheGoodsaredeliveredasagreed.

Article4PriceandPayment

4.1ThePriceforthesupplyoftheGoodsshallbe[Price](hereinafterreferredtoasthe“ContractPrice”).

4.2PartyBshallmakethepaymentfortheContractPricetoPartyAonthePaymentDate.

4.3ThirdPartyshallreviewandverifythepaymentprocesstoensuretheproperandtimelypayment.

Article5Quality

5.1ThequalityoftheGoodsshallcomplywiththequalitystandardsspecifiedintheattachmenttothisContract.

5.2IncasethequalityoftheGoodsfailstomeettheagreedstandards,PartyAshallberesponsiblefortherepairorreplacementoftheGoodsatnoadditionalcosttoPartyB.

5.3ThirdPartyshallconductperiodicqualityinspectionsandprovidefeedbacktoPartyAtoensureongoingcompliancewithqualitystandards.

Article6ThirdParty'sResponsibilitiesandRights

6.1ThirdPartyshallprovideexpertadviceandguidancetoPartyAintheselectionandprocurementoftheGoods.

6.2ThirdPartyshallhavetherighttoreviewandapproveanychangesormodificationstotheGoodsorthesupplyprocess.

6.3ThirdPartyshallreceiveafeeforitsservices,whichshallbeagreeduponinaseparateagreementbetweenPartyAandThirdParty.

Article7PartyA'sRightsandInterests

7.1PartyAshallhavetherighttoterminatethisContractincaseofanybreachofcontractbyPartyBorThirdParty.

7.2PartyAshallhavetherighttorequestandobtainareportfromThirdPartyregardingthestatusofthesupplyandqualityoftheGoods.

7.3PartyAshallhavetherighttonegotiateandmodifythetermsandconditionsofthisContractwiththeconsentofThirdParty.

Article8PartyB'sObligationsandLimitations

8.1PartyBshallensurethatthepaymentfortheGoodsismadeontimeandinaccordancewiththeagreedPaymentDate.

8.2PartyBshallnotunreasonablydelayorwithholdpaymentfortheGoods.

8.3PartyBshallcomplywithalllegalandregulatoryrequirementsapplicabletotheimportanduseoftheGoods.

Article9DisputeResolution

9.1AnydisputearisingfromorinconnectionwiththisContractshallberesolvedthroughfriendlynegotiationsbetweentheParties.

9.2Incaseofafailuretoresolvethedisputethroughnegotiations,thePartiesshallsubmitthedisputetothe[Jurisdiction]courtsforarbitration.

Article10Termination

10.1EitherPartymayterminatethisContractupontheoccurrenceofthefollowingcircumstances:

(a)AbreachofcontractbytheotherParty;

(b)AforcemajeureeventthatpreventstheotherPartyfromfulfillingitsobligationsunderthisContract.

Article11Miscellaneous

11.1ThisContractconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,understandings,orrepresentations,whetherwrittenororal.

11.2AnyamendmentormodificationofthisContractshallbemadeinwritingandsignedbyallParties.

2.3ThirdPartyshallprovidequalityassuranceservicesandactasaconsultanttoPartyBthroughoutthesupplychain.

Article3QualityAssuranceandConsultation

3.1ThirdPartyshallconductregularqualityauditsandinspectionstoensurethattheGoodsmeettheagreed-uponspecificationsandstandards.

3.2ThirdPartyshallprovideconsultingservicestoPartyBonbestpracticesforproductselection,procurement,andsupplychainmanagement.

3.3ThirdPartyshallhavetherighttorejectanyGoodsthatdonotmeettherequiredqualitystandards.

Article4Delivery

4.1PartyAshalldelivertheGoodstoPartyBontheDeliveryDate.

4.2Incaseofanydelayindelivery,PartyAshallbearthecostsassociatedwiththedelay,includinganyadditionalstoragefeesorlossofrevenueforPartyB.

4.3ThirdPartyshalloverseethedeliveryprocessandprovidePartyBwithadetailedreportontheconditionoftheGoodsupondelivery.

Article5PriceandPayment

5.1ThePriceforthesupplyoftheGoodsshallbe[Price](hereinafterreferredtoasthe“ContractPrice”).

5.2PartyBshallmakethepaymentfortheContractPricetoPartyAonthePaymentDate.

5.3ThirdPartyshallreviewthepricingandpaymenttermstoensuretheyarefairandreasonable.

Article6PartyB'sRightsandInterests

6.1PartyBshallhavetherighttocanceltheContractifPartyAfailstodelivertheGoodsbytheDeliveryDatewithoutavalidreason.

6.2PartyBshallhavetherighttorequestadditionalservicesfromThirdParty,includingextendedqualityassuranceormarketanalysis,atanadditionalcost.

6.3PartyBshallhavetherighttoreceiveacomprehensivereportfromThirdPartyontheperformanceandqualityoftheGoodsafterthefirstyearofsupply.

Article7PartyA'sObligationsandLimitations

7.1PartyAshallcomplywiththequalitystandardssetforthintheattachmenttothisContractandshallnotdeliverGoodsthatdonotmeetthesestandards.

7.2PartyAshallnotselltheGoodstoanyotherpartywithoutthepriorwrittenconsentofPartyB.

7.3PartyAshallbelimitedinitsabilitytoalterthetermsofthisContractwithouttheconsentofPartyBandThirdParty.

Article8DisputeResolution

8.1AnydisputearisingfromorinconnectionwiththisContractshallberesolvedthroughmediationfacilitatedbyThirdParty.

8.2Ifmediationfails,thedisputeshallbesubmittedtothe[Jurisdiction
