yfax.TheSellersshalldeliverytotheBuyersbyregisteredletter,ifitisrequestedbytheBuyers,acertificateissuedbytheChinacouncilforthePromotionofInternationalTradeorbyanypetentauthority,certifyingtotheexistenceofthesaidcauseorcauses.Buyers'failuretoobtaintherelativeImportlicenseisnottobetreatedasForceMajeure.仲裁：凡因執(zhí)行本合約或有關(guān)本合約所發(fā)生的一切爭(zhēng)執(zhí)，雙方應(yīng)以友好方式協(xié)商解決，如果協(xié)商不能解決，應(yīng)提交北京中國(guó)國(guó)際貿(mào)易促進(jìn)委員會(huì)對(duì)外貿(mào)易仲裁委員會(huì)根據(jù)中國(guó)國(guó)際貿(mào)易促進(jìn)委員會(huì)對(duì)外貿(mào)易仲裁委員會(huì)的仲裁程序暫行規(guī)那么進(jìn)展仲裁，仲裁裁決是終局的，對(duì)雙方都有約束力。ARBITRATION:AlldisputesarisinginconnectionwiththeSalesContractoftheexecutionthereofshallbesettledamicablybynegotiation.Incasenosettlementcanbereached,thecaseunderdisputeshallthenbesubmittedforarbitrationtotheForeignTradeArbitrationmissionoftheChinaCouncilforthePromotionofInternationalTradeinaordancewiththeProvisionalRulesofProcedureoftheForeignTradeArbitrationmissionoftheChinacouncilforthePromotionofInternationalTrade.ThedecisionoftheCommissionshallbeaeptedasfinalandbindinguponbothparties.買方賣方THEBUYERSTHESELLERSProductSalesContractNO.:DATE:ADDRESS:TEL:FAX:ADDRESS:TEL:FAX:ThisContractismadebyandbetweentheBuyersandtheSellers,wherebytheBuyersagreetobuyandtheSellersagreetoselltheundermentionedmodityaordingtothetermsandconditionsstipulatedbelow:買方與賣方就以下條款達(dá)成協(xié)議：MODITY:COUNTRYANDMANUFACTURERS:RioTintoGroup原產(chǎn)國(guó)及制造商：力拓集團(tuán)PACKING:Tobepackedinstandardshippingpacking.TheSellersshallbeliableforanydamageofthemodityandexpensesincurredonaountofimproperpackingandforanyrustattributabletoinadequateorimproperprotectivemeasurestakenbythesellersinregardtothepacking.包裝：標(biāo)準(zhǔn)海運(yùn)包裝。如果由于不適當(dāng)?shù)陌b而導(dǎo)致的貨物損壞和由此產(chǎn)生的費(fèi)用，賣方應(yīng)對(duì)此負(fù)完全的責(zé)任。SHIPPINGMARK:TheSellersshallmarkoneachpackagewithfadelesspaintthepackagenumber,grossweight,weight,measurementandthewordings，andtheshippingmar“protectionagainstthetide”嘜頭：賣方應(yīng)用不褪色的顏料在每個(gè)箱子外部刷上箱號(hào)、毛重、凈重、尺寸，并注明“防潮”TIMEOFSHIPMENT（裝運(yùn)期）：within：daysafterreceiptofL/CTIMEOFDELIVERY（交貨期）Dateuntiltheeffectivedateofcontractwithindays。自合同生效之日起天。PORTOFSHIPMENT（裝運(yùn)港）：PORTOFDESTINATION（目的港）：INSURANCE（保險(xiǎn)）：TobeeffectedbytheSellerfor110%oftheCIFinvoicevaluecoveringPingAnInsuranceonlyasperAustraliaInsuranceCauses,tobeeffectedbytheBuyerofFOB,CFRandadditionalinsurance.保險(xiǎn)：由賣方按照澳大利亞保險(xiǎn)條款按CIF發(fā)票的110%投保平安險(xiǎn)，選擇FOB和CFR的時(shí)候和其他附加險(xiǎn)由買方自行投保。PAYMENT（付款方式）：DOCUMENTS:FullsetofAirwaybillinoriginalshowing“ShippingPrepaid”andconsignedtoapplicant.海運(yùn)提單一套Invoiceinthreecopies.發(fā)票一式叁份PackinglistinthreecopiesissuedbytheSellers.裝箱單一式叁份CertificateofQualityissuedbytheSellers.賣方出具的質(zhì)量證明書InsurancePolicy.保險(xiǎn)單一份CertificateoforiginissuedbytheSellers.原產(chǎn)地證書Manufacturer'scertifiedcopyoffaxdispatchedtotheapplicantwithin24hoursaftershipmentadvisingflightNo.,B/LNo.,shipmentdate,quantity,Grossweight,Netweight,andvalueofshipment.制造廠家通知開證申請(qǐng)人有關(guān)貨物裝運(yùn)的詳細(xì)資料復(fù)印件壹份。Theseller'sCertificateandwaybillcertifyingthatextradocumentshavebeendispatchedaordingtothecontracttermsbyexpressairmail.賣方有關(guān)另外用特快郵寄壹套單據(jù)給開證申請(qǐng)人的證明書及郵寄底單.TERMSOFSHIPMENT:Tobegovernedby“INCOTERMSxx”.FortransactionsconcludedonCFRorCIFterms,allsurchargesincludingportcongestionsurcharges,etc.Leviedbytheshippingpany,inadditiontofreight,shallbefortheBuyer'saount.TheSellersshallshipthegoodswithintheshipmenttimefromtheportofshipmenttothedestination.Transshipmentisallowed.Partialshipmentisallowed.With5%moreorlessbothinamountandquantityallowedatthesellersoption.裝運(yùn)條款：應(yīng)按照《XX年國(guó)際貿(mào)易術(shù)語(yǔ)解釋通那么》的規(guī)定辦理。凡按CFR或CIF條件達(dá)成的交易，如船公司在運(yùn)費(fèi)外加收的各種附加費(fèi)包括港口擁擠費(fèi)等概由買方承擔(dān)。賣方應(yīng)于交貨期內(nèi)將合同貨物從裝貨港運(yùn)到目的港，允許分批，允許轉(zhuǎn)運(yùn)。數(shù)量及總值均有5%的增減,由賣方?jīng)Q定。SHIPPINGADVICE:Thesellersshall,immediatelyuponthepletionoftheloadingofthegoods,advisebyfaXthebuyersoftheContractNo.,modity,quantity,invoicedvalue,grossweight,nameofvesselanddateofdeliveryetc.IncaseduetothesellersnothavingfaXedintime,alllossescausedshallbebornebythesellers.裝運(yùn)通知：賣方應(yīng)于裝貨后，立即用將有關(guān)合同號(hào)、貨物、數(shù)量、發(fā)票價(jià)值、毛重、運(yùn)輸工具名稱、交貨日期、貨物預(yù)計(jì)抵達(dá)日等資料通知買方。如果由于賣方未能通知買方而造成的所有損失均由賣方承擔(dān)。GUARANTEEOFQUALITY:TheSellersguaranteethattheCommodityhereofisandpliesinallrespectswiththequalityandspecificationstipulatedininternationalstandards.Theguaranteeperiodshallbe12monthscountingfromthedateofsigningtheAeptanceReportofthismachineattheend-user'ssite.質(zhì)量保證：賣方保證合同貨物質(zhì)量和技術(shù)規(guī)格均符合國(guó)際標(biāo)準(zhǔn)的要求。質(zhì)保期為最終用戶簽定驗(yàn)收?qǐng)?bào)告后12個(gè)月內(nèi)。15CLAIM:AnyclaimbytheBuyerconcerningthegoodsshippedhereundershallbefiledwithin30daysafterthearrivalofthegoodsattheportofdestinationandsupportedbyasurveyreportissuedbyasurveyorapprovedbytheSellerfortheSeller'sexamination.InnoeventshalltheSellerbeliableforindirectorconsequentialdamagers.Claimsinreportofmatterswithinthescopeofresponsibilityoftheinsurancepany,shippingpany,transportationorganizationand/orpost
