3、w any third party to sell the product to the area beside aa.雙方同意，aa 可以在經(jīng)銷區(qū)域以bb公司的獨家經(jīng)銷商銷售產(chǎn)品。bb 承諾bb 不能自行銷售，也不能允許任何第三方銷售產(chǎn)品給經(jīng)銷區(qū)域內(nèi)的客戶。4. orders訂單4.1 aa places orders to bb to purchase. the orders shall incorporate this agreement automatically. aa 給bb 下訂單采購產(chǎn)品。 訂單自動合并本協(xié)議的內(nèi)容。4.2 aa will list the quantity,

4、delivery time and other information in the orders for each purchase. aa在訂單中寫明定購數(shù)量，交貨時間以及其他信息，以便采購。4.3 bb shall sign back aas orders if bb accepts. however, if bb fails to do so but bb start performing the order, the order is deemed to be accepted by bb. bb如果接受訂單，應(yīng)當在aa的訂單上簽署并發(fā)回。但是，如果bb 不簽回，卻已經(jīng)開始執(zhí)行訂單的

5、內(nèi)容， 此訂單視為bb已經(jīng)接受。5. quantity of sole distribution獨家經(jīng)銷數(shù)量5.1 minimum quantity. aa shall purchase from bb pcs in minimum per year.最低數(shù)量。 aa 應(yīng)當在一年內(nèi)至少向bb 采購 只。5.2 if aa purchases over pcs per year, bb agrees to award aa by returning usd , or % of aas purchase amount in cash, or same value of the product to

6、 encourage.如果aa一年內(nèi)采購數(shù)量超過 只，bb同意獎勵aa。 獎勵方式有返還 美金的現(xiàn)金，或aa采購總金額的 的現(xiàn)金，或者相同價值的產(chǎn)品，以資鼓勵。6. price and payment價格和付款6.1 the price of the product is usd /pc, fob shanghai. the package is standard export package.產(chǎn)品的價格是每只 美金， fob 上海。 包裝是標準出口包裝。6.2 aa will pay by tt within days after aa receive the product deliver

7、ed by bb.在收到bb 交付的貨物后 天內(nèi)aa 通過電匯付款。6.3 bb shall post the full set of documents including b/l, invoice, packing list, etc., to aa as soon as possible after shipment.在交貨后，bb公司應(yīng)該盡快的將全套單據(jù)包括提單，發(fā)票和裝箱單等寄給aa。7. support支持7.1 to support aa to develop the market, bb agrees to provide samples on its own cost to

8、aa during the agreement time period.為了支持aa 開拓市場，在本協(xié)議期限內(nèi)， bb 同意自己承擔費用為aa提供樣品。7.2 bb agrees to reimburse the cost and expenses of advertisement spent by aa to promote sales of the product. bb同意，aa為了促進產(chǎn)品的銷售而支出的廣告費用由bb公司報銷。7.3 other其他 8. inspection of the goods貨物檢驗8.1 pre-shipment inspection. bb shall i

9、nform aa of the readiness for inspection before shipment. aa may send its representative to inspect the goods by sampling. bb can not ship if the goods fail to pass the pre-shipment inspection. on the other hand, however, the satisfied pre-shipment inspection report is the prima facie evidence of th

10、e quality of the goods. the goods will finally be inspected by aas customer, whose inspection report is the final evidence of the quality which can not be challenged.裝船前檢驗。bb應(yīng)當通知aa貨物已經(jīng)備妥，可以檢驗。aa可以派代表前往以抽樣方式做裝船前檢驗。如果貨物沒通過裝船前檢驗，bb不得出貨。不過另一方面，合格的裝船前檢驗報告是貨物質(zhì)量合格的初步證據(jù)。貨物將最終由aa的客戶檢驗，他的檢驗報告是貨物質(zhì)量最終的證據(jù)，不得抗辯。8

11、.2 aa shall require its customers to inspect the goods within 6months after shipment. in no circumstances can anyone allege the quality of the goods to be inferior after one year since the shipment. aa 應(yīng)當要求他的客戶在發(fā)貨后6個月內(nèi)檢驗貨物。發(fā)貨后一年以后，任何人不得以任何理由提出貨物質(zhì)量異議。8.3 defective goods瑕疵貨物bb shall replace the defect

12、ive goods in the time aa requires. the defective goods can be destroyed, or shipped back, or repaired by aa or its customers, at bbs option and cost. bb 應(yīng)當在aa規(guī)定的時間內(nèi)補貨，代替瑕疵貨物。瑕疵貨物根據(jù)bb的選擇并由bb 承擔費用，可以由aa或他的客戶就地銷毀，或運回，或修理。9. liability of breach of this agreement違約責任9.1 bb shall compensate aa usd if bb s

13、ell the product the any third party, or allow any third party to sell, to the customers in the area. bb如果自行或允許他人銷售產(chǎn)品給經(jīng)銷區(qū)域內(nèi)的客戶，bb應(yīng)當向aa 支付 美元的違約金。9.2 bb may rescind the agreement if aa fails to reach the minimum annual purchase quantity without any compensation. bb shall buy back or allow aa to sell t

14、he remaining stock of the goods of aa after the termination of this agreement, nevertheless what is the reason of the termination. 如果aa沒有達到最低年采購量，bb 可以解除本協(xié)議，并且沒有任何賠償。 在合同終止后， bb應(yīng)當買回或者允許aa銷售剩余的庫存，不管合同終止的原因是什么。10. entire agreement完整協(xié)議this agreement shall constitute the entire agreement between the par

15、ties hereto and supersedes all prior agreements or proposal, written and oral, relating to the subject matter hereof, between the parties to this agreement.待添加的隱藏文字內(nèi)容3本協(xié)議應(yīng)該構(gòu)成雙方之間合作的整體協(xié)議，并取代此前雙方有關(guān)本合同事項所做的協(xié)議、建議書（不管書面的還是口頭的）。11. miscellaneous雜項a) the agreement shall be written in english and in chinese

16、. both language versions are equally authentic. in the event of any discrepancy between the two aforementioned versions, the chinese version shall prevail.本協(xié)議用中英文書寫，同等效力。如果兩個版本出現(xiàn)不符，以中文版本為準。b) no provisions of this agreement may be modified, waived or amended except with the written consent of both p

17、arities. 本合同的條款，除非獲得合同雙方書面同意，不得予以改正、廢棄或修改。c) this agreement shall come into effect after both parties signed the agreement. this agreement shall be effective till it be fully executed.本合同自雙方簽字之日起生效。合同期限直到合同履行完畢為止d) the governing law of this agreement is chinese law.本合同的準據(jù)法是中國法。e) all the disputes in related to this agreement shall be submitted to cietac shanghai for arbitration. the arbitration award is final and bound two parties.本協(xié)議所有的爭議均提交中國國際貿(mào)易促進委員會上海分會進行仲裁。仲裁裁決是終局
