WHEREASTheVendoristheDeveloperofthePropertyknownasPlotNo.265,BlockA,comprisingofTWELVE(12)MainAreasindicatedunderregisteredMAINUNITPLANNo.10referredtoas“ZONES”withinwhichregisteredZONE–01UNITPLANconsistof160UNITSregisteredasUNITPLAN№NUMBER10/1withtheRegistrarofTitles-MinistryofLands,HousingandHumanSettlementsDevelopmentandHumanSettlementDevelopmentatDaresSalaam–Tanzania,includesUNIT/HouseNumber_____locatedatAmaniGomvu,MinondoSomangila,KigamboniArea,TemekeMunicipality,DaresSalaam,Tanzania(hereintobereferredtoasa“Unit/Property”);
WHEREASThePurchaserAcceptedtheOFFERLETTERwithReferenceNo._______________________fromtheVendordated………..dayof_____________201__andhavingsatisfiedallTermsandConditionsoftheOfferattheVendor’sverificationandchosenapaymentmodalityinamannerasdescribedhereinbelow,isnowdesirousofpurchasingthePropertythathasbeenidentifiedandselectedbyhimself/herselfwiththeabovereferenceatthePurchasePriceandonthetermsandconditionssetouthereinbelow.
WHEREAStheVendoriswilling,ableandreadytocompletethePropertysoselectedandthereforesellthesametothePurchaserinaccordancewiththetermsandconditionssetforthherein;
THEREFORE,ITISHEREBYAGREEDBYBOTHPARTIESTHAT:
INTERPRETATION:
InthisAgreementunlessinconsistentwithorotherwiseindicatedbythecontextthefollowingwordsandexpressionsshallhavethemeaningsassignedtothemhereunder:
“"Act”" meanstheUnitTitleAct2008oranyAmendmentstheretoandincludestheRegulationspromulgatedthereunder,fromtimetotime;
“Agreement” shallmeanthisPre-SaleAgreementandshallincludeanyannexures,addenda,schedulesorappendiceshereto;
“Association” meanstheAVICTownZONE01HomeownersAssociationasincorporatedundertheAct;
“CertificateofUnitTitle” meanscertificateissuedunderRegulation6oftheUnitTitlesRegulations,2009oranyAmendmentsthereto;
“CommonProperty
/Area” meansanyportion(s)oftheUnitPropertyotherthantheindividualUnit/HouseincludingallgeneralandrestrictedusecommonpropertiesasdescribedmorefullyintheUnitPlan;
“Constitution” meansAVICTownZONE01HomeownersAssociation’sConstitutionimposedintermsoftheAct,subjecttoanyamendmentspermittedintermsoftheActasperAnnexure“D”tothisAgreement;
“Co-owner” meanstheperson,firm,Association,corporation,partnership,association,trustorotherlegalentityoranycombinationofsuchentitieswhoorwhichownaUnit/orUnitsintheUnitPropertyandthetermCo-owner(s)whereverusedissynonymouswiththetermOwner(s);
“Developer” meanstheVendorasengagedinthebusinessofdevelopingaUnitPropertyasprovidedforintheAct;
“"FinancialMonthly meansanyamountdeterminedbytheAssociation,fromtimetotimein
Contribution”" accordancewiththeConstitutionandtheBy-LawsbothofAVICTownZONE01HomeownersAssociation;
“"Land”" meanspartofPlotNo.265,BlockA,AmaniGomvu,MinondoSomangila,KigamboniArea,TemekeMunicipality,DaresSalaam,TanzaniawhichhasbeenidentifiedasZONE01intheRegisteredMAINUNITPLANNo.10;
“MainUnitPlan” referstotheregisteredmasterplan(MAINmainUNITPLANNo.10)ofdevelopmentofPlotNo.265,BlockA,AmaniGomvu,MinondoSomangila,KigamboniArea,TemekeMunicipality,DaresSalaam,Tanzania,asdescribedunderCertificateofTitleNumber120678nowdesignedanddemarcatedintoTWELVE(12)separateareasknownasZONEStosuittherequirementsofUnitTitlesundertheAct;
“"OccupationDate”" meansthedateofhandoveroftheUnitbytheVendortothePurchaser;
““OfferLetter/Offer”” meanstheOfferLettertoselltheUNITissuedbytheVendorandacceptedbythePurchaserindicatingallfundamentalTermsandConditionstobeprecededbythisAgreement;
“UnitCompletion
Date” meansthedateoffinalcompletionoftheUnitwhichissetandagreedtobeon___________________;
“"Property”" meanstheUNITinthecontextascribedhereunderbythisAgreement.;
"“Properties”" meanstheUnits/HousesandallimprovementstobeerectedonregisteredUnitPlanNo.10/1forZONE01inPlotNo.265,BlockA,AmaniGomvu,MinondoSomangilaWard,KigamboniArea,TemekeMunicipality,DaresSalaam,Tanzania;
“Regulations” referstoallfutureRulesandProcedurestobemadeandadoptedbytheAssociationinthefutureinrunningdaytodayoperationsrelatedtothewelfareofZONE-01CommunityasshallalwaysremainlawfulandinlinewiththeAct.;
“"Restricted
CommonArea”" meansthosecommonareas(e.g.Roads,MainGates,WaterTowergivingaccesstotheroads,WaterSourceandopenSpaces)thatarereservedfortheexclusiveuseofaCo-ownersandotherUnitOwnersfromneighbouring/adjourningUnitPlans(Zones)withinthePropertyoranyotherpersonsoallowedbytheManagementCommitteeofaspecificUnitorUnitsasdescribedmorefullyintheUnitPlan.;
“"Rules”" meansAVICTownZONE01HomeownersAssociation’sBy-Laws,,imposedintermsoftheAct,subjecttoanyamendmentspermittedintermsoftheActasperAnnexure“E”tothisAgreement;
“UnitProperty” meansthelanddescribedintheUnitPlanwithitsboundariesasthesamemaybeamendedtogetherwithallstructures,improvements,easements,rightsandappurtenanceslocatedon/orbelongingtoZONE-01Area;
“Unit” meansaHouse/Buildinganditssurroundinglandindicatedbyboundaries,whichisaportionoftheUnitPropertythatisdesignedandintendedforexclusiveandseparateownership/usebythePurchaser,asdescribedintheUnitPlan;
“UnitPlan” meansthedocumenttogetherwiththeexhibitsattachedtoitandallamendmentsthatmaybeadoptedinthefuture,bywhichtheUnitandUnitPropertyisbeingsubmittedandregisteredforUnitownershipundertheActasperAnnexure“A”tothisAgreement.
InthisAgreement:
Unlessthecontextclearlyindicatesotherwise,wordsimportingthesingularshallincludetheplural,wordsimportingthemasculine,feminineorneutershallincludetheothersorsuchgenders,andwordsimportingpersonsshallincludecorporatebodiescorporate,andviceversaineachinstance.
Expressionswithreferencetowritingshallbeconstruedasincludingreferencetoprinting,lithography,photographyandothermodesofrepresentingorreproducingwordsinvisibleform;.
Wherefiguresarereferredtoinwordsandinnumerals,ifthereisanyconflictbetweenthetwo,thewordsshallprevail;.
Ifanyprovisioninadefinitionisasubstantiveprovisionconferringrightsorimposingobligationsonanyperson,then,notwithstandingthatitisonlyintheinterpretationInterpretationClauseofthisAgreement,effectshallbegiventoitasifitwereasubstantiveprovisioninthebodyofthisAgreement.
TheAnnexurestothisAgreementaredeemedtobeincorporatedinandformpartofthisAgreement.
SALEANDPURCHASEPRICE:
UponandsubjecttothetermsandconditionsofthisAgreementwhichincorporatestheOfferLetterthereto,theVendorherebysellstothePurchaserandthePurchaserpurchasestheUnit/HouseforthePriceofUnitedStatesDollars(US$.)(USD+18%VAT)ORitsequivalentinTanzaniaShillingsattheVendor’sreceivingBankRatesonthedateofpaymentasindicatedunderClause3.2hereunderthisPre-SaleAgreement,(hereinaftertobereferredtoas“PurchasePrice”).Tobemoreprecise,thePurchasePricefortheUNIT/HouseshalldependonthePaymentModalitytobechosenbythePurchaserunderClause4andasshallbeindicatedintheACCEPTANCEFormtotheOfferLetterbythePurchaser.
ForavoidanceofdoubtandsubjecttothePaymentModality,thePurchasePriceshallbecalculatedasfollows:

TheVendorhereinacknowledgesthatthePurchaserhasalreadypaid……%UnitedStatesDollars_____________________________________________(US$._________)ORitsequivalentinTanzaniaShillingsasDownPaymentofthePurchasePriceandhasoptedforclause______aspaymentmodalityhereunderbyexecutingthisAgreement.
ThePropertyissoldfreefromallregisteredencumbrancesbutissoldsubjecttoallotherrightsandintereststowhichthePropertyissubjectinlaw,asexpresslystatedintheRegisterofUnitsandasstatedinandprovidedforundertheCertificateofUnitTitleinrespectoftheProperty.
PAYMENTMODALITY:
ThePurchaserhasarightbeforetheUnitCompletionDatetochangethemodalityofpaymentfromtheoneabovetoseveralotheroptionsprovidedbytheVendoraslistedhereunderonDefaultClausesubjecttopaymentofadministrationchargeprovidedforineachrespectivepaymentmodality.
InthisAgreement,subjecttoprovisionsoftheConditionsoftheOfferLetter(asperClause5oftheOfferLetter),thePurchaserisprovidedwithseveralpaymentoptionsbytheVendorasprovidedhereunder:
PaymentofthePurchasePriceinfullwhichwillgivethePurchaserSIXTY(60)calendardaysgraceperiodtocompletethepaymenttogetherwithprovidingaPersonalGuaranteetotheVendorofthesaidremainingbalancefromthedateofexecutionofthisPre-SaleAgreement;OR
PaymentbyInstalmentstobemadefromthedateofexecutionofthisPre-SaleAgreementtotheZONE01ProjectUnitCompletionDate;ProvidedthatanotherpaymentofnotlessthanFIVEPerCent(5%)ofthePurchasePriceismadewithinTHIRTYONE(31)calendardaysfromthedateofexecutionofthePre-SaleAgreementandanotherpaymentofnotlessthan___________THIRTYPerCent(____30%)ofthePurchasePricemustbemadewithin………………______________calendardaysfromthedateofpaymentoftheFIVEPerCent(5%)ofthePurchasePricestatedherein;OR
PaymentofthePurchasePrice(theremainingunpaidpartofthePurchasePrice)viaMortgageFinancingtobearrangedbythePurchaserandagreedbybothPartiespriortoexecutionofthisPre-SaleeAgreementandmadefromtheFinancialInstitutionsacceptedbytheVendorasperAnnexure“C”tothisPre-SaleAgreement.Onthismodality,thePurchasermustsubmittotheVendora‘LetterofApproval’’fromtheFinancialInstitutionwhichagreedtoprovidethemortgagewithinSIXTY(60)calendardaysfromthedateofexecutionofthePre-SaleAgreement.That,afteraLetterofApproval,thePurchasershallwithinNINETY(90)calendardaysfromthedateofexecutionofthePre-SaleAgreement………………..calendardayssubmittotheVendoraPaymentGuaranteedrawninfavouroftheVendorforthemortgagedamount.
4.3AllpaymentmodalitieshighlightedhereinaboveshallbemadepayabletotheVendorthroughtheVendor’sBankAccountsprovidedunderAnnexure“B”tothisPre-saleAgreementandnototherwise.
ThePpurchasePriceshallbepaidinUnitedStatesUSDollarsoritsequivalentintoTanzaniaShillingsCurrencyundertheexchangerateofthereceivingbankBankonthedateofpayment(whichamountisinclusiveofVAT).
OCCUPATION/POSSESSION:
PossessionandOccupationshallbegiventothePurchaserwhoshallbeobligedtotakethesameontheOccupationDatesubjecttotheVendorbeingsatisfiedthatthePurchaserhasfulfilledallofhis/herfinancialobligationsandarrangementsarisingfromthisAgreement.
TheVendorundertakestoperformherhisobligationanddeliverthePropertyontimeandthat,duringtheexistenceofthiscontractualrelationship,willholdthePurchaserharmlessandindemnifiedagainstanylossordamagesthatwilloccurasthedirectresultoftheVendor’sacts/omissionsinconnectiontothisAgreement.
TheVendorwarrantsthePurchaserthatimmediatelyafterexecutionofthisAgreement,theHouse/UNITsoldwillbedeliveredtothePurchasertimelyontheUnitCompletionDatewhichissetandagreedtobeon_____________,ProvidedalwaysthatthePurchaser:
hasfulfilledhis/herobligationtopaythePurchasePriceinfull;OR
hascompletedSIXTYPerCent(60%)ormoreofthePurchasePriceandprovidestotheVendoranirrevocableandunconditionalBankGuaranteecoveringallsubsequentinstalmentsinfavouroftheVendorfromtheFinancialInstitutionsacceptedbytheVendorwhichvaluemusttallywithorbegreaterthantheOutstandingoutstandingbalanceofthePurchasePriceremainunpaidatontheOccupationDate;OR
submitstotheVendoraPaymentGuaranteeforthemortgagedamountfromtheMortgageDeedenteredbetweenthePurchaseranditsBank(asperAnnexure“C”herein)drawninfavouroftheVendorfortheoutstandingbalanceofthePurchasePrice.
AcertificateissuedbyanArchitectoraLocalAuthoritytotheeffectthattheUnitissuitableforbeneficialoccupationisbindinguponthepartiesPartiesandwhenissuingsuchcertificatetheArchitectortheLocalAuthorityshallbedeemedtohaveactedasanexpert.
TheUNIT/HouseofferedshallbeSemi-furnishedwithallSanitary-Wares,KitchenAppliances,paints,tilesandlightsandshallbeastothestandardsselectedbytheVendorasperAnnexure“G”.
TheVendorshallnotberesponsibleforanyloss,damageorinconveniencesufferedbythePurchaserbyreasonofanybuildingoperationswhichmaybeconductedinrespectofthedevelopment(theUNIT)THREE(03)calendarMonthsmonthsaftertheOccupationDate.ThisliabilityexcludeslossesanddamagesofallelectricalequipmentsorthatmightbearesultofelectricalfaultswhichthePurchasermustbefullresponsibleandisatlibertytoinsurethePropertyagainstsuchlosses.
FromtheOccupationDatethePurchasershall:
KeeptheUnitingoodrepairandshallnotstoreorharbourorallowtobestoredorharbouredinorabouttheUnitand/orRestrictedCommonArea,CommonArea,and/ortheLandand/orbytheBuildinganyarticles,goodsormaterialswhichmayvitiateanyfireorotherinsurancepolicyheldbytheVendor(ifany)orincreasethepremiumspayableinrespectofsuchpolicy;
BeresponsibleforallcostsofelectricityandwaterintheunitUnitasshallbeprovidedbyrespectivecompanies.;
Beresponsibleforallcostsofsecurityforcommonareas,garbagecollectionforcommonareasandmaintenanceofpublicfacilitiesasshallbeprovidedinManagementServiceAgreementwhichmustbesignedonorbeforeOccupationDate.;
SaveinsofarasmaybeinconsistentwiththeprovisionsofthisAgreement,beresponsibleforallotherobligationsofanOwnerassetoutintheAct;andAnd
ComplywithallRules,RegulationsandBy-LawsapplicabletotheProperty.
FINANCIALMONTHLYCONTRIBUTION:
FromandincludingtheOccupationDateasaforesaid,thePurchasershallbeliabletopaytheAssociationaFinancialMonthlyContributionandothercontributionsasrequiredundertheActbeingaproportionateshareofthetotalcostrequiredformanaging,operation,administering,insuringandmaintainingtheLand,CommonProperty,RestrictedCommonAreaandgeneralutilitybillsforcommonareas.SuchFinancialMonthlyContributionsshallbepaidhalfannuallyinadvanceonthefirstcalendardayofeachandeverysixcalendarmonthsperiodtotheManagementCommitteeoftheAssociation/AppointedServiceProvider.
TheManagementCommitteeoftheAssociationreservestherightsofamendingpaymentmodalityoffinancialFinancialmonthlyMonthlycontributionContributionfromtimetotime.
RISK:
FromOccupationDateandimmediatelyafterexpiryofthethreeThree(03)calendarmonthsObservationperiodasperClause5.6hereinabove,allrisksandbenefitsofthePropertyshallpassfromtheVendor/DevelopertothePurchaser.
REGISTRATIONOFTRANSFER:
TransferandregistrationofthePropertyinfavourofthePurchasershallbeaffectedandcompletedbytheVendorthroughitsAttorneys.IntheeventthePurchaseroptstocompleteregistrationprocessbyhimself/herself,alldocumentsnecessaryfortransferandregistrationshallbeavailedandhandedovertohim/her(thePurchaser)uponcompletionofpaymentofthePurchasePriceorsubjecttofulfilmentofconditionssetforthunderClauses4.32hereinabove.ForPurchaserswhooptsforMortgagepurchaseFinancePayment,thetransferandregistrationwillbedonebytheVendor’sAttorneyortheBankthatextendedthefinanceandexecutedtheMortgageDeedwiththePurchaser,asthecasemaybe.
StampDuty,RegistrationFeesandApprovalFeespayableonthetransferandregistrationoftheUnitshallbetotheaccountofthePurchaser.ThePurchaserhereinagreesthatforpurposesoffacilitatingtheprocess,thePurchasershalldeposittotheVendoranamountasshallberequiredbytheVendorforthepurposeofStampDuty,RegistrationFeesandApprovalFeesforthetransferandregistrationprocess,andincasethereisanyremainingbalance,thesameshallbereimbursedtothePurchaserbytheVendoronorbeforehanding-overoftheOriginalUnitTitleforthePropertytothePurchaser.Foravoidanceofdoubt,theStampDuty,RegistrationFeesandApprovalFeesonthetTransferandregistrationoftheUnitshallbeinaccordancewiththelaw.
ThePurchasershallaccepttransferoftheUnitsubjecttoallconditionsandservitudesbenefitingorburdeningtheUnitandtheLandunderUnitPlanandneighbouringUnitPlanswhetherexistingorhereafterimposedbyanycompetentAuthorityand/orimposedbytheVendorforfuturedevelopmentoftheUnitand/orLandinaccordancewiththeregisteredPlan(s)attheofficeoftheRegistrarofTitles,Tanzania.
RESTRICTEDCOMMONAREAPROPERTY:
ThePurchaserhereinagreesthattheRestrictedCommonAreasProperties/PropertiesAreasshallnotbeforhis/herexclusiveuse;instead,remainastheyaretobeusedbyotherUnitCo-Owners,MembersfromneighbouringZones(Zone02to12)andanyotherpersonthatwillbepermittedbytheManagementoftheAssociationforZONE–01tousesuchProperties/Areas.TheVendorshallactincollaborationwithanArchitectand/orDesigner(asdeterminedbytheVendor)insodeterminingtheRestrictedCommonAreaProperty.
IntheeventofRestrictedCommonAreaPropertynothavingbeenfinallydeterminedatdateofsignature,theVendorherebyreservestherightinitsabsolutediscretiontoconvertsuchportionsoftheCommonAreaPropertytoberestrictedones.ThecostofandincidentaltothecreationoftheRestrictedCommonPropertyshallbebornebytheVendor.
ThePurchasershall,subjecttotheRulesbeentitledtotheuseandenjoymentoftheRestrictedCommonArea,atalltimeduringexistenceoftheUnitanditscorrespondenceUnitPlanallowotherneighbouringUnitPlansOwners(forZones02to12)toenjoyanduseRrestrictedCommonAreassuchasmainroads,maingates,watertowerand/orwatersourcecreatedbytheDeveloperforcommonusagebywayofEasementand/orRightofawayprovidedthatsuchusageorenjoymentisnecessaryandisdoneinaccordancewiththestandardconditionssettoallusersformaintenanceofthecommon.
ThePurchasershalltakeallreasonablestepstokeeptheRestrictedCommonAreainaclean,hygienic,neatandattractiveconditionandshallnotusetheareainsuchamannerorforsuchpurposesasarelikelytoimpairthesafety,appearanceoramenityofotherUnit/sorotherpartsoftheCommonProperty.
IntheeventofthePurchaserfailingtosomaintaintheRestrictedCommonArea,theAssociationshallbeentitledtoremedythePurchaser’sfailureandtorecoverthereasonablecostofdoingsofromher.
ThePurchasershallallowtheAssociationaccesstoandcarryonanyactivityontheRestrictedCommonAreasforanypurposereasonablyrequiredformaintenanceoftheCommonPropertyortheUnit,asthecasemaybe.
JOINTPURCHASERS:
InsofarastheremaybemorethanonePurchaserintermsofthisAgreement,theliability/rightofeachofsuchPurchasershallbejointandseveral.
NOTICES:
AnynoticeordemandhereundermaybedulygiventoeitherPpartybyhanddelivery,e-mailorprepaidpostletterorotherspeediermodeofcommunicationproperlyaddressedtotheaddresseshereinabovewrittenandshallbeeffectualnotwithstandinganychangeofaddress/addressesandnotwithstandingthereturnofthenoticeordemandconcernedandsuchnoticeordemandshallbeeffectualforallpurposesSEVEN(07)calendardaysafterthepostingortransmissionorservicethereofandinprovingserviceitshallbesufficienttoprovethatthelettercontainingthenoticeordemandwasproperlystamped,addressedandputintothepost.EitherPpartywhowantstoexercisethisrightuponcanopttouseoneormoreoftheabovemodalitiessavethat,ineitherchoicetheremustbeatleasttwoofthesesaidthreecompulsorymodes(handdelivery,postaladdressande-mail).
THEASSOCIATION:
ThePurchaseragreesthat:
FromOccupationDateoraftercompletionofregistrationofthetransferofthePropertyinfavourofthePurchaser(whicheverisearlier)thePurchaserwillautomaticallybecomeamemberoftheAssociationandwillbeandremainboundbytheRulesforsolongasthePurchaseristheregisteredowner.
ShouldthePurchasersellorleasetheProperty,thePurchasermustnotifytheAssociationinwritingwithinfourteenFourteen(14)calendardaysbeforelease/sale/leaseandwillmakesurethathis/hersubsequentpurchaser/LesseelesseeismadefullyawareoftheexistenceoftheAssociationandthefactthatsuchsuccessivepurchaserwillautomaticallybecomeamemberoftheAssociationanddulyboundbytheexistingConstitutionandBy-Laws/RulesoftheAssociation.
WARRANTIES:
ThePurchasershall,withinFourteen14(14fourteen)calendardaysaftertheOccupationDate,notifytheVendorinwritingofalloranydefectsintheUnit,failingwhichthePurchasershallbedeemedtohaveacceptedtheUnitingoodorderandcondition.
ThePurchaserispurchasingthePropertywithfullandcompleteknowledgeinallaspectsoftheactualstateandconditionofthePropertyasdescribedunderAnnexure“F”(TypeoftheHouse,PlotsizeSizeandratioRatioincludingfinalchangesontheArchitecturalDesignpresentedtoandacceptedbythePurchaser)andshalltakethePropertyasitstandsontheOccupationDate.
ThePurchaserentersintothisAgreementsolelyasaresultofhis/herowninspectionoftheProjectLandwherethePropertyisgoingtobeerectedandreliancemadebythePurchaseronProjectpresentationsasdescribedintheregisteredUnitPlan(Annexure“A”)andnofurtherrepresentation,warrantyorotherassuranceeitherwrittenororalorimpliedmadetothePurchaserand/orhis/heremployees,agentsorrepresentativessaveasotherwiseprovidedherein.
ThePurchaseracknowledgesthatthissaleisbyUnitTitleandthatthePurchaserhasorwillhavesatisfiedhimself/herselfregardingallRules,regulations,conditionsandservitudeofwhatevernaturepertainingtothesale,ownershipanduseofthePropertybeforesigningthisAgreement.
IfanyworkofwhatsoevernatureisstillrequiredtobedonetotheUnit,thePurchasershallnotbeentitledtowithholdorabatepaymentofanyamountduetotheVendorortheAssociation.
InsofarastheVendorhasreceivedwarrantiesfromcontractors/nominatedsub-contractors/suppliersandadefectinthePropertymanifestsitself,theVendorshall,uponrequestbythePurchaser,cedeitsrightsinsuchwarrantytothePurchasertotheextentthatthetermsofsuchwarrantydonotprecludesuchcessionanduponcessionasaforementioned,thePurchasershallhavenofurtherclaimagainsttheVendorarisingfromsuchdefect.
ThePurchaseracknowledgesandagreesthathe/sheshallhavenoclaimagainsttheVendorinrespectofdefects,whetherlatent,patentorotherwiseintheCommonPropertyortheUnitsaveforthedefectsofwhichPurchasershallhavenotifiedtheVendorpursuanttoClause13.1hereinabove.
AllwarrantiesandundertakingsgivenbytheVendortothePurchaserintermsofthisAgreementarepersonaltothePurchaserwhoshallnotcede,assignormake-overhis/herrightsthereto.
