廣義而言，法律文體通常包含憲法、法律、行政法規(guī)、條令、條例、條約、協(xié)議書、協(xié)議書、契約、遺囑、文憑、各類證書、規(guī)程等。這些內容都以法律文書形式固定下來，即以文字形式固定下來。這類專用于法律文書語言，含有一定特點，所以稱為法律語言。法律語言含有權威性，它排斥多義與歧義。一些日常生活中使用普通用語在法律文體中有了更為明確概念含義。Infant：在法律上是指21歲或18歲以下人Demise：在日常英語中有許多意思，如死亡、終止、失敗、職位喪失等在法律上，它專指財產轉讓，或稱讓渡，或遺贈，如指死亡亦是專指導起財產或權力轉讓死亡3/62

每一個法律術語只能表示一個特定法律概念。法律術語詞義必須單一而固定。任何人在任何情況下必須對其有同一解釋。不但法律專門術語要求詞義單一，由民族共同語轉化而來法律詞匯也必須表示單一法律概念。有些民族共同語屬于多義詞，不過其中一個義項在法律語境中有特定法律含義，這種法律詞匯也被稱為人工法律術語。比如“assignment”在法律語境下表示“權利或財產轉讓”，而不表示在日慣用語中“任務”含義，“deed”不是日常所說“行為”而是指法律中“契約”。

為了加強法律文體莊重性與嚴厲性，在英語中還將平時極少見古詞語使用其中，普通這些詞語多為副詞，而且多以復合型副詞為主。比如：

另外還有一些以where開頭關系副詞型復合詞，如：whereupon據(jù)此whereby藉以wherefore為此wherewith用以wherein在那種情況下whereof關于那人（事，物）這些詞用來確指法律文本中某一方或協(xié)議雙方，使行文準確，從而提升法律文書正式性。10/62Rulesintranslatinglegalmaterials語言明確，條理清楚，行文嚴謹，符合規(guī)范格式。11/62

法律文書語言是強調指稱功效，即強調其外延性意義。

因為英漢兩種語言結構方式和表示方式上差異，在翻譯時既要注意保持原意又不使譯文過分艱澀難懂，讓譯文明確，又合乎法律文本規(guī)范，嚴謹而不死板。12/62

在句法方面，法律文體長句多，幾十個字、上百個字長句司空見慣。為了使話語嚴謹，使用各種附加語、修飾語、說明語，以至句法成份前后編插、枝杈橫生，句子結構膨脹，語法關系復雜化，又是讀起來不暢。行文中少用代詞，寧可重復名詞。

因為法律文件主要是下命令及做出要求，所以法律文件謂語動詞結構比較簡單，最常見是“應該……”，“能夠……”,“必須……”,普通采取英文中與之對應，也是英文法律英語慣用謂語動詞結構“should/shall/may+do/havedone/bedone”13/62對代詞嚴格限制法律英語中，指人或物詞往往重復，而不使用代詞，以防止代詞指代不明而引發(fā)不一樣了解與解釋。

(2)發(fā)貨前，制造廠應對貨物質量、規(guī)格、性能和數(shù)量/重量作精密全方面檢驗，出具檢驗證實書，并說明檢驗技術數(shù)據(jù)和結論。貨到目標港后，買方將申請中國商品檢驗局(以下簡稱商檢局)對貨物規(guī)格和數(shù)量/重量進行檢驗，如發(fā)覺貨物殘損或規(guī)格、數(shù)量與協(xié)議要求不符，除保險企業(yè)或輪船企業(yè)責任外，買方得在貨物抵達目標港后＿＿日內憑商檢局出具檢驗證書向賣方索賠或拒收該貨。在確保期內，如貨物因為設計或制造上缺點而發(fā)生損壞或品質和性能與協(xié)議要求不符時，買方將委托中國商檢局進行檢驗。

買方憑其委托檢驗機構出具檢驗證實書向賣方提出索賠（包含換貨），由此引發(fā)全部費用應由賣方負擔。若賣方收到上述索賠后______天未予回復，則認為賣方已接收買方索賠。

20.遲交貨與罰款:除協(xié)議第21條不可抗力原因外，如賣方不能按協(xié)議要求時間交貨，買方應同意在賣方支付罰款條件下延期交貨。罰款可由議付銀行在議付貨款時扣除，罰款率按每＿＿天收＿＿%，不足＿＿天時以＿＿天計算。但罰款不得超出遲交貨物總價____%。如賣方延期交貨超出協(xié)議要求＿＿天時，買方有權撤消協(xié)議，此時，賣方仍應不拖延地按上述要求向買方支付罰款。

買方有權對所以遭受其它損失向賣方提出索賠。54/6219.Claim：

凡在制造或裝船運輸過程中，因不可抗力致使賣方不能或推遲交貨時，賣方不負責任。在發(fā)生上述情況時，賣方應馬上通知買方，并在＿＿天內，給買方特快專遞一份由當?shù)孛耖g商會簽發(fā)事故證實書。在此情況下，賣方仍有責任采取一切必要辦法加緊交貨。如事故延續(xù)＿＿天以上，買方有權撤消協(xié)議。

22.爭議處理:

凡因本協(xié)議引發(fā)或與本協(xié)議相關任何爭議應協(xié)商處理。若協(xié)商不成，應提交中國國際經濟貿易仲裁委員會深圳分會，按照申請仲裁時該會現(xiàn)行有效仲裁規(guī)則進行仲裁。仲裁裁決是終局，對雙方都有約束力。
