9.乙方的責任:

10.爭議的解決

Arbitration

凡執(zhí)行本合同或與合同有關(guān)的爭議,由雙方友好協(xié)商解決,協(xié)商不成,提請中國有關(guān)經(jīng)濟合同仲裁機構(gòu)調(diào)解,調(diào)解不成,提請中國有關(guān)經(jīng)濟合同仲裁機關(guān)仲裁.

根據(jù)國家有關(guān)法律、法規(guī)和本市有關(guān)規(guī)定,甲、乙雙方在平等自愿的基礎(chǔ)上,經(jīng)友好協(xié)商一致,就甲方將其合法擁有的房屋出租給乙方使用,乙方承租使用甲方房屋事宜,訂立本合同.

一、建物地址

甲方將其所有的位于上海市區(qū)的房屋及其附屬設(shè)施在良好狀態(tài)下出租給乙方使用.

二、房屋面積

三、租賃期限

租賃期限自年月日起至年月日止,為期年,甲方應(yīng)于年

月日將房屋騰空并交付乙方使用.

四、租金

五、押金

1.為確保房屋及其附屬設(shè)施之安全與完好,及租賃期內(nèi)相關(guān)費用之如期結(jié)算,乙方同意于年

月日前支付給甲方押金元整,甲方在收到押金后予以書面簽

2.除合同另有約定外,甲方應(yīng)于租賃關(guān)系消除且乙方遷空、點清并付清所有應(yīng)付費用后的當天將押金全額無息退還乙方.

3.因乙方違反本合同的規(guī)定而產(chǎn)生的違約金、損壞賠償金和其它相關(guān)費用,甲方可在押金中抵扣,不足部分乙方必須在接到甲方付款通知后十日內(nèi)補足.

4.因甲方原因?qū)е乱曳綗o法在租賃期內(nèi)正常租用該物業(yè),甲方應(yīng)立即全額無息退還押金予乙方,且乙方有權(quán)追究甲方的違約責任.

六、甲方義務(wù)

1.甲方須按時將房屋及附屬設(shè)施〔詳見附件交付乙方使用.

2.房屋設(shè)施如因質(zhì)量原因、自然損耗、不可抗力或意外事件而受到損壞,甲方有修繕并承擔相關(guān)費用的責任.如甲方未在兩周內(nèi)修復(fù)該損壞物,以致乙方無法正常使用房屋設(shè)施,乙方有權(quán)終止該合約,并要求退還押金.

3.甲方應(yīng)確保出租的房屋享有出租的權(quán)利,如租賃期內(nèi)該房屋發(fā)生所有權(quán)全部或部分轉(zhuǎn)移、設(shè)定他項物權(quán)或其他影響乙方權(quán)益的事件,甲方應(yīng)保證所有權(quán)人、他項權(quán)利人或其他影響乙方權(quán)益的第三者能繼續(xù)遵守本合同所有條款,反之如乙方權(quán)益因此遭受損害,甲方應(yīng)負賠償責任.

4.甲方應(yīng)為本合同辦理登記備案手續(xù),如因未辦理相關(guān)登記手續(xù)致該合同無效或損害乙方租賃權(quán)利,應(yīng)由甲方負責賠償,且甲方應(yīng)承擔該合同相關(guān)的所有稅費.

七、乙方義務(wù)

1.乙方應(yīng)按合同的規(guī)定按時支付租金及押金.

2.乙方經(jīng)甲方同意,可在房屋內(nèi)添置設(shè)備.租賃期滿后,乙方將添置的設(shè)備搬走,并保證不影響房屋的完好及正常使用.

3.未經(jīng)甲方同意,乙方不得將承租的房屋轉(zhuǎn)租或分租,并愛護使用該房屋如因乙方過失或過錯致使房屋及設(shè)施受損,乙方應(yīng)承擔賠償責任.

4.乙方應(yīng)按本合同規(guī)定合法使用該房屋,不得擅自改變使用性質(zhì).乙方不得在該房屋內(nèi)存放危險物品.否則,如該房屋及附屬設(shè)施因此受損,乙方應(yīng)承擔全部責任.

5.乙方應(yīng)承擔租賃期內(nèi)的水、電、煤氣、電話費、收視費、一切因?qū)嶋H使用而產(chǎn)生的費用,并按單如期繳納.

八、合同終止及解除的規(guī)定

1.乙方在租賃期滿后如需續(xù)租,應(yīng)提前一個月通知甲方,由雙方另行協(xié)商續(xù)租事宜.在同等條件下乙方享有優(yōu)先續(xù)租權(quán).

2.租賃期滿后,乙方應(yīng)在日內(nèi)將房屋交還甲方；任何滯留物,如未取得甲方諒解,均視為放棄,任憑甲方處置,乙方?jīng)Q無異議.

3.本合同一經(jīng)雙方簽字后立即生效；未經(jīng)雙方同意,不得任意終止,如有未盡事宜,甲、乙雙方可另行協(xié)商.

九、違約及處理

1.甲、乙雙方任何一方在未征得對方諒解的情況下,不履行本合同規(guī)定條款,導(dǎo)致本合同中途終止,則視為該方違約,雙方同意違約金為元整,若違約金不足彌補無過錯方之損失,則違約方還需就不足部分支付賠償金.

2.若雙方在執(zhí)行本合同或與本合同有關(guān)的事情時發(fā)生爭議,應(yīng)首先友好協(xié)商；協(xié)商不成,可向有管轄權(quán)的人民法院提起訴訟.

3.本合同一經(jīng)雙方簽字后立即生效；未經(jīng)雙方同意,不得任意終止,如有未盡事宜,甲、乙雙方可另行協(xié)商.

十、其他

1.本合同附件是本合同的有效組成部分,與本合同具有同等法律效力.

2.本合同壹式貳份,甲、乙雙方各執(zhí)一份.

6.ObligationsofPartyA

2Incasethepremiseandattachedfacilitiesaredamagedbyqualityproblems,naturaldamagesoraccidents,PartyAwillberesponsibletorepairandpaytherelevantexpenses.IfPartyAcan‘trepairthedamagedfacilitiesintwoweekssothatPartyBcan’tusethefacilitiesnormally,PartyBhastherighttoterminatethecontractandPartyAmustreturnthedeposit.

3PartyAwillguaranteetheleaserightofthepremises……IncaseofoccurrenceofownershiptransferinwholeorinpartandotheraccidentsaffectingtherightofleasebypartyB,.partyAshallquarantcethatthenewowner,andotherassociated,thirdpartiesshallbeboundbythetermsofthiscontract.Otherwise,PartyAwillberesponsibletocompensatepartyB‘slosses.

7.ObligationsofPartyB

1PartyBwillpaytherentalandthedepositontime.

2PartyBmayaddnewfacilitieswithPartyA‘sapproval.Whenthiscontractexpires,PartyBmaytakeawaytheaddedfacilitieswithoutchangingthegoodconditionsofthepremisesfornormaluse.

3PartyBwillnottransfertheleaseofthepremisesorsubletitwithoutPartyA‘sapprovalandshouldtakegoodcareofthepremises.Otherwise,PartyBwillberesponsibletocompensateanydamagesofthepremisesandattachedfacilitiescausedbyitsfaultandnegligence.

4PartyBwillusethepremiseslawfullyaccordingtothiscontractwithoutchangingthenatureofthepremisesandstoringhazardousmaterialsinit.Otherwise,PartyBwillberesponsibleforthedamagescausedbyit

5PartyBwillbearthecostofutilitiessuchastelephonecommunications,water,electricityandgasontimeduringtheleaseterm.

8.Terminationanddissolutionofthecontract

1Withinonemonthbeforethecontractexpires,PartyBwillnotifyPartyAifitintendstoextendthelease.Inthissituation,twopartieswilldiscussmattersovertheextension.UnderthesametermsPartyBhastheprioritytoleasethepremises.

2Whentheleasetermexpires,PartyBwillreturnthepremisesandattachedfacilitiestoPartyAwithindays.AnybelongingsleftinitwithoutPartyA‘spreviousunderstandingwillbedeemedtobeabandonedbyPartyB.Inthissituation,PartyAhastherighttodisposeofitandPartyAwillraisenoobjection.

3Thiscontractwillbeeffectiveafterbeingsignedbybothparties.Anypartyhasnorighttoterminatethiscontractwithoutanotherparty‘sagreement.Anythingnotcoveredinthiscontractwillbediscussedseparatelybybothparties.

9.Breachofthecontract

1Duringtheleaseterm,anypartywhofailstofulfillanyarticleofthiscontractwithouttheotherparty‘sunderstandingwillbedeemedtobreachthecontract.Bothpartiesagreethatthedefaultfinewillbe.Incasethedefaultfineisnotsufficienttocoverthelosssufferedbythefaultlessparty,thepartyinbreachshouldpayadditionalcompensationtotheotherparty.

2Bothpartieswillsolvethedisputesarisingfromexecutionofthecontractorinconnectionwiththecontractthroughfriendlyconsultation.Incasetheagreementcannotbereached,anypartymaysummitthedisputetothecourtthathasthejurisdictionoverthematter.

IncasepartyBbreachesthiscontract,partyAhasrighttodeductthedefaultfine,compensationfordamageoranyotherexpensesfromthedeposit.Incasethedepositisnotsufficienttocoversuchitems,PartyBshouldpaytheinsufficiencywithintendaysafterreceivingthewrittennoticeofpaymentfromPartyA.六、甲方義務(wù)ObligationsofPartyA1.甲方須按時將房屋及附屬設(shè)施〔詳見附件交付乙方使用.

PartyAwillprovidethepremisesandattachedfacilities<seetheappendixoffurniturelistfordetail>onscheduletoPartyBforusing.2.房屋設(shè)施如因質(zhì)量原因、自然損耗或災(zāi)害而受到損壞,甲方有修繕并承擔相關(guān)費用的責任.

Incasethepremiseandattachedfacilitiesaredamagedbyqualityproblems,naturaldamagesordisasters,PartyAwillberesponsibletorepairandpaytherelevantexpenses.3.甲方應(yīng)確保出租的房屋享有出租的權(quán)利,反之如乙方權(quán)益因此遭受損害,甲方應(yīng)負賠償責任.

PartyAwillguaranteetheleaserightofthepremises.Otherwise,PartyAwillberesponsibletocompensatePartyB'slosses.七、乙方義務(wù)ObligationsofPartyB1.乙方應(yīng)按合同的規(guī)定按時支付定金、租金及保證金.

PartyBwillpaytherental,thedepositandotherexpensesontime.2.乙方經(jīng)甲方同意,可在房屋內(nèi)添置設(shè)備.租賃期滿后,乙方將添置的設(shè)備搬走,并保證不影響房屋的完好及正常使用.

PartyBmaydecoratethepremisesandaddnewfacilitieswithPartyA'sapproval.Whenthiscontractexpires,PartyBmaytakeawaytheaddedfacilitieswhichareremovablewithoutchangingthegoodconditionsofthepremisesfornormaluse.3.未經(jīng)甲方同意,乙方不得將承租的房屋轉(zhuǎn)租或分租,并愛護使用該房屋如因乙方過失或過錯致使房屋及設(shè)施受損,乙方應(yīng)承擔賠償責任.

PartyBwillnottransfertheleaseofthepremisesorsubletitwithoutPartyA'sapprovalandshouldtakegoodcareofthepremises.Otherwise,PartyBwillberesponsibletocompensateanydamagesofthepremisesandattachedfacilitiescausedbyitsfaultandnegligence.4.乙方應(yīng)按本合同規(guī)定合法使用該房屋,不得擅自改變使用性質(zhì).乙方不得在該房屋內(nèi)存放危險物品.否則,如該房屋及附屬設(shè)施因此受損,乙方應(yīng)承擔全部責任.

PartyBwillusethepremiseslawfullyaccordingtothiscontractwithoutchangingthenatureofthepremisesandstoringhazardousmaterialsinit.Otherwise,PartyBwillberesponsibleforthedamagescausedbyit5.乙方應(yīng)承擔租賃期內(nèi)的水、電、煤氣、電訊、收視費、等一切因?qū)嶋H使用而產(chǎn)生的費用,并按單如期繳納.

PartyBwillbearthecostofutilitiessuchascommunications,water,electricity,gas,managementfeeetc.ontimeduringtheleaseterm.八、合同終止及解除的規(guī)定Terminationanddissolutionofthecontract1.乙方在租賃期滿后如需退租或續(xù)租,應(yīng)提前兩個月通知甲方,由雙方另行協(xié)商退租或續(xù)租事宜.在同等條件下乙方享有優(yōu)先續(xù)租權(quán).
