Timenotonlyallowsyoutoseethroughothers,butalsoallowsyoutorecognizeyourself.簡樸易用輕享辦公（頁眉可刪）英文版技術(shù)服務(wù)協(xié)議ContractNo.:________________________.DateofSignature:____________________.PlaceofSignature:____________________._x0019__x0019__x0019_ThisContractismadeandenteredintothroughfriendlynegotiationbyandbetweenChina____________________(hereinafterreferredtoas“Client”),asoneparty,and____________________(hereinafterreferredtoas“Consultant”),astheotherparty,concerningthetechnicalconsultancyserviceof__________,underthefollowingtermsandconditions:Article1ContentsofTechnicalConsultancyService_x0019__x0019__x0019_1.1WhereasClientdesirestoobtainthetechnicalconsultancyserviceoffromConsultantandConsultanthasagreedtoperformsuchservices._x0019__x0019__x0019_1.2TheScopeofTechnicalServicesisdefinedinAppendix1._x0019__x0019__x0019_1.3TheTimeSchedulefortheServicesisshowninAppendix2._x0019__x0019__x0019_1.4TheManningScheduleisdescribedinAppendix3._x0019__x0019__x0019_1.5ConsultantshallcompletetheServiceswithin__________monthsfromtheEffectiveDateofthisContractandfurnishthefinaltechnicalservicereport,includingdrawings,designingdocuments,allkindsofstandardsandphotos,within____months.Consultantshallkeepaware,freeofcharge,Clientofthelatestdevelopmentofsimilarprojectsandanyprogressmadeinordertoimprovethedesigningoftheproject.Article2BothPartiesResponsibilityandLiability_x0019__x0019__x0019_2.1ClientshallfurnishtoConsultantthepertinentdata,technicalservicereports,mapsandinformationavailabletohimandshallgivetoConsultantthereasonableassistancenecessaryforcarryingoutofhisduties.ParticularlyClientshallnominateageneralrepresentativewhoshallbeavailableatreasonabletime._x0019__x0019__x0019_2.2ClientshallassistConsultantwiththeresponsibleauthoritiesforobtainingvisas,workpermitsandotherdocumentsrequiredbyConsultanttoenterthecountryandtohaveaccesstotheSiteoftheProject.TheaboveexpensesshallbebornebyConsultant._x0019__x0019__x0019_2.3Consultantshallfurnishasufficientnumberofcompetentpersonneltoperformitsobligationhereunder,inadditiontothosepersonnelspecificallylistedinAppendix3.AllpersonnelemployedbyConsultantincarryingouttheworkshallbeexclusivelyConsultantsresponsibility,andConsultantshallholdClientharmlessfromanyclaimsofanykindbyConsultantspersonnelarisingoutofanyactsbyConsultantoritspersonnelinconnectionwiththeworkperformedhereunder._x0019__x0019__x0019_2.4ConsultantshallprovideClientallthetechnicaltechnicalservicereportsandrelevantdocumentationwithintheScopeofTechnicalServicesandwithintheTimeScheduleoftheTimeSchedulefortheServices._x0019__x0019__x0019_2.5ConsultantshallassistClientSpersonnelinhiscountryinobtainingvisasandinarranginglodgings.HotelandboardingexpensesshallbebornebyClient.ConsultantshallsupplytoClientSpersonnelofficespaceandnecessaryfacilitiesaswellastransportation._x0019__x0019__x0019_2.6ConsultantshallberesponsibleforandshallindemnifyClientandhisemployeeinrespectofinjurytopersonordamagetopropertyoccurringinconnectionwiththeservices,totheextentthatsuchdamageorinjurydirectlyresultsfromnegligenceofConsultantspersonnelwhileengagedinactivitiesunderthisContract.ConsultantshallbeliableonlytotheworkunderthisContract._x0019_2.7AnyandallliabilityofConsultantwithrespecttothisContractshallbelimitedtotheTotalContractPricereceivedbyConsultantforhisprofessionservicesandshallterminateuponexpirationofthewarrantyperiodsetforthinArticle7.3.Article3PriceandPayment3.1Thetotalcontractpriceis__________(say__________________only)in________(currency).Thebreakdownpricesoftheabovementionedtotalcontractpriceareasfollows:ContractPriceforItem1:______(say____________only)in________(currency);ContractPriceforItem2:______(say____________only)in________(currency);ContractPriceforItem3:______(say____________only)in________(currency);ContractPriceforItem4:______(say____________only)in________(currency).3.2ThetotalcontractpricewillincludealltheserviceandtechnologyprovidedbyConsultant.Thetotalcontractpriceshallbefirmandfixedandshallnotfluctuatewithanyinflation.ThetotalcontractpriceshallincludeallchargesandexpensesincurredbyConsultantinperforminghisobligationsbothinhisowncountryandinthePeoplesRepublicofChinaandincludestheexpensesincurredinsendingtheTechnicalDocumentationtoClientsofficebyallkindsofforms.IntheeventofForceMajeureasdefinedintheContract,thetotalcontractpriceshallbereadjustedthroughfriendlynegotiationsbetweentheparties.IfClientrequiresservicesnotcontemplatedintheScopeofServicesthepartiesshallfriendlydiscussanamendmenttothetotalcontractprice.Anysuchamendmentshallbeinwritingcountersignedbybothparties.ThisdocumentshallthenformintegralpartoftheContract.3.3AllpaymentstobemadebyClienttoConsultantunderthepresentContractshallbemadebytelegraphictransfer.IncaseofanypaymentbyClient,thepaymentshallbeeffectedthrough__________inChinato_________fortheaccountofConsultant.InconsiderationfortheservicesprovidedbyConsultanthereunder,ClientshalleffectthepaymenttoConsultantinaccordancewiththefollowingmannerandpercentage:3.3.1_______percent(________%)ofthetotalcontractpr ciprocalavoidanceofdoubletaxationandthepreventionoffiscalevasionwithrespecttotaxesonincomeshallbebornebyConsultant.Clientislegallyobligedtowithhold,asawithholdingagent,theamountoftaxesprorataeachtaxablepaymentunderContractandpaythemtotherelevantChinesetaxauthorities.AfterreceivingthetaxreceiptsissuedbytherelevantChinesetaxauthoritiesfortheaforesaidwithholdingtaxes,ClientshallforwardthemtoConsultantwithoutunduedelay.6.3AlltaxesanddutiesarisingoutsidePRCinconnectionwithandintheexecutionofContractshallbebornebyConsultant.Article7Warranty7.1ConsultantwarrantsthathehastheexperienceandcapabilitytoefficientlyandexpeditiouslyperformtheservicesinasatisfactorymannerandthattheservicesperformedbyhimunderthisContractshallbeperformedbycompetentpersonnelinaccordancewithacceptedstandards.7.2IntheeventofafailureofConsultanttoprovidetoClientsatisfactoryserviceswithinthescopeofworkdescribedinAppendixatanytimeforanyreasonwithinthecontroloftheConsultant,ClientmaynotifyConsultantofsuchdissatisfaction.Consultantshallbeaffordedaperiodofdaystocorrectorremedythematter.ShouldConsultantwithinthetimeaffordedbyClientfailtocorrectorremedythemattertothesatisfactionofClient,allchargesshallceaseforthwithuntilsuchtimeasConsultantisabletoprovidesatisfactoryservicesinaccordancewiththeScopeofworkdescribedinAppendix.7.3ConsultantguaranteestoClientthatheshall,afterreceiptofnoticefromClient,promptlycorrectatnocostanyerrorsintheservicesarisingoutofthenegligentperformancethereof.Article8OwnershipofTechnicalServiceReports8.1FinalversionofthetechnicalservicereportsubmittedtoClientandallrelevantdatasuchasmaps,plansandsupportingmaterialcompiledinperformingtheScopeofServices,shallbethepropertyofClient.SuchmaterialsshallbesortedandindexedbyConsultantpriortotransmissiontoClient.8.2Consultantshallbepermittedtoretaincopiesthereof,providedhoweverthatsuchmaterials,includingthematerialfurnishedbyClientasstatedinArticle5ofthisContract,shallnotbeusedbyConsultantforpurposesnotrelatedwiththisProjectwithoutthepriorwrittenapprovalofClient.Article9Assignment9.1NeitherClientnorConsultantshallassignorsublettheirrightsorobligationshereunderwithoutthepriorwrittenconsentoftheotherparty.Article10Termination10.1If,duetotheresponsibilityofConsultant,thetechnicalservicereportshavenotbeendeliveredatdatesaccordingtothedeliveryschedulesasstipulatedinArticle4oftheContract,ConsultantshallbeobligedtopaytoClientpenaltyforsuchdelayindeliveryatthefollowingrates:A.______percent(____%)ofthetotalcontractpriceperweekforthefirstfourweeks;B._____percent(____%)ofthetotalcontractpriceperweekfromthefifthweektotheeighthweek;C.______percent(____%)ofthetotalcontractpriceperweekfromtheninthweekofdelay.Odddayslessthanone(1)weekshallbecountedasone(1)weekforcalculatingtheliquidateddamage.10.2Thetotalliquidateddamageforlatedeliveryshallnotexceed______percent(____%)ofthetotalcontractprice.PaymentoftheliquidateddamageforlatedeliveryshallnotreleaseConsultantfromitsobligationtodelivertechnicalservicereports.10.3Clientmay,withoutprejudicetoanyotherremedyforConsultantsfollowingbreachofContract,terminateContractinwholeorinpartbyawrittennoticeofdefaultsendtoConsultant,ifConsultantA.Failstodeliveranyoralloftechnicalservicereportswithin______(____)daysafterthescheduleddeliverydateasspecifiedinArticle1;orB.FailstomakethetechnicalservicereportsmeettheminimumlevelofAcceptanceStandardsasspecifiedinAppendix1.ConsultantshallrefundtoClientallthepaymentseffectedbyClienttoConsultantplusaninterestattherateof______percent(____%)perannumincaseofsuchatermination.10.4Eitherpartymay,withoutprejudicetoanyotherremedy,terminateContractinwholeorinpartbyawrittennoticesendtotheotherparty,iftheotherparty.A.failstoperformitsconfidentialityobligationunderContract;orB.failstoperformanyotherobligationsunderContractexceptminorpartsthereof,anddoesnotremedyforitsfailurewithinaperiodof______(____)daysuponreceiptofthewrittennoticeoraperiodagreeduponbetweentheparties;orC.becomesbankruptorinsolvent;orD.AffectedbyanyeventofForceMajeureformorethan______days.Article11ForceMajeure11.1ShouldeitherpartybepreventedfromperforminganyofitsobligationsunderContractduetoeventofForceMajeure,suchaswar,seriousfire,typhoon,earthquake,floodandanyothereventswhichcouldnotbeexpected,avoidedandovercome,theaffectedpartyshallnotifytheotherpartyofitsoccurrencebyfaxandsendbyregisteredairmailacertificateissuedbythecompetentauthoritiesoragencywithinfourteen(14)daysfollowingitsoccurrence.11.2TheaffectedpartyshallnotbeliableforanydelayorfailureinperforminganyorallofitsobligationsduetotheeventofForceMajeure.However,theaffectedpartyshallinformtheotherpartybyfaxtheterminationoreliminationoftheeventofForceMajeurewithoutdelay.11.3BothpartiesshallproceedwiththeirobligationsimmediatelyaftertheceaseoftheeventofForceMajeureorremovaloftheeffects.ThevalidityperiodofContractand/orthescheduledperiodforrelativeexecutionofContractshallbeextendedcorrespondingly.Article12Arbitration12.1AnydisputearisingfromorinconnectionwiththisContractshallbesubmittedtoChinaInternationalEconomicandTradeArbitrationCommission，ShenzhenCommissionforarbitrationinaccordancewiththeCommissionsarbitrationrulesineffectatthetimeofapplyingforarbitration.ThearbitralawardisfinalandbindinguponbothpartiesandtheapplicablelawisthemateriallawofP.R.C.12.2Notwithstandinganyreferencetoarbitration,bothPartiesshallcontinuetoperformtheirrespectiveobligationsundertheContractunlessotherwiseagreed.Article13LanguageandStandards13.1CorrespondanceexceptthisContractbetweenClientandConsultant,dataanddocumentsmadeavailablebyClienttoConsultantandthetechnicalservicereportsanddrawingspreparedbyConsultantshallbeintheEnglishlanguage.13.2Measuresshallbewritteninthemetricsystem.Article14GoverningLaw14.1Theconstruction,validityandperformanceofthisContractshallbegovernedbythelawsofthePeoplesRepublicofChina.Chapter15EffectivenessoftheContractandMiscellaneous15.1Bothpartiesshallmakeefforttoobtaintheapprovalfromtherespectiveauthorities,ifnecessary,withinthirty(30)daysafterContractissignedbytheauthorizedrepresentativesofthetwoparties.EitherPartyshallnotifyinwritingtheotherpartyoftheapprovaldate.Thelaterdateofapprova
