融資租賃三方合同(中英文對(duì)照)融資租賃三方合同CONTRACTSFORFINANCIALLEASEContractNo.:合同編號(hào):Date:簽約日期:Place:簽約地點(diǎn):TABLEOFCONTENTS目錄1.TheLeasedSubject(LeasedProperty)租賃標(biāo)的(租賃財(cái)產(chǎn))2.PurposeoftheSubject租賃物使用目的3.TermoftheTenancy租賃期限4.Rental租賃費(fèi)用5.Deposit保證金6.RightsandResponsibilitiesofLessor出租方的權(quán)利和義務(wù)7.ObligationsoftheSeller賣方的義務(wù)8.RightsandObligationsoftheLessee租賃方的權(quán)利和義務(wù)9.ForceMajeure不可抗力10.ApplicableLawandSettlementofDisputes適用法律和糾紛解決11.Language文本12.OtherArticles其他約定Lessor:出租人:Lessee:承租人:Seller:出售方:ThreepartiesherebyenterthisContractthroughdiscussionaccordingtothenationalrelatedregulation.三方當(dāng)事人根據(jù)國(guó)家有關(guān)規(guī)定,經(jīng)協(xié)商訂立本合同。1.TheLeasedSubject(LeasedProperty)租賃標(biāo)的(租賃財(cái)產(chǎn))Threepartiesagree,Lessorsuppliesmoneytobuy____whichisingoodconditionfromtheSeller,Lesseeagreestorentitaccordingtotheclausesspecifiedinthisagreement.三方同意,出租人提供資金向賣方購買條件良好的____,承租人同意按照本協(xié)議規(guī)定的條款進(jìn)行租賃。2.PurposeoftheSubject租賃物使用目的Thepartiesherebyconfirmthatthepurposeofthe___shallbeinaccordancewiththelawsandregulations.Lesseeshallnotusethe___forotherpurposes;otherwiseLessorhastherighttoreleasetheAgreementearlyandshallhavenoobligationstoreturnthedeposit.各在此確認(rèn),_____的用途應(yīng)符合法律法規(guī)的規(guī)定。承租人不得將_____用于其他目的,否則出租人有權(quán)提前解除協(xié)議,并無義務(wù)退還押金。3.TermoftheTenancy租賃期限Theleasetermwillbefrom____to____.LessorwillbuythesubjectfromtheSellerandprovideittoLesseeforusebefore____.租期將從____開始至____結(jié)束。出租人將向賣方購買標(biāo)的物,并在____日前提供給承租人使用。LesseemaypresentawrittenapplicationforextensionofthetermofthetenancythreemonthsbeforetheexpiryofthisAgreement.TermsandconditionsincludingtheamountofrentshallbenegotiatedbeforeextendingtheLeaseAgreement.IfthepartiescouldnotsigntheextensionagreementonemonthbeforetheexpiryofthisAgreement,LessorhastherighttoleasethesubjecttootherpartiesaftertheexpiryofthisAgreement.承租人可在本協(xié)議到期前三個(gè)月提出延長(zhǎng)租期的書面申請(qǐng)。在延長(zhǎng)租賃協(xié)議前,應(yīng)就包括租金數(shù)額在內(nèi)的條款和條件進(jìn)行協(xié)商。如果雙方在本協(xié)議到期前一個(gè)月未能簽署延期協(xié)議,出租人有權(quán)在本協(xié)議到期后將該標(biāo)的物出租給其他方。4.Rental租賃費(fèi)用TherentunderafinancialleasecontractshallbedeterminedaccordingtothemajorpartorwholeofthecostforpurchasingtheleasedpropertyandreasonableprofitsoftheLessor,exceptasotherwiseagreeduponbytheparties.融資租賃合同項(xiàng)下的租金應(yīng)根據(jù)購買租賃物的主要部分或全部費(fèi)用和出租人的合理利潤(rùn)確定,但當(dāng)事人另有約定的除外。(1)Amount:therentalwillbeUSD____permonth.LesseewillpaytherentaltoLessorintheformof____.(1)金額:租金為每月____美元。承租人將以____的方式向出租人支付租金。(2)Paymentofrentalwillbeoneinstallmenteverymonth.Thefirstinstallmentwillbepaidbefore____.Eachsuccessiveinstallmentwillbepaid____eachmonth.Theremittancefeewillbebornebytheremitter.Lessorwillissueawrittenreceiptafterreceivingthepayment.(2)租金的支付為每月一次的分期付款。第一期付款將在____。每一期都將在每個(gè)月的____。匯款費(fèi)用將由匯款人承擔(dān)。出租人在收到付款后將出具書面收據(jù)。(3)Incasetherentalismorethan10daysoverdue,PartyBwillpay0.5percentofmonthlyrentalasoverduefineeveryday,iftherentalbepaid15daysoverdue,Lesseewillbedeemedtohavebreachedthecontract.Inthissituation,LessorhastherighttotakebackthesubjectandtakeactionsagainstLessee’sbreach.(3)如果逾期10天以上,乙方每天支付月租金的0.5%作為逾期罰款,如果逾期15天,視為承租人違約。在這種情況下,出租方有權(quán)收回標(biāo)的物,并對(duì)承租方的違約行為采取相應(yīng)措施。5.Deposit保證金LesseeshallpaythedepositofperformingtheAgreementwhichamountstotherentofmonthsonthesignaturedateofthisAgreement.承租人應(yīng)支付履約保證金,其金額為本協(xié)議簽署之日的月租金。Lessorshallprovidethereceiptofthedepositintwodaysafterreceivingthedeposit.IncaseLesseebreachesthiscontract,Lessorhastherighttodeductthedefaultfine,andcompensationfordamageoranyotherexpensesfromthedeposit.Incasethedepositisnotsufficienttocoversuchitems,Lesseeshouldpaytheinsufficiencywithin10daysafterreceivingthewrittennoticeofpaymentfromLessor.出租方應(yīng)在收到押金后兩天內(nèi)提供押金收據(jù)。如果承租人違反本合同,出租人有權(quán)從押金中扣除違約金、損失賠償金或任何其他費(fèi)用。如果押金不足以支付這些費(fèi)用,承租方應(yīng)在收到出租方的書面付款通知后10天內(nèi)支付不足部分。6.RightsandResponsibilitiesofLessor出租方的權(quán)利和義務(wù)(1)WithregardtothesalescontractconcludedbytheLessorbasedontheLessees’choiceoftheSellerandtheleasedproperty,shallnotbemodifiedinrespectofthecontentsofthecontractrelatingtotheLesseewithoutthecon-sentoftheLessee.(1)對(duì)于出租人根據(jù)承租人對(duì)賣方和租賃物的選擇而簽訂的銷售合同,未經(jīng)承租人同意,不得對(duì)合同中與承租人有關(guān)的內(nèi)容進(jìn)行修改。(2)LessorisnotpermittedtotakebackthesubjectduringthetermoftheAgreementwithoutgoodreason.IfLessorwishestodoso,Lesseehastherighttoobject.(2)出租人在協(xié)議期內(nèi)不得無正當(dāng)理由收回標(biāo)的。如果出租人擬收回,承租人有權(quán)提出反對(duì)。(3)TheLessorshallbeentitledtotheownershipoftheleasedproperty.IncaseofbankruptcyoftheLessee,theleasedpropertydoesnotbelongtothebankruptproperty.(3)出租人有權(quán)獲得租賃財(cái)產(chǎn)的所有權(quán)。在承租人破產(chǎn)的情況下,租賃物不屬于破產(chǎn)財(cái)產(chǎn)。(4)Wheretheleasedpropertydoesnotconformtothetermsofthecontractorthepurposeofitsuse,theLessorshallnotbearanyliability,exceptthattheLesseedecidesonthechoiceoftheleasedpropertydependingontheskillsoftheLessorortheLessorinterfereswiththechoiceoftheleasedproperty.(4)如果租賃物不符合合同條款或使用目的,出租人不承擔(dān)任何責(zé)任,但承租人根據(jù)出租人的技能決定租賃物的選擇或出租人干預(yù)租賃物的選擇除外。(5)WheretheleasedpropertycausespersonalinjuryorpropertydamagetoathirdpartyduringtheperiodwhereintheLesseepossessestheleasedproperty,theLessordoesnotbearliability.(5)在承租人占有租賃物期間,租賃物對(duì)第三方造成人身傷害或財(cái)產(chǎn)損失的,出租人不承擔(dān)賠償責(zé)任。7.Obligati?onsoftheSeller銷售方的義務(wù)(1)ThesellershalldelivertheobjecttotheLesseeaccordingtothetermsofthecontract,(1)賣方應(yīng)根據(jù)合同條款向承租方交付租賃物。(2)Incasethesubjectandattachedfacilitiesaredamagedbyqualityproblems,naturaldamagesordisasters,theSellerwillberesponsibletorepairandpaytherelevantexpenses.(2)如果標(biāo)的物及附屬設(shè)施因質(zhì)量問題、自然損害或?yàn)?zāi)難而受損,賣方將負(fù)責(zé)修復(fù)并支付相關(guān)費(fèi)用。8.RightsandObligationsoftheLessee租賃方的權(quán)利和義務(wù)(1)TheLesseeshallenjoytherightsofabuyerrelatingtothereceivedobject.(1)承租人應(yīng)享有與所接收的物品有關(guān)的買方權(quán)利。(2)TheLessor,SellerandLesseemayagreethat,wherethesellerfailstoperformthesalescontract,theLesseeshallexercisetherighttoclaims.WheretheLesseeexercisestheright,theLessorshallprovideassistance.(2)出租人、出賣人和承租人約定,如果出賣人不履行銷售合同下,將由承租人行使索賠權(quán)利。承租人行使該權(quán)利時(shí),出租人應(yīng)提供協(xié)助。(3)TheLessorshallinsuretheLessee’spossessionanduseoftheleasedproperty.(3)出租人應(yīng)為承租人對(duì)租賃物的占有和使用提供保險(xiǎn)。(4)TheLesseeshallkeeptheleasedpropertyinaproperstorageanduseitproperly.TheLesseeshallperformtheobligationformaintenanceoftheleasedpropertyduringtheperiodwhereintheLesseepossessestheleasedproperty.(4)承租人應(yīng)將租賃物妥善保管,并妥善使用。在承租人占有租賃物期間,應(yīng)履行對(duì)租賃物的維護(hù)義務(wù)。9.ForceMajeure不可抗力ShouldeitherofthepartiestotheContractbypreventedfromexecutingtheContractbyforcemajeure,suchasearthquake,typhoon,flood,fireandwarandotherunforeseenevents,andtheirhappeningandconsequencesareunpreventableandunavoidable,thepreventedpartyshallnotifytheotherpartybycablewithoutanydelay,andwithin15daysthereafterprovidethedetailedinformationoftheeventsandavaliddocumentforevidenceissuedbytherelevantpublicnotaryorganizationforexplainingthereasonofitsin-abilitytoexecuteordelaytheexecutionofallorpartofthecontract.Bothpartiesshall,throughconsolations,decidewhethertoterminatetheContractortoexemptthepartofobligationsforimplementationoftheContractorwhethertodelaytheexecutionoftheContractaccordingtotheeffectsoftheeventsontheperformanceoftheContract.如果合同任何一方因不可抗力,如地震、臺(tái)風(fēng)、水災(zāi)、火災(zāi)、戰(zhàn)爭(zhēng)等不可預(yù)見的事件而無法執(zhí)行合同,且其發(fā)生和后果是不可預(yù)防和避免的,被阻止的一方應(yīng)立即用電報(bào)通知對(duì)方,并在此后15天內(nèi)提供事件的詳細(xì)資料和有關(guān)公證機(jī)構(gòu)出具的有效證明文件,說明其無法執(zhí)行或推遲執(zhí)行全部或部分合同的原因。雙方應(yīng)通過協(xié)商,根據(jù)事件對(duì)合同履行的影響,決定是否終止合同或免除執(zhí)行合同的部分義務(wù),或是否推遲合同的執(zhí)行。10.ApplicableLawandSettlementofDisputes適用法律和糾紛解決Theformationofthiscontract,itsvalidity,interpretation,executionandsettlementofdisputesshallbegovernedbythelawsofthePeople’sRepublicofChina.本合同的訂立、有效性、解釋、執(zhí)行和爭(zhēng)議的解決應(yīng)受中華人民共和國(guó)法律的約束。AnydisputearisingfromorinconnectionwiththisContractshallbesubmittedtoChinaInternationalEconomicandTradeArbitrationCommissionforarbitrationinaccordancewiththeCommission’sarbitrationrulesineffectatthetimeofapplyingforarbitration.ThearbitralawardisfinalandbindinguponbothpartiesandtheapplicablelawisthemateriallawofP.R.C.由本合同引起的或與本合同有關(guān)的任何爭(zhēng)議應(yīng)提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì),按照申請(qǐng)仲裁時(shí)有效的委員會(huì)仲裁規(guī)則進(jìn)行仲裁。仲裁裁決是最終的,對(duì)雙方都有約束力,適用的法律是中華人民共和國(guó)的實(shí)體法。Notwithstandinganyreferencetoarbitration,bothPartiesshallcontinuetoperformtheirrespectiveobligationsundertheContractunlessotherwiseagreed.Duringthearbitration,theContractshallbeexecutedcontinuallybybothpartiesexceptformattersindisputes.盡管有任何仲裁,除非另有約定,雙方應(yīng)繼續(xù)履行各自在合同中的義務(wù)。在仲裁期間,除有爭(zhēng)議的事項(xiàng)外,雙方應(yīng)繼續(xù)執(zhí)行本合同。11.Language文本TheContractshallbewritteninChineseversionandin______version.Bothlanguagesareequallyauthentic.Intheeventofanydiscrepancybetweenthetwoaforementionedversions,theChineseversionshallprevail.本合同應(yīng)以中文和____文字書寫。兩種語言具有同等效力。如果上述兩個(gè)版本之間出現(xiàn)任何差異,應(yīng)以中文版本為準(zhǔn)。12.OtherArticles其他約定(1)Afinancialleasecontractshallbeinwrittenform.(1)融資租賃合同應(yīng)采用書面形式。(2)WherethepartiesagreeinthecontractthattheleasedpropertyshallbelongtotheLesseeattheexpiryofthelease
