1、Word 國(guó)際土木工程建筑承包合同 part工general conditions 第一章 總則 definitions and interpretation 定義和釋義 1（1）in the contract，as hereinafter defined，the following words and expressions shall have the meanings hereby assigned to them，except where the context otherwise requires： 11在本合同中，除按上下文另具意義者外，下列詞語(yǔ)應(yīng)解釋如下： （a）employer

2、 means the party named in part ii who will employ the contractor and the legal successors in title to the employer，but not，except with the consent of the contractor，any assignee of the employer “業(yè)主”指其次章中所指定的雇用承包人的一方或其權(quán)利繼承人，但不包括業(yè)主的受讓人，經(jīng)承包人同意者除外。 （b）“contractor”means the person or persons，firm or comp

3、any whose tender has been accepted by the employerand includes the contractors personal representatives，successors and permitted assigns “承包人”指標(biāo)書(shū)已被業(yè)主接受的某個(gè)或某些人、商行或公司，包括其個(gè)人代表，繼承人和業(yè)經(jīng)認(rèn)可的受讓人。 （c）“engineer”means the engineer designated as such in part ii，or other engineer appointed from time to time by th

4、e employer and notified in writing to the contractor to act as engineer for the purposes of the contract in place of the engineer、designated “工程師”指其次章中所指定的工程師，或由業(yè)主隨時(shí)任命且書(shū)面通知承包人以代替指定工程師履行合同職責(zé)的其他工程師。 （d) engineers representative means any resident engineer or assistant of the engineer or any clerk of w

5、orks appointed from time to time by the employer or the engineer to perform the duties set forth in clause 2 hereof，whose authority shall be notified in writing to the contractor by the engineer “工程師代表”指任何常駐工程技術(shù)人員、工程師助手，或由業(yè)主或工程師隨時(shí)任命履行本合同其次條規(guī)定職責(zé)的任何工程現(xiàn)場(chǎng)監(jiān)督，其權(quán)限應(yīng)由工程師書(shū)面通告承包人。 （e) “works” shall include bot

6、h permanent works and temporary works， “工程”包括永久性工程和臨建工程。 （f）“contract” means the conditions of contract，specification，drawings，priced bill of quantities，schedule of rates and prices，if any，tender，letter of acceptance and the contract agreement，if completed “合同”指合同條款、技術(shù)規(guī)范、圖紙、標(biāo)價(jià)的建筑工程清單、單價(jià)和價(jià)格表（假如有），還可指

7、標(biāo)書(shū)、接受證書(shū)以及承包協(xié)議（如已完成）。 工程師代表對(duì)任何工程或材料的不予否認(rèn)，不得影響工程師此后否認(rèn)以及命令拆毀、移動(dòng)或拆除此種工程或材料的權(quán)力。 （b）if the contractor shall be dissatisfied by reason of any decisions of the engineers representative he shall be entitled to refer the matter to the engineer，who shall thereupon confirm，reverse or vary such decision 若承包人對(duì)工程師

8、代表的任何打算不滿足，其有權(quán)將此打算提交工程師確認(rèn)、取消或更改。 assignment and subletting 轉(zhuǎn)讓和分包 3the contractor shall not assign the contract or any part thereof，or any benefit or interest therein or thereunder，otherwise than by a charge in favor of the contractors bankers of any monies due or to become due under this contract，wi

9、thout the prior written consent of the employer 3未經(jīng)業(yè)主事前書(shū)面同意，承包人不得將合同或其他任何部分，或合同所規(guī)定或依合同而產(chǎn)生的任何收益轉(zhuǎn)讓，向承包人的開(kāi)戶銀行支付按本合同規(guī)定到期或即將到期的款項(xiàng)除外。 4the contractor shall not sub-let the whole of the worksexcept where otherwise provided by the contract，the contractor shall not sub-let any part of the works without the p

10、rior written consent of the engineer，which shall not be unreasonably withheld，and such consent，if given，shall not relieve the（contractor from any liability or obligation under the contract and he shall be responsible for the acts，defaults and neglects of any sub-contractor，his agents，servants or wor

11、kmen as fully as if they were the acts，defaults or neglects of the contractor，his agents servants or workmenprovided always that the provision of labor on a piecework basis shall not be deemed to be a subletting under the clause 4承包人不得轉(zhuǎn)包整個(gè)工程。除非合同另有規(guī)定，未經(jīng)工程師事前書(shū)面同意，承包人也不得分包工程的任何部分，但工程師不得無(wú)故不同意分包，一旦同意分包，

12、此種同意不得免去承包人所擔(dān)當(dāng)?shù)娜魏魏贤?guī)定的責(zé)任或義務(wù)，他必需對(duì)任何分包人、其代理人、雇員或工人的行為、不履行和過(guò)失負(fù)完全責(zé)任，猶如這些行為、不履行或過(guò)失是承包人、其代理人、雇員或工人所為。以計(jì)件方式供應(yīng)勞力不得視為是本條所規(guī)定的分包。 61圖紙由工程師獨(dú)自保管，但須向承包人免費(fèi)供應(yīng)兩份副本。承包人所需的其余副本由他自己制作并擔(dān)當(dāng)費(fèi)用。合同履行后，承包人須將全部合同圖紙歸還工程師。 （2）one copy of the drawings，furnished to the contractor as aforesaid，shall be kept by the contractor on th

13、e site and the same shall at all reasonable times be available for inspection and use by the engineer and the engineers representative and by any other person authorized by the engineer in writing 62承包人必需將按上述規(guī)定所提交的一份圖紙副本留在工地，讓工程師及其代表，或工程師書(shū)面授權(quán)的任何其他人在全部合理的時(shí)間內(nèi)查閱使用。 （3）the contractor shall give written

14、notice to the engineer whenever planning or progress of the works is likely to be delayed or disrupted unless any further drawing or order，including a direction，instruction or approval，is issued by the engineer within a reasonable timethe notice shall include details of the drawing or order required

15、 and of why and by when it is required and of any delay or disruption likely to be suffered if it is late 63如工程師不在適當(dāng)時(shí)間內(nèi)再供應(yīng)圖紙或命令，包括指示、指令或認(rèn)可，工程方案或進(jìn)展便可能被延誤或中斷時(shí)，承包人必需書(shū)面通知工程師。通知書(shū)中應(yīng)具體說(shuō)明所需的圖紙或命令，所需緣由和時(shí)間，以及假如不準(zhǔn)時(shí)供應(yīng)而可能造成的任何延誤和中斷。 （4）if，by reason of any failure or inability of the engineer to issue within a ti

16、me reasonable in all the circumstances any drawing or order requested by the contractor in accordance with subclause（3）of this clause，the contractor suffers delay and/or incurs costs then the engineer shall take such delay into account in determining any extension of time to which the contractor is

17、entitled under clause 44 hereof and the contractor shall be paid the amount of such cost as shall be reasonable 64如承包人按本條第3款規(guī)定索要圖紙或命令，由于工程師沒(méi)有或不能在合理時(shí)間內(nèi) 供應(yīng)，從而導(dǎo)致承包人誤工和左戊擔(dān)當(dāng)費(fèi)用，工程師必需考慮此種延誤，以打算是否按本合同第44條規(guī)定延長(zhǎng)承包人的工期，且只要有理由，承包人所擔(dān)當(dāng)?shù)拇朔N費(fèi)用必需得到補(bǔ)償。 7the engineer shall have full power and authority to supply to the

18、contractor from time to time, during the progress of the works，such further drawings and instructions as shall be necessary for the purpose of the proper and adequate execution and maintenance of the works the contractor shall carry out and be bound by the same 10為正常履行合同，在標(biāo)書(shū)中，承包人應(yīng)承諾按要求取得保險(xiǎn)公司或銀行的保單或保

19、函，或其他業(yè)經(jīng)認(rèn)可由承包人向業(yè)主負(fù)連帶責(zé)任的擔(dān)保，其數(shù)額不超過(guò)驗(yàn)收證書(shū)中規(guī)定的保單或保函額，上述保險(xiǎn)公司、銀行或擔(dān)保以及上述保單或保函的條款必需經(jīng)業(yè)主認(rèn)可。此種保單或保函的取得或擔(dān)保的供應(yīng)，以及締結(jié)保單或保函的費(fèi)用應(yīng)全部由承包人擔(dān)當(dāng)，合同中另有規(guī)定的除外。 11the employer shall have made available to the contractor with the tender documents such data on hydrological and sub-surface conditions as shall have been obtained by or

20、 on behalf of the employer from investigations undertaken relevant to the works and the tender shall be deemed to have been based on such data，but the contractor shall be responsible for his own interpretation thereof 11業(yè)主必需在招標(biāo)文件中向承包人供應(yīng)由業(yè)主或其代理人在進(jìn)行工程考察時(shí)獲得的水文及地質(zhì)狀況資料，標(biāo)書(shū)必需視為是基于此種資料所制定的，但承包人必需對(duì)資料的理解自行負(fù)責(zé)。

21、 the contractor shall also be deemed to have inspected and examined the site and its surroundings and information available in connection therewith and to have satisfied himself，so far as is practicable，before submitting his tender，as to the form and nature thereof，including the sub-surface conditio

22、ns，the hydrological and climatic conditions，the extent and nature of work and materials necessary for the completion of the works，the means of access to the site and the accommodation he may require and，in general，shall be deemed to have obtained all necessary information，subject as above mentioned，

23、as to risks，contingencies and all other circumstances which may influence of affect his tender 承包人也必需被視為已視察了工地及四周環(huán)境，查閱了可獲得的有關(guān)工地資料，且在提交標(biāo)書(shū)前，對(duì)一切實(shí)際狀況，從形式到性質(zhì)，包括地質(zhì)條件、水文和氣候條件、工程范圍和性質(zhì)以及完成工程所必需的材料、到達(dá)工地的交通工具和所需的食宿等感到滿足，總之，承包人必需被視為已得到全部必要的資料，除涉及上述狀況外，還涉及風(fēng)險(xiǎn)、意外大事及其他一切可能影響其投標(biāo)的狀況。 12the contractor shall be deemed

24、to have satisfied himself before tendering as to the correctness and sufficiency of his tender for the works and of the rates and prices stated in the priced bill of quantities and the schedule of rates and prices，if any，which tender rates and prices shall，except insofar as it is otherwise provided

25、in the contract，cover all his obligations under the contract and all matters and things necessary for the proper execution and maintenance of the worksif，however，during the execution of the works the contractor shall encounter physical conditions，other than climatic conditions on the site，or artific

26、ial obstructions，which conditions or obstructions could，in his opinion，not have been reasonably foreseen by an experienced contractor，the contractor shall forthwith give written notice thereof to the engineers representative and if，in the opinion of the engineer，such conditions or artificial obstruc

27、tions could not have been reasonably foreseen by an experienced contractor，then the engineer shall certify and the employer shall pay the additional cost to which the contractor shallhave been put by reason of such conditions，including the proper and reasonable cost 141中標(biāo)后，承包人得在其次部分條款規(guī)定的時(shí)間內(nèi)向工程師提交一份其

28、方案施工的程序方案，以征得工程師的認(rèn)可。承包人還得隨時(shí)應(yīng)工程師或其代表的要求，供應(yīng)一份承包人的施工方案支配和方法的說(shuō)明書(shū)，以供其參考。 （2）if at any time it should appear to the engineer that the actual progress of the works does not conform to the approved program referred to in sub-clause（1）of this clause，the contractorshall produce，at the request of the engineer，

29、a revised program showing the modifications to the approved program necessary to ensure completion of the works within the time for completion asdefined in clause 48 hereof 142不論何時(shí)，只要工程師發(fā)覺(jué)工程實(shí)際進(jìn)度與本條第1款規(guī)定的業(yè)經(jīng)認(rèn)可的方案不符，承包人必需應(yīng)工程師的要求，供應(yīng)一份修改方案，對(duì)原有的方案作必要的修正，以保證工程能在本合同第48條規(guī)定的期限內(nèi)完工。 （3）the submission to and app

30、roval by the engineer or engineers representative of such programs of the furnishing of such particulars shall not relieve the contractor of any of his duties or responsibilities under the contract 143承包人不得因向工程師或工程師代表提交或經(jīng)其認(rèn)可此種方案或因供應(yīng)此種細(xì)節(jié)，而被免除任何合同責(zé)任或義務(wù)。 15the contractor shall give or provide all neces

31、sary super- intendance during the execution of the works and as long thereafter as the engineer may consider necessary for the proper fulfilling of the contractors obligations under the contractthe contractor，or a competent and authorized agent or representative approved of in writing by the enginee

32、r，which approval may at any time be withdrawn，is to be constantly on the works and shall give his whole time to the super-intendance of the sameif such approval shall be withdrawn by the engineer，the contractor shall，as soon as is practicable，having regard to the requirement of replacing him as here

33、inafter mentioned，after receiving written noticeof suchwithdrawal，remove the agent from the works and shall not thereafter employ him again on the works in any capacity and shall replace him by another agent approved by the engineersuch authorized agent or representative shall receive，on behalf ofth

34、e contractor，directions and instructions from the engineer or， subject to the limitations of clause 2 hereof，the engineers representative 15在施工期間，以及其后在工程師認(rèn)為是為正常履行合同義務(wù)而必需時(shí)，承包人必需行使一切監(jiān)督權(quán)。承包人，或其經(jīng)工程師書(shū)面認(rèn)可的全權(quán)代理人或代表（此種認(rèn)可可隨時(shí)撤銷）應(yīng)當(dāng)隨時(shí)在工地，始終進(jìn)行監(jiān)督管理。如工程師撤銷對(duì)代理人的認(rèn)可，在接到書(shū)面撤銷通知后，承包人必需盡快依據(jù)撤換規(guī)定，將其撤離工地，且今后不得再在工地上以任何身份雇傭他（

35、她），且用另外一位經(jīng)工程師認(rèn)可的代理人予以替代。此種授權(quán)代理人或代表得代表承包人接受工程師的指令和指示，或按本合同第2條規(guī)定，接受工程師代表的指令和指示。 17承包人負(fù)責(zé)按工程師提交的書(shū)面參考原圖的有關(guān)點(diǎn)、線和面的規(guī)定，忠實(shí)恰當(dāng)?shù)剡M(jìn)行測(cè)定放線，如上所述，使工程的位置、水平、面積正確無(wú)誤，并校準(zhǔn)工程的各部分，且負(fù)責(zé)供應(yīng)與工程相關(guān)的全部必要工具、設(shè)備和勞力。在施工中，如任何時(shí)候在工程的位置、水平、面積或工程任何部分的校正消失差錯(cuò)，應(yīng)工程師或工程師代表的要求，承包人必需改正錯(cuò)誤以使工程師或工程師代表滿足，改正費(fèi)用由承包人自己擔(dān)當(dāng)，此種錯(cuò)誤是由工程師或工程師代表供應(yīng)的書(shū)面資料差錯(cuò)而導(dǎo)致的除外，在這種狀

36、況下，須由業(yè)主擔(dān)當(dāng)改正費(fèi)用。承包人不得因工程師或工程師代表對(duì)任何位置測(cè)定或任何線或任何水平面的檢查而免去確保其正確無(wú)誤的責(zé)任，承包人必需認(rèn)真愛(ài)護(hù)和保存工程位置測(cè)定中使用過(guò)的水準(zhǔn)點(diǎn)、觀測(cè)桿、測(cè)標(biāo)及其他物品。 18if，at any time during the execution of the works，the engineer shall require the contractor to make bore holes or to carry out exploratory excavation，such requirement shall be ordered in writing a

37、nd shall be deemed to be an addition ordered under the provisions of clause 51 hereof，unless a provisional sum in respect of such anticipated work shall have been included in the bill of quantities 18在施工中，工程師如在任何時(shí)間要求承包人鉆孔或進(jìn)行挖掘勘探，此種要求必需作成書(shū)面形式，且得視為是依據(jù)本合同第51條規(guī)定作出的附加命令，除非數(shù)量清單中已經(jīng)列有有關(guān)此種估計(jì)工程的備用款。 19the con

38、tractor shall in connection with the works provide and maintain at his own cost all lights，guards，fencing and watching when and where necessary or required by the engineer or the engineers representative，or by any duly constituted authority， for the protection of the works，or for the safety and conv

39、enience of the public or others 19凡有必要或應(yīng)工程師或工程師代表、或任何正式成立的工程管理處的要求，承包人必需自費(fèi)供應(yīng)和維護(hù)與工程有關(guān)的全部燈光、警衛(wèi)、柵欄和看護(hù)以保衛(wèi)工程，或保障公眾及其他人的平安和便利。 20（1）from the commencement of the works until the date stated in the certificate of completion for the whole of the works pursuant to clause 48 hereof the contractor shall take fu

40、ll responsibility for the care thereofprovided that if the engineer shall issue a certificate of completion in respect of any part of the permanent works the contractor shall cease to be liable for the care of that part of the permanent works from the date stated in the certificate of completion in

41、respect of that part and the responsibility for the care of that part shall pass to the employer provided further that the contractor shall take full responsibility for the care of any outstanding work which he shall have undertaken to finish during the period of maintenance until such outstanding w

42、ork is completedin case any damage，loss or injury shall happen to the works，or to any part thereof，from any cause whatsoever，save and except the excepted risks as defined in subclause（2）of this clause，while the contractor shall be responsible for the care thereof the contractor shall，at his own cost

43、，repair and make good the same，so that at completion the permanent works shall be in good order and condition and in conformity in every respect with the requirements of the contract and the engineers instructionsin the event of any such damage loss or injury happening from any of the excepted risks

44、，the contractor shall，if and to the extent required by the engineer and subject always to the provisions of clause 65 hereof， repair and make good the same as aforesaid at the cost of the employerthe contractor shall also be liable for any damage to the works occasioned by him in the course of any o

45、perations carried out by him for the purpose of completing any outstanding work or complying with his obligations under clauses 49 or 50 hereof 21承包人必需以業(yè)主和承包人的共同名義，為防止合同規(guī)定的應(yīng)由承包人負(fù)責(zé)的、除外風(fēng)險(xiǎn)外的一切損失或損害投保，不論其由什么緣由造成，此種投保不得削減本合同第20條所規(guī)定的承包人的義務(wù)和責(zé)任，業(yè)主和承包人的保險(xiǎn)除包括本合同第201條規(guī)定的期限外，還包括因維護(hù)期開(kāi)頭前發(fā)生的緣由而在維護(hù)期內(nèi)產(chǎn)生的損失或損害，以及承包人在

46、履行本合同第49或50條規(guī)定的義務(wù)而開(kāi)展任何工作期間所造成的任何損失或損害。投保項(xiàng)目包括： （a）the works for the time being executed to the estimated current contract value thereof，or such additional sum as may be specified in part 11 in the clause numbered 21，together with the materials for incorporation in the works at their replacement value

48、l shall not be unreasonably withheld, and the contractor shall , whenever required , produce to the engineer or the engineers representative the policy or policies of insurance and the receipts for payment of the current premiums 此種保險(xiǎn)必需在一保險(xiǎn)公司投放，條款得經(jīng)業(yè)主認(rèn)可，業(yè)主不得無(wú)故不同意投保，承包人必需隨時(shí)應(yīng)要求向工程師或工程師代表出示保險(xiǎn)單和支付現(xiàn)行保險(xiǎn)費(fèi)的

49、收據(jù)。 22（1）the contractor shall，except if and so far as the contract provides otherwise，indemnify the employer against all losses and claims in respect of injuries or damage to any person or material or physical damage to any property whatsoever which may arise out of or in consequence of the executio

50、n and maintenance of the works and against all claims，proceedings，damages，costs，charges and expenses whatsoever in respect of or in relation thereto except any compensation or damages for or with respect to： 221除合同另有規(guī)定外，承包人必需愛(ài)護(hù)業(yè)主不得因施工和工程維護(hù)而產(chǎn)生或?qū)е碌娜魏稳藛T損害、材料損失及財(cái)產(chǎn)損失而受任何損失和作任何賠償，且不因全部與之有關(guān)的任何索賠、訴訟、損害賠償金、訴

51、訟費(fèi)、開(kāi)支和費(fèi)用而受損失，對(duì)下列事項(xiàng)所作或與之有關(guān)的補(bǔ)償或損害賠償除外： （a）the permanent use or occupation of land by the works or any part thereof 工程或部分工程永久使用或占用土地； （b）the right of the employer to execute the works or any part thereof on，over，under in or through any land 業(yè)主在任何土地面上、上方、下面、里面或經(jīng)過(guò)部分施工或部分施工的權(quán)利； （c）injuries or damage to pe

52、rsons or property which are the unavoidable result of the execution or maintenance of the works in accordance with the contract 按合同規(guī)定施工或維護(hù)工程而不行避開(kāi)的人身?yè)p害或財(cái)產(chǎn)損失； （d）injuries or damage to persons or property resulting from any act or neglect of the employer，his agents，servants or other contractors，not being employed by the contractor，or for or in respect of any claims，proceedings，damages，costs，charges
