3、oPartyBisAustria;PartyBagreestobetheagentintheareamentionedaboveandundertakealltheobligationsunderthisContract.Article3CooperationModePartyAshallprovideenergyresourceselectricitypowersaving/conservationtechnologyproductsandPartyBshallberesponsibleforthepromotionandsalesoftheproducts:Theproductssuppl

11、rchaseofProductsandPaymentUponthedateonwhichthiscontractissigned,PartyBshallpaytoPartyA20thousandUSDascontractguaranteefund;PartyBshallcompletethepurchasetaskoffirstphase(100thousandUSD)withinninety(90)daysuponandfromthedateonwhichbothpartiessetthehandsandsealsonthiscontract.Withinhalfyear,PartyBsha

12、llcompletetheaccumulativetaskof_tenthousandUSD;withinoneyear,PartyBshallcompletetheaccumulativeannualtaskof_tenthousandUSD.Withinninety(90)daysuponandfromthedateonwhichthiscontractbecomeseffective,PartyBshallpurchasefromPartyAtheproductsofatleast100thousandUSD.Atthattime,thecontractguaranteefundofte

15、independentcontract.AfterthewrittenorderofPartyBisconfirmedbyPartyA,withinthree(3)daysuponandfromthereceiptoftheletterofconfirmationfromPartyA,PartyBshallpaytoPartyA30%ofthetotalpaymentforgoodsasadvancepayment;withinthree(3)daysbeforethedeliveryofthegoodsbyPartyA,PartyBshallpaytheremaining70%toParty

29、ofPartyB;2.ObligationsofPartyA2.1AfterPartyBcompletesthepurchasetaskofthefirstphase,PartyAshallissuetheagentlicenseandcertificatetomaintainthelegalrightofPartyBasdistributor.2.2PartyAshallprovidetoPartyBthemarketing,technologyandadvertisingdataandrelevantproductioncertificaterequiredforthesalesofthe

32、therighttoenjoythedistributionrightofthespecifiedproductsintheareaasspecifiedinArticletwoofthiscontract.3.2PartyBshallhavetherighttoenjoyalltherightsasspecifiedintherewardingclauseaccordingtothe2004MarketingPlanofGUANGZHOUOATECHNOLOGYCOMPANYLIMITED.4.ObligationsofPartyB4.1PartyBshallprovidethelegala

33、ndvalidbusinesslicensetoPartyAandstrictlyabidebytheindustrystandardandrelevantlawsandregulationsofthecountry,andoperateunderthelaws.4.2PartyBshallmaintaintheimageandreputationofPartyAanditsproducts.WiththeguidanceofPartyA,PartyBshallmakegoodsettlementofthecomplaintandrelevantserviceapplicationofthef
