1、倉儲物流協(xié)議此協(xié)議由下面所列明的甲乙雙方經(jīng)協(xié)商一致后于年月日簽訂.thisagreementissignedbythefollowingpartiesonafternegotiation.甲方：迅達(中國)電梯有限公司(上海市汶水路40號,XX72);partya:schindler(china)elevatorco.,ltd.(40wenshuiroad,shanghaiXX72);乙方：partyb:前言foreword甲方委托乙方按本協(xié)議約定的條件向甲方提供倉儲與物流服務，同時乙方也愿意按同樣條件接受甲方的委托.partyaentrustspartybtoprovidewarehousi

4、teandchargingstandarddetailedinappendixb.倉儲與物流服務是指附件1中描述的服務內(nèi)容.warehousingandlogisticsservicesrefertotheservicesdescribedinannex1.倉儲與物流服務條款指由甲方和乙方通過書面形式隨時確定的倉儲與物流業(yè)務標準操作流程；在本協(xié)議簽訂時,則為附錄a詳述的倉儲與物流業(yè)務標準操作流程.conditionsofwarehousingandlogisticsservicesmeansthestandardoperatingprocedureofwarehousingandlogisti

6、henon-exclusiveagentofstoragetoprovidewarehousingandlogisticsservicesforpartyaandtherelevantunitsdesignatedinwriting,andpartybacceptsthecommissionunderthesameconditions.3 協(xié)議有效期effectivedateofagreement本協(xié)議若無以下提前終止的情況，有效期從年月日至年月曰.雙方一致同意可于本協(xié)議正式生效前天左右開始試運行，試運行期間的一切事宜如操作形式，操作標準，費用，雙方的權(quán)利義務等均按本協(xié)議項下除本條外的各條款執(zhí)

9、fterminationinwritingtotheotherparty;or(c) theagreementofthetwopartiesisterminated.獨立承包方independentcontractor乙方為甲方的獨立承包人，本協(xié)議任何條款或附錄，附件，備忘錄等均不得影響這種關(guān)系或情況.乙方將按其實際需求為履行本協(xié)議雇傭其他單位或個人為其員工或分包商.雙方理解，這樣的單位或個人僅僅為乙方的員工或分包商，完全由乙方獨立雇傭，解雇，管理，控制,在任何情況下均不與甲方構(gòu)成中國法律所描述的雇傭關(guān)系且這樣的單位或個人與乙方間的任何糾紛，紛爭等均不得對甲方或本協(xié)議的實施產(chǎn)生任何負面影響.甲

11、theiractualneedsforimplementationofthisagreement.thetwopartiesunderstandthatsuchunitsorindividualsareonlytheemployeesorsub-contractorsofpartyb,andcanbeemployed,dismissed,managedandcontrolledbypartybindependently,andinanycase,theyhavenoemploymentrelationshipdescribedinchineselawswithpartya,andanydisp

12、utebetweensuchunitsorindividualswithpartyb,shallnotbringnegativeimpactstopartyaortotheimplementationoftheagreement.partyaisexemptedfromrelatedliability.partybmustchooseandsupervisetheseunitsandindividualswithreasonablecaution,holdfullyresponsiblefortheiractsandomissions.乙方必須隨時按甲方的要求向甲方提供乙方現(xiàn)有分包商的資料.p

14、5倉儲月艮務warehousingservices倉儲與物流服務的詳細描述請見附件1.如需擴展倉儲與物流服務范圍，雙方可隨時以書面形式修改附件1.5.1 pleaseseewarehousingandlogisticsservicesinannex1fordetail.fortheexpansionofwarehousingandlogisticsservicesrange,thetwosidesmayamendannex1inwritingatanytime.2/9乙方應按照附錄a規(guī)定的倉儲與物流業(yè)務標準操作流程履行倉儲與物流服務.5.2 partybshallfulf川thewarehou

15、singandlogisticsservicesbasedonthestandardoperatingprocedureofwarehousingandlogisticsstipulatedinappendixa.5.3 乙方向甲方承諾，乙方具備符合要求的專業(yè)技術(shù)及人員，設(shè)備，能按照倉儲與物流行業(yè)的最高標準和倉儲與物流服務條款向甲方提供能讓甲方滿意的一流專業(yè)倉儲與物流服務.具體而言包括但不限于5.4 partybmakescommitmenttopartyathattheyhaveprofessionaltechnology,personnelandequipmentwithspecified

17、箱裝箱，上海市內(nèi)貨運等的方式符合處理該類貨物時的行業(yè)慣例和附錄a詳述的倉儲與物流標準操作流程，二者間取標準較高者為準.(a) thewayofstorageandhandling,containerspacking,freightinshanghai,etc,partybadoptedisinamannerconsistentwiththeindustrypracticesofhandlingsuchgoods,andthestandardoperatingprocedureofwarehousingandlogisticsdetailedinappendixa,thehigherstanda

18、rdofthemprevails.(b)乙方應對所有貨物向甲方提供不間斷的報告，從接收貨物直到貨物正式移交給甲方指定的提貨單位.(b) partybshallprovidecontinuousreportsforallgoodstopartya,fromthereceiptofgoodstotheformaltransferofgoodstopartya”sdesignateddeliveryagent.如一旦發(fā)現(xiàn)貨物有損壞，乙方必須盡快采取以下行動：為受損貨物拍照；書面通知甲方；以及(111) 按照甲方的要求采取適當?shù)男袆?(c) ifthegoodsaredamaged,partybsha

20、providingwarehousingandlogisticsservices,partyashallpaythewarehousingandlogisticsexpensetopartybaccordingtothestipulationinappendixb.6.3 附錄b中列明的上海市內(nèi)運輸費，倉儲租用費費，集裝箱裝箱費，管理費用等將從本協(xié)議簽署之日起生效，此后在協(xié)議有效期內(nèi)固定不變.6.4 theexpensesoftransportinshanghai,warehouselease,containerspacking,managementetc.listedinappendixbw

22、forthewarehousingandlogisticsexpense(includingvat)inrmb.7.3 倉儲與物流費發(fā)票應在每月末開具.7.4 theinvoiceofwarehousingandlogisticsexpenseshallbeissuedattheendofeachmonth.7.5 甲方將在收到發(fā)票后30天內(nèi)付款給乙方.7.6 partyawillpaytopartybwithin30daysafterreceiptofinvoice.8 履約審核reviewandverificationofagreementperformance8.1 雙方應在本協(xié)議生效后

23、盡快各委派一名代表按下文約定審核倉儲與物流服務的履行情況.8.2 thetwopartiesshallappointrepresentativesforeachassoonaspossibletoverifythefulfillmentofwarehousingandlogisticsservicesafterthedateofentryintoforceofagreement.8.3 上述代表將定期或最多每季度不超過一次對乙方在上一季度提供倉儲與物流服務的情況進行審核.8.4 therepresentativesabove-mentionedwillreviewthesituationofw

24、arehousingandlogisticsservicesoflastquartertermlyoratmostonceaquarterprovidedbypartyb.2016全新精品資料-全新公文范文-全程指導寫作法家原創(chuàng)9 /23合同記錄contactrecord9.1 在本協(xié)議的有效期內(nèi)，乙方必須對其成本和倉儲與物流服務的履行情況保存精確，單獨的記錄(“合同記錄”).在甲方合理提前通知的情況下，乙方應根據(jù)甲方的要求在正常的工作時間內(nèi)于乙方辦公場所提供包括合同記錄的帳簿和財務記錄供甲方或其代表審查.甲方有權(quán)復制相關(guān)的合同記錄.9.2 withinthevalidityofagreeme

25、nt,partybmustmakeaccurateandseparaterecords(acontractrecord")fortheircostsandtheperformanceofwarehousingandlogisticsservices.inconditionsofreasonableadvancenoticefrompartya,partybshallprovidetheaccountbookofacontractrecord”andfinancialrecordforpartyaortheirrepresentativestocheck,basedontherequi

26、rementsofpartya,innormalworkinghoursandinpartyb“sofficeplace.partyahasrighttocopytheacontractrecord”related.9.3 乙方必須在相關(guān)的倉儲與物流服務履行完畢后的7年內(nèi)或在本協(xié)議的有效期內(nèi)(以先到之日為準)自費保存相關(guān)的合同記錄.9.4 partybmustkeeptheacontractrecord“relatedatownexpensewithin7yearsafterfulfilmentofwarehousingandlogisticsservicesorwithinthevalidi

27、tyofagreement(thedaycomingfirstprevails)10 保密義務confidentialityliability2016全新精品資料-全新公文范文-全程指導寫作法家原創(chuàng)10/2310.1 協(xié)議雙方都不得在本協(xié)議有效期內(nèi)或終止后將協(xié)議本身或其內(nèi)容向任何第三方透露(但不包括有權(quán)知曉本協(xié)議的審計員或政府機構(gòu))10.2 thetwopartiesshallnotdisclosetheagreementoritscontentstoanythirdpartywithinthevalidityofagreementoraftertermination(excepttoaudi

28、torsorgovernmentalorganizationsthathaverighttoknowthisagreement).4/910.3 任何一方都不得在協(xié)議期內(nèi)或協(xié)議終止后，在沒有事先得到對方的書面許可前，將與對方或其相關(guān)單位的經(jīng)營情況有關(guān)的內(nèi)容透露給任何第三方，除非：(a)依據(jù)協(xié)議履行自身義務所需；或(b)必要的審計；或(c)根據(jù)法律或者其他法定機構(gòu)的要求.10.4 withoutpriorwrittenpermissionfromtheotherparty,anypartyshallnotdisclosethecontentsrelatedtooperatingsituation

30、ligation11.1 乙方應依據(jù)本協(xié)議條款和倉儲與物流服務條款履行協(xié)議責任和義務.11.2 partybshallfulfiltheliabilitiesandobligationsofagreementaccordingtotheprovisionsofagreementandtheconditionsofwarehousingandlogisticsservices.11.3 乙方將對其在根據(jù)協(xié)議為甲方提供倉儲與物流服務過程中的各種行為，疏忽，欺詐，懈怠，或在進行貨運和/或倉儲和/或集裝箱裝箱和/或交付甲方貨物等一切按本協(xié)議附錄1中所詳述的操作，或在按本協(xié)議提供倉儲與物流服務的過程中引

31、起的各種損失(包括但不限于成本，支出和律師費等),如：罰金，訴訟，法律程序，損失，債務，索賠,損害獨自承擔責任，并確保甲方及其相關(guān)單位和他們的董事，管理人員，其他員工和代理不會因此承擔任何責任.11.4 partybshalltaketheliabilitiesindependentlyforallactsduringprovidingwarehousingandlogisticsservicesforpartyaaccordingtoagreement,suchasnegligence,fraud,slack,oralloperationsdetailedinannex1,suchasfre

33、lastheirdirectors,managers,agentsandotheremployeestobearnoresponsibilityforthese.11.5 以下情況下，乙方?jīng)]有責任；但乙方應在可能的情況下盡力協(xié)助甲方對有關(guān)單位和個人的索賠：(a)由直接與甲方有契約關(guān)系的第三方(如起重公司或倉庫人員)在向甲方提供倉儲與物流服務(或倉儲與物流服務的一部分內(nèi)容)的過程中的作為和不作為；(b)由甲方或其書面委托的人員(除乙方外)的作為或不作為；(c)非乙方負責的包裝或暖頭，標簽和編號的標記有誤或不足；(d)由甲方或其書面指定人員操作，裝卸,堆放貨物；以及非乙方的故意或過失引起的火災.1

36、sonneldesignatedbypartyaorinwriting;and(e) thefiresarenotcausedbypartybintentionallyornegligently.12 insurance保險12.1 乙方承諾，已對在運輸，集裝箱裝箱過程中發(fā)生的任何可能的風險購買了相應的保險，且乙方對在本協(xié)議項下服務內(nèi)容的操作過程中因一切可歸咎于乙方的原因而造成的損失承擔全部責任.12.2 partybpromisesthattheyhaveboughttherelatedinsuranceforanypossibleriskintransport,containerpacki

37、ngintheprocessofpacking,andpartybwillbearfullresponsibilitiesforalllossescausedbypartybintheprocessofoperationofservicesundertheagreement.12.3 為保持產(chǎn)品的最佳倉儲，乙方承諾在任何時候，對在倉儲過程中發(fā)生的風險購買了5萬元以下的保險(甲方已經(jīng)為所存放的物品投保財產(chǎn)險，免賠額為人民幣五萬元整)，但由于乙方的責任而造成甲方在倉庫內(nèi)所存放物的損失，乙方應該承擔全部責任.12.4 inordertokeeptheproductsinthebeststorage,

39、sebecauseoftheresponsibilityofpartyb.13 終止條款terminationconditions13.1 在不損害當事方享有的其他權(quán)利的前提下，如任何一方在任何時候出現(xiàn)下述情況：13.2 withoutprejudicetotheenjoymentofotherrightsofparties,underthepremiseofanypartyatanytimehavingfollowingsituations:(a)無論是由于自行申請還是在法院的強制執(zhí)行情況下，一方處于無力清償債務或破產(chǎn)清算的狀態(tài)；或(b)為債權(quán)人或因無力清償債務而對其資產(chǎn)進行分配；或(c)如

40、果一方嚴重違背協(xié)議條款，并在收到未違約方要求補救的書面通知后30天內(nèi)未進行補救；那么未違約方可以在書面通知違約方后立即終止協(xié)議.(a) becauseofapplicationonitsowninitiativeorundercourtcompulsoryexecution,thepartyisinthestateofinsolvencyorbankruptcyliquidation;or(b) tobethecreditororallocateitsassetsforinsolvency;or2016全新精品資料-全新公文范文-全程指導寫作法家原創(chuàng)15/23(c) ifthepartyser

41、iouslyviolatedtheconditionsofagreement,anddidnoremedywithin30daysafterreceiptofwrittennoticeforremedyfromtheobservantparty;6/9therefore,afternotifyingthebreachingpartyinwriting,theobservantpartymayterminatetheagreementimmediately.13.3 按協(xié)議約定終止本協(xié)議不會影響協(xié)議任何一方在協(xié)議終止前享有的權(quán)利和承擔的義務.例如，如甲方或甲方的代理在協(xié)議終止前指定乙方必須提供倉

42、儲與物流服務，即使協(xié)議在該服務尚未履行完前就已經(jīng)終止，乙方仍必須完成剩下的任務；與此同時，甲方將根據(jù)協(xié)議條款支付該服務的費用.13.4 theterminationoftheagreementaccordingtoagreementregulationwillnotaffectanypartytoenjoytherightsandbeartheobligationsbeforethetermination.forexample,ifpartyaorpartya“sagentdesignatespartybtoprovidewarehousingandlogisticsservicesbefor

44、ofhandlingtheeventsofforcemajeureprevails.15遵守法律和迅達行為準則乙方在此向甲方承諾，其擁有履行本協(xié)議所需的一切證照，資格和權(quán)利,并且其所有行為均完全符合有關(guān)的法律法規(guī)和行業(yè)標準.供方同時確認，其已閱讀并完全理解附錄d中的迅達行為準則與迅達供應商行為準則，并承諾在執(zhí)行本協(xié)議以及接觸甲方的員工和客戶的過程中的一切行為均完全符合迅達的行為準則與供應商行為準則.partybmakesacommitmentherebytopartyathat,alllicenses,qualificationsandrightsnecessaryfortheimplemen

45、tationofthisagreement,andalltheactionsarefullyconformedtotherelevantlawsandregulationsaswellasindustrystandards.thesupplierconfirms,atthesametime,thattheyhavereadandfullyunderstoodthecodeofconductofschindlerandthecodeofconductforschindlersupplierinappendixd,andpromisethatalltheactionsofimplementatio
