1、聘請(qǐng)常年法律參謀合同EmploymentofLong-termLegalCounselingAgreement本合同書雙方當(dāng)事人為：BothpartiesinvolvedinthisAgreementareasfollows:甲方：地址：法定代表人：乙方：地址：法定代表人：茲本合同之甲方同意聘請(qǐng)乙方作為常年法律參謀,并乙方同意接受甲方聘請(qǐng)?zhí)峁┏Ｄ攴蓞⒅\效勞,雙方經(jīng)過(guò)協(xié)商之后,同意協(xié)議如下：ThisAgreementisherebytocertifythatPartyAagreestoassignPartyBasitslong-termlawconsultant,andPartyBiswill

2、ingtoaccepttheconsignmentandprovidelong-termlegalcounselingservice.Afterfriendlynegotiation,thepartiesagreedtothefollowingtermsandconditionsontheconsigning.第一條：意向及總那么Article1Intentionandgeneralprinciple甲方同意聘請(qǐng)乙方作為常年法律參謀,乙方同意接受甲方聘請(qǐng)?zhí)峁┏Ｄ攴蓞⒅\效勞.PartyAagreestoassignPartyBasitslong-termlawconsultant,andPar

3、tyBiswillingtoaccepttheconsignmentandprovidelong-termlegalcounselingservice.第二條：參謀律師Article2Consultinglawyers乙方指派以黃海栩律師為主體的參謀組擔(dān)任甲方之根據(jù)第一條所確定常年法律參謀.同時(shí),因應(yīng)甲方的法律事務(wù),乙方得以安排相應(yīng)的專業(yè)律師為甲方提供法律效勞,維護(hù)甲方合法權(quán)益,甲方接受乙方指派之律師.ThePartyBassignLawyerHaixiangHuangasleadingroleintheconsultantgrouptoprovidelong-termcounselingse

4、rviceforPartyAasArticle1mentioned.Meanwhile,shouldPartyArequest,PartyBshallarrangecorrespondingprofessionallawyertoprovidelegalcounselingserviceonlegalaffairsofPartyA,protectlegalrightsofPartyA,andPartyAshallbewillingtoacceptthelawyersdesignatedbyPartyB.第三條：聘期Article3Employmentperiods雙方同意聘期為一年,自2021

5、年6月21_日始至2021年6月20日止.BothpartiesagreethattheconsignmentperiodistwoyearsfromJune21,2021toJune20,2021.Theagreementwillterminateafterexpiration.第四條：乙方責(zé)任Article4ResponsibilityofPartyB1:為甲方的日常業(yè)務(wù)提供法律咨詢及法律依據(jù),具體包括：PartyBshallprovidePartyAwithlegalcounselingandlegalrationaleforitscurrentundertaking,specifica

6、llyincluding:A為甲方起草、審查、修改各類法律文書；Draft,reviewandamendanykindoflegaldocuments.R根據(jù)甲方的經(jīng)濟(jì)、商務(wù)談判,為甲方完善各類常用格式合同；ImproveandperfectanykindofcommonstandardformofcontractonthebasisofPartyA'seconomicandcommercialnegotiation.G為甲方事務(wù)出具法律意見(jiàn)書、律師函、律師聲明等文件；ProvidePartyAwithlegaladvisorypaper,lawyerlsetterandcounsel

7、ingstatementsandotherdocumentsforPartyAsaffairs.DX為甲方的經(jīng)營(yíng)治理決策提供法律論證；ProvidePartyAwithlegalargumentforPartyAsmanagerialdecision-making.E、為甲方進(jìn)行必要的法律輔導(dǎo)；ProvidePartyAwithnecessarylegaltutoring.F、協(xié)助甲方處理勞資關(guān)系.AssistPartyAwithLaborRelations.2：根據(jù)甲方的另外授權(quán)委托代理甲方參加各類糾紛的協(xié)商、調(diào)解、訴訟、仲裁；AccordingtoPartyAsadditionalauth

8、orizationdelegation,PartyBshallparticipateinnegotiation,mediation,litigationandarbitrationofallkindsofdisputes.3：根據(jù)甲方的另外授權(quán)委托對(duì)甲方重大商務(wù)行為或者工程提供法律效勞.AccordingtoPartyAsadditionalauthorizationdelegation,PartyBshallprovidelegalservicestoPartyAsmajorbusinessactivitiesorprojects.第五條：甲方責(zé)任Article 5 Responsibili

9、tyofPartyA1、甲方應(yīng)當(dāng)如實(shí)向乙方提供有關(guān)文件、資料以及反映其他情況,甲方必須保證所提供文件、資料、信息的真實(shí)性,如因甲方成心或過(guò)失向乙方提供虛假文件、資料,或成心隱瞞有關(guān)事實(shí),而導(dǎo)致乙方無(wú)法作出正確的口頭或者書面法律意見(jiàn),由此所造成的損失,均由甲方承當(dāng).PartyAshallprovidePartyBwithrelevantauthenticfiles,documentsandreflectothersituationsaccurately.PartyAshallensurethatallfiles,documentsandinformationareinaccordancewith

10、thefact.IfPartyAhasintentionallyornegligentlyprovidedfalsedocuments,information,orintentionallyconcealedthefactstoPartyB,whichcausesPartyBunabletomakecorrectoralorwrittenlegaladvice,PartyAshallbearthecorrespondingeconomiclossbyitself.2、為乙方開展工作提供必要的條件與協(xié)助.ProvidePartyBwithnecessaryconditionsandassista

11、nceforPartyBdoingitsjob.3、如期如數(shù)支付法律參謀費(fèi)用及應(yīng)由甲方承當(dāng)?shù)姆墒聞?wù)開支.Shallmakepaymentoflegaladviserfeeasscheduledandinexactamount,andbearthelegalexpensesincurredbyPartyA.第六條：法律參謀費(fèi)用Article 6 Legalconsultantfees1、甲乙雙方同意,就本次甲方聘請(qǐng)乙方作為常年法律參謀,甲方應(yīng)當(dāng)向乙方支付的參謀費(fèi)用為每年人民幣壹萬(wàn)肆仟元(RMB14,000).InthisAgreement,PartyAagreestoassignPartyBa

12、sitslong-termlawconsultant,bothpartiesagreethatPartyAshallpayRMB14,000toPartyBfortheconsultantfeeeveryyear.2、前述年度費(fèi)用自本合同書簽署之時(shí)給付.TheaforementionedannualfeeshallbepaidfromthetimeofsigningofthisAgreement.3、如乙方應(yīng)甲方的要求指派律師參與訴訟、仲裁或者重大商務(wù)行為、工程提供法律效勞時(shí),乙方根據(jù)律師協(xié)會(huì)有關(guān)規(guī)定另行優(yōu)惠收費(fèi).IfPartyBisrequiredtoassignalawyertoparti

13、cipateinlitigation,arbitrationormajorbusinessconductandprojectandprovidelegalservices,PartyBshallchargeextrafeesaccordingtotherelevantpreferentialprovisionsofthebarassociation.4、發(fā)律師函、調(diào)查取證等涉及行政機(jī)關(guān)收費(fèi)、快遞費(fèi)用,由甲方承擔(dān).PartyAshallbearthefeesonsendinglawyersletter,investigatingandcollectingevidenceandanyotherpa

14、ymentsrelatedtoadministrationfeesandpostalfees,etc.5、甲方每筆單項(xiàng)業(yè)務(wù)費(fèi)用,由雙方根據(jù)實(shí)際情況另行協(xié)商.TheindividualbusinessexpensesofPartyAshallbenegotiatedseparatelybythetwopartiesaccordingtotheactualsituation.第七條：有關(guān)乙方失責(zé)任任Article 7 NegligenceliabilityofPartyB乙方應(yīng)對(duì)其所出具的書面法律意見(jiàn)的正確性負(fù)責(zé),如因乙方出具的書面法律意見(jiàn)缺乏正確性而導(dǎo)致甲方?jīng)Q策失誤,乙方對(duì)由此所造成的甲方損失,

15、應(yīng)當(dāng)承當(dāng)賠償責(zé)任.PartyBshallberesponsiblefortheaccuracyofthewrittenlegaladvicethatitprovides.PartyBshallbeliableforanylosscausedbyPartyBduetothelackofcorrectnessinPartyA'swrittenlegalopinion.乙方律師在擔(dān)任法律參謀期間,如未能勤勉盡責(zé)、嚴(yán)密謹(jǐn)慎地忠實(shí)履行責(zé)任的,甲方有權(quán)提前終止本合同.PartyBshallhavetherighttoterminatethiscontractinadvanceifhefailsto

16、performhisdutieswithduediligence,strictandprudentfulfillmentofhisdutiesduringhistermofofficeaslegaladviser.第八條：乙方工作地點(diǎn)及方式Article 8 PartyBsworklocationandmodeofwork乙方律師的辦公地點(diǎn)在乙方法定地址辦公.PartyB'sofficeislocatedatthelegaladdressofPartyB.第九條：保密責(zé)任Article 9 Confidentialityobligations雙方同意,在本次工程進(jìn)行過(guò)程中,除非權(quán)利方同

17、意,任何一方不得將由于履行本合同所獲得的關(guān)于對(duì)方的任何信息、資料、數(shù)據(jù)或者其他商業(yè)秘密,以及甲方從乙方獲得的且乙方已經(jīng)作出聲明限制使用的任何專業(yè)意見(jiàn)(無(wú)論書面的或者口頭的)對(duì)無(wú)關(guān)人員泄露.Intheprocessofthisproject,bothpartiesreachanagreementthat,withouttheconsentfromeitherparty,neitherpartyshalldisclosetoanythirdPartyorirrespectivepersonsanyinformation,documents,dataorotherbusinesssecretsofe

18、itherpartygainedduringtheexecutionoftheagreements.Meanwhileanykindofprofessionaladvice(oralorwritten)thatPartyBhasmadeastatementrequestingrestrictedusagesof,whichisobtainedbyPartyA,shallnotbedisclosedtoanyirrespectivepersons.第十條：爭(zhēng)議解決及補(bǔ)充協(xié)議Article 10 Disputesettlementandsupplementaryagreement甲乙雙方在執(zhí)行本合

19、同書過(guò)程中產(chǎn)生爭(zhēng)議時(shí),雙方應(yīng)當(dāng)友好協(xié)商,協(xié)商不成時(shí)任何一方均可以向中山市有管轄權(quán)的法院提起訴訟解決.Anydisputesarisingduringtheexecutionoftheagreementshallbesettledthroughfriendlynegotiationbybothparties.Ifthedisputesarenotsettledbymutualagreement,eitherpartymayinstitutelegalproceedingsinthecourtsinZhongshan,whichownsjurisdictionovertheparties.甲乙雙方在執(zhí)行本合同書過(guò)程中如果發(fā)現(xiàn)需要對(duì)有關(guān)事項(xiàng)作出補(bǔ)充時(shí),在征得雙方同意之后可以訂立補(bǔ)充協(xié)議.IntheprocessofcarryingoutthisAgreement,ifitisfoundthattherelevantmattersneedtobeadded,asupplementaryagreementmaybemadewiththeconsentofbothparties.第十一條：生效及其他Article 11 Validityandothers本合同的訂立、生效、解釋、履行、
