獨家銷售代理合同新

2、本協(xié)議授予的獨家代理權，甲方不得宜接或間接地通過乙方以外的渠道向客銷售或出口第三條所歹0商品，乙方不得在銷、分銷或促銷與上述商品相競爭或類似的產品，也不得招攬或接受以到以外地區(qū)銷售為目的的訂單，在本協(xié)議有效期內，甲方應將其收到的來自他商家的有關代理產品的詢價或訂單轉交給乙方。8、商情報告為使甲方充分了解現(xiàn)行市場情況，乙方承擔至少每季度一次或在必要時隨時向甲方提供市場報告，內容包括與本協(xié)議代理商品的進口與銷售有關的地方規(guī)卓的變動、當?shù)厥袌霭l(fā)展趨勢以及買方對甲方按協(xié)議供應的貨物的品質、包裝、價格等方面的意見。乙方還承擔向甲方提供其他供應商類似商品的報價和廣告資料9、廣告及費用乙方負擔本協(xié)議有效期內

4、或包含丁中的任何專利商標、版權或其他工業(yè)產權為甲方獨家擁有。一旦發(fā)現(xiàn)侵權,乙方應立即通知甲方并協(xié)助甲方采取措施保護甲方權益。13、協(xié)議有效期14、協(xié)議的終止在本協(xié)議有效期內，如果一方被發(fā)現(xiàn)違背協(xié)議條款，另一方有權終止協(xié)議。15、 不可抗力由丁水災、火災、地震、干旱、戰(zhàn)爭或協(xié)議一方無法預見、控制、避免和克服的其他事件導致不能或暫時不能全部或部分履行本協(xié)議，該方不負責任。但是，受不可抗力事件影響的一方須盡快將發(fā)生的事件通知另一方，并在不可抗力事件發(fā)生15天內將有關機構出具的不可抗力事件的證明寄交對方。16、 仲裁對雙方都有因履行本協(xié)議所發(fā)生的一切爭議應通過友好協(xié)商解決。如協(xié)商不能解決爭議，則應將爭
