2、本協(xié)議授予的獨(dú)家代理權(quán)，甲方不得宜接或間接地通過乙方以外的渠道向客銷售或出口第三條所歹0商品，乙方不得在銷、分銷或促銷與上述商品相競爭或類似的產(chǎn)品，也不得招攬或接受以到以外地區(qū)銷售為目的的訂單，在本協(xié)議有效期內(nèi)，甲方應(yīng)將其收到的來自他商家的有關(guān)代理產(chǎn)品的詢價(jià)或訂單轉(zhuǎn)交給乙方。8、商情報(bào)告為使甲方充分了解現(xiàn)行市場情況，乙方承擔(dān)至少每季度一次或在必要時(shí)隨時(shí)向甲方提供市場報(bào)告，內(nèi)容包括與本協(xié)議代理商品的進(jìn)口與銷售有關(guān)的地方規(guī)卓的變動(dòng)、當(dāng)?shù)厥袌霭l(fā)展趨勢以及買方對(duì)甲方按協(xié)議供應(yīng)的貨物的品質(zhì)、包裝、價(jià)格等方面的意見。乙方還承擔(dān)向甲方提供其他供應(yīng)商類似商品的報(bào)價(jià)和廣告資料9、廣告及費(fèi)用乙方負(fù)擔(dān)本協(xié)議有效期內(nèi)

4、或包含丁中的任何專利商標(biāo)、版權(quán)或其他工業(yè)產(chǎn)權(quán)為甲方獨(dú)家擁有。一旦發(fā)現(xiàn)侵權(quán),乙方應(yīng)立即通知甲方并協(xié)助甲方采取措施保護(hù)甲方權(quán)益。13、協(xié)議有效期14、協(xié)議的終止在本協(xié)議有效期內(nèi)，如果一方被發(fā)現(xiàn)違背協(xié)議條款，另一方有權(quán)終止協(xié)議。15、 不可抗力由丁水災(zāi)、火災(zāi)、地震、干旱、戰(zhàn)爭或協(xié)議一方無法預(yù)見、控制、避免和克服的其他事件導(dǎo)致不能或暫時(shí)不能全部或部分履行本協(xié)議，該方不負(fù)責(zé)任。但是，受不可抗力事件影響的一方須盡快將發(fā)生的事件通知另一方，并在不可抗力事件發(fā)生15天內(nèi)將有關(guān)機(jī)構(gòu)出具的不可抗力事件的證明寄交對(duì)方。16、 仲裁對(duì)雙方都有因履行本協(xié)議所發(fā)生的一切爭議應(yīng)通過友好協(xié)商解決。如協(xié)商不能解決爭議，則應(yīng)將爭
