4、2InaccordancewiththeCooperativeVentureLawandotherrelevantChineselawsandregulations,bothpartiesoftheCooperativeventureagreetosetupCooperativeventurelimitedliabilitycompany(hereinafterreferredtoastheCooperativeventurecompany).Article 3ThenameoftheCooperativeventurecompanyisLimitedLiabilityCompany.Then

5、ameinforeignlanguageis.Thelegaladdressofthejointventurecompanyisatstreet(city)province.Article 4AllactivitiesoftheCooperativeventurecompanyshallbegovernedbythelaws,decreesandpertinentrulesandregulationsofthePeople'sRepublicofChina.Article 5TheorganizationformoftheCooperativeventurecompanyisalimi

6、tedliabilitycompany.Theprofits,risksandlossesoftheCooperativeventurecompanyshallbesharedbythepartiesaccordingtotherelevantprovisionsthereafter.Chapter4ThePurpose,ScopeandScaleofProductionandBusinessArticle 6ThegoalsofthepartiestotheCooperativeventurearetoenhanceeconomiccooperationtechnicalexchanges,

7、toimprovetheproductquality,developnewproducts,andgainacompetitivepositionintheworldmarketinqualityandpricebyadoptingadvancedandappropriatetechnologyandscientificmanagementmethods,soastoraiseeconomicresultsandensuresatisfactoryeconomicbenefitsforeachCooperator.(Note:Thisarticleshallbewrittenaccording

8、tothespecificsituationsinthecontract).Article 7TheproductiveandbusinessscopeoftheCooperativeventurecompanyistoproduceproducts;providemaintenanceserviceafterthesaleoftheproducts;studyanddevelopnewproducts.(Note:Itshallbewritteninthecontractaccordingtothespecificconditions).Article 8Theproductionscale

12、artyBshallconcludeaseparatecontracttobeapartofthismaincontract).Article 12TherighttotheuseofsitecontributedbyPartyAshallbefortheuseofthecooperativeventurecompanywithindaysaftertheapprovalofthecontract.ThecashcontributedbyPartyBshallbepaidininstallment.Eachinstallmentshallbeasfollows:(Note:itshallbew

13、rittenaccordingtotheconcreteconditions).Article 13ThemachinesandequipmentcontributedbyPartyBasinvestmentshallmeettheneedsofthecooperativeventurecompany,andshallbecarriedtotheChineseportdaysbeforethecompletionofthepremisesconstruction.Chapter6ResponsibilitiesofEachPartytotheJointVentureArticle14Party

14、AandPartyBshallberespectivelyresponsibleforthefollowingmatters:ResponsibilitiesofPartyA:Handlingofapplicationsforapproval,registration,businesslicenseandothermattersconcerningtheestablishmentofthecooperativeventurecompanyfromrelevantdepartmentsinchargeofChina;Processingtheapplicationfortherighttothe

15、useofasitetotheauthorityinchargeoftheland;Organizingthedesignandconstructionofthepremisesandotherengineeringfacilitiesofthecooperativeventurecompany;AssistingPartyBtoprocessimportcustomsdeclarationforthemachineryandequipmentcontributedbyPartyBasinvestmentandarrangingthetransportationwithintheChinese

16、territory;Assistingthecooperativeventurecompanyinpurchasingorleasingequipment,materials,rawmaterials,articlesforofficeuse,meansoftransportationandcommunicationfacilitiesetc.;Assistingthecooperativeventurecompanyincontactingandsettlingthefundamentalfacilitiessuchaswater,electricity,transportationetc.

17、;AssistingthecooperativeventureinrecruitingChinesemanagementpersonnel,technicalpersonnel,workersandotherpersonnelneeded;Assistingforeignworkersandstaffinapplyingforentryvisas,worklicensesandhandlingtheirtravelprocedures;Responsibleforhandlingothermattersentrustedbythecooperativeventurecompany.Respon

18、sibilitiesofPartyB:Providingcash,machineryandequipment,industrialproperty.inaccordancewiththeprovisionsofArticle11andArticle12,13,andresponsibleforshippingcapitalgoodssuchasmachineryandequipmentetc.contributedasinvestmenttoaChineseport;Handlingthemattersentrustedbythecooperativeventurecompany,suchas

19、selectingandpurchasingmachineryandequipmentoutsideChina,etc.;Providingnecessarytechnicalpersonnelforinstalling,testingandtrialproductionoftheequipmentaswellasthetechnicalpersonnelforproductionandinspecting;Trainingthetechnicalpersonnelandworkersofthecooperativeventurecompany;IncasePartyBisthelicenso

20、r,itshallberesponsibleforthestableproductionofqualifiedproductsofthecooperativeventurecompanyinthelightofdesigncapacitywithinthespecifiedperiod;Responsibleforothermattersentrustedbythejointventurecompany.(note:Itshallbewrittenaccordingtothespecificsituation).Chapter7DistributionofProfitsandRepayment

21、forPartyB'sInvestmentArticle15Thecooperativeventurecompanyshalldistributeitsprofitsinaccordancewiththefollowingprocedureafterpayingtheincometax:%asallocationsforreservefunds,expansionfunds,welfarefundsandbonusesforstaffandworkersofthecooperativeventurecompany;%asrepaymentforPartyB'sInvestmen

25、 in China may be handled byThecooperativeventure'sproductstobetheChinesematerialsandcommercialdepartmentsbymeansofagencyorexclusivesales,ormaybesoldbythecooperativeventurecompanydirectly.Article 19InordertoprovidemaintenanceservicetotheproductssoldbothinChinaorabroad,thecooperativeventurecompany

26、maysetupsalesbranchesformaintenanceservicebothinChinaorabroadsubjecttotheapprovaloftherelevantChinesedepartment.Chapter9TheBoardofDirectorsArticle 20Thedateofregistrationofthecooperativeventurecompanyshallbethedateoftheestablishmentoftheboardofdirectorsofthecooperativeventurecompany.Article 21Theboa

27、rdofdirectorsiscomposedofdirectors,ofwhichshallbeappointedbyPartyA,byPartyB.ThechairmanoftheboardshallbeappointedbyPartyA,anditsvice-chairmanbyPartyB.Thetermofofficeforthedirectors,chairmanandvice-chairmansfouryears,theirtermofofficemayberenewedifcontinuouslyappointedbytherelevantparty.Article 22The

28、highestauthorityofthecooperativeventurecompanyshallbeitsboardofdirectors.Itshalldecideallmajorissuesconcerningthecooperativeventurecompany.Unanimousapprovalshallberequiredforanydecisionsconcerningmajorissues.Asforothermatters,approvalbymajorityorasimplemajorityshallberequired.(Note:Itshallbeexplicit

29、lysetoutinthecontract).Article 23Thechairmanoftheboardisthelegalrepresentativeofthecooperativeventurecompany.Shouldthechairmanbeunabletoexercisehisresponsibilitiesforanyreason,heshallauthorizethevice-chairmanoranyotherdirectorstorepresentthejointventurecompanytemporarily.Article 24Theboardofdirector

30、sshallconveneatleastonemeetingeveryyear.Themeetingshallbecalledandpresidedoverbythechairmanoftheboard.Thechairmanmayconveneaninterimmeetingbasedonaproposalmadebymorethanonethirdofthetotalnumberofdirectors.Minutesofthemeetingsshallbeplacedonfile.Article 25Themeetingshallbevalidonlywhenmorethantwothir

31、dsofthetotalnumberofdirectorsattend.Incaseofabsence,thedirectorshallentrustanotherpersontoattendandvoteforhimwithatrustdeed.Chapter10BusinessManagementOfficeArticle 26Thecooperativeventurecompanyshallestablishamanagementofficewhichshallberesponsibleforitsdailymanagement.Themanagementofficeshallhavea

32、generalmanager,appointedbyParty,deputygeneralmanagers,byParty;byParty.Thegeneralmanageranddeputygeneralmanagerswhosetermsofofficeisyearsshallbeappointedbytheboardofdirectors.Article 27Theresponsibilityofthegeneralmanageristocarryoutthedecisionsoftheboardandorganizeandconductthedailymanagementoftheco

33、operativeventurecompany.Thedeputygeneralmanagersshallassistthegeneralmanagerinhiswork.Article 28Thegeneralmanagershallreporttotheboardofdirectorstheoperationconditionsofthecooperativecompanyeverythreemonths,andmakeafinancialreporteverysixmonths.Article 29Incaseofgraftorseriousderelictionofdutyonthep

34、artofthegeneralmanageranddeputygeneralmanagers,theboardofdirectorsshallhavethepowertodismissthematanytime.Chapter11LaborManagementArticle 30Laborcontractcoveringtherecruitment,employment,dismissalandresignation,wages,laborinsurance,welfare,rewards,penaltiesandothermattersconcerningthestaffandworkers

35、ofthecooperativeventurecompanyshallbedrawnupbetweenthecooperativeventurecompanyandthetradeunionofthecooperativeventurecompanyasawhole,ortheindividualemployeesinthecooperativeventurecompanyasawholeorindividualemployeesinaccordancewiththelawofthePeople'sRepublicofChinaonChinese-ForeignCooperativeJ

36、ointVentures.Thelaborcontractsshall,afterbeingsigned,befiledwiththelocallabormanagementdepartment.Article 31Theappointmentofhigh-rankingadministrativepersonnelrecommendedbybothparties,theirsalaries,socialinsurance,welfareandthestandardoftravellingexpensesetc.shallbedecidedbythemeetingoftheboardofdir

37、ectors.Chapter12Taxes,FinanceandAuditArticle 32ThecooperativeventurecompanyshallpaytaxesinaccordancewiththeprovisionsofChineselawsandotherrelativeregulations.Article 33StaffmembersandworkersofthecooperativeventurecompanyshallpayindividualincometaxaccordingtotheIndividualIncomeTaxLawofthePeople's

38、RepublicofChina.Article 34ThefiscalyearofthejointventurecompanyshallbefromJanuary1toDecember31.Allvouchers,receipts,statisticstatementsandreportsshallbewritteninChinese.(Note:Aforeignlanguagecanbeusedconcurrentlywithmutualconsent).Article 35Financialcheckingandexaminationofthecooperativeventurecompa

39、nyshallbeconductedbyanauditorregisteredinChinaandreportsshallbesubmittedtotheboardofdirectorsandthegeneralmanager.IncasePartyBconsidersitnecessarytoemployaforeignauditorregisteredinanothercountrytoundertakeannualfinancialcheckingandexamination,PartyAshallgiveitsconsent.Alltheexpensesthereofshallbebo

40、rnebyPartyB.Article 36Inthefirstthreemonthsofeachfiscalyear,themanagershallpreparethepreviousyear'sbalancesheet,profitandlossstatementandproposalregardingthedisposalofprofits,andsubmitthemtotheboardofdirectorsforexaminationandapproval.Chapter13DurationoftheCooperativeVentureArticle37Thedurationo

41、fthecooperativeventurecompanyisyears.Theestablishmentdateofthejointventurecompanyshallbethedateonwhichthebusinesslicenseofthecooperativeventurecompanyisissued.Anapplicationfortheextensionoftheduration,proposedbyonepartyandunanimouslyapprovedbytheboardofdirectors,shallbesubmittedtotheMinistryofForeig

42、nTradeandEconomicCooperation(ortheexaminationandapprovalauthorityentrustedbyit)sixmonthspriortotheexpirydateofthejointventure.Chapter14TheDisposalofAssetsaftertheExpirationoftheDurationArticle38Upontheexpirationoftheduration,theassetsshallbelongtoPartyA.Chapter15InsuranceArticle 39Insurancepolicieso

43、fthejointventurecompanyonvariouskindsofrisksshallbeunderwrittenwiththePeople'sRepublicofChina.Types,valueanddurationofinsuranceshallbedecidedbytheboardofdirectorsinaccordancewiththeprovisionsofthePeople'sInsuranceCompanyofChina.Chapter16TheAmendment,AlterationandTerminationoftheCon-tractArti

44、cle 40TheamendmentofthecontractorotherappendicesshallcomeintoforceonlyafterawrittenagreementhasbeensignedbyPartyAandPartyBandapprovedbytheoriginalexaminationandapprovalauthority.Article 41Incaseofinabilitytofulfilthecontractortocontinueoperationduetoheavylossesinsuccessiveyearsasaresultofforcemajeur

45、e,thedurationofthecooperativeventureandthecontractshallbeterminatedbeforethetimeofexpirationafterbeingunanimouslyagreeduponbytheboardofdirectorsandapprovedbytheoriginalexaminationandapprovalauthority.Chapter17LiabilityforBreachofContractArticle 42contract and articles ofShouldthecooperativeventureco

46、mpanybeunabletocontinueitsoperationorachieveitsbusinesspurposeduetothefactthatoneofthecontractingpartiesfailstofulfiltheobligationsprescribedbythecontractandarticlesofassociation,orseriouslyviolatestheprovisionsoftheassociation,thatpartyshallbedeemedtohaveunilaterallyterminatedthecontract.Theotherpa

47、rtyshallhavetherighttoterminatethecontractinaccordancewiththeprovisionsofthecontractafterapprovalbytheoriginalexaminationandapprovalauthority,andtoclaimdamages.IncasePartyAandPartyBofthecooperativeventurecompanyagreetocontinuetheoperation,thepartywhofailstofulfilitsobligationsshallbeliablefortheecon

48、omiclossescausedtherebytothejointventurecompany.Article 43ShouldeitherPartyAorPartyBfailtoprovideonschedulethecontributionsinaccordancewiththeprovisionsdefinedinChapter5ofthiscontract,thepartyinbreachshallpaytotheotherpartyYuan,or%ofthecontributionstartingfromthefirstmonthafterexceedingthetimelimit.

49、Shouldthepartyinbreachfailtoprovideaftermonths,Yuan,or%ofthecontributionshallbepaidtotheotherparty,whoshallhavetherighttoterminatethecontractandtoclaimdamagesfromthepartyinbreachinaccordancewiththeprovisionsofArticle42ofthecontract.Article 44Shouldallorpartofthecontractanditsappendicesbeunabletobefu

50、lfilledowingtothefaultofoneparty,thepartyinbreachshallbeartheliabilitytherefor.Shoulditbethefaultofbothparties,theyshallbeartheirrespectiveliabilitiesaccordingtotheactualsituation.Article 45Inordertoguaranteetheperformanceofthecontractanditsappendices,bothPartyAandPartyBshallprovideeachotherwithbank

51、guaranteesforperformanceofthecontractwithindaysafterthecontractcomesintoforce.Chapter18ForceMajeureArticle46Shouldeitherofthepartiestothecontractbepreventedfromexecutingthecontractbyforcemajeure,suchasearthquake,typhoon,flood,fire,warorotherunforeseenevents,andtheiroccurrenceandconsequencesareunprev

52、entableandunavoidable,thepreventedpartyshallnotifytheotherpartybytelegramwithoutanydelay,andwithin15daysthereafterprovidedetailedinformationoftheeventsandavaliddocumentforevidenceissuedbytherelevantpublicnotaryorganizationexplainingthereasonofitsinabilitytoexecuteordelaytheexecutionofallorpartofthecontract.Bothpartiesshall,throughconsultations,decidewhethertoterminatethecontractortoexemptpartoftheobligationsforimplementationofthecontractorwhethertodelaytheexecutionofthecontractaccordingtotheeffectsoftheeventsontheperformanceofthecontract.Chapter19Applic
