模具加工承攬合同(中英文)

1、TOOLING PROCESSING CONTRACT合同編號(hào)：Con tract No.:簽署日期： The date of sig nature of甲方(定作方)：Party A (Buyer):乙方(承攬方)：Party B (Supplier):甲乙雙方本著平等、互利原則，就甲方委托乙方加工制作用于生產(chǎn)_（ “產(chǎn)品”）的模具、沖?；蚰＞撸＞摺保?，經(jīng)雙方友好協(xié)商，于甲方所在地達(dá)成如下協(xié)議：Whereas, Party A desire to purchase the tools, dies and moulds (the“ Tools ” ) fromParty B for prod

4、y A.數(shù)量 Qty. 穴數(shù) Cavity No.模具單價(jià)（元） Unit Price （RMB）備注2.2 甲方提供產(chǎn)品模具的設(shè)計(jì)圖紙、樣板和其他相關(guān)技術(shù)資料。就上述資料，甲方具有 唯一的解釋權(quán)。發(fā)生歧義時(shí)，乙方應(yīng)書面征詢甲方意見(jiàn)，并得到甲方的書面確認(rèn)。Party A will provide Party B desig n, bluepri nt, specime n and releva nt tech ni cal documents,which shall be illustrated by Party A solely. In case of discrepancy, Party

5、B must enquiry Party Ain writte n.2.3 乙方在收到上述資料后 _個(gè)工作日內(nèi)，需提供詳細(xì)的模具圖紙，甲方應(yīng)在收到模 具圖紙之次日起的_天內(nèi)予以確認(rèn)。Party B shall complete the draw ings of Tools in worki ng days upon receipt of aforesaid documents and specime n. Party A will check the draw ings in working days after receiv ing.2.4 乙方按甲方確認(rèn)后的圖紙及甲方的技術(shù)要求設(shè)計(jì)制作模具

6、。Party B shall desig n and manufacture the Tools in accorda nee with the draw ings and conformto Party A s tech no logy requireme nts.2.5 合格模具的定義：Definition of Qualified Tools:2.5.1 符合經(jīng)甲方確認(rèn)的模具結(jié)構(gòu)圖；In con formity to Tools schematics approved byParty A;2.5.2 符合經(jīng)甲方確認(rèn)的正式零件圖紙要求；In con formity to Parts dra

7、w ings approved by Party A;2.5.3 符合甲方的質(zhì)量及技術(shù)要求；In con formity to quality and tech no logy requireme nts of Party A;2.5.4 模具壽命必須符合本合同的規(guī)定；Tool life shall be en sured per provisi on in this Con tract;2.5.5 如無(wú)法對(duì)應(yīng)雙方約定的則必須符合國(guó)家標(biāo)準(zhǔn)；Where no sta ndard was prescribed, the Nati on al Stan dard in P.R.Chi na shal

8、l prevail;2.5.6 模具的原材料必須達(dá)到甲方認(rèn)可的要求The material which Tools made of shall be qualified per Party A s requirement.第三條原材料來(lái)源和模具制作時(shí)間Article 3 Material Sourci ng and Lead Time3.1 模具制造生產(chǎn)所需的原材料由_方承擔(dān)。如為乙方承擔(dān)，則乙方必須保證按甲方的技術(shù)要求采購(gòu)原材料，以確保產(chǎn)品質(zhì)量的穩(wěn)定。同時(shí)，乙方還應(yīng)把原材料的品質(zhì)標(biāo) 準(zhǔn)、產(chǎn)地等如實(shí)預(yù)先書面報(bào)告甲方。Party _ shall provide the material for

In case of Party B be liable for material sourcing,the purchasing procedure shall be practised strictly per Party A stech no logy requireme nts to en sure the steady good quality of the Products.3.2 本合同模具開(kāi)發(fā)送樣周期為 _天， 自簽訂本合同之日起到日止； 模具交付使 用周期為_(kāi)天(即日前)。在乙方完成試模后，須于 12 小時(shí)內(nèi)向甲方傳真或郵遞試模報(bào)告。The lead ti

10、me of Develop ing, Maki ng and First Sample Pour is worki ng days, from valid date ofcomme nee of this Con tract to (DayMon thYear); The delivery time shall withi n work ingdays (before DayM on thYear). After each Tryout completed,Party B shall report to Party A within 12 hours via Fax or Email.3.3

11、如果乙方模具制作出現(xiàn)工藝或者其它的問(wèn)題，導(dǎo)致模具無(wú)法驗(yàn)收合格的，乙方應(yīng)根 據(jù)圖紙和樣板免費(fèi)重新開(kāi)模。重新開(kāi)模的質(zhì)量和交期除有特殊約定外，按本合同執(zhí)行。In case the Tools fail to pass the inspection due to Party B s fault, Party B shall remake theTools free of charge per draw ing and specime n. Party B shall complete the remake inaccordance with quality and lead time provisio

12、ns hereto in this Con tract uni ess mutuallyagreed otherwise.3.4 如果乙方模具制作出現(xiàn)工藝和其它的錯(cuò)誤，導(dǎo)致模具無(wú)法驗(yàn)收合格而甲方又急需生 產(chǎn)，乙方應(yīng)先用現(xiàn)有的模具安排生產(chǎn)，同時(shí)再根據(jù)圖紙和樣板要求免費(fèi)重新開(kāi)模。In case of emerge ncy dema nd of Party A, provided that the Tools fail to pass the in specti ondue to Party B s fault, Party B may arrange product ion with availa

13、ble Tools, and mean whilestart to remake the Tools free of charge per draw ing and specime n.第四條模具價(jià)格及付款方式 Article 4 Price and Payme nt4.1 模具價(jià)格 Price4.1.1 由乙方提供的報(bào)價(jià)單經(jīng)甲方認(rèn)可后，簽訂的價(jià)格確認(rèn)書是本合同的組成部分。The quotation sheet shall be counter signed after approved by Party A, hereto con stitutesthe complete and exclu

15、r charge Party A: 乙方對(duì)產(chǎn)品進(jìn)行成型試模/二次加工/組裝所需的所有夾具和治具的模具的費(fèi)用;The charges of molds of chucks and jigs which are n ecessary to perform moldi ng trial orshot, sec ond operati on and assembly; 乙方按合同規(guī)定進(jìn)行模具設(shè)計(jì)、試模所需的材料和設(shè)備及人工等費(fèi)用；The charges of material, facility and labor, which are necessary for tool

16、ing design and trial; 乙方提供給甲方進(jìn)行模具和產(chǎn)品認(rèn)證的試模樣品的費(fèi)用；The charges of trial samples provided to Party A to process appl ying Tools and Productscertificate; 乙方為保證模具正常生產(chǎn)制作的模具易損備件的費(fèi)用；The charges of spare parts for Tools, which to en sure the n ormal product ion;4.135 乙方為保證產(chǎn)品正常生產(chǎn)所準(zhǔn)備的其他工序的相關(guān)工具和治具的費(fèi)

17、用The charges of releva nt tools, in strume nts and jigs which to en sure no rmal producti on andwork ing procedures.4.1.4 當(dāng)甲方書面要求乙方根據(jù)產(chǎn)品設(shè)計(jì)的變更對(duì)模具進(jìn)行修改時(shí)，如果模具修改較簡(jiǎn) 單，包括從模具上減除模具材料的修改和其他簡(jiǎn)單修改，則乙方不需向甲方收費(fèi)；如 果模具修改較復(fù)雜，對(duì)整個(gè)模具的結(jié)構(gòu)影響很大，則由乙方根據(jù)修改模具所需工時(shí)向 甲方報(bào)價(jià)，經(jīng)甲方書面確認(rèn)同意后，由甲方承擔(dān)相應(yīng)的模具修改費(fèi)用（相應(yīng)的模具修 改費(fèi)用根據(jù)雙方協(xié)商的付款方式進(jìn)行支付）。如果因?yàn)橐曳降脑?/p>

18、因?qū)е履＞卟荒軡M足 甲方的要求而進(jìn)行的修模或改模，甲方不承擔(dān)任何責(zé)任和費(fèi)用。In case of Party A request for rework on Tools per Products design variation inwritte n, Party B shall complete the modificati on without charg ing Party A, uni ess the rework jobis complicated eno ugh to cha nge and affect the gen eral structure of the Tool. Pa

19、rty B shallquote the cost of aforeme nti oned complicated rework job and get writte n consent from Party A.The extra cost of complicated rework job shall be paid for by Party A per payme nt provisi onhereto as agreed betwee n both parties.Provided that the modification or rework on the Tools is due

20、to Party B s fault,Party A shall n ever bear any resp on sibility and charge.4.1.5 由于乙方原因?qū)е录追叫枰ㄙM(fèi)正常技術(shù)支持外的人工及費(fèi)用，乙方應(yīng)根據(jù)甲方 認(rèn)可的方式給予相應(yīng)的補(bǔ)償。Party B shall compe nsate Party A for all extra cost in cludi ng but not limit labor and expense dueto Party B s fault. And the reimburse method shall be approved by Pa

21、rty A.4.2 付款方式 Payment4.2.1 乙方在模具開(kāi)模前，甲方支付合同總價(jià)_ % （計(jì)人民幣元）作為預(yù)付款。Party A shall pay _ % of the con tract price （say RMB in total） as adva nee payme nt.4.2.2 甲方對(duì)模具驗(yàn)收合格、乙方交付樣模并經(jīng)雙方簽版確認(rèn)后，支付剩余_ %的合同價(jià)款（計(jì)人民幣一元）。Party A shall pay _% of the con tract price （say RMB in total） upon qualifiedaccepta nee after deliv

22、ery and sample un dersig ned by both parties.423 模具在甲方試生產(chǎn)的_個(gè)月內(nèi)穩(wěn)定時(shí)，支付合同金額的_ % (計(jì)元)。Party A shall pay _% of the con tract price (say RMB in total) after months steady pilot production.4.2.4 乙方超過(guò)生產(chǎn)周期，模具仍不能交付使用的，同意按每日 1000 元人民幣的標(biāo)準(zhǔn) 向甲方支付罰金，逾期超過(guò)7 日的，視為乙方違約，除繼續(xù)支付罰金及賠償甲方因此造成的損失外，乙方同意按照本合同約定承擔(dān)違約責(zé)任。上述罰金、賠償金及違

23、約金 等費(fèi)用，甲方有權(quán)直接從合同款項(xiàng)中扣除。Party B agrees to reimburse Party A RMB 1000 per day for overdue delivery aspen alty .In eve nt that the delivery delayed more tha n seve n (7) days, it shall bedeemed as material breach. Party B shall bear the resp on sibility of breach and compensateParty A s loss, in additio

24、n to the mentioned penalty.第五條模具的驗(yàn)收與交付 Article 5 In spection and Delivery5.1 模具生產(chǎn)完成視交付使用的對(duì)象不同按以下第_種方式處理：The recipie nt of the Tools after Party A s in spect ion will be varied, both parties hereby selectfollow ing(5.1 .1or 5.1.2):5.1.1 模具生產(chǎn)完成后交付甲方使用，貝【J:In eve nt of the recipie nt of the completed T

25、ools is Party A: 模具所有權(quán)和使用權(quán)歸甲方；Party A has the proprietorship of ownership of Tools and right of exploitation; 乙方負(fù)責(zé)對(duì)各套模具免費(fèi)試模_次，每次不小于_ 批次/沖次；Party B shall carry out trial shot times on each set of Tools at its own expe nse. During each trialthere shall no less tha n times injection or st

26、amp ing. 乙方進(jìn)行試模后，在約定的期限內(nèi)送樣給甲方進(jìn)行樣板確認(rèn)。經(jīng)雙方簽板確認(rèn) 后，該模具即為交付的樣品(以下簡(jiǎn)稱“樣?！?。Party B shall send trial samples to Party A in time as agreed between both parties after the trial.The samples undersigned by representative of both parties shall be deemed as control sample.5.1. 1.4 經(jīng)甲方出具合格驗(yàn)收?qǐng)?bào)告后視為模具目測(cè)驗(yàn)收合格。但在使

27、用過(guò)程中才發(fā) 現(xiàn)的非甲方責(zé)任導(dǎo)致的質(zhì)量問(wèn)題仍應(yīng)由乙方承擔(dān)責(zé)任。The report of inspection of qualified Tools issued by Party A shall not construed as waiver againstParty B s responsibility for quality problem incur not due to Party A during exploitation of theTools.5.1. 1.5 模具的材質(zhì)、模穴數(shù)、熱處理硬度、型號(hào)以及材料的產(chǎn)地等各方面技術(shù)性要求 須按甲方出具的模具技術(shù)要求為準(zhǔn)。The comp

28、leted Tools shall be inspected by both parties per document of Technical Requirementsof Tools provided by Party A on material, cavities, heat treatment hardness, model and place oforigin etc.5.1. 1.6 驗(yàn)收時(shí)，乙方須將甲方提供的所有技術(shù)資料、圖紙及乙方開(kāi)模的主要電極一并 交付給甲方。Party B shall provide Party A all technical documents, draw

29、ings, specimen, main electrodes anddates while Inspection.5.1. 1.7 交貨地點(diǎn)：甲方指定場(chǎng)所。 The place of delivery shall be specified by Party A.5.1. 1.8 由乙方負(fù)責(zé)送貨、裝卸，并承擔(dān)相關(guān)費(fèi)用。Party B shall be liable for delivery and relevant charge.5.1. 1.9 如果發(fā)生雙方對(duì)于質(zhì)量問(wèn)題的重大異議而又不能達(dá)成一致意見(jiàn)的，則按國(guó)家或 者行業(yè)最高標(biāo)準(zhǔn)為依據(jù)。The national standard or hig

30、hest industry standard shall prevail while both parties could not reachan agreement or compromise on quality problem.5.1.2 模具生產(chǎn)完成后交付乙方使用，則：In event of the recipient of the completed Tools is Party B: 5.121 模具所有權(quán)歸甲方，使用權(quán)歸乙方。在甲方享有所有權(quán)期間，由乙方負(fù)責(zé)保 管，在甲方享有未經(jīng)甲方同意，乙方不得將此模具提供給第三者使用，否則視為乙方 違約。Party A has the pro

31、prietorship of own ership of Tools and Party B has the right of exploitation ofTools. Party B shall properly exploit and keep the Tools solely and only for ben efit of Party A.Party B shall not assig n the right of exploitati on to any third party uni ess otherwise get writte nconsent from Party A.5

32、.122 模具生產(chǎn)量達(dá)到_ 年達(dá)到_萬(wàn)，乙方返還開(kāi)模相關(guān)費(fèi)用給甲方，模具的所有 權(quán)轉(zhuǎn)移為乙方所有。乙方自行承擔(dān)費(fèi)用將磨損部件予以更換。所有模具的組裝圖、零 件圖和所有夾治具必須返還給甲方。Party B shall return all charge of Tooli ng Party A while the producti on qua ntity of Tools reachedun its inyears. After reimburseme nt, the proprietorship ofown ership of Tools shall be tran sferred to Pa

33、rty B. Party B shall be liable for spare parts andmaintenance at its own expe nse. The draw in gs, assembly desig ns, spare parts charts, chucksand jigs shall be retur ned to Party A without delay.5.2 乙方出資開(kāi)發(fā)模具，貝 V: In eve nt of Party B pay the tooli ng charge in adva nee:5.2.1 乙方根據(jù)甲方提供的模具組裝圖、零件圖等相關(guān)圖

34、紙及技術(shù)參數(shù)，自行出資開(kāi)發(fā) 模具，該模具所有權(quán)歸乙方所有。Party B shall complete the Tooli ng per desig n draw in gs a nd tech no logy data provided byParty A at its own expe nse. Party B shall has the proprietorship of own ership of Tools5.2.2 乙方自行承擔(dān)模具的試模、修模以及磨損等費(fèi)用。Party B shall be liable for trials on the Tools, rework and ma

35、intenance work on its own expe nse.第六條模具質(zhì)量和產(chǎn)能保證 Article 6 Quality and Production Capacity Guara ntee ofTools6.1 乙方承諾利用乙方制作的模具生產(chǎn)出的產(chǎn)品能夠達(dá)到甲方的品質(zhì)要求。Party B promises the Products produced by Tools are strictly con formity to quality requireme ntsof Party A.6.2 乙方承諾如利用乙方制作的模具生產(chǎn)產(chǎn)品能夠達(dá)到甲方的如下生產(chǎn)要求：Party B promi

36、ses the Production Capacity of Tools to be as following:日產(chǎn)能： Daily Production Capacity ： Units ；月產(chǎn)能： Monthly Production Capacity ： Units ；6.3 如模具由乙方生產(chǎn)使用，則乙方未經(jīng)甲方允許不得將本合同所涉及的任何一付模具 整體或部分外包給其它公司進(jìn)行產(chǎn)品生產(chǎn)加工。Party B shall not assign part or whole of the right of exploitation of Tools to any third party orap

37、point subcontractor to produce the Products without written consent of Party A.6.4 乙方保證按照上述產(chǎn)能交貨。在此標(biāo)準(zhǔn)內(nèi)出現(xiàn)不正常時(shí)，乙方須在 1 日內(nèi)進(jìn)行更 換、維修或保養(yǎng)，否則視為違約，除承擔(dān)違約責(zé)任外，給甲方造成損失的，另行賠償 甲方損失。本條約定不受本合同有效期限的限制，違約責(zé)任按照本合同違約條款處理。如實(shí)際模具產(chǎn)能低于上述約定的模具產(chǎn)能根據(jù)相差的比例，從合同總價(jià)中扣除相應(yīng)的 比例價(jià)款，直到累計(jì)扣完合同總價(jià)。如因此造成甲方的損失超過(guò)可扣的總價(jià)款則超出 部分仍由乙方承擔(dān)。Party B promise to

38、 delivery Products in accordance with aforesaid Production Capacity. Party Bshall fix the problems provided that the Production Capacity could not be reached within 1working day. Otherwise without affected by validation term of this Contract Party B shall not onlybear the responsibility of breach bu

39、t also be liable to compensate the loss of Party A. Anydeviation of the Production Capacity, Party A is entitled to deduct proportional value of theContract. In event the remedy is not adequate, Party B shall liable for the surpass amount byimbursement.6.5 由于乙方原因造成短時(shí)間內(nèi)達(dá)不到甲方采購(gòu)量的，乙方應(yīng)在約定的時(shí)間內(nèi)采取措施。 如在該期限

40、內(nèi)仍不能滿足甲方采購(gòu)量的，甲方有權(quán)扣除相應(yīng)的價(jià)款。In event that Party A s purchase demands could not be satisfied due to Party Bsfault, both parties shall solve it together in agreed time limit. Provided that Party B fails in theaforesaid time limit, Party A in entitled to deduct responding value of the Contract.6.6 乙方由于自身問(wèn)

41、題中止此模具產(chǎn)品對(duì)甲方供應(yīng)，乙方應(yīng)立即將模具歸還給甲方，運(yùn) 輸費(fèi)由乙方承擔(dān)，否則甲方可直接從貨款中扣除該模具全部?jī)r(jià)款。因中止供貨行為給 甲方造成的其它損失的，按照雙方簽訂的相關(guān)協(xié)議賠償，否則全部由乙方承擔(dān)。In case Party B is not capable in supplying Products to Party A due to its own reason, Party Bshall return Tools to Party A immediately at its own expense. Both Parties shall negotiate thecompensat

42、ion supplement; otherwise Party B shall reimburse Party A for all the loss.6.7 乙方因不可抗力中止此模具產(chǎn)品對(duì)甲方供應(yīng)，甲方根據(jù)乙方實(shí)際交貨量與采購(gòu)量的 比例，從乙方貨款中扣除模具總金額相同比例的模具費(fèi)用。同時(shí)乙方應(yīng)立即將模具歸 還給甲方，運(yùn)輸費(fèi)由乙方承擔(dān)，否則甲方可直接從貨款中扣除該模具全部?jī)r(jià)款。In case Party B is not capable in supplying Products to Party A due to force majeure, Party B shallreturn Tools

43、 to Party A immediately at its own expense. Party A in entitled to deduct proportionalvalue of the Tooling charge from the total Contract Price.第七條 模具維護(hù)和保管 Article 7 Keeping and Maintenance of Tools7.1 在模具產(chǎn)能保證期間內(nèi)，模具由乙方負(fù)責(zé)保養(yǎng)維修；如模具在使用壽命內(nèi)不能使用 的，乙方應(yīng)負(fù)責(zé)更換或重新開(kāi)模，并承擔(dān)更換與重新開(kāi)模的費(fèi)用，并且應(yīng)及時(shí)向甲方 報(bào)備，由甲方再次書面確認(rèn)模具合格后才能投入生產(chǎn)

44、。During guarantee period of the Tools lifetime, Party B shall be responsible for preventive andcorrective maintenance works on the Tools. In case the Tools lifetime run out before the date due,Party B shall replace or remake the Tools on its own expense. Party A shall be notified in time.Party B sha

45、ll not use the new Tools without written consent of Party A.7.2 乙方應(yīng)對(duì)模具的修改、維護(hù)和修理等情況及時(shí)登記造冊(cè)，無(wú)論此種修改、維護(hù)和修 理是否由甲方提出。如甲方需詢問(wèn)有關(guān)的技術(shù)細(xì)節(jié)或證據(jù)的，乙方應(yīng)積極配合。Party B shall keep records of the altering, preventive and corrective maintenance works,including such works proposed by Party A. Party B shall response to enquiry

46、positively onrequest of Party A about the technical details or evidence.7.3 如模具在乙方生產(chǎn)使用，乙方應(yīng)妥善保管甲方模具，否則造成模具丟失的，乙方需 按丟失物品的全額價(jià)值賠償給甲方。Party B shall safe keep the Tools in good manner. In event of damage or lose, Party B shallcompensate Party A loss value in sum.第八條 知識(shí)產(chǎn)權(quán) Article 8 Intellectual Property8.1

47、 本合同所涉及甲方提供的任何資料的技術(shù)信息及商業(yè)秘密屬于甲方所有，甲方擁有 完全的知識(shí)產(chǎn)權(quán)(包括但不限于專利、商標(biāo)及版權(quán)的申請(qǐng)權(quán)等)；未經(jīng)甲方許可，乙 方不得向任何第三人泄漏相關(guān)的技術(shù)信息及商業(yè)秘密，否則由此產(chǎn)生的一切損失由乙 方負(fù)責(zé)。All right (including but not limit the right to apply for a Patent, Trademark or Copyright), title andinterest in and to the Confidential Information is owned by and remains with Par

48、ty A. Any and allwork product or deliverables developed in connection with the Tools, regardless of their state ofcompletion, shall be work- made-for-hire for the benefit Party A. Party B agrees not to copy,transfer, disclose or use, or permit to be copied, transferred, disclosed or used, any Confid

49、entialInformation of Party A by or for the benefit of itself or any Person or disclose any ConfidentialInformation to anyone. Otherwise Party A shall be responsible for all loss incurred by breachhereto.8.2 保密信息包括“所有有關(guān)客戶、供應(yīng)商、業(yè)務(wù)來(lái)源方和業(yè)務(wù)展開(kāi)對(duì)象的數(shù)據(jù)和銷售 量；產(chǎn)品概念；產(chǎn)品設(shè)計(jì)；技術(shù)秘密；工程規(guī)格；公司財(cái)務(wù)數(shù)據(jù)；技藝技能、保密技 術(shù)和方法；其他由一方向另一方以任何媒
