GUARANTEE OF QUALITY: The Sellers guarantee that theConnnod ity hereof is made of the best mat erials with first class workmanship, brand new and unused, and complies in all respects with the quality and specificstion stipulated in this Contract The guarantee period shall be

CLAIMS: Within 90 days after the arrival of the goods at destination, should the quality, specification, or quan

13、tity be found in unconformity with the stipulations of the Contract except those claims for which the insurance company or not the owners of the vessel are liable, the Buyers shall, on the strength of the Inspection Certificate issued by the State Administration for Entry- Exit Inspection and Quarar

14、rtine of P R. C. or the site inspection report issued by the seller' s engineer, have the right to claim for replacement with new goods, or for compensation, and all expenses (such as inspection charges, freight for returning the goods and for sending the replacement, insurance premium, storage

15、and loading and unloading charges etc.) shall be borne by the Sellers.As regards quality, the Sellers shall guarantee that if within 12 months from the date of signing the acceptance report of this machine, damages occur in the course of operation by reason of inferior quality, bad workmanship or th

16、e use of inferior materials, the Buyers shall immediately notify the Sellers in writing and put forward a claim supported by Inspection Certificate issued by the State Administration for Entry-Exit Inspection and Quarantine of P. RC.The Certificate so issued shall be accepted as the base of a clainL

17、 The Sellers, in accordance with the Buyers' claim shall be responsible for the immediate elimination of the defect(s), complete or partial replacement of the commodity or shall devaluate the connnodity according to the state of defect(s), . If the Sellers fail to answer the Buyers within one mo

18、nth after receipt of the aforesaid claim, the claim shall be reckoned as having been accepted by the Sellers.索賠：貨物抵達(dá)目的地后90天內(nèi)，如果質(zhì)量、技術(shù)規(guī)格或數(shù)量發(fā)現(xiàn)與合同的 規(guī)定不符(除過保險(xiǎn)公司和運(yùn)輸公司的貴任所負(fù))，買方應(yīng)該依據(jù)中華人民共和 國(guó)出入境檢驗(yàn)檢疫局的檢驗(yàn)報(bào)告或者是賣方的調(diào)試人員在安裝調(diào)試時(shí)出具的報(bào) 告，有權(quán)要求替換或補(bǔ)償，所有的費(fèi)用(包括商檢費(fèi)、替補(bǔ)件來回的運(yùn)費(fèi)、保 險(xiǎn)費(fèi)、倉(cāng)儲(chǔ)費(fèi)、貨物裝貨卸貨費(fèi)等)均由賣方承擔(dān)。賣方的質(zhì)量保證為簽定關(guān) 于此批貨物的驗(yàn)收?qǐng)?bào)告后12個(gè)月

19、內(nèi)；由于貨物內(nèi)在的質(zhì)量、差的做工、選材 不當(dāng)而造成操作中的貨物損壞，買方應(yīng)立即書面通知賣方，并同時(shí)隨附中國(guó)商 檢局出具的檢驗(yàn)報(bào)告作為索賠依據(jù)。賣方在接到買方的索賠后，有責(zé)任立即解 決相應(yīng)的質(zhì)量問題、全部或部分地替換貨物或根據(jù)貨物損壞的程度進(jìn)行折價(jià)； 如果賣方在收到買方的上述索賠后一個(gè)月內(nèi)未能作出答復(fù)，則視為索賠已為賣 方所接受。15. FORCE MAJEURE: The Sellers shall not be held responsible for the delay in shipment or non-delivery of the goods due to Force Majeur

20、e, which might occur during the process of manufacturing or in thw course of loading or transiThe Sellers shall advise the Buyers immediately of the occurrence mentioned above and within fourteen days thereafter, the Sellers shall send by airmail to the Buyers for their acceptance a certificate of t

21、he accident issued by the Competent Government Authorities where the accident occurs as evidence thereof. Under such circumstances the Sellers, however, are still under the obligation to takeall necessary measures to hasten the delivery of the goods. In case the accident lasts for more than 10 weeks

22、, the Buyers shall have the right to cancel the Contract.不可抗力：對(duì)于制造或裝船運(yùn)輸過程中可能產(chǎn)生的不可抗力而造成的遲交貨或 不能交貨，賣方可以不承擔(dān)責(zé)任。賣方應(yīng)立即在不可抗力產(chǎn)生的十四日內(nèi)將有 關(guān)情況通知買方，并且賣方應(yīng)用航空郵件將有關(guān)政府當(dāng)局部門出具的證明不可 抗力產(chǎn)生的文件寄送給買方。在此情況下，賣方仍應(yīng)盡最大努力采取各種措施 促使貨物的發(fā)運(yùn)。如果事故持續(xù)十周，買方有權(quán)取消該合同。16. LATE DELIVERY AND PENALTY: Should the Sellers fail to make delivery on t

23、ime as sti pula ted in the Con tract, with exception of Force Majeure causes specified in Clause 15 of this Contract The Buyers shall agree to postpone the delivery on condition that the Sellers agree to pay a penalty which shall be dedueted by the paying bank from the payment. The Penalty, however,

24、 shall not exceed 5% of the total value of the goods involved in the late delivery The rate of penalty is charged at 0. 5% for every seven days. Odd days less than seven days should be counted as seven days In case the Sellers fail to make delivery ten weeks later than the time of shipment stipulate
