30、tionofDispute 175附件176AppendixExplanations為了指導建設工程施工合同當事人的簽約行為，維護合同當事人的合法權益，依據(jù)中華人民共和國合同法、中華人民共和國建筑法、中華人民共和國招標投標法以 及相關法律法規(guī)，住房城鄉(xiāng)建設部、國家工商行政管理總局對建設工程施工合同(示范 文本)(GF-1999-0201 )進行了修訂，制定了建設工程施工合同(示范文本)(GF-2013-0201 )(以下簡稱示范文本)。為了便于合同當事人使用示范文本， 現(xiàn)就有關問題說明如下：To guide the signing act of the parties to a contrac

31、t in execution of construction projects and safeguard their legitimate rights and interests, the Ministry of Housing and Urban-Rural Development and the State Administration for Industry and Commerce have amended the Construction Contract for Construction Projects (Sample Text) ” (GF-1999- 0201) and

32、 reenacted it as theConstruction Contract for Construction Projects(Sample Text) ” (G-2013-0 201) ( Sample Text " ) in accordance with the Contract Law of the People ' s Republic of Chinathe Construction Law of the People ' s Republic of China the Bidding Law of the People ' sRepubl

33、ic of China and other relevant laws and regulations. To facilitate the use of the Sample Text by the contracting parties, the relevant issues are hereby explained as follows:一、示范文本的組成(I) Composition of Sample Text示范文本由合同協(xié)議書、通用合同條款和專用合同條款三部分組成。The Sample Text is composed of three parts: contract agre

34、ement, general conditions of contract and special conditions of contract.(一)合同協(xié)議書(II) Contract Agreement示范文本合同協(xié)議書共計13條，主要包括：工程概況、合同工期、質(zhì)量標準、簽 約合同價和合同價格形式、項目經(jīng)理、合同文件構(gòu)成、承諾以及合同生效條件等重要內(nèi)容， 集中約定了合同當事人基本的合同權利義務。The Contract Agreement of the Sample Text includes 13 clauses that cover such important content as

36、 contracting parties in a centralized manner.(二)通用合同條款(III) General Conditions of Contract通用合同條款是合同當事人根據(jù)中華人民共和國建筑法、中華人民共和國合同 法等法律法規(guī)的規(guī)定，就工程建設的實施及相關事項，對合同當事人的權利義務作出的 原則性約定。The general conditions of contract are the fundamental stipulations set forth by the contracting parties with respect to their rig

37、hts and obligations for purpose of project construction and the matters related thereto in accordance with the Construction Law of the Peop le ' s Republic of China the Contract Law of the People ' s Republic of Chand other relevant laws and regulations.通用合同條款共計20條，具體條款分別為：一般約定、發(fā)包人、承包人、監(jiān)理人、工

38、 程質(zhì)量、安全文明施工與環(huán)境保護、工期和進度、材料與設備、試驗與檢驗、變更、價格 調(diào)整、合同價格、計量與支付、驗收和工程試車、竣工結(jié)算、缺陷責任與保修、違約、不 可抗力、保險、索賠和爭議解決。前述條款安排既考慮了現(xiàn)行法律法規(guī)對工程建設的有關 要求，也考慮了建設工程施工管理的特殊需要。There are a total of 20 general conditions of contract, which are specifically: general stipulations, client, contractor, supervisor, project quality, safe an

The above conditions have given consideration to both the requirements of existing laws and regulations for project construction and the special needs for managing the execution of construction projects.(三)專用合同條款(IV) ) Special

41、Conditions of Contract專用合同條款是對通用合同條款原則性約定的細化、完善、補充、修改或另行約定的條款。合同當事人可以根據(jù)不同建設工程的特點及具體情況，通過雙方的談判、協(xié)商對相應的專用合同條款進行修改補充。在使用專用合同條款時，應注意以下事項：The special conditions of contract are clauses designed to refine, improve, supplement, revise or otherwise stipulate the fundamental stipulations of the general condit

Contracting parties may revise and supplement the relevant special conditions of contract through the negotiations and consultations between them according to the characteristics and specific circumstances of different construction projects. In the use of special conditions of cont

43、ract, attention should be paid to the following:1、專用合同條款的編號應與相應的通用合同條款的編號一致；1. The numbers of the special conditions of contract should be consistent with those of the corresponding general conditions of contract;2、合同當事人可以通過對專用合同條款的修改，滿足具體建設工程的特殊要求，避免 直接修改通用合同條款；2. The contracting parties may meet t

44、he special requirements of specific construction projects through the revision of the special conditions of contract to avoid direct revision of the general conditions of contract;3、在專用合同條款中有橫道線的地方，合同當事人可針對相應的通用合同條款進行細 化、完善、補充、修改或另行約定；如無細化、完善、補充、修改或另行約定，則填寫 無' 或劃3.
