Whereas Licensor owns certain valuable registered trademarks; Whereas Licensee hope to utilize the trademark upon and in connection with the manufacture, sale and distribution of the Contract Products; Both parties authorized representatives, through friendly

3、negotiation, agree to enter into this Contract under the terms as stipulated below. 第一條 定 義 Section 1 Definitions 1.1 “注冊(cè)商標(biāo)”-是指本合同附件一所指的在歐盟內(nèi)部市場(chǎng)協(xié)調(diào)局注冊(cè)登記的第*類(lèi)商標(biāo)，注冊(cè)商標(biāo)的編號(hào)為*。 “Registered Trademarks” means the trademarks which have been described in Appendix 1 to the Contract and have be

4、en registered by OHIM in Class *. The registered number is *. 1.2 “許可方”是指 中 國(guó) *公司，或者該公司的法人代表、代理和財(cái)產(chǎn)繼承者。 “Licensor” means *. of China, or the legal representative, or agency or the property successor of the Company. 1.3 “接受方”是指 * 公司，或者該公司的法人代表、代理和財(cái)產(chǎn)繼承者。 “Licensee” means *, or the l

5、egal representative, or agency or the property successor of the Corporation. 1.4 “合同產(chǎn)品”是指合同附件二所列的產(chǎn)品。 “The Contract Product” means the products stipulated in Appendix 2 to the Contract. 1.5 “合同生效日”是指本合同雙方簽字日。 “The Date of Effectiveness of the Contract” means the date of signing th

6、is Contract by both parties. 第二條 合同范圍 Section 2 Scope of the Contract 2.1 根據(jù)以下條款的規(guī)定，接受方同意從許可方取得，許可方同意向接受方授予單獨(dú)使用附件一所指的注冊(cè)商標(biāo)的許可權(quán)利，且只在制造和出售、分銷(xiāo)合同產(chǎn)品時(shí)使用。合同商品詳見(jiàn)本合同附件二。這種權(quán)利是獨(dú)占性的，是不可轉(zhuǎn)讓的權(quán)利。許可方同意在合同的有效期內(nèi)不在合同有效區(qū)域內(nèi)再授予別人銷(xiāo)售合同產(chǎn)品時(shí)使用這兩個(gè)商標(biāo)。 Upon the terms and conditions hereinafter set forth, Licens

7、ee agree to obtain from Licensor, and Licensor agree to grant Licensee the right to utilize the Registered Trademark solely and only upon and in connection with the manufacture, sale and distribution of the Contract Products. The Contract Products are detailed in Appendix 2 to the Contract. The lice

Licensor agrees that during the validity of this Contract, it will not authorize a third party to utilize the Registered Trademarks upon and in connection with the manufacture, sale and distribution of the Contract Products in the same area specified i

9、n this Contract. 2.2 許可只在 歐盟 地區(qū)有效。接受方同意不在其他地區(qū)直接或間接使用或授權(quán)他人使用這兩個(gè)商標(biāo)，且不在知情的情況下向有意或有可能在其他地區(qū)出售合同產(chǎn)品的第三者銷(xiāo)售該產(chǎn)品。The license hereby granted extends only to European. Licensee agrees that it will not make, or authorize, any use, direct or indirect, of the Registered Trademarks in any other area, and that i

10、t will not knowingly sell the Contract Products covered by this Contract to persons who intend or are likely to resell them in any other area. 2.3 許可方負(fù)責(zé)向接受方提供注冊(cè)商標(biāo)的有關(guān)資料，包括注冊(cè)商標(biāo)的文字、圖案、申請(qǐng)情況、編號(hào)等，具體的資料詳見(jiàn)本合同附件一。 Licensor is responsible for providing Licensee with the documents related to the Regi

11、stered Trademarks, including the words, designs, applications for registration and registered numbers, etc., the specific documentations are detailed in Appendix 1 to the Contract. 第三條 資料的交付 Section 3 Delivery of the Documents 3.1 許可方應(yīng)按本合同附件一的規(guī)定向接受方提供注冊(cè)商標(biāo)的名稱(chēng)、內(nèi)容以及許可方向歐盟內(nèi)部市場(chǎng)協(xié)調(diào)局申請(qǐng)注冊(cè)的有關(guān)情況

12、。 The names, contents and related situations which Licensor applied for the registration from OHIM shall be provided by Licensor to Licensee in accordance with stipulations in Appendix 1 to the Contract. 3.2 許可方應(yīng)在簽訂本合同的同時(shí)，將3.1條中規(guī)定的資料交付給接受方。 The documents stipulated in Section 3.1 to t

13、he Contract shall be provided by Licensor to Licensee while the Contract is signing. 第四條 侵權(quán)和保證 Section 4 Infringements and Guarantees 4.1 許可方保證是本合同注冊(cè)商標(biāo)的合法持有者，并且有權(quán)授予接受方使用，如果在合同的執(zhí)行過(guò)程中一旦發(fā)生第三方指控侵權(quán)時(shí)，則由許可方負(fù)責(zé)與第三方交涉，并承擔(dān)由此引起的一切法律和經(jīng)濟(jì)上的責(zé)任。 Licensor guarantees that Licensor is the legitimate

14、 owner of the Registered Trademarks under the Contract, and that Licensor is lawful in a position to authorize Licensee to utilize the Registered Trademarks upon or in connection with manufacture, sale and distribution of the Contract Products. In the course of implementation of the Contract, if any

15、 third party accuses Licensee of infringement, Licensor shall be responsible for approaching the third party about the accusation and bear all the economic and legal responsibilities which may arise. 4.2 接受方負(fù)責(zé)為自己和/或許可方就其非經(jīng)授權(quán)使用合同產(chǎn)品商標(biāo)、專(zhuān)利、工藝、設(shè)計(jì)思想、方法引起的索賠、訴訟或損失，就其他行為或產(chǎn)品瑕疵導(dǎo)致的索賠、訴訟或損失進(jìn)行辯護(hù)，并使許可方免受損失。&

16、#160;Licensee hereby undertakes to defend Licensee and/or Licensor against and hold Licensor harmless from any claims, suit, loss and damage arising out of any allegedly unauthorized use of any trademark, patent, process, idea, method or device by Licensee in connection with the articles covered by

17、this Contract or any other alleged action by Licensee and also from any claims, suits, loss and damage arising out of alleged defects in the articles. 4.3 接受方同意向許可方提供必要的幫助來(lái)保護(hù)許可方就該商標(biāo)擁有的權(quán)利。接受方在可知的范圍內(nèi)應(yīng)書(shū)面告知許可方就合同產(chǎn)品的商標(biāo)的侵權(quán)和仿制行為。雙方可以各自以自己的名義或以雙方的名義針對(duì)這樣的行為提起訴訟或索賠。 Licensee agrees to assist Licenso

18、r to the extent necessary in the procurement of any protection or to protect any of Licensor's rights to the Registered Trademarks, and shall notify Licensor in writing of any infringement or imitations by others in the Registered Trademark on articles the same as or similar to those covered by

19、this Contract which may come to Licensee's attention. Both parties have the right to determine to prosecute any claims or suits in its own name or in the name of Licensee and Licensor join together against such behavior. 第五條 促銷(xiāo)資料 Section 5 Promotion Material 5.1 在任何情況下，接受方如果期望得到合同

20、產(chǎn)品的宣傳材料，那么生產(chǎn)該宣傳材料的成本和時(shí)間由接受方承擔(dān)。所有涉及本合同商標(biāo)或其復(fù)制品的宣傳材料的產(chǎn)權(quán)應(yīng)歸接受方所有。如果許可方要求使用或?qū)⑵湓S可給他方使用,許可方應(yīng)支付有關(guān)費(fèi)用。屆時(shí)雙方可另行協(xié)商簽訂合同。 In all cases where Licensee desires artwork involving articles which are the subject of this license to be executed, the cost of such artwork and the time for the production thereof shall b

21、e borne by Licensee. All artwork and designs involving the Registered Trademarks, or any reproduction thereof, shall be owned by Licensee. If Licensor requires or authorizes the other party to utilize the artwork and design, it should pay reasonable fees to Licensee. When the time comes, both partie

22、s will sign the new contract through friendly consultation. 第六條 分 銷(xiāo) Section 6 Distribution 6.1 接受方同意將克盡勤勉，并且持續(xù)制造、分銷(xiāo)或銷(xiāo)售合同產(chǎn)品，而且還將為此作出必要和適當(dāng)?shù)陌才拧?#160;Licensee agrees that during the term of this license it will diligently and continuously manufacture, distribute and sell the Contract Prod

23、ucts covered by this Contract and that it will make and maintain adequate arrangement for the distribution of the Contract Products. 第七條 違約 Section 7 Violation 7.1任何一方都無(wú)權(quán)終止合同。Neither of the party has the right to terminate the Contract. 第八條 爭(zhēng)議的解決 Section 8 Dispute Settlements

24、0;8.1 因執(zhí)行本合同所發(fā)生的或與本合同有關(guān)的一切爭(zhēng)議，雙方應(yīng)通過(guò)友好協(xié)商解決。 All disputes in connection with or in the execution of the Contract shall be settled through friendly consultation by both parties. 第九條 合同的生效及其他 Section 9 Effectiveness of the Contract and Miscellaneous 9.1 本合同由雙方授權(quán)代表于_年_月_日在_簽字。并自簽字之日起生效

25、。 The Contract is signed by the authorized representatives of both parties on _, and comes into force immediately after the date of signing. 9.2 本合同的有效期從合同生效日起算共_年，有效期滿(mǎn)后，本合同自動(dòng)續(xù)期。如許可方商標(biāo)繼續(xù)有效，本合同可延續(xù)至下一個(gè)商標(biāo)有效期內(nèi)，繼續(xù)生效。 The Contract shall be valid for a period of _years from the date of the effect

Where the registered trademarks of the licensor are still valid, the Contract will be valid for consecutive validity period of the trademarks. 9.3 本合同的執(zhí)行中，對(duì)其條款的任何變更、修改和增減，都須經(jīng)雙方協(xié)商同意并簽署書(shū)面文件，作為合同的組成部分，與合同具有同等效力。 In the course of

27、 implementation of the Contract, all the alterations, amendments, supplements and subtractions to the Contract have been agreed upon and signed in written documents through consultation by both parties. They are integral parts of the Contract and have same legal force and effect as in the Contract. 9.4 本合同期滿(mǎn)后，雙方的未了債權(quán)和債務(wù)不受合同期滿(mǎn)的影響，債務(wù)人應(yīng)對(duì)債權(quán)人繼續(xù)完成未了債務(wù)。 After the date of the expiry of the validity period of the Contract, all those creditors rights and debts which have not been fulfilled by either of the Parties s
