2、rding to Contract Law of the People's Republic of China and related laws. 3、對設(shè)備進(jìn)行校準(zhǔn)維護(hù)。Party B shall repair and maintain the equipment after receipt of it.設(shè)備維修協(xié)議 (中英文 )2協(xié)議維修期限內(nèi)維修完畢后乙方寄給甲方，并以書面的方式通知甲方。協(xié)議維修期為六個月，自簽訂日期算起。如超越期限未履行完畢維修義務(wù)的，甲方有權(quán)解除協(xié)議另行委托第三方維修且由此產(chǎn)生的維修費用和乙方遲延履行義務(wù)給甲方造成的損失均因由乙方承擔(dān)。Party B shall dispatch the equipment and give a written notice to Party A after repair and

4、maintenance. The time for repair and maintenance is six months starting from date of this agreement signed by both parties. Party A shall have the right to cancel the Agreement and invite the Third Party to repair the equipment if Party B cannot finish the performance within the time for repair and

5、maintenance and all the expenses and other necessary expenses required incurred therefore shall be borne by Party B.3. 乙方為甲方提供的更換部件必須保證為原裝部件，如有特殊情況，乙方需在與甲方協(xié)商認(rèn)同后更換與原部件應(yīng)用功能與技術(shù)指標(biāo)相近的部件。Party B shall guarantee the replacement accessories are factory original ones. Under special circumstances, Party B sha

6、ll replace the accessories with those that have similar performance and specifications to factory original ones upon the agreement of the Party A4. 如果乙方為甲方更換的部件在三個月保修期內(nèi)損壞（收到設(shè)備當(dāng)天算起），乙方需為甲方免費更換、維修。Guarantee Time is three months starting from date of receipt of equipment by Party A. Party B shall repla

7、ce the damaged replacement accessories within the guarantee period and bear all expenses incurred.第三條甲方義務(wù) Obligation of Party A1甲方在協(xié)議設(shè)備出現(xiàn)故障后，及時通知乙方。Party A shall timely notify Party B when the equipment trouble occurs.2甲方不能使用未經(jīng)乙方認(rèn)可的，非原廠的零配件、消耗品，否則產(chǎn)生的設(shè)備故障，乙方不承擔(dān)責(zé)任。Party B shall not bear the responsibi

8、lity for the equipment troubles when Party A uses non-factory original accessories and/or parts without the agreement of the Party B.設(shè)備維修協(xié)議 (中英文 )3未經(jīng)乙方認(rèn)可，甲方不得邀請第三方單位對協(xié)議設(shè)備進(jìn)行維修，否則乙方不承擔(dān)由此產(chǎn)生的后果和責(zé)任。Party B shall not bear the responsibility and consequence when Party A invites Third Party to repair the eq

9、uipment without the agreement of the Party B.4甲方不得對合同設(shè)備進(jìn)行私自拆卸，否則由甲方承擔(dān)所造成的全部損失。Party A shall bear all the responsibility and consequence for disassembling the equipment without the agreement of the Party B.第四條結(jié)算金額及方式Payment Terms甲方在收到維修好的設(shè)備后應(yīng)在兩周內(nèi)完成驗收工作，一個月內(nèi)完成付款。Part A shall pay the actual expense for

10、 repair and maintenance to Party B. After arrival of the equipment, Party A shall do the inspection within two weeks and pay within a month.第五條爭議的解決Settlement of Dispute1、協(xié)議的訂立、效力、解釋、履行、終止及爭議的解決均受中華人民共和國（不包括香港、臺灣、澳門）法律管轄。如果本協(xié)議中有無法執(zhí)行的條款，雙方應(yīng)根據(jù)原條款的真實意圖及經(jīng)濟后果另立新的款項。The conclusion, validity, explanation,

11、performance, termination, and disputesettlement of the Agreement are to be subject to the laws of the People s Republicof China with Hong Kong, Taiwan and Macao being excluded. If the Agreement can not be implemented in the terms, the new terms to this Agreement shall be agreed in writing by both Pa

12、rties and shall refer to this Agreement.2、因執(zhí)行本協(xié)議而引起的或與本協(xié)議有關(guān)的一切爭議，雙方應(yīng)友好協(xié)商解決并簽訂補充協(xié)議。無法協(xié)商一致的，任何一方均可將爭議提交中國國際經(jīng)濟貿(mào)易仲裁委員會華南分會，根據(jù)該會仲裁程序進(jìn)行仲裁。按照該會現(xiàn)行有效的仲裁規(guī)則進(jìn)行仲裁，仲裁裁決是終局的，對雙方當(dāng)事人均有約束力，任何一方不得向其它仲裁機構(gòu)提出申請。敗訴方承擔(dān)仲裁費。All dispute arising from the execution of, or in connection with this Agreement shall be settled amica

14、re. The arbitrate award is final and binding upon both parties. Both parties cannot submit the case to any other arbitration tribunal .Arbitration fee shall be borne by the losing party.第六條生效條款 Effectiveness1、本協(xié)議一式兩份，采用中、英文書寫，兩種文字具有同等權(quán)力，簽字雙方各執(zhí)一份。This Agreement is made out in both Chinese and English
