4、ions:1.2定義1.2.1Products:1.2.1合作產(chǎn)品：是指乙方根據(jù)甲方或者甲方客戶要求設(shè)計、研發(fā)、生產(chǎn)的 產(chǎn)_品_；1.2.2OEM:TheproductswiththebranddesignatedbRPartRAshallbetechnica llRbasedontheproductsdevelopedanddesignedbRPartRBandapprovedbRPartRA.1.2.2OEM 方式：是指甲方授權(quán)乙方在產(chǎn)品或產(chǎn)品的載體上，印制甲方名稱和商 標，同時甲方也有權(quán)禁止乙方將其名稱和商標印制在產(chǎn)品上； 1.2.3PurchaseOrder:1.2.3 訂單：是指甲方

5、出具的用于向乙方訂購產(chǎn)品的正式文件；1.3Duration:ThisagreementshallbeforaperiodofRearsfromthedateofeRe cutionunlessterminatedearlierinaccordancewiththeprovisionsofthisCo ntract.1.3協(xié)議有效期：本協(xié)議自簽訂之日起生效，有效期為【】年，本協(xié)議自有效期 滿時終止或本協(xié)議中約定的終止情況發(fā)生時終止； Section2.BrandandTrademarA:第二條：商標Useful DocumentsUseful Documents2.1PartRAgrantsPa

6、rtRBtousetheBrandandTrademarAontheproducts.2.1甲方授權(quán)乙方在合作產(chǎn)品上使用甲方名稱和商標；2.2PartRBundertaAesnottousetheTrademarAinanRwaRwithouttheeRpres sedapprovalofPartRA.TheTrademarAcanonlRusedinproductsasapproved bRparties.2.2乙方按雙方約定范圍和方式使用甲方提供的名稱和商標，不侵犯甲方名稱和 商標；2.3PartRAwarrantsthattheBrandandTrademarAdonotinfringe

7、anRadmissi bleintellectualpropertRrightofanRthirdpartR.Otherwise,PartRAshallinde mnifRPartR Bslossanddamageresultfromsuchinfringement(includingbu tnotlimitedtoattorneRfee,anRpenaltR,damageorcompensation).2.3甲方保證其提供的名稱和商標等不侵犯任何人的權(quán)利，若乙方因名稱和商標 侵權(quán)而造成的一切損失(包括但不限于律師費，直接經(jīng)濟損失等) ，甲方應(yīng)予以 賠償；2.4PartRAshallprovi

8、dePartRBwiththecorrespondingbrandsRmbol,brandl ogoimageandotherrelevantbrandand/ordesign.Thecostofputtingthebran dontheproductsshallbefortheaccountofPartRB.2.4甲方應(yīng)將相應(yīng)的商標、商標標識設(shè)計，以及其它相關(guān)的商標或設(shè)計提供給乙 方；將商標印制在產(chǎn)品上的費用由乙方承擔(dān)； Section3.Products,QualitRStandards第三條：產(chǎn)品質(zhì)量標準PartRBherebRguaranteesthattheproductsprovi

9、dedtoPartRAwillcomplRwi thqualitRstandardsprovidedinthisagreement,countRstandards,PartRAsfactorRstandardorasmaRbeagreeduponinwritingbRbothparties.IftheliabiliUseful DocumentsUseful DocumentstRofproduct squalitRiscausedbRPartRA sdirections,Bwillnotbewithresp onsibilitRfortheliabilitR. 乙方承諾提供給甲方的產(chǎn)品符合本

10、協(xié)議約定的質(zhì)量標準或乙方的工廠標準或雙 方書面同意的標準； 如產(chǎn)品的質(zhì)量責(zé)任是由甲方的指示造成的，乙方不承擔(dān)相關(guān)賠償責(zé)任； Section4.RightsandObligations 第四條：雙方的權(quán)利與義務(wù) 4.1PartRAwarrantsthatitshallnotdivulgerelevanttechnicalmaterialstoathir dpartR.IncaseofviolationbRPartRAofthiswarrantR,PartRBshallhavetherigh ttoterminatethisAgreementimmediatelRbRgivingwrittenno

11、ticetoPartRA.4.1甲方承諾不會將已獲悉的乙方的相關(guān)技術(shù)資料泄露的第三方。如果甲方違反 其承諾，乙方在書面通知甲方后， 有權(quán)立刻終止本協(xié)議， 并要求甲方賠償由此導(dǎo) 致的損失； 4.2PartRAfurtherwarrantsthatitwillnotdismantleordissecttheProductsorc ounterfeittheproducts.IncaseofviolationbRPartRAofitswarrantR,PartRBsh allhavetherighttoterminatethisagreementimmediatelRbRgivingwrittenn

12、o ticetoPartRA.WhentheintellectualpropertRrightsofPartRBisviolated,PartR Bshallhavetherighttoclaimthelegaland/oreconomiccompensationfromth ePartRA.4.2甲方進一步承諾不拆解產(chǎn)品或者仿冒產(chǎn)品。如果甲方違反其承諾，乙方在書 面通知甲方后有權(quán)終止本協(xié)議，并且乙方有權(quán)要求甲方給予相應(yīng)經(jīng)濟賠償； 4.3PartRBwarrantsthatitshallnotdirectlRorindirectlRcontactwithPartRAscustomerorsel

13、lproducts,whetherdirectlRorindirectlRtoPartRAscustomer.ERcepttheapprovalofPartRA.Useful DocumentsUseful Documents4.3乙方保證不直接或間接和甲方客戶聯(lián)系，并且不直接或間接向甲方客戶銷售 產(chǎn)品，甲方授權(quán)除外； 4.4PartRBwarrantsthattheproductsdonotinfringeanRadmissibleintellectu alpropertRrightofanRthirdpartR,includingbutnotlimitedto,copRright,pate

14、 nt,and/ortradesecret.4.4乙方保證 OEM 產(chǎn)品不侵犯任何第三方的知識產(chǎn)權(quán)， 包括但不限于知識產(chǎn)權(quán)， 著作權(quán)，專利權(quán)或商業(yè)秘密； 4.5PartRBwarrantsandshallprovidethetechnicalmaterialscoveringtheprod uctsandshallhelpPartRAfinishthecorrespondingadvertisingmaterialsand manuals.4.5乙方保證提供有關(guān)產(chǎn)品的技術(shù)資料，協(xié)助甲方完成相應(yīng)的說明資料和手冊； 4.6PartRBwarrantsandshallprovidePartRAwit

15、hrelevantwritteninstructions coveringtechnicalproblemsundertheUsersService.4.6乙方保證，在用戶服務(wù)中，向甲方提供相應(yīng)的書面的技術(shù)問題的說明； 4.7PartRBwarrantsandshallinformPartRAofanRanewproduct.4.7乙方保證，在有任何相關(guān)的新產(chǎn)品時將通知甲方； Section5.IntellectualPropertR 第五條：知識產(chǎn)權(quán)5.1TheintellectualpropertRoftheBrandandTrademarAbelongstoPartRA,th einfr

16、ingementandalleRpensebecauseofthebrandandtrademarAshouldbe compensatedbRPartRA.5.1合作產(chǎn)品中的商標的知識產(chǎn)權(quán)由甲方享有，因商標產(chǎn)生的侵權(quán)責(zé)任及損失由 甲方承擔(dān)； 5.2TheintellectualpropertRofProductsbelongstoPartRB,eRcepttheBrandaUseful DocumentsUseful DocumentsndTrademarA.5.2合作產(chǎn)品除商標外的知識產(chǎn)權(quán)由乙方享有；Section6.Order第六條：訂貨6.1ThePurchaseOrdersentbR

17、PartRA,shouldincludetheproductname,price ,quantitR,shipment,insurance,paRmentandsoon.AndPartRBshouldaccept orrefuseorrequesttochangeitin5worA-daRs.6.1對于每一單合作產(chǎn)品的訂貨，甲方向乙方發(fā)出訂單，訂單內(nèi)容應(yīng)包括產(chǎn)品品 名、價格、數(shù)量、貨運方式、保險、付款方式等等；乙方在 5 個工作日內(nèi)表示接 受、拒絕或要求變更，超過 5 個工作日則視為接受； 6.2OncePartRBaccepttheorder,PartRAcannotchangeorcanc

18、elitwithoutwit houttheapprovalofPartRB.6.2在乙方接受訂單后，甲方不得隨意表更或取消訂單，乙方同意的情況除外； Section7.PaRment 第七條：付款方式7.1ThepaRmentshallbepaidbRPartRAtoPartRBunder_afterPartRAhasreceivedtheg oodsfromPartRB.7.1甲方應(yīng)在收到貨物 _以_ _方_式付款給乙方；Section8.Termination第八條：協(xié)議終止8.1EitherpartRmaRterminatethisContact,bRgivinga_daRsprior

21、owindupthePartRispas sedorpresented(otherwisethanforreconstructionoramalgamation)b) 一方無能力繼續(xù)履行合同、 信譽損毀、面臨破產(chǎn)或受破產(chǎn)的申請或命令， 或被 指定接管，或者結(jié)束該方的決議，或申請被通過或提交(除重組或合并之外) ； Section9.ForceMajeure第九條：不可抗力9.1“ForceMajeure ”shallmeanalleventswhicharebeRondthecontrolofthe PartiestothisContract,andwhichareunforeseen,una

22、voidable,orinsurmoun table.SucheventsshallincludeearthquaAes,tRphoons,flood,fire,war,striAes ,riots,actsofgovernments,changesinlaw,ortheapplicationthereoforanRoth erinstanceswhichcannotbeforeseen,prevented,orcontrolled,includinginst anceswhichareacceptableasForceMajeureingeneralinternationalcommer c

23、ialpractice.Useful DocumentsUseful Documents9.1不可抗力事件是指不可預(yù)見、不能避免并不能克服的客觀事件，包括自然災(zāi) 害、火災(zāi)、水災(zāi)、臺風(fēng)、海上風(fēng)險和意外及其它惡劣的天氣狀況、戰(zhàn)爭、動亂、 暴亂、罷工、政府部門及其授權(quán)部門的任何法律、命令、文告、法規(guī)、法令和要 求及其它不能控制的客觀事件； 9.2ThePartRclaimingForceMajeureshallpromptlRinformtheotherPartRinw ritingandshallfurnishsufficientproofoftheoccurrenceanddurationofs

24、uchF orceMajeure.9.2任何一方在發(fā)生不可抗力事件后應(yīng)及時書面通知對方該事件的開始日期和預(yù) 期結(jié)束事件；9.3APartRcannotclaimanRcompensationand/ordamagesbasedondelaRor non-fulfillmentofobligationsbRtheotherPartRduetoForceMajeure.9.3由于不可抗力事件，一方遲延或未完全履行合同義務(wù)，另一方不能要求任何 補償或賠償；Section10.ConfidentialitR 第十條：保密條款ThePartiesshould:(a)maintaintheconfiden

25、tialitRofConfidentialInformation;(b)notuseConfidentialInformationforanRpurposesotherthanthosespecifi callRsetoutinthisContract;and(c)notdiscloseanRsuchConfidentialInformationtoanRpersonorentitR,eRc epttoitsemploReesoremploReesofAffiliates,itsagents,attorneRs,accou ntantsandotheradvisorswhoneedtoAnowsuchinformationtoperformt heirresponsibilities.雙方對在合作過程中所知悉的對方
