跨國公司法人聘用合同英文版合同編號：__________partiesthisagreement(the"agreement")isenteredintoasof__________(the"effectivedate"),andbetween:and[nameofindividual]("employee"),aresidentof__________,withapersonaladdressat__________.referredtoindividuallyasa"party"andcollectivelyasthe"parties".agreement1.employment1.2duties.duringtheemploymentperiod,theemployeeshallperformsuchdutiesasareconsistentwiththeemployee'spositionand,asmaybeassignedtheemployerfromtimetotime.theemployeeshallreportto__________(nameofsupervisor)attheemployer'sprincipalplaceofbusiness.2.1basesalary.theemployeeshallreceiveabasesalaryof__________(amount)peryear,payablein__________(frequency)installments.2.2benefits.theemployeeshallbeendtosuchbenefitsasarecustomarilyprovidedtheemployertoitsfulltimeemployees,including,butnotlimitedto,healthinsurance,retirementbenefitsandpaidtimeoff.thespecifictermsofsuchbenefitsshallbesetforthinaseparatebenefitsplandocument.2.3bonuses.theemployeemaybeeligibleforperformancebasedbonusesasdeterminedtheemployerinitssolediscretion.3.confidentialityandnondisclosure3.1confidentiality.theemployeeagreestomaintaininstrictconfidenceandnotuseordisclosetoanythirdpartyanyconfidentialinformationoftheemployer(the"confidentialinformation"),exceptasrequiredlaworwiththepriorwrittenconsentoftheemployer.theconfidentialinformationincludes,butisnotlimitedto,tradesecrets,customerlists,financialdataandotherbusinessinformation.4.termination4.1terminationeitherparty.eitherpartymayterminatethisagreementuponwrittennoticetotheotherparty,intheeventofamaterialbreachofthisagreementtheotherpartythatisnotcuredwithin__________(duration)afterreceiptofwrittennoticefromthenonbreachingparty.4.2terminationemployer.theemployermayterminatethisagreementimmediatelyuponwrittennoticetotheemployeeintheeventof:(a)theemployee'smaterialbreachofthisagreement;(b)theemployee'sconvictionofafelonyoracrimeinvolvingmoralturpitude;(c)theemployee'sfailuretoperformtheessentialdutiesoftheemployee'sposition;or(d)theemployee'sengagementinconductthatisdetrimentaltotheinterestsoftheemployer.4.3terminationemployee.theemployeemayterminatethisagreementimmediatelyuponwrittennoticetotheemployerintheeventof:(a)amaterialbreachofthisagreementtheemployer;or(b)theemployee'sresignationforgoodreason,asdefinedintheemploymenthandbookoftheemployer.5.indemnification5.1indemnificationemployer.theemployershallindemnifytheemployeeagainstanyandallclaims,losses,damages,expenses(includingattorney'sfees)andliabilitiesarisingoutoforinconnectionwiththeperformanceoftheemployee'sdutiesunderthisagreement,excepttotheextentcausedtheemployee'sgrossnegligenceorwillfulmisconduct.6.miscellaneous6.1assignment.thisagreementmaynotbeassignedeitherpartywithoutthepriorwrittenconsentoftheotherparty.6.3Governinglawandjurisdiction.thisagreementshallbegovernedandconstruedinaccordancewiththelawsof__________,andanydisputesarisingoutoforinconnectionwiththisagreementshallbesubjecttotheexclusivejurisdictionofthecourtsof__________.一、附件列表：員工手冊福利計劃文檔績效評估標(biāo)準(zhǔn)保密協(xié)議非競爭協(xié)議雇傭證明文件二、違約行為及認(rèn)定：員工未能履行合同約定的duties為違約行為。雇主未能支付約定的basesalary或未能提供約定的benefits為違約行為。泄露或使用雇主confidentialinformation或違反非競爭協(xié)議為違約行為。任何一方未能履行合同中其他條款的行為也可被認(rèn)定為違約行為。三、法律名詞及解釋：違約：違反合同條款的行為。保密信息：包含商業(yè)秘密、客戶列表、財務(wù)數(shù)據(jù)等不應(yīng)被泄露的商業(yè)信息。非競爭協(xié)議：員工在特定時間內(nèi)不得在與雇主有競爭關(guān)系的企業(yè)工作或為該企業(yè)提供服務(wù)。雇傭期：員工與雇主之間的合同期限。四、執(zhí)行中遇到的問題及解決辦法：員工未按約定履行duties：與員工溝通并給予改正的機會，如無法改正則按合同條款進行處理。雇主未支付salary或benefits：書面提醒，如不改正可視為違約并尋
