1.Employment

1.1.TheEmployeeagreestobeemployedbytheEmployerasanemployeeintheEmployer’sbusiness,subjecttothetermsandconditionssetforthherein.

1.2.TheEmployee’semploymentshallcommenceon[StartDate]andshallcontinueuntil[EndDate],unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.

1.3.TheEmployee’spositionshallbe[PositionTitle],andtheEmployeeshallperformthedutiesandresponsibilitiesassociatedwithsuchposition.

2.DutiesandResponsibilities

2.1.TheEmployeeshallperformthedutiesandresponsibilitiesassignedbytheEmployer,whichmayinclude,butarenotlimitedto,thefollowing:

4.Benefits

4.1.TheEmployeeshallbeentitledtoparticipateintheEmployer’sbenefitplans,subjecttothetermsandconditionssetforthintherespectivebenefitplans.

4.2.TheEmployershallprovidethefollowingbenefitstotheEmployee:

6.ConfidentialityandNon-Compete

6.2.TheEmployeeagreesnottoengageinanycompetingbusinessoractivityduringthetermofthisAgreementandforaperiodof[Non-CompetePeriod]followingtheterminationofthisAgreement.

7.GoverningLawandDisputeResolution

7.1.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

7.2.AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughmediation,andifmediationfails,througharbitrationinaccordancewiththerulesof[ArbitrationInstitution].

8.Miscellaneous

8.1.ThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,understandings,andrepresentations,whetherwrittenororal,relatingtothesubjectmatterhereof.

8.2.ThisAgreementmaybeamendedormodifiedonlybyawrittenagreementexecutedbybothParties.

8.3.IfanyprovisionofthisAgreementisfoundtobeunenforceableorinvalid,theremainingprovisionsshallremaininfullforceandeffect.
