rtyBshallberesponsibleforhandlingthem.Chapter8:LiabilityforBreachofContract8.1DefinitionofBreachAbreachofcontractoccursifeitherpartyfailstoperformorfailstofullyperformitscontractualobligations.8.2LiabilityforBreachThebreachingpartyshallbeliableforthebreach,includingbutnotlimitedtocompensatingtheotherpartyforanydirecteconomiclossessufferedasaresult.8.3CompensationandRemedialMeasuresThebreachingpartyshalltakeremedialmeasureswithin7workingdaysafterthebreachoccursandpayliquidateddamagestothenon-breachingparty,theamountofwhichshallbe10%ofthetotalcontractprice.8.4NotificationofBreachThenon-breachingparty,upondiscoveringabreach,shallnotifythebreachingpartyinwritingandrequestthatthebreachingpartycorrectthebreachwithinareasonableperiod.Chapter9:DisputeResolution9.1MethodsofDisputeResolutionThepartiesshallfirstattempttoresolvedisputesthroughfriendlynegotiation.Ifnegotiationfails,thedisputemaybesubmittedtothePeople'sCourtatthelocationofPartyAforlitigation.9.2DisputeResolutionProceduresThedisputeresolutionproceduresshallfollowthesesteps:Onepartysubmitsawrittennoticeofdispute.Bothpartiesshallnegotiatewithin15workingdaysafterreceivingthenoticeofdispute.Ifnegotiationfails,submittothePeople'sCourt.9.3GoverningLawandJurisdictionTheinterpretation,application,andresolutionofdisputesunderthiscontractshallbegovernedbythelawsofthePeople'sRepublicofChina.ThePeople'sCourtattheplaceofcontractsigningshallhavejurisdictionoveranydisputesarisingfromthiscontract.Chapter10:AmendmentandTerminationoftheContract10.1ConditionsforAmendmentAnypartyproposinganamendmenttothecontractshallnotifytheotherpartyinwritingatleast7workingdaysinadvance,andtheamendmentshallonlybeeffectiveuponmutualconsent.10.2ConditionsforTerminationIfonepartyseriouslyviolatesthetermsofthecontract,theotherpartyhastherighttoterminatethecontractinadvance.10.3ProceduresforAmendmentandTerminationTheamendmentorterminationofthecontractshallfollowtheseprocedures:Thepartyproposingtheamendmentorterminationshallnotifytheotherpartyinwriting.Bothpartiesshallnegotiatewithin7workingdaysafterreceivingthenotice.Afterreachinganagreement,bothpartiesshallsignanagreementforamendmentortermination.10.4ConsequencesofContractTerminationUponterminationofthecontract,bothpartiesshallsettletransactionsthathavealreadyoccurredandhandlesubsequentmattersaccordingtotheperformanceofthecontract.Chapter11:ConfidentialityAgreement11.1ConfidentialInformationBothpartiesshallkeepconfidentialthecommercialandtechnicalsecretsoftheotherpartyknownduringthecooperationprocess,andshallnotdisclosethemtoathirdpartywithoutthewrittenconsentoftheotherparty.11.2DurationofConfidentialityTheconfidentialityperiodshallbeeffectivefromthedateofsigningofthecontractuntiltwoyearsaftertheterminationofthecontract.11.3LiabilityforBreachofConfidentialityApartythatviolatestheconfidentialityagreementshallbearthecorrespondinglegalresponsibilitiesandcompensatetheotherpartyforanylossessufferedasaresult.Chapter12:AdditionalClauses12.1ContentofAdditionalClausesBothpartiesmaysupplementormodifythiscontractinwritinguponmutualagreementaccordingtotheactualsituation.12.2EffectofAdditionalClausesAdditionalclausesshallhavethesamelegaleffectasthiscontract.12.3AmendmentofAdditionalClausesTheamendmentofadditionalclausesshallfollowtherelevantprovisionsforcontractamendment.Chapter13:EffectivenessoftheContractandAttachments13.1ConditionsforEffectivenessThiscontractshallcomeintoeffectuponthesigningandstampingbytherepresentativesofbothparties.13.2ListofAttachmentsTheattachmentsincludebutarenotlimitedtoproductspecifications,qualityinspectionreports,deliveryplans,etc.,andtheattachmentsshallhavethesamelegaleffectasthiscontract.13.3SignatureBlock,Sign-inTime,andPlaceofSigningSignatureofPartyA'sRepresent
