CONTRACTOFSUBPROJECTEXECUTION簽署日期：DateofSignature:總包商：GeneralContractor分包商：Subcontractor電氣機械承包公司〔以下簡稱總包商〕，和工程施工公司〔以下簡稱分包商〕，于＿＿訂立本分包合同。〔以下簡稱業(yè)主的設(shè)計，運輸和施工簽訂了合同；鑒于分包商愿按該合同實施土建和安裝工程而報了價；鑒于總包商已承受分包商的報價，并依據(jù)分包商所附的報價表，現(xiàn)雙方達成協(xié)議如下：Thiscontractismadeandenteredintoon ,betweenElectricalMachineContractingCompany(hereinafterreferredtoasgeneralcontractor)andEngineeringCompany(hereinafterreferredtoassubcontractor).WHEREASgeneralcontractorhasconcludedcontract,withLibyanNationalAuthorityofLargeElectricalProject(hereinafterreferredtoasemployer),ofthedesign,transportationandexecutionofthecontractedprojectofelectricalmachineinstallation;WHEREASsubcontractoriswillingtoexecutetheprojectofcivilengineeringandinstallationandmadequotationthereon;WHEREASgeneralcontractorhasacceptedsubcontractor’squotation;NOWTHEREFOREpartieshereto,aspersubcontractor’squotation,herebycovenantandagreeasfollows:〔一〕以下文件應(yīng)是本分包協(xié)議的組成局部：Followingdocumentsistheintegralpartsofthissubcontractingcontract.１．電氣、機械及技術(shù)操作的合同通用條款〔1980年第一版〕；GeneralProvisionsonElectrical/MachineandTechnicalOperation(Firstversion1980);ParticularProvisionsofContract;３．電氣機械工程工程的技術(shù)標準；TechnicalNormsofProjectofElectrical/Machine;４．工作范圍和技術(shù)要求；ContentsandTechnicalRequirementsforProject;５．土建和安裝工程分包合同的報價表。QuotationforSubcontractofCivilEngineeringandInstallation.〔二〕工作范圍ProjectContents范圍包括如下內(nèi)容：TheprojectofElectricalMachinewhichtechnicalrequirementsasshownindrawings,islocatedintheterritoryofRepublicofLibya.TheWorkingcontentsofsubcontractorincludethefollowing:１．供給全部工程的監(jiān)視人員，嫻熟和非嫻熟工人，供給運輸、測繪工具及設(shè)備，挖掘及鉆孔機械，吊車，以擔當塔架安裝和導線掛垂和拉直等工作。Dispatchingthepersonnel,forallprojects,ofsupervision,skilledandunskilledworkers,providingtransportation,mappingtools/equipment, machinesofdigging&drillingandcrane,whichforthepurposeoftheexecutionsoftowerinstallation,electricalline’shanging/straightening,andsoon.２．供給混凝土材料、水泥、砂、石子、灰漿材料、鋼筋，并運送到工地。Provisionofandtransportationofconcretematerials,cement,sand,gravel,mortarmaterialsandsteelbar.３．為全部工人及治理人員供給住宿、膳食、供水、衛(wèi)生設(shè)備、交通費用和社會保險。Provisionof,forallworkersandadministrators,accommodation,meals,water,sanitation,transportcostsandsocialinsurance.４．運送由總包商供給的庫房中的塔架、導線、絕緣材料、五金構(gòu)件、接地材料，包括從總包商庫房到施工現(xiàn)場的運輸，并負責卸車和保管。Transportation,fromwarehouse,providedbygeneralcontractor,oftower,electricalline,hardwarecomponents,groundingmaterials,whichincludingtheresponsibilitiesoftransportationfromgeneralcontractor’swarehousetoWorksiteinadditiontounloadingandstoragethereof.的塔架位置，分包商應(yīng)測量檢驗，以保證塔架的位置和線位方向符合合同技術(shù)標準的要求，并在取得總包商批準后，應(yīng)對測繪圖作相應(yīng)的更改或修正。Subcontractorshould,aspertheprofileviewandmappingdiagram,providedbygeneralcontractor,determinethelocationoftoweronwhich,generalcontractorhasterminated,subcontractorshouldmakemeasureandinspectionsoastoensuretower’slocationandorientationconformthetechnicalrequirementshereof,andshould,besubjecttoapprovalofgeneralcontractor,processcorrespondingalterationoramendmentthereof.〔三〕符合技術(shù)標準要求ConformityWithRequirementsofTechnicalNorms商有關(guān)的全部責任。Subcontractorshould,befamiliarwiththetechnicalnormsandasperemployer’srequirementsandcontract’sstipulation,assumeallresponsibilitieswhichwithinsubcontract’sworksandrelevanttosubcontractor.〔四〕勞工Labor分包商應(yīng)：Subcontractorshould１．供給足夠數(shù)量的工人，以滿足總包商工程師在工程進度方面的要求。Sendasufficientofnumberofworkerstomeetthenecessityofprojectprogressschedulebyengineerofgeneralcontractor.２．支付雇員工資并自費為其雇員供給保險，為其雇員供給住宿及膳食。Makepayment,atitsownexpenses,ofwages/salaryandinsuranceforitsemployers,andprovideemployerswithaccommodationandmeals.〔五〕ComplywithLaws分包商應(yīng)對以下事項擔當法律責任：Subcontractorshouldassumelegalliabilityforfollowingitems稅，分包商也應(yīng)對此負責。ComplywiththeprovisionsofincometaxinLibyalaws,ifanyemployerfailtopaysuchtaxagainstthepaymentofremunerationwhichpaidbyemployer,subcontractorshallbearresponsibilitytherewith.２．分包商應(yīng)聽從全部適用于本分包工程范圍內(nèi)的利比亞國的法律、地方法及規(guī)定。Subcontractorshouldobeyalllaws,localregulationsandrules,whichapplytothissub-project,ofLibya.〔六〕與業(yè)主的關(guān)系RelationshipwithEmployer除總包商的工程師授權(quán)外，分包商任何時候均不能與業(yè)主接觸或談判。Subcontractorshouldnot,atanytime,takecontacttoandnegotiationwithemployerexceptwiththeauthorizationofgeneralcontractor’sengineer.〔七〕WarrantyPeriod分包商將從頒發(fā)驗收證書之日起１２個月內(nèi)所分包施工的工程的質(zhì)量保修責任。Subcontractorshall,within12monthsonandfromthedateofAcceptancecertificateissued,taketheliabilityofqualitywarrantyforitssubcontractingproject.〔八〕Insurance備進展保險，這應(yīng)包括分包工程在內(nèi)。ProjectInsurance:Generalcontractorshould,asperthestipulationsofgeneralprovisionshereof,atitsownexpense,effecttheinsurance,whichincludesub-contract,coveringthepermanentandtemporaryworks,constructionmachinery/equipment.２．第三方保險：包括分包商在內(nèi)的第三方保險，將由總包商擔當，而分包商不付任何費用。分包商應(yīng)自費負責其工人的保險，包括與分包工程有關(guān)的各種性質(zhì)的索賠。Insuranceforthethirdparty:Thethirdpartyinsurancewhichincludesubcontractorshallbeeffectedbygeneralcontractor,forwhichnoexpenseonsubcontractor.Providedthatsubcontractorshouldatitsownexpenseeffecttheinsuranceforitsworkers,includetheclaimsofvariouskindswhichrelevanttosubcontractedproject.〔九〕ToolandEquipment該分包工程施工和修理所需的全部工具，包括拉力設(shè)備、撥具、張緊裝置、操作線、傳動滑車等、分包商應(yīng)自費供給。工具撤出利比亞國。Subcontractorshould,atitsownexpense,provideanyandalltoolswhichnecessaryforexecutionandmaintenanceofprojectincludingpullingdevice,dialtool,tensioningdevice,operatingline,drivingpulley,andothertools.SubcontractorshouldcomplywithalllawsandcustomsregulationsinLibyaonavarietyoftools,equipments,machineryandtransportvehicleandpayallexpensewhicharisingthererom.Subcontractorshould,uponthecompletionofsubcontractedworks,withdrawallequipmentsandtoolsreferredaboveoutofLibyancountry.〔十〕DeliveryofGeneralContractor’sMaterials總包商應(yīng)負責交付工程施工所需材料，包括塔架、塔架附件、導線、絕緣裝置、絕緣體及導現(xiàn)場并卸車，費用自行擔當。按工程進度打算，對分包商各項工作所需要的材料少要在該項工作開頭前一周為分包商備妥。假設(shè)總包商未能按上述要求把材料交付給分包商，總包商應(yīng)準許分包商相應(yīng)的延長期。Generalcontractorshouldberesponsibleforthedeliveryofconstructionmaterialsneededforexecution,whichincludetoweranditsaccessories,electricalline,insulatingdevice,insulators,wireaccessories,groundingrodsandgroundinglines,andsoon.Subcontractorshouldonitsownexpense,obtainfromgeneralcontractoswarehouse,andloadandtransportthematerialstoworksiteandunloading.Withrespecttothematerialswhichnecessarytothevariousworksofsubcontractor,generalcontractorshould,asperprojectschedule,completematerialpreparationforsubcontractorwithinoneweekpriortothecommencementofwork,providedthatifgeneralcontractorfailtodoso,correspondingextensionofworkperiodshallbeallowedtosubcontractor.〔十一〕SubcontractedQuantityandTotalCost在該分包工程價格表中所列的工程量僅是估算數(shù)量，假設(shè)增減范圍在±＿％之內(nèi)，則單價不作任何變化。假設(shè)增減范圍超過±＿％，應(yīng)按總包合同一般條款中第＿條規(guī)定辦理。ThequantityspecifiedinSubprojectPriceListisonlyestimate,if,increaseordecreaserangewithin±_%,noadjustmentshallbemadetounitprice.Providethatifincreaseordecreaserangebeyond±_%,shallprocessasperArticle incommercialconditionofGeneralContract.本工程工程的分包總價是在分包商給總包商的報價中予以確定的件已被總包商承受，且是本分包合同的組成局部。Subjecttotalcosthasbeenaffirmedinsubcontractor’squotationtogeneralcontractor,andthequotationandconditionsthereofhavebeenacceptedbygeneralcontractorandconstitutetheparthereof.〔十二〕SupervisionofGeneralContractor.總包商將指定一位或幾位工程師監(jiān)視該項分包工程的施工幫助義務(wù)。Oneormorethanoneengineerswhoareappointedbygeneralcontractorshallmakesupervisionandinspectionontheexecutionofsubprojectandthestaffofsubprojectshouldassumetheassistanceliabilityforsitesupervision.〔十三〕PermissionandLicense開支均應(yīng)由分包商擔當。Generalcontractorshouldassistsubcontractoravailableforentryvisas,Permissionsofresidenceandwork,whicharenecessaryforsubcontractor’semployees,inadditiontotheimportpermissionofmaterials/equipmentsneededbysubject,aswellaslivinghouse.Allcostandexpensearisingtherefromshallbeforsubcontractor’saccount.〔十四〕CompletionandDelayduetoBreach日期完成各分項工程的施工。〔各分項工程的竣工日期略〕＿％約罰款金最高限額不得超過分包合同總價的＿％。Subcontractorshould,subjecttoExecutionSchedulewhichagreedbypartieshereto,atthecircumstancesunderwhichsubcontractorisavailabletotheprovisionofmaterialsintime,makecompletionoftheexecutionsofeachsub-projectasthefollowingstipulateddate.〔十五〕ProgressReport分包商應(yīng)按總包商同意的格式，呈送每周和每月的進度報表。Subcontractorshould,aspertheformatwhichagreedbygeneralcontractorpresentweeklyandmonthlyprogressreport.〔十六〕Manufacturer’sCertificateandTestReport全部試驗及試驗報告書應(yīng)符合有關(guān)標準標準的要求。Subcontractorshouldprovidegeneralcontractorwithmanufacturer’scertificateandtestreportofcement,reinforcingsteelbar,sand,gravelandanyothermaterialswhichshallbeusedinsubprojectandwiththepermissionofgeneralcontractor.ReportofconcreteblockshouldbesenttogetherwithApplicationofpaymentforfoundationproject.Alltestandreportthereofshouldconformtotherequirementofrelevantstandardornorm.〔十七〕支付條款Payment總包商應(yīng)按如下規(guī)定向分包商付款:Generalcontractorshouldasperfollowingprovisionmakepaymenttosubcontractor:＿％，自分包商提交由銀行開具的等值銀行預(yù)付款保函之日起１５天內(nèi)，付給分包商；保函有效期為＿個月。Advancepayment,whichequalto＿％ofsubcontract’stotalvalueshallbepaidtosubcontractorwithin15daysonandfromissueofBankGuarantee,bysubcontractor,forAdvancePaymentwhichhasequalvalvewiththesamevalueofadvancepayment.ThevalidityperiodofGuaranteeshallbe months.２．每月完成的并經(jīng)業(yè)主驗收的工程的占分包合同價的＿％。Inaccordancewithmonthlycompletionwhichhavebeenacceptedbyemployer,thepaymentshallbe＿％ofsubcontracttotalcost.３．分段工程占分包合同價的＿％；憑臨時驗收證書。Paymentofsubsectionshallaccount＿％ofsubcontractcostagainsttemporaryacceptancecertificate.４．分包價的＿％后，自收到分包商發(fā)票之日起五周內(nèi)，才能付給分包商。＿％oftotalsubcontractcostshall,againstCertificateofFinalAcceptance,bemadepayment.Inaccordancewiththeprovisionsofgeneralcontractthepaymentcannotbemadeunlessanduntilwithinfiveweeksinwhichemployermakeacceptanceandwithinfourweeksinwhichreceiptofsubcontractor’sinvoices.〔十八〕Acceptance3驗收日期。Upon completion of project, Subcontractor should inform General contractor to processcompletionacceptance;Generalcontractorshallarrangeinspectionandacceptancewithin3workingdaysafterreceivingthenotification,andshallhandletheinspectionandhand-overprocesses.IntheeventofGeneralcontractorcouldNOTarrangetheinspectionandacceptancewithintherequiredperiod,GeneralcontractorshouldinformSubcontractorandreschedulethedateforacceptanceonatimelymanner.分包商在向總包商提交竣工驗收申請的同時，應(yīng)提交相關(guān)的竣工資料和竣工圖。Subcontractorshallsubmitrelevantas-builtsubmittalsandas-builtdrawingwhensubmittingtherequestforcompletionacceptancetoGeneralcontractor.7文件、設(shè)備和工具等。Afterthecompletionacceptance,Subcontractormustfinishthevacationoftheprojectsitewithin7daysandcompleteallhand-overprocessesincludingdocuments,equipment,andutensils〔十九〕GuaranteeforPerformance在分包合同簽訂后１５天內(nèi)分包商應(yīng)依據(jù)所附的保函格式提交一份銀行開具的無條件履約保函，額度相當于分包合同價的＿％，有效期為＿個月，自本分包合同簽訂之日起。Subcontractorshould,within15daysonandaftersignatureofsubprojectaspertheguaranteeformat,submitanUnconditionalPerformGuaranteebyabank,ofwhichtheamountshallbeequalto＿％ofsubjectcontracttotalcostandvalidityis monthsonandafterthedateofsignatureofthiscontract.〔二十〕DocumentsandDrawings分包商亦不能泄露由總包商或業(yè)主所供給的文件中的任何資料。但是涉及本協(xié)議目的的除外。Subcontractorshould,uponreceiptoffinalpayment,returnalldocuments,drawingsandtechnicalnorms,whichprovidedbygeneralcontractor.Anydocumentfromgeneralcontractorcannotbeusedbysubcontractortoanyotherpurposebeyondtheexecutionhereof,andsubcontractorshallinnocasediscloseanyinformationinthedocumentsprovidedbygeneralcontractororemployer,exceptforthepurposehereof.〔二十一〕DeferredDeliveryofGeneral
