TABLEOFCONTENTS目錄ARTICLE1-GENERALPROVISIONSANDGOVERNINGLAW第一條總則和適用法律ARTICLE2-TERMOFCONTRAC第二條勞動(dòng)合同期限ARTICLE3-PROBATIONARYPERIO第三條試用期ARTICLE4-APPOINTMENTANDDUTIES四條崗位和職責(zé)ARTICLE5-WORKINGHOURS,STATUTORYHOLIDAYSANDOTHERLEAVES第五條工作時(shí)間、法定的假日和其它休假ARTICLE6-LABORCOMPENSATION第六條勞動(dòng)報(bào)酬ARTICLE7-TRAINI第七條培訓(xùn)ARTICLE8-WORKINGCONDITION第八條工作條件ARTICLE9-DISCIPLINEANDINTERNALR第九條紀(jì)律和規(guī)章制度ARTICLE10-DISCHARGEANDTERMINATIONOFCONTRACT第十條合同的解除與終止ARTICLE11-LIABILITYFORBREACHOFCONT第十—條違約責(zé)任ARTICLE12-LABORDISPUT第+二條勞動(dòng)爭(zhēng)議ARTICLE13-CONFIDENTIAL]第十三條保密ARTICLE14-NON-COMPETITIO第十四條不競(jìng)爭(zhēng)ARTICLE15-MISCELLANEOUS十五條其它規(guī)定SIGNATURES簽名PRELIMINARYSTATEMENT前言ThepartiesherebyagreethattheCompanyshallemploytheEmployeeaccordingtothefollowingprovisions:雙方特此同意公司按照下列條款雇傭員工:ARTICLE1-GENERALPROVISIONSANDGOVERNINGLAW第一條總則和適用法律1.01ThiscontractshallbesubjecttoandgovernedbytheLaborContractLa'wsofthePeopleRepublicofChinaandtheRegulationsofShanghaiMunicipalitoynLaborContractsandotherpublishedandpubliclyavailablelawsandregulationsapplicabletoforeigninvestmententerprisinShanghaiMunicipality,PRC.1.01本合同須遵守《中華人民共和國勞動(dòng)合同法》、《上海市勞動(dòng)合同條例》及在中華人民共和國上海市公開發(fā)布的有關(guān)外商投資企業(yè)的法律和法規(guī)并受其管轄。ARTICLE2-TERMOFCONTRACT第二條勞動(dòng)合同期限2.01ThisContractwil3beforatermof_yearsmencingon_unlearlieterminatedinaccordancewithprovisionsofthisContract,providedthatthisContractshallnotbecomeeffectiveunlessanduntilallthefollowingconditionsaresatisfied:本合同從一日起生效,為期—年。按照本合同有關(guān)條款,可以提前解除合同,但本合同須在下列條件全部滿足后才能生效。ptehresonnelfileoftheEmployeehasbeenreceivedbytheCompanyortheinstitutiondesignatedbytheCompany;and公司或公司指定的機(jī)構(gòu)已收到員工的人事檔案,及theEmployeecompletesasatisfactorymedicalexaminationatahospital/clinicdesignatedbytheCompany.員工已在公司指定的醫(yī)院/診所完成體檢,且體檢結(jié)果令人滿意。2.02ThisContractmayberenewedifbothPartiesagreetotherenewalandsignanewlaborcontractwithinthirty(30)daysbeforetheexpiryofthisContract.IntheabsenceofanewemploymentcontractdulysignedbybothParties,thisContractshallterminateautomaticallyuponitsexpiration.在本合同期滿之前30天內(nèi),經(jīng)雙方一致同意后,本合同可以續(xù)訂并由雙方簽署一個(gè)新的勞動(dòng)合同。如果雙方?jīng)]有簽署新的雇傭合同,則本合同于期滿時(shí)自動(dòng)失效。ARTICLE3-PROBATIONARYPERIOD第三條試用期3.01TheEmployeewillserveaprobationaryperiodof_month.Attheendofthisperiod,theCompanywillappraisehis/herperformance,andsubjecttogoodconductandperformance,his/heremploymentwillcontinuewiththeCompany.員工試用期為_個(gè)月。試用期期滿,公司對(duì)員工進(jìn)行業(yè)績?cè)u(píng)估,在符合行為和業(yè)績良好的前提下,該員工將由公司繼續(xù)雇傭。3.02Duringtheprobationaryperiod,theCompanyhastherighttoterminatethisContractiftheEmployeeisdeemedunqualifiedongivingwrittennoticeofseven(7)workingdays,orbythepaymentofseven(7)days'wagesinlieuofnotice.在試用期內(nèi),如果公司認(rèn)為員工不符合錄用資格,公司有權(quán)解除本合同。(公司可提前七⑺個(gè)工作日書面通知員工,或支付員工七(7)天工資代替通知?!矨RTICLE4-APPOINTMENTANDDUTIES第四條崗位和職責(zé)4.01TheEmployeeduringthetermofemploymenthereundershallservetheCompanyinthepositionofToiletEngineerandshallperformthedutiesspecifiedbytheCompanyandanyadditionaldutiesassignedtohim/herbytheCompanytimebytime.在本合同期間,員工在崗位工作。員工應(yīng)履行公司具體分配的職責(zé)以及公司不時(shí)分配的任何額外職務(wù)。4.02TheCompanyshallhavetherightto,uponagreementbetweentheParties,re-deploytheEmployeetoworkinanotherpositionand/ortovarythedutiesandpowersassignedtohim/herbyCompanybasedonthebusinessrequirementsoftheCompanyandhis/herperformance.經(jīng)過雙方同意,根據(jù)公司的業(yè)務(wù)需要和員工的業(yè)績,公司有權(quán)重新安排員工的工作崗位和/或改變公司分配給該員工的職責(zé)和權(quán)力。4.03TheEmployeeshalldevotehis/herfullworkingtimeandattentiontotheperformanceofhis/herduties.Duringthetermofemploymenthereunder,he/sheshallnotbeemployedbyorengagedinanybusinessactivitiesofanyotherentityorpersonwithoutthepriorwrittenconsentoftheCompany.TheEmployeeshallbesubjecttoimmediatedismissalforanyviolationoftheseobligations.員工應(yīng)投入其全部的工作時(shí)間和注意力履行其職責(zé)。在本合同規(guī)定的受雇期內(nèi),在未得到公司書面同意之前,員工不得受雇于其它單位或個(gè)人或從事任何其它單位或人的任何商業(yè)活動(dòng)。違反該規(guī)定的員工將被立即解雇。4.04TheEmployeerepresentsandwarrantsthatattheeffectivedateofthisContract,he/sheisnotemployedbyanyotherentityorperson,thathis/heremploymentbytheCompanyunderthisContractdoesnotviolateanycontractualorstatutoryobligationspertainingtohim/herandthathe/shehasfullcapacitytoenterintothisContract.TheEmployeeshallcompensatetheCompanyforallexpensesthattheCompanymayincurifthisContractviolatesanycontractualorstatutoryobligationsoftheEmployee.員工聲明和保證,從本合同生效之日起,他/她沒有受雇于其它單位和個(gè)人;他/她根據(jù)本合同受雇于公司沒有違反他/她負(fù)有的契約或法定義務(wù);他/她具有充分的行為能力履行本合同。如果公司因本合同違反員工負(fù)有的契約義務(wù)或法定義務(wù)而發(fā)生任何費(fèi)用,員工應(yīng)向公司賠償所有上述費(fèi)用。4.05TheEmployeeshallatalltimesduringthetermofthisContractcomplywithanylawsandregulationsconcerninghis/heremploymentbytheCompany,including(butnotlimitedto)requirementsconcerningworkpermits,householdregistration,paymentofindividualincometax,socialsecuritypremiumsandothertaxesandfeespayablebytheEmployee.在本合同期限內(nèi),員工應(yīng)該始終遵守與公司雇傭該員工有關(guān)的法律和法規(guī),包括(但不限于)有關(guān)工作許可證、戶口登記、繳付個(gè)人所得稅、社會(huì)保險(xiǎn)費(fèi)及其它應(yīng)由員工支付的稅金和費(fèi)用方面的規(guī)定。4.06TheEmployeeshallusehis/herbestendeavorstoensurethathis/herpersonnelfileistransferredtotheCompanynolaterthanthirty(30)daysafterthedateofthisContract.員工應(yīng)盡最大的努力確保他/她的人事檔案在本合同生效日起三十(30)天內(nèi)轉(zhuǎn)入公司。ARTICLE5-WORKINGHOURS,STATUTORYHOLIDAYSANDOTHERLEAVES第五條工作時(shí)間、法定休假日和其它休假5.01TheCompanyshallimplementaworkinghoursystemofeight(8)workinghoursperdayandforty(40)hoursperweekwithtwo(2)restdaysperweek.MealtimeisexcludedfromtheworkinghoursystemandshallbearrangedbythedepartmentheadoftheEmployee.公司實(shí)行每日工作時(shí)間八(8)小時(shí),每周工作時(shí)間四十(40)小時(shí)和每周休息二(2)天的工時(shí)制度。用餐時(shí)間不包括在工時(shí)制度中,具體就餐時(shí)間由部門主管安排。5.02TheEmployeeisentitledtoallstatutoryholidays,maternityleave,weddingleaveandcondolenceleaveinaccordancewithrelevantPRClawsandregulations.員工根據(jù)中華人民共和國相關(guān)法律法規(guī)享有法定休假日、產(chǎn)假、婚假和喪假的休假。5.03ApaidannualleaveshallbegiventotheEmployeeas_workingdays.TheannualleaveshallincludeallhomeleavetowhichtheEmployeemaybeentitled.Annualleaveandhomeleavemaynotbecarriedforwardtothenextyear.員工享有帶薪年假,每年_天。年假應(yīng)包括員工可能有權(quán)享受的所有探親假。年假和探親假不能推遲到下一年使用。5.04UnauthorizedleavetakenbytheEmployeeshallbesubjecttodisciplinarymeasuressetoutintheEmployeeHandbook.員工未經(jīng)許可休假,將按《員工手冊(cè)》處以紀(jì)律處分。ARTICLE6-LABORCOMPENSATIONS第六條勞動(dòng)報(bào)酬6.01TheEmployeeshallbepaidamonthlynetwageof100,000.00RMB,Themonthlywageshallbepaidintheendofmonth,individualincometaxwillbepaidbytheCompany.Thismonthlysalaryincludetheovertimepay(itany)already.Foreachyearthecompanywillpay13monthssalarybytheendofyear.員工工資將按月支付,每月稅后工資為人民幣100,000.00元。公司將支付員工的個(gè)人所得稅、本工資已經(jīng)包括了員工的加班費(fèi)用(如果有的話)。每年公司支付13個(gè)月的工資。6.02ThebasicwageoftheEmployeemaybeadjustedbasedonthebusinessperformanceoftheCompany,his/herpromotions(ifany)andtheCompany'sannualreviewoftheEmployee'sindividualperformance.根據(jù)公司的業(yè)務(wù)經(jīng)營狀況,員工職務(wù)的提升(如果有的話)及公司每年對(duì)員工的業(yè)績?cè)u(píng)估結(jié)果,公司可以對(duì)員工的基本工資做出調(diào)整。6.03InadditiontothebasicwagetobepaidtotheEmployee,theCompanymaypaytheEmployeeadiscretionarybonusdependentupontheEmployee'sperformanceandtheCompany'sfinancialsituation.除基本工資之外,公司還可根據(jù)員工的業(yè)績和公司的財(cái)政狀況,發(fā)放不固定的獎(jiǎng)金。6.04TheCompanyshallmakeallsocialinsurancepaymentsimposedontheCompanyandshallprovidetheEmployeewithwelfarebenefitsinaccordancewithrequirementsofrelevantPRClawsandregulations.公司將支付公司應(yīng)付的一切社會(huì)保險(xiǎn)費(fèi),并按中華人民共和國的有關(guān)法律和法規(guī)規(guī)定為員工提供福利。6.05TheEmployeeisentitledto1roundtripvacationairticketsperyear6.06Otherbenefits:rent,utilities,mobilephonebillsandhealthinsurance,Annualmedicalanddentalcheckup.Intheeventofterminationofemploymentforwhateverreason,theemployershallprovidetheemployeeaone-waytickettohiscountryoforigin.其他福利包括房租費(fèi),水電費(fèi),所有電話費(fèi),人壽保險(xiǎn)和一年一次的體檢。不論什么原因造成本合同終止,公司都將為員工支付一張回其原籍的單程機(jī)票.6.07Incaseofdiseaseorinjurynotcausedofwork,thesickleavesalary,diseaseallowanceandmedicalallowanceshouldbepaidaccordingtorelevantnationalrulesandlocalrulesofShanghai.Incaseofdiseaseorinjurycausedofwork,thesalaryandmedicalallowanceshouldbepaidaccordingtorelevantnationalrulesandlocalrulesofShanghai.員工患病或非因工負(fù)傷,其病假工資、疾病救濟(jì)費(fèi)和醫(yī)療待遇等按照國家和本市有關(guān)規(guī)定執(zhí)行。員工患職業(yè)病或因工負(fù)傷的工資和工傷保險(xiǎn)待遇按國家和本市有關(guān)規(guī)定執(zhí)行。ARTICLE7TRAINING第七條培訓(xùn)7.01TheCompanyshallprovidenecessarytrainingfortheEmployeeasrequiredfortheEmployeetodischargethedutieshereunder.公司應(yīng)為員工提供必要的培訓(xùn),使員工能履行本合同項(xiàng)下的職責(zé)。ARTICLE8-WORKINGCONDITIONS第八條工作條件8.01ThehealthandsafetyofallEmployeesisoftheCompany'shighestpriority.Insofaraspossible,theCompanyshallprovidetotheEmployeeasafeandhygienicworkingenvironmentinaccordancewithapplicablePRClawsandregulations.全體員工的安全和健康是公司最優(yōu)先考慮的事情。公司將盡可能根據(jù)中華人民共和國的有關(guān)法律和法規(guī),為員工提供一個(gè)安全衛(wèi)生的工作環(huán)境。ARTICLE9-DISCIPLINEANDINTERNALRULES第九條紀(jì)律和內(nèi)部規(guī)章制度9.01TheEmployeeshallstrictlyobserveandimplementalltherulesandregulationsintheEmployeeHandbookorotherdocumentsprovidedtotheEmployeebytheCompanyfromtimetotime.Anymisconductwillleadtofines,verbalwarning,writtenwarning,anddismissalwithoutcompensation.DetaileddisciplinaryproceduresaresetforthintheEmployeeHandbook.員工應(yīng)嚴(yán)格遵守和執(zhí)行《員工手冊(cè)》或,公司不時(shí)提供給雇員的(其他)文件中的一切規(guī)章制度。員工的任何行為不當(dāng)將使其遭受罰款、口頭警告、書面警告和解雇而不給予補(bǔ)償。ARTICLE10-DISCHARGE&TERMINATIONOFCONTRACT第十條合同的解除和中止10.01ThisContractshallbedischargedunderanyofthefollowingcircumstances:本合同在下列任何一種情況下解除:ifthePartiesdischargedthisContractbymutualconsentexpressedinwriting;雙方以書面形式同意解除合同;iftheCompanydischargesthisContractpursuanttotheprovisionsofArticle10.02hereof;or公司根據(jù)本合同第10.02條的規(guī)定解除本合同;或iftheEmployeedischargesthisContractpursuanttotheprovisionsofArticle10.05hereof.員工根據(jù)本合同第10.05條的規(guī)定解除本合同。10.02TheCompanymaydischargethisContractunderanyofthefollowingcircumstances:有下列情況之一的,公司可以解除本合同:whentheEmployee,whosuffersfromsicknessornon-workrelatedinjury,cannotbeengagedinhis/heroriginalworkorotherworkreasonablyarrangedbytheCompanyafteraprescribedmedicaltreatmentperiodaccordingtorelevantPRClawsandregulations;根據(jù)中華人民共和國有關(guān)法律和法規(guī),員工患病或者非因工負(fù)傷,醫(yī)療期滿后,不能從事原工作或由公司合理安排的其它工作;whentheEmployeeisdeemedbytheCompanytobeincompetentinapositiontowhichhe/shehasbeenassignedandremainsincompetentafterreceivingtrainingorbeingassignedtoanotherexistingposition;公司認(rèn)為員工不能勝任其被分配的工作,在培訓(xùn)后或者調(diào)整工作崗位后,仍然不能勝任工作的;whentheperformanceofthisContractbecomesimpossibleduetoamajorchangeintheobjectivecircumstancesuponwhichthisContractwasbasedatthetimeofitsconclusionandthePartiesfailtoagreeonanyamendmentofthisContract;本合同訂立時(shí)所依據(jù)的客觀情況發(fā)生重大變化,致使本合同無法履行,并且雙方不能就變更本合同達(dá)成協(xié)議;whentheEmployeeviolatesanyPRClawsorregulationspursuanttowhichtheCompanyisentitledtoterminatetheemploymentoftheEmployee;員工違反中華人民共和國的任何法律和法規(guī),而根據(jù)該等法律法規(guī),公司有權(quán)終止與員工的雇傭關(guān)系;whentheEmployeeissubjecttocriminalprosecution;or員工被追究刑事責(zé)任的;或whentheEmployeeisinseriousviolationoflabordisciplineasdefinedintheEmployeeHandbook.員工嚴(yán)重違反《員工手冊(cè)》規(guī)定的勞動(dòng)紀(jì)律。WhentheEmployeecausesanyseveredamagetotheCompanyduetohisgravenegligencetohisdutiesorseekingprivatebenefits;員工嚴(yán)重失職,營私舞弊,給公司造成重大損害的;(viii)whentheEmployeeestablishesalaborrelationshipwithotheremployersallthesametimeandmayseriouslyinfluencehiscompletionofhisworksintheCompany,orherefusestomakeacorrectioneventhoughtheCompanyhaspointeditout員工同時(shí)與其他用人單位建立勞動(dòng)關(guān)系,對(duì)完成本公司的工作任務(wù)造成嚴(yán)重影響,或者經(jīng)本公司提出,拒不改正的;10.03TheCompanymaynotterminatethisContractanddismisstheEmployeeunderanyofthefollowingcircumstances:有下列情況之一的,公司不得解除本合同和解雇員工:iftheEmployeesuffersfromoccupationaldiseaseorworkrelatedinjury,andisconfirmedbytherelevantauthoritiestohavelostorpartiallylosttheabilitytowork;員工患職業(yè)病或者因工負(fù)傷并被確認(rèn)喪失或者部分喪失勞動(dòng)能力的;duringtheperiodofmedicaltreatmentstipulatedinArticle10.02(i)aboveforanon-work-relatedillnesscontractedorinjurysufferedbytheEmployee;or員工非患職業(yè)病或者非因工負(fù)傷但在以上第10.02條(i)款規(guī)定的醫(yī)療期內(nèi)的;或whentheEmployee(iffemale)isinpregnancy,maternity,ornursingperiod.女員工在孕期,產(chǎn)期,哺乳期內(nèi)的。10.04TheCompanymaysuspendthedutiesoftheEmployeewhenhe/sheissubjecttoaninvestigationofanydisciplinarymatter.IftheinvestigationrevealsthattheEmployeehascommittedanyoffence,theCompanyshallbeentitledtoterminatethisContractpursuanttoArticle10.02(iv),(v)or(vii).如果員工正在接受紀(jì)律調(diào)查,公司可以暫停員工職務(wù)。如果調(diào)查證明該員工確實(shí)犯罪,公司有權(quán)根據(jù)本合同第10.02條(iv)、(v)或(vii)款解除本合同。10.05DuringthetermofthisContracttheEmployeemaydischargethisContractunderanyofthefollowingcircumstances:在本合同期限內(nèi),有下列情況之一的,員工有權(quán)辭職或解除本合同:whentheEmployeeiscoercedintoworkingbytheCompanybymeansofviolence,threatorillegallimitationofpersonalfreedom;or公司以暴力、威脅或者非法限制人身自由的手段強(qiáng)迫勞動(dòng);或whentheCompanyhasfailedtopaytheEmployee'swageinaccordancewiththisContract;公司未按照勞動(dòng)合同約定支付員工的工資;theCompanyhasfailedtopaysocialsecuritypremiumsfortheEmployeeaccordingtothelaw;公司未依法為員工繳納社會(huì)保險(xiǎn)費(fèi)的;therulesandregulationsoftheCompanyareinconsistentwithanylawandimpairtheEmployee'srightsandinterests.公司的規(guī)章制度違反法律、法規(guī)的規(guī)定,損害員工權(quán)益的。10.06IftheCompanyterminatesthisContractpursuanttothecircumstancesstipulatedinArticle10.02(i),(ii),(iii),(vi)or(viii)itshallgiveone(1)month'spriorwrittennoticetotheEmployeeandhis/herlaborunionorpaytheEmployeeonemonth'sbasicwageinlieuofsuchnoticetotheEmployee如果公司在第10.02條(i),(ii),(iii),(vi)或(viii)款規(guī)定的情況下解除本合同,應(yīng)提前一(1)個(gè)月以書面形式通知員工和他/她的工會(huì),或支付員工一個(gè)月基本工資代替該通知。10.07IftheEmployeeterminatesthisContractpursuanttocircumstancesotherthanthosestipulatedinArticle10.05(i),or(ii)above,he/sheshallgivetheCompanyone(1)month'spriorwrittennotice.如果員工在以上第10.05條(i)、或(ii)款規(guī)定以外的情況下解除本合同,他/她應(yīng)向公司發(fā)出提前一(1)個(gè)月的書面通。10.08IftheEmployeeresignsorterminatesthisContractpursuanttocircumstancesotherthanthosestipulatedinArticle10.05(i),or(ii)aboveandifhe/shehasreceivedtrainingattheCompany'sexpensewithinthree(3)yearspriortotheresignationordischarge,theCompanyshallhavetherighttorequiretheEmployeetoreimbursethetrainingfeeandexpensesinthemannersetforthintheEmployeeHandbook.如果接受過由公司承擔(dān)費(fèi)用的培訓(xùn)的員工,在三年服務(wù)期內(nèi),在以上第10.05條(i)、或(ii)款規(guī)定的情況以外辭職或解除本合同的,公司有權(quán)按《員工手冊(cè)》規(guī)定的方式要求員工償付培訓(xùn)費(fèi)用和開支。10.09Incaseofanysituationasfollows,thecontractshallbeterminated:有下列情形之一,本合同終止:Thetermofthiscontracthasexpired;本合同期滿的;TheEmployeehasbeguntoenjoythebasicold-ageinsurancetreatments;員工開始依法享受基本養(yǎng)老保險(xiǎn)待遇的;TheEmployeeisdeceased,orisdeadormissingasannouncedbythecourt;員工死亡,或者被人民法院宣告死亡或者宣告失蹤的;Theemployerisannouncedbankruptaccordingtolaw;公司被依法宣告破產(chǎn)的;Theemployerisrevokedofbusinesslicensethereof,orisorderedtoclosedownorisdischarged,oritdeterminestogotoliquidationbeforetheschedule.公司被吊銷營業(yè)執(zhí)照、責(zé)令關(guān)閉、撤銷或者公司決定提前解散的。10.10Incaseofthefollowingsituation,thecompanyhastopaycompensationtotheEmployee.有下列情形之一,公司應(yīng)當(dāng)向員工支付經(jīng)濟(jì)補(bǔ)償:theEmployeedischargedthecontractaccordingtoArticle10.05員工根據(jù)10.05的約定解除本合同的;theCompanyandtheEmployeeagreetodischargethecontract;公司與員工協(xié)商一致解除本合同的;theCompanydischargedthecontractaccordingtoArticle10.02(i),(ii),(iii);公司依照10.02(i)、(ii)、(iii)約定解除本合同的;thecontractexpired,exceptthattheEmployeedisagreestorenewthecontracteventhoughtheconditionsofferedbytheCompanyarethesameasorbetterthanthosestipulatedinthecurrentcontract;除公司維持或者提高本合同約定條件續(xù)訂合同,員工不同意續(xù)訂的情形外,本合同期滿的;thecontractterminatedaccordingtoArticle10.09(iv),(v。依照10.09(iv)、(v)終止本合同的。ARTICLE11-LIABILITYFORBREACHOFCONTRACT第^一條違約責(zé)任11.01IfeitherPartycommitsabreachofthisContractthatresultsineconomiclossestotheotherParty,he/she/itshallbeliablefordamagestotheextentofsuchlossesandhis/her/itsresponsibilityforthebreach.如果一方違反本合同造成另一方的經(jīng)濟(jì)損失,他/她/應(yīng)在該損失及其違約責(zé)任范圍內(nèi)承擔(dān)損害賠償責(zé)任。ARTICLE12-LABORDISPUTES第十二條勞動(dòng)爭(zhēng)議12.01IfanylabordisputearisesbetweentheCompanyandtheEmployee,thePartiesshallattemptinthefirstinstancetoresolvesuchdisputethroughfriendlyconsultations.Labordisputeswhicharenotresolvedwithinten(10)daysafteraPartyservestheotherPartyawrittennoticerequestingthecommencementofconsultationswillbesettledbytheproceduressetforthinArticle12.02below.公司與員工如發(fā)生任何勞動(dòng)爭(zhēng)議,雙方應(yīng)首先通過友好協(xié)商解決爭(zhēng)議。一方書面要求另一方進(jìn)行協(xié)商解決,在書面通知之日起十(10)天內(nèi)沒有解決的勞動(dòng)爭(zhēng)議,將按照本合同以下第12.02條所規(guī)定的程序解決。12.02LabordisputesthatarenotresolvedthroughfriendlyconsultationsinaccordancewithArticle12.01aboveshallbesettledaccordingtothefollowingprocedures:勞動(dòng)爭(zhēng)議根據(jù)以上第12.01條無法通過友好協(xié)商解決的,應(yīng)按照下列程序解決:eitherPartymayapplytotheShanghaiMunicipalLaborDisputeArbitrationTribunalforadjudication;and任何一方可以向上海市勞動(dòng)爭(zhēng)議仲裁委員會(huì)申請(qǐng)仲裁;和ifanyPartydoesnotagreewiththeadjudicationoftheShanghaiMunicipalLaborDisputeArbitrationTribunal,itmayinstitutelegalproceedingsatthelocalPeople'sCourtwithinfifteen(15)daysafterreceivingtheShanghaiMunicipalLaborDisputeArbitrationTribuna'lsruling.任何一方對(duì)上海市勞動(dòng)爭(zhēng)議仲裁委員會(huì)的仲裁決不服的,在接到上海市勞動(dòng)爭(zhēng)議仲裁委員會(huì)的裁決之日起十五(15)天內(nèi),可以向當(dāng)?shù)厝嗣穹ㄔ浩鹪V。ThePartiesherebywaivetherighttomediatelabordisputes.雙方特此放棄調(diào)解勞動(dòng)爭(zhēng)議的權(quán)利。ARTICLE13-CONFIDENTIALITY第十三條保密13.01TheEmployeeagreesatalltimesduringthetermoftheEmployee'semploymentandthereaftertoholdinstrictestconfidence,andnottouse,exceptforthebenefitoftheCompany,ordisclosetoanyperson,firmorcorporationwithoutwrittenauthorizationoftheCompany,anytradesecrets,confidentialknowledge,dataorotherproprietaryinformationrelatingtoproducts,processes,know-how,designs,formulas,developmentalorexperimentalwork,computerprograms,databases,financialinformationoranyothersubjectmatterpertainingtoanybusinessoftheCompanyoranyofitsclients,consultantsorlicensees.TheobligationssetforthinthisArticle13.01shallremaineffectiveforaperiodoftwoyearsfollowingtheexpirationorterminationofthisContract.TheEmployeeshallberesponsibleforalllegalconsequencesofanyviolationoftheseobligations,includingpaymentofcompensationtotheCompanyforanyfinanciallosssuffered.員工同意在員工受雇期限內(nèi)及之后的一切時(shí)候均對(duì)以下各項(xiàng)嚴(yán)格保密,并且未經(jīng)公司書面授權(quán),除為公司利益外,不使用或向任何人、商行或公司泄露以下各項(xiàng):與公司或其任何客戶、顧問或被許可人的業(yè)務(wù)有關(guān)的任何商業(yè)秘密、保密資料、數(shù)據(jù)或其它關(guān)于產(chǎn)品、工藝、訣竅、設(shè)計(jì)、配方、開發(fā)研究工作、計(jì)算機(jī)程序、數(shù)據(jù)庫、財(cái)務(wù)資料的專有信息或任何其它題材。本第13.01條規(guī)定的義務(wù)在本合同期滿或解除后繼續(xù)有效為期二年。員工違反任何上述義務(wù)的,應(yīng)承擔(dān)一切法律后果,包括賠償公司遭受的任何經(jīng)濟(jì)損失。13.02TheEmployeeacknowledgesthattheremunerationreceivedfromtheCompanyinthecourseofhis/heremploymentconstitutessufficientrewardandremunerationforhis/herinvolvementinthecreationordevelopmentofanyinvention(ifany).TheEmployeeshallhavenoclaimwhatsoeverforanyadditionalrewardorremunerationinrespectofsuchinvolvementandtheCompany'sexploitationofsuchinvention.員工承認(rèn),在雇傭期間,公司向他/她支付的薪酬包含了由于他/她參與公司任何發(fā)明(如有的話)的創(chuàng)造或開發(fā)而獲得的充分報(bào)酬。員工無權(quán)就參
