向貸款方借款。雙方本著互惠互利的目的, 友好協(xié)商,特制訂本合同。Foritsproduction andoperation,theBorrowerintendstoborrow moneyfromtheLender.Forthemutualbenefits,bothPartiesagreetoconcludethisContract.第一條 借款金額 Article1AmountofLoan借款金額 280,000美元 (大寫:貳拾捌萬美元 )US$280,000(CapitalLetter:TwoHundredEightyThousandUSDollars)貸款方在簽訂本書面合同之前,已向借款方提供 280,000美元貸款。借款方在此確認(rèn)差不多收到貸款方經(jīng)過銀行轉(zhuǎn)賬方式提供的 280,000美元貸款。TheLenderagreestoadvancetheLoanUS$280,000totheBorrowerpriortothesigningofthisContract.TheBorrowerherebyconfirmsthatithasreceivedtheLoanUS$280,000advancedbytheLenderthroughbanktransfer.第二條 借款用途 Article2ScopeforUse本合同所約定的貸款僅用于借款方生產(chǎn)銷售砂石品業(yè)務(wù),別得挪作它用。TheloanhereofisonlyforBorrowersStoneBusinessandshallnotbeappropriatedforotheruse.第三條 利率及還款期 Article3InterestandTermRepayment假如借款方在合同約定的還期限內(nèi)還清借款,貸款方則別收取借款利息。TheLenderagreesthatnointerestwillbepayableontheLoanforthetermoftheloanwhiletheBorrowerisnotindefaultofrepayment.借款方應(yīng)按照以下還款期向貸款方償還借款:TheBorroweragreestorepaytheLoantotheLenderinaccordancewiththefollowingrepaymentschedule:在本合同簽訂之日起十二個(gè)月內(nèi)償還借款 美元;Repaymentdueonorbeforethedate12monthsfromthedateofthisagreement.在本合同簽訂之日起二十四個(gè)月內(nèi)償還借款 美元;Repaymentdueonorbeforethedate24monthsfromthedateofthisagreement.在合同簽訂之日起三十六個(gè)月內(nèi)償還借款 治理費(fèi)用 Article4ManagementFee1.借款方接受在借款期內(nèi),向貸款方支付治理費(fèi)用,治理費(fèi)用的金額為借款方砂石品業(yè)務(wù)銷售總額 1.4%.TheBorroweragreestopaytotheLenderasumequivalentto1.4%ofthetotalincomereceivedbytheBorrower,fromthesalesturnoveroftheStoneBusiness,duringthetermoftheloan.借款方接受按第4.3條約定自每一財(cái)務(wù)季度結(jié)束之日起三十日內(nèi)向貸款方支付治理費(fèi)用,付款時(shí)刻表如下:Subjecttoclause4.3theBorroweragreestopaytheManagementFeetotheLenderinarrearsonorbeforethedate30daysfollowing theendofthepreviousfinancialquarter inaccordancewiththefollowingpaymentschedule:每年一月一日至三月三十一日期間的治理費(fèi)用;ManagementFeecalculatedfortheperiod1January31Marcheachyear.每年四月一日至六月三十日期間的治理費(fèi)用;ManagementFeecalculatedfortheperiod1April30Juneeachyear.每年七月一日至九月三十日期間的治理費(fèi)用;Managementfeecalculatedfortheperiod1July30Septembereachyear.每年十月一日至十二月三十一日期間的治理費(fèi)用。ManagementFeecalculatedfortheperiod1October31Decembereachyear.3.本合同簽訂之日起的首個(gè)季度治理費(fèi)用自2011年月日起正式開始計(jì)算。ManagementFeedueinrespectofthefinancialquarterwithinwhichthedateofthisagreementfallswillonlybecomedueonthedateof2011.4.假如借款方在本合同簽訂之日起兩年內(nèi)提早還清借款280,000美元,借款方支付治理費(fèi)用的義務(wù)自合同簽訂之日起兩年后終止。IncasetheBorrowerrepaystheloanUS$280,000within2yearsfromthedateofthisagreementthentheobligationtopaytheManagementfeewillceaseattheendofthe2yearperiod.第五條 浮動(dòng)抵押 Article5FloatingMortgage借款方以其現(xiàn)有的和今后擁有的生產(chǎn)設(shè)備、原材料、成品和半成品向貸款方提供抵押。TheBorroweragreestoMortgagetotheLenderallequipments,rawmaterials,finishedandunfinishedgoodsownednowandinthefuturebytheBorrower.2.《抵押物清單》對(duì)抵押物價(jià)值的約定,并別作為貸款方依本合同對(duì)抵押物進(jìn)行處分的估價(jià)依據(jù),也別構(gòu)成貸款方行使抵押權(quán)的任何限制。ThevalueoftheMortgagedpropertiesstipulatedintheshallneitherbedeemedasthepriceofsalenorasanylimitontheMortgageesright,whiletheLenderexercisesitsright.抵押物的相關(guān)有效證明和資料由當(dāng)事人確認(rèn)封存后,由借款方交與貸款方保管,但法律法規(guī)另有規(guī)定的除外。Subjecttoanythelawsandregulations,anyinformationandcertificationsinrespectoftheMortgagedpropertiesshallbehandedoverbytheBorrowertotheLenderaftersealed.浮動(dòng)抵押擔(dān)保的范圍為本金、利息、治理費(fèi)、違約金、賠償金以及實(shí)現(xiàn)債權(quán)所發(fā)生的一切費(fèi)用,包括但別限于訴訟費(fèi)、公證費(fèi)、仲裁費(fèi)、律師費(fèi)、財(cái)產(chǎn)保全費(fèi)、差旅費(fèi)、執(zhí)行費(fèi)、評(píng)估費(fèi)、拍賣費(fèi)等。ThefloatingMortgagehereofsecurestheprincipal,interests,managementfees,Word文檔僅供參考Word文檔僅供參考compensation,andanyothercostarisingfromtheenforcementoftheLendersrightpursuanttothisContract,includingbutwithoutlimitationcourtfee,costfornotarization,arbitrationfee,attorneyfee,feeforcustody,travelingexpense,compulsoryexecutionfee,assessmentfeeandauctionfee.借款方應(yīng)自本合同簽訂之日起三十日內(nèi)向有關(guān)部門辦理本合同的審批、備案和登記等事宜,所產(chǎn)生的費(fèi)用由借款方承擔(dān)。TheBorrowershallapplyforadministrativeapproval,record-keepingandregistrationonitsownfeeinthirtydaysfromthesigningofthisContract.借款方應(yīng)當(dāng)合理使用和妥善保管抵押物,如抵押物的價(jià)值比本合同簽訂時(shí)的評(píng)估價(jià)減少15%以上的,借款方應(yīng)當(dāng)在三日內(nèi)通知貸款方。貸款方有權(quán)要求借款方提供相應(yīng)擔(dān)?;蛘咛嵩邕€款。TheBorrowershalluseandkeeptheMortgagedpropertiesinareasonablemanner,incasethevalueoftheMortgagedpropertieshavebeenreducedby15%fromtheagreedvalueatthedateofsigningthisContract,theBorrowershallinformtheLender.TheLenderisentitledtorequiretheBorrowerforappropriatesecuritiesorforrepaymentimmediately.貸款方在借款方發(fā)生以下情形之一時(shí),能夠行使抵押權(quán):TheLenderisentitledtoexerciseitsMortgageesright,inthefollowingcases:(1)借款方違反本合同所約定的義務(wù) ;TheBorrowerisindefaultofitsobligationhereof;(2)經(jīng)營(yíng)事情嚴(yán)峻惡化、減少注冊(cè)資本 ;TheBorrowersbusinesshasseriouslydeterioratedorreducedtheregisteredcapital.(3)借款方分立、合并 ;TheBorroweristobeorhasbeendividedormerged;(4)借款方涉及重大糾紛訴訟,涉案標(biāo)的 30萬元人民幣以上 ;TheBorrowerisinvolvedinanimportantlitigationoranyotherdisputeofwhichtheamountisabove300,000RMB.(5)借款方破產(chǎn)、歇業(yè)、解散、被停業(yè)整頓、被吊銷營(yíng)業(yè)執(zhí)照 ;Theborrowerriskstobankruptcyorgoesbankrupt ,closesout,dissolves,hasbeenaskedtosuspendbusinesstoraisestandardsorhasitslicenserevoked;(6)借款方住宅或法定代表人發(fā)生變更 ;Thebusinessplaceorthelegalrepresentativehasbeenchanged;(7)其他因借款方原因可能導(dǎo)致貸款方擁有抵押權(quán)無法實(shí)現(xiàn)的情形。TheLendercouldnotenforcetheMortgageesrightbecauseofanyothereventduetotheBorrower.借款方發(fā)生或很可能發(fā)生以上情形之一的, 貸款方書面通知借款方之日為浮動(dòng)抵押財(cái)產(chǎn)確定之日。若借款方別簽收通知回執(zhí)的, 貸款方有權(quán)按本合同第十四條所示辦法通知, 視為乙方差不多收到。Ifanycaseabovesaidoccursormorethanlikelytooccur,thefloatingMortgageconvertsintobeingfixedMortgageatthedateofnoticesentbytheLender.IftheBorrowerrefusestosignreceipt,itisdeemedtohavereceivedthenoticesentbytheLenderinaccordingarticle14.第六條 陳述與保證 Article6PresentationsandWarranties借款方在此陳述并保證以下事項(xiàng)屬實(shí),否則承擔(dān)欺詐的法律責(zé)任:TheBorrowerherebypresentsandwarrantsallthefollowingfacts,otherwiseitshallbeliableforfraud.Word文檔僅供參考Word文檔僅供參考1.借款方是本合同項(xiàng)下抵押財(cái)產(chǎn)徹底的、有效的、合法的所有者;該抵押財(cái)產(chǎn)別存在權(quán)屬方面的爭(zhēng)議。TheBorrowerhastheentire,validandlegalownershipoftheMortgagedpropertieswithoutanydisputeorclaim.本合同項(xiàng)下抵押財(cái)產(chǎn)別存在瑕疵。NodefectontheMortgagedproperties.本合同項(xiàng)下的抵押財(cái)產(chǎn)依法能夠設(shè)定抵押,設(shè)立本合同的抵押可不能受到任何限制。TheMortgagedpropertiesarelegallyavailableforMortgagewithoutanylimitation.本合同項(xiàng)下的抵押財(cái)產(chǎn)未被依法查封、扣押。TheMortgagedpropertieshaventbeensealedorseized.借款方在此保證在合同存續(xù)期間,未經(jīng)貸款方書面接受,別從事以下行為:WithouttheLenderspriorwrittenconsent,theBorrowerherebywarrantsthatduringthetermofthisContract,itwillnot:對(duì)公司的利潤(rùn)進(jìn)行分紅;Payanydividendinrespectofitsprofitstoitsshareholders;2.在一具財(cái)務(wù)季度內(nèi)購(gòu)買價(jià)值合計(jì) 25,000美元以上的生產(chǎn)設(shè)備 ;NotacquireanaggregateofmorethanUS$25,000worthofplantorequipmentinacalendarquarter;對(duì)抵押財(cái)產(chǎn)再次設(shè)立抵押、質(zhì)押或者出租、贈(zèng)予抵押財(cái)產(chǎn)。Remortgage,reMortgage,rentorgivetheMortgagedpropertiestoanyotherperson;第七條經(jīng)銷Article7Distribution借款方接受貸款方在本合同約定的條件下,在世界范圍內(nèi)銷售借款方生產(chǎn)的噴砂和拋光研磨纖維石產(chǎn)品(砂石產(chǎn)品)TheBorroweragreesthattheLendermaydistributethespray-stoneandsuper-stoneproducts(StoneProducts)anywhereintheworldandonwhatevertermsitseesfitforthetermofthisagreement.在本合同訂立之日至 2013年12月31日期間,借款方向貸款方出售砂石產(chǎn)品的價(jià)格別高于當(dāng)次交易時(shí)最近三個(gè)月借款方出售砂石產(chǎn)品的最低價(jià)格。TheBorroweragreesthatfromthedateofthisagreementuntil31December2013itwillselltheStoneProductstotheLenderatapricenohigherthanthelowestpriceforwhichitsoldtheStoneProductsintheimmediatelypreceding3monthperiod.本條所給予的經(jīng)銷權(quán)是非獨(dú)家經(jīng)銷權(quán)。Therightsconferredbythisclausearenon-exclusive.貸款方接受在2013年12月31日前,別向借款方簽訂本合并且已有的顧客出售砂石產(chǎn)品。該客戶名單以簽訂合同當(dāng)天本合同雙方書面確認(rèn)的名單為準(zhǔn)。TheLenderagreesthatitwillnotpriorto31December2013selltheStoneProductstoanyexistingcustomeroftheBorroweratthetimeofthisagreement.OnlythosecustomersoftheBorrowerconfirmedinwritingbythePartieshereofatthetimeofthisagreementhavethebindingeffect.第八條 監(jiān)督檢查 Article8Supervision貸款方和保證人有權(quán)檢查貸款使用事情。 檢查時(shí),借款方對(duì)調(diào)閱有關(guān)文件、 賬冊(cè)和記賬憑證,查核貨物庫(kù)存,生產(chǎn)事情以及其它與借款人的清償能力有關(guān)的信息, 必須賦予方便。TheLenderandtheSuretyhavetherighttosupervisetheuseofloan.TheBorrowershallWord文檔僅供參考Word文檔僅供參考provideallkindsoffacilitytotheLenderandSuretytochecktherelevantdocuments,accountingbooks,accountingvouchers,inventory,productionandanyotherinformationrelatingtothesolvencyoftheBorrower.第九條 違約責(zé)任 Article9Liability借款方別按合同規(guī)定的用途使用借款,貸款方有權(quán)提早收回全部貸款,對(duì)違約使用的部分,收取12%/年的利息。1.AsiftheBorrowerappropriatestheloanfromusestipulatedherein ,theLenderisentitledtogetbacktheentireloanimmediatelyandtoclaimforinterestsontheamountofloanappropriatedattherateof12%/year.2.借款方如逾期別還借款,貸款方有權(quán)追回借款,并按 0.05%每天加收罰息。AsiftheBorrowerfailstherepaytheloanintime,theLenderisentitledtogetbacktheentireloanimmediatelyandtoclaimfordelayedrepaymentinterestattherateof0.05%perday.第十條 法律適用 Article10GoverningLaw本借款合同的效力、履行、變更、終止和解釋均適用 有關(guān)法律法規(guī)。Thevalidity,performance,modification,terminationandinterpretationofthisContractaregovernedbylaw.第十一條 爭(zhēng)議解決 Article11DisputeResolution對(duì)本合同的效力、履行、變更、終止或解釋發(fā)生爭(zhēng)議,由當(dāng)事人雙方協(xié)商解決。協(xié)商別成,雙方接受向有管轄權(quán)的人民法院起訴。Anydisputearisingfromthevalidity,performance,modification,terminationorinterpretationofthisContract,maybesettledbynegotiation.Ifanagreementcouldnotbereached,thenbothPartiesagreetosubmitthedisputetothecourtwhichhasthejurisdictionoverthematter.第十二條
