TheStockPurchaseAgreementsetsforththebasictermsofthepurchaseandsaleofthepreferredstocktotheinvestors(suchasthepurchaseprice,closingdate,conditionstoclosing)andidentifiestheotherfinancingdocuments.Generallythisagreementdoesnotsetfortheither(1)thecharacteristicsofthestockbeingsold(whicharedefinedintheCertificateofIncorporation)or(2)therelationshipamongthepartiesaftertheclosing,suchasregistrationrights,rightsoffirstrefusalandco-sale,votingarrangements(thesemattersoftenimplicateotherpersonsthanjusttheCompanyandtheinvestorsinthisroundoffinancing,andareusuallyembodiedinseparateagreementstowhichthoseotherspersonsareparties,orinsomecasesbytheCertificateofIncorporation).ThemainitemsofnegotiationintheStockPurchaseAgreementarethereforethepriceandnumberofsharesbeingsold,andtherepresentationsandwarrantiesthattheCompany,andsometimestheFoundersaswell,mustmaketotheinvestors.
