歡迎下載內(nèi)容僅供參考會(huì)員服務(wù)協(xié)議AGREEMENT根據(jù)中華人民共和XX國(guó)合同法及相關(guān)法律法規(guī)規(guī)定，$$$XX（以下簡(jiǎn)稱(chēng)“本公司”）及會(huì)員根據(jù)本協(xié)議所列條文，以及同意此協(xié)議受法律所約束的情況下，一致達(dá)成如下協(xié)議﹕Beijing$$$Co.,Ltd.(“thepany”)andtheMember,intendingtobelegallybound,andinconsiderationofthemutualpromisesandcovenantscontainedherein,agreeasfollows:Service權(quán)限查詢(xún)各類(lèi)資料。The“Service”hereinreferredto,isthesearchandretrievalservicethroughwhichthemembercanreadontheInternettheownlegalinformationorlegalinformationlegallyobtainedfromthirdparties.TherighttoaccesstotheServiceisthroughasetofloginnamepasswordprovidedbythepanytotheMember.Application本公司有絕對(duì)酌情權(quán)拒絕任何會(huì)員申請(qǐng)而無(wú)須提供理由；ThepanymayinitsabsolutediscretionreservetherightstorejectanyapplicationtoregisterasaMember,withouttheneedtogiveanyreason.會(huì)員。本公司向會(huì)員提供服務(wù)并保證持續(xù)更新所提供的信息。Upontheapplicationacceptedbythepanyandthesubscriber‘splianceofthisAgreement,thesubscriberbeesaMember.ThepanyagreestoprovidetheServicetotheMemberandwarrantstocontinuouslyupdatetheinformationprovidedintheService.訂閱者在訂閱服務(wù)時(shí)，保證BysubscribingtotheService,thesubscriberwarrantsthat:其所提供的資料為完整，最新及正確無(wú)誤；allinformationprovidedbythesubscriberisaccurate,pleteandcurrent;本協(xié)議一經(jīng)簽署，即具法律效力并同意受其約束；theAgreement,whenconcluded,constituteslegalobligationsthatarebindingenforceable;所簽署協(xié)議的人士已得必要的授權(quán)。theSubscriberhasobtainednecessaryauthorizationtosigntheAgreement.PriceandPaymentTerms會(huì)員同意根據(jù)《訂閱表格》注明的訂閱年期向本公司繳付訂閱費(fèi)用；TheMemberagreestopaytheamountofsubscriptionfeesforthefixedtermofservicelistedintheSubscriptionFormtothepany.透過(guò)支付訂閱費(fèi)用，會(huì)員按《會(huì)員章程》內(nèi)所載的權(quán)限享用服務(wù)；Bypayingthesubscriptionfees,theMemberenjoystherightsandissubjectedtolimitationlistedintheTerms&Conditions.5個(gè)工作日內(nèi)以《訂閱表格》內(nèi)所載的方式，繳清表內(nèi)所列款項(xiàng)；UponreceivingthesignedAgreement,thepanyshallsendtheloginaccountIDandpasswordtothememberwithinaworkingday.Ifthereisnotadvancepayment,themembershallpaythefundswithin5workingdaysafterreceivingtheloginaccountIDandpasswordbyanyoftheprescribedmethodsassetintheSubscriptionForm.3.2本公司支付其它透過(guò)所持賬號(hào)及密碼而獲取的服務(wù)的費(fèi)用。OtherthantherightsenjoyedbytheMemberunder3.2,theMemberagreestopayallincurredbytheuseofloginnameandpasswordprovidedbythepanyattheratesandinaccordancewiththepany‘sbillingpoliciesineffectduringeachperiodinwhichthechargesareincurred.Disclaimers會(huì)員完全理解并同意自行承擔(dān)使用網(wǎng)絡(luò)服務(wù)的風(fēng)險(xiǎn)。TheMemberfullyunderstandsandagreesthattheuseoftheServiceisattheSubscriber‘sownrisk.本公司不為此承擔(dān)責(zé)任，但有義務(wù)與網(wǎng)絡(luò)服務(wù)提供商交涉，以盡快解決該問(wèn)題。ThepanyisnotresponsibleforanyinterruptionofServiceduetoproblemsoccurredontheInternetplatformoranyotherreasonsthatcannotbecontrolledbythepany.ThepanyshallmakeefforttoliaisewithitsInternetServiceProviderinordertorestoretheServiceassoonaspossible.務(wù)的，本公司不為此承擔(dān)責(zé)任，但本公司應(yīng)歸還已收取的未履行期間的服務(wù)費(fèi)用。ThepanywillnotberesponsiblefortheinterruptionofServiceowingtoordersofgovernmentauthoritiesorjudicialbodies.Thepanyagreestorefundthepaidfeesproratatoremainingsubscriptionperiod.Otherthaninterruptionsarisingfromthemaintenanceofserverorregularupdate,thepanyagreestopensatetheSubscriberinanamountoftimeequaltotwiceasthetimelostattributablethefaultofthepany.Accordingly,theSubscriberagreestopensatethepanyanylossattributabletothefaultoftheSubscriber.4.2,4.34.4條規(guī)定的補(bǔ)償或賠償外，雙方一致同意：本違約規(guī)定所述其它（此間接損失包括但不僅限于營(yíng)業(yè)收入或利潤(rùn)損失、技術(shù)或經(jīng)營(yíng)權(quán)利的喪失、業(yè)務(wù)喪失等），罰性的賠償。ThepanyandtheSubscriberagreethatallclaims,exceptstatedin3.2,3.3,and3.4above,shallbelimitedtodirectdamagesduetothebreachofthisAgreement.Innoeventshalleitherpartybeliabletotheotherforanypenalty,consequential,indirect,specialorincidentalincluding,butnotlimitedto,lossofprofitorlossoftechnologyoroperationrightsorlossofbusinessrights.Termination義務(wù)構(gòu)成違約行為，守約的一方有權(quán)以書(shū)面通知要求違約的一方糾正其違約行為并采取充分、有效、及時(shí)地措施消除違約后果并賠償守約方因違約方的違約行為而遭致的損失。EitherpartyofthisAgreementmayservenoticetotheothersidethatisinbreachofwholepartofthisAgreementandmayrequirethepartyinbreachtotakeimmediateactiontoredeemitsresponsibilitiesundertheAgreementandtominimizetheimpactofthebreach.Thepartyinbreachshallbeliableforanyclaimsfordamagesmadebytheotherside.ForceMajeure遭受不可抗力事件的一方可暫行中止履行本協(xié)議項(xiàng)下的義務(wù)直至不可抗力事件的影響消除為止，并且無(wú)需為此而承擔(dān)違約責(zé)任；但應(yīng)盡最大努力減輕該事件負(fù)面影響。Neitherpartywillbeliablefor,orwillbeconsideredtobeinbreachofordefaultunderthisAgreementonaccountof,anydelayorfailuretoperformasrequiredbythisAgreementasaofanycausesorconditionsthatarebeyondsuchparty'sreasonablecontrolandthatsuchpartyisunabletooverethroughtheexerciseofmerciallyreasonablediligence.Ifanyforcemajeureeventoccurs,theaffectedpartywillusemerciallyreasonableeffortstominimizetheimpactoftheevent.7.XX條款Confidentiality協(xié)議任何一方對(duì)在合同履行過(guò)程中所獲知的對(duì)方的商業(yè)秘密等均負(fù)有XX經(jīng)對(duì)方書(shū)面許可，任何一方不得將其泄露給第三方，否則應(yīng)承擔(dān)違約責(zé)任并賠償損失。Exceptasexpresslysetforthherein,thepartiesshallmaintaininconfidencetheInformationoftheotherside.ThepartiesshallnotdisclosesuchConfidentialInformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherside.在本協(xié)議終止之后，各方仍需遵守本協(xié)議之XXXX義務(wù)，XX式的損害為止。BothpartiesshallabidebythetermsofConfidentialityinthisAgreementandhaveobligationtomaintaintheConfidentialInformationaftertheterminationoftheAgreement.TheobligationshallendonlyupontheconsentoftheothersideoronlyifthedisclosureoftheConfidentialInformationwillnotcauseanylossoftheotherside.DisputeResolution本協(xié)議的訂立、執(zhí)行和解釋及爭(zhēng)議的解決均適用中華人民共和XX國(guó)法律。ThisAgreementisconstructedandtobeexecutedandinterpretedbythelawsofthePeople‘RepublicofChina.方一致同意指定市海淀區(qū)人民法院管轄。IncaseofanydisputeunderthisAgreement,bothpartiesshalltrytoresolveitthroughnegotiation.Ifnegotiationfails,bothpartiesagreetosubmitthemattertobindingarbitrationaccordancewiththePeople‘sCourtofHaidianDistrict,Beijing.mencement本協(xié)議在本公司收到會(huì)員已妥善簽署并蓋上印章的《訂閱表格》當(dāng)日正式生效。ThisAgreementmencesonthedatewhenthepanyreceivestheSubscriptionFormdulysignedandaffixedwiththeSubscriber‘spanychop.Otherprovisions給協(xié)議以外的第三方。Notwithstandinganycontrarytermherein,therightsspecifiedinthisAgreementarenottransferable.Withoutthewrittenconsentofthepany,theSubscribercannottransferorassignitsrightsorobligationtothethirdpartyandcannotreproduce,duplicate,copy,sell,resellorforanymercialpurposes,anyportionoftheService,
