8、ce with the requirement of Client, look for and introduce to Client joint-venture or cooperation partners or investors (Introduced Cooperator), and look for and introduce to Client business projects or provide such related information; 根據(jù)委托方的要求，招募并引薦合營或合作伙伴或投資者(以下簡稱引薦客戶)，招募并引薦經(jīng)營項目或提供相關(guān)信息；Provide eco

9、nomic and legal information pertained to the business operation of Client; 為委托方經(jīng)營活動提供經(jīng)濟(jì)和法律信息；Obligations of Client委托方的義務(wù)Client shall give convenience to the work of Advisor and specially appoint a person to keep regular contact with the counsels of Advisor.委托方應(yīng)為顧問方提供工作便利，并特別指定一名工作人員與顧問方保持經(jīng)常性的聯(lián)絡(luò)。Clie

10、nt shall offer chances to Advisor for attending Clients business meetings concerned.委托方應(yīng)為顧問方提供參加有關(guān)商務(wù)會議提供便利。 Client shall furnish one set of copies for all the documentation, including without limitation to, agreement, contract, covenant and/or any other documents in writing, with the introduced coop

11、erator. 委托方應(yīng)提供壹套其與引薦客戶往來文件資料，包括但不限于合同、協(xié)議以及其他書面文件。 Fees Payment服務(wù)費(fèi)用支付 Client shall pay to Advisor ONE PERCENT (1%) fee on the basis of the aggregate amount of each transaction paid by the introduced cooperator(s) and/or their affiliates or subsidiaries, until such cooperation be terminated de facto.

12、委托方應(yīng)按其與顧問方引薦客戶或其關(guān)聯(lián)公司每一次交易金額的百分之壹（1%）向顧問方支付服務(wù)費(fèi)，直至該合作關(guān)系事實上完全終止。The above-mentioned transaction amount shall be equal to the actually received payment from the introduced cooperator. 前款所述交易金額以委托方實際收到引薦客戶款項計算。 Client shall transfer promptly such fee to Advisor accordingly within 10 days while Client rec

13、eived payment. 委托方收到客戶支付款項后十個工作日內(nèi)，應(yīng)主動向顧問方支付相應(yīng)服務(wù)費(fèi)。 Client shall pay on any other rate agreed the parties. 對于其他服務(wù)事項，委托方應(yīng)根據(jù)雙方協(xié)商標(biāo)準(zhǔn)另行支付費(fèi)用。 Remedies 違約責(zé)任The Parties shall strictly abide by this Contract and neither party shall unilaterally terminate this Contract; otherwise the defaulting party shall be r

14、esponsible for breaching liabilities. 雙方應(yīng)嚴(yán)格遵守本合同，不得單方終止合同；否則違約方應(yīng)向守約方承擔(dān)違約責(zé)任。 If Client fails to pay the service fees within ten (10) days following received paymnet from the introduced cooperator, Advisor shall have the right to collect the punitive dameges which shall be calculated each day with 0.0

15、5% times the outstanding payment. 在收到引薦客戶付款后十天內(nèi)，若委托方未能向顧問方支付服務(wù)費(fèi)的，則應(yīng)按每天萬分之五的標(biāo)準(zhǔn)支付違約金。If Client circumvents any transaction thereof, it shall assume TEN PERCENT (10%) punitive damages paid separately to Advisor. 若委托方成功交易后隱瞞交易結(jié)果的，其應(yīng)按交易金額的10%（百分之十）另行向顧問方支付違約金。Supplementary Agreements 補(bǔ)充協(xié)議The Parties can

16、reach supplementary agreements in writing for any other matter concerned which is not included herein. 本合同未盡事宜，雙方可另行書面訂立補(bǔ)充協(xié)議。Execution of Contract 合同簽署This Contract is executed in duplicate and each one shall be equally authentic.
