3、 tract un der the terms as stipulated below.第一條 定 義 Section 1 Definitions 1.1注冊(cè)商標(biāo)”-是指本合同附件一所指的在歐盟內(nèi)部市場(chǎng)協(xié)調(diào)局注冊(cè)登記的第 *類商標(biāo)，注冊(cè)商標(biāo)的編號(hào)為*?！?Registered Trademarks ” means the trademarks which have been described in Appe ndix 1 to the Con tract and have bee n registered by OHIM in Class* The registered nu mberis*

5、產(chǎn)品“ TheContract Product ” means the products stipulated in Appendix 2 to the Con tract.1.5合同生效日”是指本合同雙方簽字日?！?TheDate of Effective ness of the Con tract ” mea ns the date of sig ning this Con tract by both parties.第二條 合同范圍 Sectio n 2 Scope of the Con tract2.1根據(jù)以下條款的規(guī)定，接受方同意從許可方取得，許可方同意向接受方授予 單獨(dú)使用附件一所

6、指的注冊(cè)商標(biāo)的許可權(quán)利，且只在制造和出售、分銷合同產(chǎn)品時(shí)使用。合同商品詳見(jiàn)本合同附件二。這種權(quán)利是獨(dú)占性的，是不可轉(zhuǎn)讓的權(quán)利。 許可方同意在合同的有效期內(nèi)不在合同有效區(qū)域內(nèi)再授予別人銷售合同產(chǎn)品時(shí) 使用這兩個(gè)商標(biāo)。Upon the terms and con diti ons here in after set forth, Lice nsee agree to obta in from Licensor, and Licensor agree to grant Licensee the right to utilize the Registered Trademark solely and

7、only upon and in connection with the manu facture, sale and distributio n of the Con tract Products. The Con tract Products are detailed in Appe ndix 2 to the Con tract. The lice nse and right are exclusive and untransferable. Licensor agrees that during the validity of this Con tract, it will not a

8、uthorize a third party to utilize the Registered Trademarks upon and in connection with the manufacture, sale and distribution of the Con tract Products in the same area specified in this Con tract.2.2許可只在歐盟地區(qū)有效。接受方同意不在其他地區(qū)直接或間接使用或授權(quán) 他人使用這兩個(gè)商標(biāo)，且不在知情的情況下向有意或有可能在其他地區(qū)出售合同 產(chǎn)品的第三者銷售該產(chǎn)品。The lice nse hereb

Lice nsee agrees that it will not make, or authorize, any use, direct or in direct, of the Registered Trademarks in any other area, and that it will not knowin gly sell the Con tract Products covered by this Con tract to pers ons who intend or are likely to res

11、cific documentations are detailed in Appendix 1 to the Contract.第三條 資料的交付 Section 3 Delivery of the Documents許可方應(yīng)按本合同附件一的規(guī)定向接受方提供注冊(cè)商標(biāo)的名稱、 內(nèi)容以及許 可方向歐盟內(nèi)部市場(chǎng)協(xié)調(diào)局申請(qǐng)注冊(cè)的有關(guān)情況。The names, contents and related situations which Licensor applied for the registration from OHIM shall be provided by Licensor to Lice

12、nsee in accordance with stipulations in Appendix 1 to the Contract.許可方應(yīng)在簽訂本合同的同時(shí)，將 3.1 條中規(guī)定的資料交付給接受方。 The documents stipulated in Section 3.1 to the Contract shall be provided by Licensor to Licensee while the Contract is signing.第四條 侵權(quán)和保證 Section 4 Infringements and Guarantees許可方保證是本合同注冊(cè)商標(biāo)的合法持有者， 并

13、且有權(quán)授予接受方使用， 如 果在合同的執(zhí)行過(guò)程中一旦發(fā)生第三方指控侵權(quán)時(shí)， 則由許可方負(fù)責(zé)與第三方交 涉，并承擔(dān)由此引起的一切法律和經(jīng)濟(jì)上的責(zé)任。Licensor guarantees that Licensor is the legitimate owner of the Registered Trademarks under the Contract, and that Licensor is lawful in a position to authorize Licensee to utilize the Registered Trademarks upon or in connecti

14、on with manufacture, sale and distribution of the Contract Products. In the course of implementation of the Contract, if any third party accuses Licensee of infringement, Licensor shall be responsible for approaching the third party about the accusation and bear all the economic and legal responsibi

15、lities which may arise.接受方負(fù)責(zé)為自己和 /或許可方就其非經(jīng)授權(quán)使用合同產(chǎn)品商標(biāo)、專利、工 藝、設(shè)計(jì)思想、方法引起的索賠、訴訟或損失，就其他行為或產(chǎn)品瑕疵導(dǎo)致的索 賠、訴訟或損失進(jìn)行辯護(hù)，并使許可方免受損失。Licensee hereby undertakes to defend Licensee and/or Licensor against and hold Licensor harmless from any claims, suit, loss and damage arising out of any allegedly unauthorized use of

16、 any trademark, patent, process, idea, method or device by Licensee in connection with the articles covered by this Contract or any other alleged action by Licensee and also from any claims, suits, loss and damage arising out of alleged defects in the articles.接受方同意向許可方提供必要的幫助來(lái)保護(hù)許可方就該商標(biāo)擁有的權(quán)利。 接 受方在可

17、知的范圍內(nèi)應(yīng)書(shū)面告知許可方就合同產(chǎn)品的商標(biāo)的侵權(quán)和仿制行為。 雙 方可以各自以自己的名義或以雙方的名義針對(duì)這樣的行為提起訴訟或索賠。 Licensee agrees to assist Licensor to the extent necessary in the procurement of any protection or to protect any of Licensors rights to the Registered Trademarks, and shall notify Licensor in writing of any infringement or imitation

18、s by others in the Registered Trademark on articles the same as or similar to those covered by this Contract which may come to Licensees attention. Both parties have the right to determine to prosecute any claims or suits in its own name or in the name of Licensee and Licensor join together against

19、such behavior.第五條 促銷資料 Section 5 Promotion Material在任何情況下， 接受方如果期望得到合同產(chǎn)品的宣傳材料， 那么生產(chǎn)該宣傳 材料的成本和時(shí)間由接受方承擔(dān)。 所有涉及本合同商標(biāo)或其復(fù)制品的宣傳材料的 產(chǎn)權(quán)應(yīng)歸接受方所有。如果許可方要求使用或?qū)⑵湓S可給他方使用,許可方應(yīng)支付有關(guān)費(fèi)用。屆時(shí)雙方可另行協(xié)商簽訂合同。In all cases where Licensee desires artwork involving articles which are the subject of this license to be executed, the

20、cost of such artwork and the time for the production thereof shall be borne by Licensee. All artwork and designs involving the Registered Trademarks, or any reproduction thereof, shall be owned by Licensee. If Licensor requires or authorizes the other party to utilize the artwork and design, it shou

21、ld pay reasonable fees to Licensee. When the time comes, both parties will sign the new contract through friendly consultation.第六條 分 銷 Section 6 Distribution接受方同意將克盡勤勉，并且持續(xù)制造、分銷或銷售合同產(chǎn)品，而且還將為 此作出必要和適當(dāng)?shù)陌才?。Licensee agrees that during the term of this license it will diligently and continuously manufact

22、ure, distribute and sell the Contract Products covered by this Contract and that it will make and maintain adequate arrangement for the distribution of the Contract Products.第七條 違約 Section 7 Violation任何一方都無(wú)權(quán)終止合同。Neither of the party has the right to terminate the Contract.第八條 爭(zhēng)議的解決 Section 8 Dispute

23、 Settlements因執(zhí)行本合同所發(fā)生的或與本合同有關(guān)的一切爭(zhēng)議， 雙方應(yīng)通過(guò)友好協(xié)商解 決。All disputes in connection with or in the execution of the Contract shall be settled through friendly consultation by both parties.第九條 合同的生效 及其他 Section 9 Effectiveness of the Contract and Miscellaneous本合同由雙方授權(quán)代表于 年 月日在簽字。并自簽字之日起生效。The Contract is sig

24、ned by the authorized representatives of both parties on , and comes into force immediately after the date of signing.本合同的有效期從合同生效日起算共 年，有效期滿后，本合同自動(dòng)續(xù)期。如許可方商標(biāo)繼續(xù)有效，本合同可延續(xù)至下一個(gè)商標(biāo)有效期內(nèi)，繼續(xù)生效。The Contract shall be valid for a period of years from the date of theeffectiveness of the Contract. The Contract sh

Where the registered trademarks of the licensor are still valid, the Contract will be valid for consecutive validity period of the trademarks.本合同的執(zhí)行中，對(duì)其條款的任何變更、修改和增減，都須經(jīng)雙方協(xié)商同意 并簽署書(shū)面文件，作為合同的組成部分，與合同具有同等效力。In the course of implementation of the Contract, all the alteratio

26、ns, amendments, supplements and subtractions to the Contract have been agreed upon and signed in written documents through consultation by both parties. They are integral parts of the Contract and have same legal force and effect as in the Contract.9.4本合同期滿后，雙方的未了債權(quán)和債務(wù)不受合同期滿的影響，債務(wù)人應(yīng)對(duì)債權(quán)人繼續(xù)完成未了債務(wù)。After the date of the expiry of the validity period of the Con tract, all those creditor rights and debts which have not been fulfilled by either of the Parties shall still be fulfilled by
