1、EXCLUSIVE AGENCY AGREEMENT獨(dú)家代理協(xié)議本協(xié)議于 2015 年 11 月 23 日在中國(guó)上海由有關(guān)雙方在平等互利基礎(chǔ)上達(dá)成，按雙方同意的下列條件發(fā)展業(yè)務(wù)關(guān)系：This agreement is made and entered into by and between the parties concernedon Dec.23th ,2015 in Shanghai, China on the basis of equalityand mutual benefitto develop business on terms and conditions mutually a

2、greed upon as follow:1. 協(xié)議雙方The Parties Concerned甲方：地址：電話：傳真：Party A:Add:Tel:Fax:乙方：地址：電話：傳真：Party B:Add:Tel:Fax:2. 委任Appointment甲方指定乙方為其獨(dú)家代理，為第三條所列商品從第四條所列區(qū)域的顧客中招攬訂單，乙方接受上述委任。Party A hereby appoints Party B as its Exclusive Agent to solicit orders forthe commodity stipulatein Article3 from customer

3、s in the territorystipulatedin Article 4,and Party B accepts and assumes such appointment.3. 代理商義務(wù)Agents Duty代理商應(yīng)嚴(yán)格遵守賣方隨時(shí)給予的任何指令，而且不得代表賣方作出任何擔(dān)保、承諾以及訂立契約、合同或作其他對(duì)賣方有約束力的行為。對(duì)于代理商違反賣方指令或超出指令范圍所用的一切作為或不作為，賣方都將不承擔(dān)任何責(zé)任。Agent shallstrictlyconform with any and all instructionsgiven by Sellerto Agent from tim

5、tory僅限于越南In Vietnam only6. 最低業(yè)務(wù)量Minimum turnover乙方同意，在本協(xié)議有效期內(nèi)從上述代理區(qū)域內(nèi)的顧客處招攬的上述商品的 訂單價(jià)值不低于 20 萬美元。Party B shall undertake to solicit orders for the above commodity from customers in the above territory during the effective period of this agreement for not less than USD 200,000,007. 價(jià)格與支付Price and Pay

6、ment每一筆交易的貨物價(jià)格甲方給予五折的優(yōu)惠價(jià)格 ( 出廠價(jià)格 ) 并須經(jīng)甲方最 后確認(rèn)。付款使用 T/T ，30% 定金，發(fā)貨前結(jié)清當(dāng)次交易余款。The pricefor each individualtransactionshallbe 50%discount( EXWprice),and subject to Party A's final confirmation. Payment 30% deposit and 70%balance by T/T before shipping.8. 獨(dú)家代理權(quán)Exclusive Right基于本協(xié)議授予的獨(dú)家代理權(quán)，甲方不得直接或間接地通

7、過乙方以外的渠道向越南顧客銷售或出口第三條所列商品，甲方不得在越南經(jīng)銷、分銷或促銷蒙氏教具，在本協(xié)議有效期內(nèi)，甲方應(yīng)將其收到的來自越南其他商家的有關(guān) 代理產(chǎn)品的詢價(jià)或訂單轉(zhuǎn)交給乙方。In considerationof the exclusiverightsgranted herein,Party A shallnot,directlyor indirectly,sellor exportthe commodity stipulatedin Article4 to customers in Vietnam through channels other than Party B; Party A

8、 shallrefer to Party B any enquiries or orders for the commodity in questionreceivedby Party A from otherfirmsin Vietnam duringthe validityof thisagreement.9.運(yùn)費(fèi)和運(yùn)輸條款Shipping &rules貨物由甲方安排運(yùn)輸送到乙方指定的運(yùn)輸?shù)刂罚\(yùn)費(fèi)由乙方支付。The items delivered to the address where Part B appointed，Part B affordthe shipping fee

9、.10.退換貨政策和售后After Sell Service， & Return Policy訂單貨物由于物流，生產(chǎn)或者其他原因?qū)е庐a(chǎn)品質(zhì)量問題，乙方提供損壞產(chǎn)品圖片，甲方無理由在下次訂單免費(fèi)補(bǔ)發(fā)給乙方。The goods broken or damaged by shipping or product processing or otherreasons caused , Part A resend these goods gratuitous under the conditionthat Part A show the photos.11. 糾紛解決地點(diǎn) 上海Dispute re

10、solution Place Shanghai12. 協(xié)議有效期 : Validity of Agreement:（ 1）協(xié)議生效：此協(xié)議自有關(guān)當(dāng)事人簽署之日起生效。Effectivityof sole agent agreement: the sole agent agreement willcomeintoforce upon duly signatures of the concerted parties.（ 2）協(xié)議有效期：2015 年 12 月日到 2016 年 12 月日。This agreement when duly signed by the parties concerne

11、d shall remain inforce for one year to be effective from 31th Dec .2015 to 31th Dec.2016.（ 3） 如果乙方未能完成協(xié)議規(guī)定的階段目標(biāo)銷量的 80% ，甲方有權(quán)單方面終 止協(xié) 。如果乙方完成規(guī)定的階段目標(biāo)銷量的 80 協(xié)議繼續(xù)生效。If Party B couldn 't fulfill the 80% of sales target required，Party Ahas the right to terminate the Agreement unilaterally. Party B shall betreated as qualified exclusive agent and exclusive exporter if Party Breaches the sales targetno less than 80%, the agreement willbe effective.（4）如果乙方完成本協(xié)議規(guī)定總量的100%，本協(xié)議到期日期自動(dòng)延續(xù)到2017 年
