1、SAMPLE CONSULTING AGREEMENT This Consulting Agreement (this “Agreement”) is entered into by and between ABC Nonprofit, a Texas nonprofit corporation (the “Client”) with a principal place of business at (list address), and Texas Independent Consultant (the “Consultant”) with a principal place of busi

2、ness at (list address).Services to be Performed:Consultant agrees to perform the following services for Client: (list all services)Terms and Conditions:(1) Materials and information requested by the Consultant will be provided by the Client in a timely manner.(2) Regular discussions will be held bet

6、y may terminate this Agreement at any time by giving 30 days written notice of termination to the other party at the address for such party detailed herein. Reasonable cause shall include a material violation of this Agreement, the Consultants inability to provide contracted services due to circumst

7、ances beyond the Consultants reasonable control, or nonpayment of Consultants compensation after 30 days written demand for payment. Consultant shall be entitled to full payment for services performed prior to the effective date of termination.Independent Consultant Status:Consultant is an independe

8、nt contractor, not an employee of the Clients organization. Consultant and Client agree to the following rights consistent with an independent consultant relationship:(1) Consultant has the sole right to control and direct the means, manner and method by which the services required by this Agreement

9、 will be performed.(2) Consultant has the right to perform services for others during the term of this Agreement.Notices:All notices and other communication that relate to this Agreement shall be in writing and shall be considered given as follows:(1) when delivered personally to the recipients addr

10、ess as stated on this Agreement;(2) three days after being deposited in the United States mail, with postage prepaid to the recipients address as stated on this Agreement; or(3) when sent by fax or telex to the last fax or telex number of the recipient known to the person giving notice. Notice is ef

11、fective upon receipt provided that a duplicate copy of the notice is promptly given by first class mail, or the recipient delivers a written confirmation of receipt.No Partnership:This Agreement does not create a partnership relationship. Neither party has authority to enter into contracts on the ot

12、hers behalf.Applicable Law:This Agreement will be governed by the laws of the State of Texas.Exclusive Agreement:This is the entire Agreement between Consultant and Client.Resolving Disputes:If a dispute arises under this Agreement, the parties agree to first try to resolve the dispute with the help

13、 of a mutually agreed-upon mediator in El Paso or Travis County. Any costs and fees other than attorney fees associated with the mediation shall be shared equally by the parties.
