3、 obligati on s.2“合同價(jià)”系指根據(jù)體合同規(guī)定賣方在正確地完全履行合同義務(wù)后買方應(yīng)支付給賣方的價(jià)格。3) “The Goods” means a1loft11e equipment, machinery, and/or other materialswhich the Supplier is required to supply to the Purchaser under the ContracQ3 “貨 物”系指賣方根據(jù)體合同規(guī)定須向買方提供的一切設(shè)備、機(jī)械和/或其他材料。4) “The Services” means those services ancillary to

4、the supply of the Goods, such as transportation and insurance, and any other incidental services, such as installation, commissioning, provision of technical assistance, training, and other such obligations of the Supplier covered under the Contact.4 “服務(wù)”系指根據(jù)體合同規(guī)定賣方承 擔(dān)與供貨有關(guān)的輔助服務(wù)，如運(yùn)輸、險(xiǎn)以及其他的伴隨服務(wù)，例如安裝、

Standards4標(biāo)準(zhǔn)4.1 The Goods supplied under this Contract shall conform to the standards mentioned in the Tec

11、hnical Specifications, and, when no applicable standard is mentioned, to the authoritative standards appropriate to the Goods, country of origin. Such standards shall be the latest issued by the con cerned in stituti on.4.本合同下交付的貨物應(yīng)符 合技術(shù)規(guī)格所述的標(biāo)準(zhǔn)。如果沒有提及使用標(biāo)準(zhǔn)，則應(yīng)符合貨物來源國適用的 官方標(biāo)準(zhǔn)。這些標(biāo)準(zhǔn)必須是有關(guān)機(jī)構(gòu)發(fā)布的最新版本的標(biāo)準(zhǔn)。4.2

12、All measurements shall be the measuring unit officially published by the government of the PRC, unless otherwise specified in the Technical除非技術(shù)規(guī)格中另有規(guī)定，計(jì)量單均采用中華人民共和國法 定計(jì)量單位。5. Use of Co ntract Docume nts and In formatio n5 使用合同文件和資料5.l The Supplier shall not, without the Purchaser's prior written

13、 consent, disclose theContract, or any provision thereof, or any specification, plan, drawing, pattern, sample, or information furnished by or on behalf of the Purchaser in connection therewith, to any person other than a person employed by the Supplier in the performance of theContract. 5.1 使用買方事先書

14、面同意，賣方不得將由買方或代表買方提供的有 關(guān)合同或任何合同條文、規(guī)格、計(jì)劃、圖紙、模型、樣品或資料提供給與履行 合同無關(guān)的任何其他人。Disclosure to any such employed person shall be made in confidence and shall extendonly so far as may be n ecessary for purposes of such performa nCfr使向與履行合同 有關(guān)的人員提供，也應(yīng)注意保密并限于履行合同必須的范圍。5.2 The Supplier shall not, without the Purchas

Pate nt Rights6.專利權(quán)6.1 The Supplier shall indemnify the Purchaser against ail third-party claims of infringement of patent, trademark, copyright or other inteliectl1al property rights aris ing from use of the Goods

17、 or any part thereof in the PRC.6.賣方應(yīng)保證，買方 在中華人民共和國使用該貨物或貨物的任何一部分時(shí)，免受第三方提出的侵犯 其專利權(quán)、商標(biāo)權(quán)或工業(yè)設(shè)計(jì)權(quán)的起訴。7. Performa nee Security7.履約保證金7.1 Within thirty (30) 賣方應(yīng)在收到中標(biāo)通知書后三十( 30)天內(nèi)，向買方提交合 同條款資料表中所規(guī)定金額的履約保證金。7.2 The proceeds of the performance security shall be payable to the Purchaser ascompensation for any

18、loss resulting from the Supplier'履約保證金用于補(bǔ)償買方因賣方不能完成其合同義務(wù)而蒙受的損失。7.3 The performance security shall be denominated in the currency of the Contract, or in a currency acceptable to the Purchaser and shall be in one of the following forms:7.3 履約保證金應(yīng)采用本合同貨幣，或買方可以接受的一種可自由兌換的貨幣并采用下述方式之一提交：1) a bank guar

19、antee or an irrevocable letter of credit issued by: (i) a reputable bank located in the PRC or, (ii) a reputable bank abroad acceptable to the Purchaser though a reputable Bank located in the PRC, in the form provided in the bidding documentsor another form acceptable to the Purchaser; or)1 銀行保函或不可撤
