Olefins, Aromatics Hydrogenation and Isomerisation Catalysts , Gas Oil Desulfurization Catalyst ( AGO+VGO ), Light Naphtha Hydrotreater Catalyst.(Details as per Purchase Contract)4. 雙方的職責(zé)：Duties of two parties:(1)甲方所需的采購(gòu)業(yè)

5、務(wù)應(yīng)提交給乙方詳細(xì)的采購(gòu)產(chǎn)品信息，比如材質(zhì)、尺寸、數(shù)量、品質(zhì)等具體 要求。 Party A shall provide all the information of the purchasing products to Party B, such as material, size,qua ntity, quality and other con Crete requirements.乙方向甲方提供采購(gòu)產(chǎn)品客戶信息，代理信息，代理租船顧問(wèn)業(yè)務(wù)等。負(fù)責(zé)落實(shí)甲方采購(gòu)產(chǎn)品 資源，渠道和談成供貨意向一并介紹給甲方。Party B shall provide Party A customers 1 in

6、formation and agent information, consultancy service on agents chartering. Besides, he shall find and confirm the products resources and supply channel, then introduce these information totally to Party A.(2)因甲方購(gòu)買(mǎi)的產(chǎn)品涉及專(zhuān)利產(chǎn)權(quán)和產(chǎn)品生產(chǎn)者指定代理的情況，乙方負(fù)責(zé)促成甲方與產(chǎn)品生產(chǎn) 者或產(chǎn)品生產(chǎn)者代理商之間簽署采購(gòu)協(xié)議，實(shí)現(xiàn)貿(mào)易，并負(fù)責(zé)為甲方對(duì)采購(gòu)產(chǎn)品取樣、驗(yàn)貨、出貨 等的環(huán)節(jié)進(jìn)行

7、服務(wù)。Party B shall help and facilitate Party A sign the Purchasing Agreement with the suppliers or agents, also should provide services in many aspects, such as sampling, inspection, delivery and other matters.5. 貨款的支付方式：Payment of goods甲方購(gòu)買(mǎi)的產(chǎn)品涉及專(zhuān)利產(chǎn)權(quán)或產(chǎn)品生產(chǎn)者指定代理的情況，甲方與產(chǎn)品生產(chǎn)者或產(chǎn)品生產(chǎn)者代 理商之間直接簽署采購(gòu)協(xié)議，貨款支付方式由協(xié)議

8、雙方協(xié)商達(dá)成一致。Party A w川 sign Purchasing Agreement directly with producers or its agents, and the payment term of goods will be negotiated and agreed by Party A and the Seller.精選word6傭金的計(jì)算、給付方式、給付時(shí)間:Commission calculation, payment methods, payment time甲方同意按照采購(gòu)產(chǎn)品總金額的(1-5) %支付傭金給乙方，支付日期為付款給賣(mài)方的同一天，傭金匯入乙方指定銀

9、行賬戶。如甲方以預(yù)付款或分期付款的形式向賣(mài)方支付貨款，在甲方向賣(mài)方 支 付第一筆貨款的同時(shí)向乙方全額支付采購(gòu)產(chǎn)品總金額的傭金。For the Purchasi ng Agents services, the Party A shall pay the Party B the following commissi on perce n tage:(1-5)% of Part Bf s purchasi ng aggregate amount of the in voice valu,esimulta neously within th e same banking day as the part

If the Party A makes advanee payments to the Seller or payment by in stallme nts, he should pay the commissi on to Party B simulta neously with the first payment he made to the Seller.7. 違約責(zé)任：(1)甲方

12、ied except by amendment reduced to writing and signed by both Parties.9. 不可抗力:Force Majeure由于水災(zāi)、火災(zāi)、地震、干旱、戰(zhàn)爭(zhēng)或協(xié)議一方無(wú)法預(yù)見(jiàn)、控制、避免和克服的其他事件導(dǎo)致不 能或暫時(shí)不能全部或部分履行本協(xié)議，該方不負(fù)責(zé)任。但是，受不可抗力事件影響的一方須盡快將 發(fā)生的事件通知另一方，并在不可抗力事件發(fā)生15天內(nèi)將有關(guān)機(jī)構(gòu)出具的不可抗力事件的證明寄交對(duì) 方。Either party shall not be held responsible for failure or delay to perform

13、 all or any part of this agreement due to flood, fire, earthquake, draught, war or any other eve nts which could not be predicted, con trolled, avoided or overcome by the relative part y. However, the party affected by the eve nt of Force Majeure shall inform the other party of its occurrenee in wri

14、ting as soon as possible and thereafter send a certificate of the eve nt issued by the re leva nt authorities to the other party withi n 15 days after its occurre nee.10. 仲裁：Arbitration因履行本協(xié)議所發(fā)生的一切爭(zhēng)議應(yīng)通過(guò)友好協(xié)商解決。如協(xié)商不能解決爭(zhēng)議，則應(yīng)將爭(zhēng)議提交 中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)(北京),依據(jù)其仲裁規(guī)則進(jìn)行仲裁。仲裁裁決是終局的，對(duì)雙方都有約束力，仲裁費(fèi)用，除另有規(guī)定外，由敗訴一方負(fù)擔(dān)。All d

Should no settlement be reached through negotiation, the case shall then be submitted for arbitration to the China In ternati onal Economic and Trade Arbitrati on Commission (Beiji ng) and the

16、rules of this Commissi on shall be applied. The award of the arbitration shall be final and binding upon both parties.
