2、usiness needs, Party A wants Party B to provide services for Party A. Pursuant to General Principles of the Civil Law of the People ' s RepublicCohf ina, Contract Law of thePeople ' s RepublicCohfina and other relevant regulations, Party A and Party B(collectively referred to as the“ Parties

3、” ) have willingly entered into this Service Contract (hereafter referred to as th“e Contract” ) after equal consultation and mutual agreements and shall comply with it.第一條服務(wù)內(nèi)容 根據(jù)甲方業(yè)務(wù)需要，乙方同意向甲方提供與 XXX 相關(guān)的各種服務(wù)。Clause 1:Service ContentAccording to the business needs of Party A, Party B agrees to provi

4、de services to Party A concerned with .第二條 期限本服務(wù)協(xié)議約定的期限為 個月，自 年 月 日起至 年 月 日止。Clause 2:Term of the ContractThe Contract will be valid from / (M/D/Y) to/ (M/D/Y), a period lasting for months.第三條 雙方權(quán)利義務(wù)Clause 3: Rights and Obligations of the Parties3.1乙方保證其為甲方提供服務(wù)的人員合法就業(yè)并具有符合服務(wù)要求的專業(yè)技能，遵守甲方的規(guī)章制度， 按照甲方的要

5、求和標(biāo)準(zhǔn)完成服務(wù)協(xié)議， 并接受甲方 的檢查考核。3.1Party B promises that the labors who will provide services for Party A have legal work and qualified skills for finishing the services. Party B promises that the labors shall abide by regulations of Party A, finish the services and receive the inspection of Party A accordi

6、ng to requirements of Party A.3.2甲方為乙方提供安全的工作環(huán)境，乙方人員在服務(wù)過程中應(yīng)嚴(yán)格遵守甲 方的安全操作規(guī)定， 乙方人員因違反安全操作規(guī)定故意或過失導(dǎo)致受傷的， 所有 責(zé)任由乙方自己承擔(dān)。3.2PartyA shall provide safe working environment for Party B and Party B shall abide by safe operating regulations of Party A. In case that labors of Party B violate safe operating regula

7、tions intentionally or negligently and be injured, Party B shall burden all responsibilities.3.3 乙方工作時間根據(jù)甲方需要確定。3.3 The working hours of Party B is implemented by Party A according to the business needs.3.4乙方在為甲方提供服務(wù)中知悉的甲方商業(yè)秘密，不得提供或泄露給任何第三方。3.4Party B shall not disclose to any third party any confid

8、ential information obtained because of services in Party A.3.5甲方按照乙方提供的服務(wù)，向乙方支付服務(wù)費。3.5Party A pays service remun erati on to Party B for the services.第四條服務(wù)費支付Clause 4: Payme nt of Service Remun erati on4.1甲方支付乙方服務(wù)費的標(biāo)準(zhǔn)、方式、時間:4.1Party A pays service remuneration to Party B as the following standards:4

9、.2如需調(diào)整服務(wù)費，甲乙雙方另行約定。4.2The remun eratio n may be adjusted by other agreeme nts of both Parties.第五條 合同的終止與解除Clause 5: Rescissi on and Termin ati on of the Con tract5.1本合同期滿如雙方未續(xù)簽，則合同自行終止。雙方應(yīng)及時辦理交接手續(xù)。5.1If both Parties cannot agreeto renew the agreeme nt,the Con tract term in ates automatically whe n i

Both Parties shall impleme nt han dover procedures.5.2甲方有權(quán)視業(yè)務(wù)需要及乙方服務(wù)情況等隨時解除本合同，甲方不向乙方支付任何補償。5.2Party A is en titled to termi nate the Con tract when ever based on the bus in ess needs and performance of Party B. Party A burdens no responsibility to pay any financial compensation to Party

11、B.5.3本合同終止或解除后，雙方應(yīng)及時辦理交接手續(xù)。5.3Both Parties shall implement handover procedures after rescission or termination of the Contract.第六條 違約責(zé)任Clause 6: Responsibility of Default6.1 乙方未按照甲方要求提供相應(yīng)服務(wù)的，應(yīng)按照服務(wù)費金額的 當(dāng)向 甲方支付違約金。6.1In case that Party B provides services out of accordance with the requirements of Par

12、ty A, Party B shall pay liquidated damages to Party A at the rate of of the service remuneration.6.2甲方不按照本合同約定日期向乙方支付服務(wù)費的，每拖欠一日按照拖欠 金額的 向乙方支付違約金。6.2 In case that Party A pays service remuneration out of accordance with the date agreedin the Contract, Party A shall pay liquidated damagesto Party B at

13、 the rate of of arrears per late day.6.3乙方在提供服務(wù)中因故意或過失給甲方造成損失的，按照損失的金額據(jù) 實賠償。6.3In case that Party B causes damagesto Party A becauseof intention ornegligence in services, Party B shall compensate according to the damages.第七條 爭議解決甲乙雙方在履行本合同過程中發(fā)生爭議的， 應(yīng)當(dāng)通過協(xié)商解決。 協(xié)商不成的， 任何一方均有權(quán)向甲方所在地有管轄權(quán)的人民法院提起訴訟。Clause

14、7: Settlement of DisputesIn case that any disputes arise from the performance of this Contract, such disputes shall be settled through consultations first. In case that no consultations can be reached, either party can file a lawsuit under the jurisdiction of the Peo'ples Court at the address of Party A.第八條 文本及生效Clause 8:Text and Validity8.1本合同文本一式兩份，甲乙雙方各執(zhí)一份。8.1This Contract is in duplicate, one for each party.8.2本合同于雙方蓋章簽字之日生效。8.2This Contract enters into force since the date of seal and
