ATTESTATION 表述 1. “Party A” and “Party B” are entitled to enter into this Joint Venture Funding Agreement. “Party A” is able to provide USD to “Party B” and receives RMB payment from ” Party B”“甲方”和“乙方”有權(quán)簽訂資金合作協(xié)議書“甲方”是能夠提供美元給“乙方”,并接收“乙方” 的人民幣付款。2. “Party A” has his bank account in The Hongkong an

11、d Shanghai Banking Corporation Limited, Hong Kong main office and “Party B” has his bank account in The Hongkong and Shanghai Banking Corporation Limited, Hong Kong main office.“甲方”在香港上海匯豐銀行有限公司總行擁有銀行賬戶；“乙方” 在香港上海匯豐銀行有限公司總行擁有銀行賬戶。3. “Party A” transfers the funds to “Party Bs” account in XXXX Bank Li

12、mited, Hong Kong main office. And “Party B” transfers the funds to “Party As” account in The Hongkong and Shanghai Banking Corporation Limited, Hong Kong main office.“甲方”把款匯入“乙方”在香港XXXX銀行有限公司總行的銀行賬戶上,而“乙方”必須將款匯入到“甲方”在香港上海匯豐銀行有限公司總行的銀行賬戶上。3. PAYMENT付款1) “Party A” makes a payment of USD Ten (1) Billio

13、n to “Party Bs” bank account.“甲方”付款壹拾(10)億美元到“乙方的”賬戶上。2) “Party B” makes payment of RMBcurrency which is equivalent to USD Ten (1) Billion to “Party As” bank account.“乙方”付款以等值壹拾(10)億美元的人民幣存入“甲方的”賬戶上。4. PROCEDURES 程序1. “Party A” and “Party B” sign this Agreement face to face and/or electronically, th

After agreement has been signed by both parties; “Party B” provides a Hong kong Dollars copy of the bank-transfer form in the amount equivalent to or exceeding Ten (1) Billion United States Dollars o

15、f Hongkong and Shanghai Banking Corporation Limited, Hong Kong main office, in favor of Ms Somrudee Boontanondha(Party A), Signed and Sealed by Party Bs Bank officer, But no passed by machine to “party As” bank officer, as “party Bs” proof of fund for the agreement as per Transaction Code: BANANAXXX

16、. 在雙方簽署資金合作協(xié)議合約書后, “乙方” 提供中國銀行有限公司的xxx人民幣轉(zhuǎn)帳單復(fù)印件,受益人Ms Somrudee Boontanondha(甲方), 票面金額為等值或超過(10)億美元的人民幣, 為由乙方銀行官員簽章但不過機,作為“乙方” 在合約交易代碼: BANANAXXX 的資金證明。3. Thereafter Both Parties lodge the signed agreements to their respective banks. “Party A” issues the confirmation letter to the “Party B” for setti

On the appointment day during the window time. “Party As” bank officer shall verify “Party Bs” a Hong Kong Dollars copy of the bank-transfer form on a bank to bank basis. Thereafter “Party Bs” bank off

18、icer confirms the Bank Deposit Account Number: XXX-XXXXXX-XXX of “Party Bs” Hong Kong Dollars copy of the bank-transfer form having cash on deposit  in the amount equivalent to or exceeding Ten (1) Billion United States Dollars, for the guarantee payment of the agreement as per Transaction

Once the “Party As” bank officer accepts “Party Bs” Hong Kong Dollars copy of the bank-transfer form as a guarantee payment, then on

20、the next One (1) banking days, “Party A” bank officer shall transfer the funds in the amount of (1) Billion United States Dollars from The Hongkong and Shanghai Banking Corporation Limited, Hong Kong main office to “Party Bs” account in XXXX Bank Limited, Hong Kong main office, and “Party A” sh

21、all immediately hand over the copy of receipt of transfer to “Party B” as evidence.一旦“甲方”銀行官員接受“乙方”的人民幣轉(zhuǎn)帳單復(fù)印件作為付款保證后的壹(1)個銀行工作日內(nèi),“甲方”銀行官員將壹拾(10)億美元從香港上海豐銀行有限公司轉(zhuǎn)賬到香港XX銀行有限公司總行“乙方”的賬戶上作為并同時遞交銀行入賬單復(fù)印件給“乙方”作為憑證依據(jù)。6. Thereafter within Two (2) hours in the same day, when (1) Billion United States Dollars

22、has been transferred to "Party B's" account, “Party B” shall transfer the funds of RMBcurrency which is equivalent to (1) Billion United States Dollars to “Party As” account in The Hongkong and Shanghai Banking Corporation Limited, Hong Kong main office, as agreed by both parties, and

23、“Party B” shall immediately hand over the receipt of transfer to “Party A” as evidence隨后在同一天的兩個小時內(nèi)當壹拾(10)億美元已經(jīng)轉(zhuǎn)賬入“乙方”賬戶, 依據(jù)雙方同意, “乙方”將等值壹拾 (10)億美元的人民幣存入“甲方”在中國銀行有限公司的銀行賬戶上。并同時遞交銀行入賬單給“甲方”作為憑證依據(jù)。7. After (1) Billion United States Dollars have been transferred by “Party A” to “Party B”, and also “Part

24、y B” completes to make a payment of RMB to “Party A”; the execution of this agreement as per Transaction Code:BANANAXXX is defined as completed.當壹拾(10)億美元已經(jīng)由“甲方” 轉(zhuǎn)賬 (匯)入給“乙方”, 同時“乙方”也兌付人民幣給“甲方” 后, 此合約書交易代碼:BANANAXXX執(zhí)行的交易宣告完成。8. Further deliveries of size and frequency of lifts is to be discussed and

25、 followed, if any, according to the Agreement after the delivery of the commodity of (1) Billion United States dollars has been completed as per Transaction Code: BANANAXXX.為了進一步和持續(xù)的交易，依據(jù)雙方程序逐步進行，至此交易代碼: BANANAXXX 的合約美元壹佰(100)億金額交易完成后可以繼續(xù)展延。5. BANKING COORDINATES 銀行坐標“Party As” Banking Detail and “P

TIME LIMITATION AND PENALTY 時間限制和罰款I(lǐng)t is understood that within (10) Banking days after signing of this Agreement, “Party B” is obliged to confirm “Party Bs” account has enough fund for clearing Hong Kong Dollars the b

27、ank-transfer form in the amount of RMB currency equivalent to or exceeding (1) Billion United States Dollars. Should “Party B” be unable to deposit enough fund for clearing the bank-transfer form of “Party B within these (10) Banking days, this Agreement shall be automatically rendered null and void

28、, without any written notification. 非常明確在該資金合作協(xié)議書雙方簽署后的拾(10)個銀行工作日內(nèi)，“乙方”需確認“乙方”的賬戶存款 足夠以支付轉(zhuǎn)帳單的金額等值或超過壹拾(10)億美元的人民幣, 如果“乙方”在拾 (10)個銀行工作日內(nèi)不能 存入足夠以支付轉(zhuǎn)帳單的金額，此合同協(xié)議將自動失效，無須任何其它的通知。7. WARRANTY 保證Each party represents and warrants under risk and penalty of perjury that the respective parties are ready, will

29、ing and able (RWA) to perform the respective obligations of each party to this agreement and that the mutual considerations, which include the currencies to be exchange are good, clean are of non-criminal origin and are free and clear of all liens and encumbrances.雙方聲明并保證根據(jù)風險和偽證處罰法的有關(guān)條例雙方都已準備好了,愿意和能

30、夠履行各自的義務(wù),在此的每一方對本協(xié)議的條款都已認真研讀和仔細考慮過,其中包括現(xiàn)金交易的完好潔凈的、無犯罪來源的,并且對所有優(yōu)先權(quán)和抵押權(quán)是自由和干凈的。8.CONFIDENTIALITY / NON-CIRCUMVENTION 保密條款A(yù)ll parties, including “Party A” / “Party As” Mandate, “Party B” / “Party Bs” Mandate and any and all representatives, consultants and intermediaries involved in this transaction sh

31、all agree to act in complete confidentiality and shall not disclose the Agreement to any other party except on a need to know the basis and shall strictly observe the rules of the International Chamber of Commerce, Paris, France, latest edition, related to Non- Circumvention and Non-Disclosure. This

32、 shall be valid for five (5) years.在此所有各方,包括“甲方”/“甲方”的委任方,“乙方”/“乙方”的委任方和任何參與這交易各方的所有代表、顧問和中介機構(gòu)應(yīng)完全同意,并確保完全保密和不得透露協(xié)議的第三方,除非需要知道的基礎(chǔ)上,并應(yīng)嚴格遵守法國巴黎國際商會最新版的嚴格規(guī)定和有關(guān)保密和不予披露的條款,此有效期為五(5)年。9. OTHER CONDITIONS 其它條件1 Both parties agreed that only both parties' bank officers can communicate with 

33、;each other except those communications are allowed by both parties.  In the event any third party person of either party communicates with other party's bank officer, this Agreement shall be automatically terminated.雙方同意只有雙方的銀行官員可以相互溝通,除在本協(xié)議中所指明的方式。在發(fā)生任何一方的第三者與另一方的

34、銀行官員溝通,本協(xié)議將自動終止。2 To coordinate between the representatives of the two parties and to inform the status report between the Banks of the two parties must be presented by paper work.有關(guān)此交易之進行情況,包括買賣雙方之代表之協(xié)商, 銀行的匯報 ，需用文字方式進行。3 During the Window Time verifying “Party Bs” financial capability, “Party As”

35、Bank Officer shall have the right to solicit all the necessaries concerning “Party Bs” financial documentation. In return, the “Party B” and his Bank will provide all the solicited documents and deliver to “Party As” Bank via its representative. Then the correctness will be proven later on.當交易進行需確認”

36、乙方”之財務(wù)能力時，"甲方"之銀行官員有權(quán)要求獲取”乙方”之相關(guān)財務(wù)文件。而”乙方”及其銀行將通過其代表提供相關(guān)文件，文件內(nèi)容之真實性容后確定。4 The financial verification of “Party Bs” financial capability needs to be approved in writing by “Party As” Bank prior to further step of performance.”乙方”之財務(wù)能力為交易可進行之先決條件，”乙方”之財務(wù)能力需由"甲方”之銀行作書面確認為準。5 The “Party A

37、s” Bank shall accepts “Party Bs” financial capability, by telephone call and be ready to issue the Letter of financial acceptance as long as being “Party As” Bank satisfy with the following conditions:“甲方”的銀行將接受“乙方”銀行提供有關(guān)資金狀況,當“甲方”的銀行滿意如下條件時: 5.1. “Party Bs” financial verification is proven to exist

38、 and is exactly sufficient.”乙方”之資金得已確認及其金額足夠，5.2. “Party Bs” financial verification issued by “Party Bs” Bank is proven to follow the form of financial document provided by “Party As” Bank in the truthful manner.”乙方”銀行需真實地提供相關(guān)之”乙方”財務(wù)文件，而文件格式需按"甲方” 的銀行要求提供。 5.3. Party B should meet all the requi
