10、任何有損申請(qǐng)人子公司名稱利益的事情,不能以申請(qǐng)人子公司名稱的名義借貸,不能對(duì)外擔(dān)保,不得從事任何違法事宜。在托管期間所產(chǎn)生的所有的費(fèi)用 (包括員工稅費(fèi)、福利、行政費(fèi)用、公司稅費(fèi)及辦公場(chǎng)所費(fèi)用等)、虧損及法律責(zé) 任等,均由分包商承擔(dān)。& in depe ndent contractor: both the compa ny and the subc on tractor agree that the subcontractor will act as an independent contractor in the performs nee of its duties un der th

17、不得被分包給其他個(gè)人或分包給海外的個(gè)人或海外機(jī)構(gòu)。9. confide ntial inf ormation: the subc on tractor agrees that any informati onreceived during any furtheranee of the subcontractor*s obligations in accordanee with this contract, which concerns the personal, financial or other affairs of the company will be treated by the s

18、ubcontractor in full confidence and will not be revealed to any other persons, firms or orga nizati ons.the subcontractor will use best efforts and reasonable diligence to:(a) use such con fide ntial in formati on only for in ter nal business purposes;(b) protect supplied confidential information in

19、 the same manner as the subc on tractor protects its own con fide ntial informati on;(c) not make copies of any such confidential information or any part thereof without the written consent permission of the company;(d) not disclose to others any such con fide ntial inf ormati on or any part thereof

22、 hereby grant to xx inc.all rights, titles and interest in the works conceived or first produced by xx inc. or its dients and any material produced by you or your employees under this agreement, and you agree that such materials are "works made for hire" exclusively for xx inc. or its clie

23、nts under the copyright laws of the united states.in the eve nt that any such work shall not be a work made for hire un der said copyright laws, you hereby assign to xx inc. or its dients all rights, titles, and interest in such work and to execute whatever assignment of copyright or other documents

29、期間及其后一(1)年，未經(jīng)中國(guó)駐美國(guó)的子公 司的事先書(shū)面同意，將不會(huì)直接或間接雇傭或招募中國(guó)駐美國(guó)的子公司的任何雇員 或分包人員。若未經(jīng)事先書(shū)面同意,在指定期限內(nèi)雇傭了某位雇員或分包人員,則 分包商將向中國(guó)駐美國(guó)的子公司支付一筆金額,其等于該雇員或分包人員年薪總額 的40% ,以作為違約賠償金，而非罰金。分包商同意，在本協(xié)議期間及其后一 (1)年期間，分包商不會(huì)為了建立但可業(yè)務(wù) 關(guān)系提供本協(xié)議指走的服務(wù)，而直接或間接招攬但可當(dāng)前或潛在的客戶。此外，在 本協(xié)議期間及其后一(1)年期間,分包商不會(huì)在中國(guó)駐美國(guó)的子公司服務(wù)的區(qū)域 內(nèi)建立與中國(guó)駐美國(guó)的子公司直接競(jìng)爭(zhēng)的企業(yè)，其包括轉(zhuǎn)錄領(lǐng)域內(nèi)的企業(yè)。12

32、對(duì)方發(fā)出提前三十(30 )天的書(shū)面通知終止本協(xié)議。任意一方可以通過(guò)提前三(3 ) 天向?qū)Ψ桨l(fā)出書(shū)面通知因正當(dāng)理由終止本協(xié)議。終止的正當(dāng)理由包括但不限于違反 不競(jìng)爭(zhēng)承諾、違反保密條款、對(duì)本協(xié)議的任何其他重大違反,或工作成果低于xx inc.履行工作的正常質(zhì)量標(biāo)準(zhǔn)。13. assignment and subcontracting: subcontractor shall not assign any right or interest under this agreement or delegate or subcontract any work or other obligation to b
