(2) 付款交單：貨物發(fā)運(yùn)后，賣方出具以買方為付款人的付款跟單匯票，按即期付款交單（D/P）方式，通過(guò)賣方銀行及銀行向買方轉(zhuǎn)交單證，換取貨物。 Documents against payment: After shipment, the Seller shall draw a sight bill of exchange on the Buyer and deliver the documents through Sellers bank and Bank to the Buyer aga

8、inst payment, i.e D/P. The Buyer shall effect the payment immediately upon the first presentation of the bill(s) of exchange. (3) 承兌交單：貨物發(fā)運(yùn)后，賣方出具以買方為付款人的付款跟單匯票，付款期限為后日，按即期承兌交單(D/A日)方式，通過(guò)賣方銀行及銀行，經(jīng)買方承兌后，向買方轉(zhuǎn)交單證，買方在匯票期限到期時(shí)支付貨款。 Documents against Acceptance: After shipment, the Seller shall draw a sight

14、在合同規(guī)定的裝運(yùn)日期前30天，以方式通知買方合同號(hào)、品名、數(shù)量、金額、包裝件、毛重、尺碼及裝運(yùn)港可裝日期，以便買方支配租船/訂艙。裝運(yùn)船只按期到達(dá)裝運(yùn)港后，如賣方不能按時(shí)裝船，發(fā)生的空船費(fèi)或滯期費(fèi)由賣方負(fù)擔(dān)。在貨物越過(guò)船弦并脫離吊鉤以前一切費(fèi)用和風(fēng)險(xiǎn)由賣方負(fù)擔(dān)。 The Seller shall, 30 days before the shipment date specified in the Contract, advise the Buyer by _ of the Contract No., commodity, quantity, amount, packages, gross we

18、e goods, advise the Buyer of the Contract No., names of commodity, loading quantity, invoice values, gross weight, name of vessel and shipment date by _ 外貿(mào)業(yè)務(wù)員必備 within hours. 17. 質(zhì)量保證（Quality Guarantee）： 貨物品質(zhì)規(guī)格必需符合本合同及質(zhì)量保證書(shū)之規(guī)定，品質(zhì)保證期為貨到目的港個(gè)月內(nèi)。在保證期限內(nèi)，因制造廠商在設(shè)計(jì)制造過(guò)程中的缺陷造成的貨物損害應(yīng)由賣方負(fù)責(zé)賠償。 The Seller shall g

The guarantee period shall be months after the arrival of the goods at the port of destination, and during the period the Seller shall be respon

20、sible for the damage due to the defects in designing and manufacturing of the manufacturer. 18. 檢驗(yàn)（Inspection） （以下兩項(xiàng)任選一項(xiàng)）： （1）賣方須在裝運(yùn)前日托付檢驗(yàn)機(jī)構(gòu)對(duì)本合同之貨物進(jìn)行檢驗(yàn)并出具檢驗(yàn)證書(shū)，貨到目的港后，由買方托付檢驗(yàn)機(jī)構(gòu)進(jìn)行檢驗(yàn)。 The Seller shall have the goods inspected by days before the shipment and have the Inspection Certificate issued by. (2) 發(fā)貨前，制造廠應(yīng)對(duì)貨物的質(zhì)量、規(guī)格、性能和數(shù)量/重量作精密全面的檢驗(yàn)，出具檢驗(yàn)證明書(shū)，并說(shuō)明檢驗(yàn)的技術(shù)數(shù)據(jù)和結(jié)論。貨到目的港后，買方將申請(qǐng)中國(guó)商品檢驗(yàn)局(以下簡(jiǎn)稱商檢局)對(duì)貨物的規(guī)格和數(shù)量/重量進(jìn)行檢驗(yàn)，如發(fā)覺(jué)貨物殘損或規(guī)格、數(shù)量與合同規(guī)定不符，除保險(xiǎn)公司或輪船公司的責(zé)任外，買方得在貨物到達(dá)目的港后日內(nèi)憑商檢局出具的檢驗(yàn)證書(shū)向賣方索賠或拒收該貨。在保證期內(nèi)，如貨物由于設(shè)計(jì)或制造上的缺陷而發(fā)生損壞或品質(zhì)和性能與合同規(guī)定不

22、符時(shí)，買方將托付中國(guó)商檢局進(jìn)行檢驗(yàn)。 The manufacturers shall, before delivery, make a precise and comprehensive inspection of the goods with regard to its quality, specifications, performance and quantity/weight, and issue inspection certificates certifying the technical data and conclusion of the inspection. After a

23、rrival of the goods at the port of destination, the Buyer shall apply to China Commodity Inspection Bureau (hereinafter referred to as CCIB) for a further inspection as to the specifications and quantity/weight of the goods. If damages of the goods are found, or the specifications and/or quantity ar

24、e not in conformity with the stipulations in this Contract, except when the responsibilities lies with Insurance Company or Shipping Company, the Buyer shall, within _ days 外貿(mào)業(yè)務(wù)員必備 after arrival of the goods at the port of destination, claim against the Seller, or reject the goods according to the i

25、nspection certificate issued by CCIB. In case of damage of the goods incurred due to the design or manufacture defects and/or in case the quality and performance are not in conformity with the Contract, the Buyer shall, during the guarantee period, request CCIB to make a survey. 19. 索賠（Claim）： 買方憑其托

26、付的檢驗(yàn)機(jī)構(gòu)出具的檢驗(yàn)證明書(shū)向賣方提出索賠（包括換貨），由此引起的全部費(fèi)用應(yīng)由賣方負(fù)擔(dān)。若賣方收到上述索賠后天未予答復(fù)，則認(rèn)為賣方已接受買方索賠。 The buyer shall make a claim against the Seller (including replacement of the goods) by the further inspection certificate and all the expenses incurred therefrom shall be borne by the Seller. The claims mentioned above shall

27、be regarded as being accepted if the Seller fail to reply within days after the Seller received the Buyer's claim. 20. 遲交貨與罰款（Late delivery and Penalty）: 除合同第21條不行抗力緣由外，如賣方不能按合同規(guī)定的時(shí)間交貨，買方應(yīng)同意在賣方支付罰款的條件下延期交貨。罰款可由議付銀行在議付貨款時(shí)扣除，罰款率按每天收%，不足天時(shí)以天計(jì)算。但罰款不得超過(guò)遲交貨物總價(jià)的%。如賣方延期交貨超過(guò)合同規(guī)定天時(shí)，買方有權(quán)撤銷合同，此時(shí)，賣方仍應(yīng)不拖延地按上述

28、規(guī)定向買方支付罰款。 買方有權(quán)對(duì)因此患病的其它損失向賣方提出索賠。 Should the Seller fail to make delivery on time as stipulated in the Contract, with the exception of Force Majeure causes specified in Clause 21 of this Contract, the Buyer shall agree to postpone the delivery on the condition that the Seller agree to pay a penalty

29、which shall be deducted by the paying bank from the payment under negotiation. The rate of penalty is charged at% for every days, odd days less than _days should be counted as days. But the penalty, however, shall not exceed_% of the total value of the goods involved in the delayed delivery. In case

30、 the Seller fail to make delivery days later than the time of shipment stipulated in the Contract, the Buyer shall have the right to cancel the Contract and the Seller, in spite of the cancellation, shall nevertheless pay the aforesaid penalty to the Buyer without delay. The buyer shall have the rig

31、ht to lodge a claim against the Seller for the losses sustained if any. 外貿(mào)業(yè)務(wù)員必備 21. 不行抗力（Force Majeure）： 凡在制造或裝船運(yùn)輸過(guò)程中，因不行抗力致使賣方不能或推遲交貨時(shí)，賣方不負(fù)責(zé)任。在發(fā)生上述狀況時(shí)，賣方應(yīng)立刻通知買方，并在天內(nèi)，給買方特快專遞一份由當(dāng)?shù)孛耖g商會(huì)簽發(fā)的事故證明書(shū)。在此狀況下，賣方仍有責(zé)任實(shí)行一切必要措施加快交貨。如事故連續(xù)天以上，買方有權(quán)撤銷合同。 The Seller shall not be responsible for the delay of shipment or

32、 non-delivery of the goods due to Force Majeure, which might occur during the process of manufacturing or in the course of loading or transit. The Seller shall advise the Buyer immediately of the occurrence mentioned above and within_ days thereafter the Seller shall send a notice by courier to the

33、Buyer for their acceptance of a certificate of the accident issued by the local chamber of commerce under whose jurisdiction the accident occurs as evidence thereof. Under such circumstances the Seller, however, are still under the obligation to take all necessary measures to hasten the delivery of

In case the accident lasts for more than _ days the Buyer shall have the right to cancel the Contract. 22. 爭(zhēng)議的解決 (Arbitration): 凡因本合同引起的或與本合同有關(guān)的任何爭(zhēng)議應(yīng)協(xié)商解決。若協(xié)商不成，應(yīng)提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)深圳分會(huì)，根據(jù)申請(qǐng)仲裁時(shí)該會(huì)現(xiàn)行有效的仲裁規(guī)章進(jìn)行仲裁。仲裁裁決是終局的，對(duì)雙方均有約束力。 Any dispute arising from or in connection with the Contract shall be settled through friendly negotiation. In case no settlement is reached, the dispute shall be submitted to China International Economic and Trade Arbitration Commission (CIETAC),Shenzhen Commission for arbitration
