7、eBuyershalleffectthepaymentimmediatelyuponthefirstpresentationofthebill（s）ofexchange.（3）承兌交單：貨物發(fā)運(yùn)后，賣(mài)方出具以買(mǎi)方為付款人的付款跟單匯票，付款期限為后日，按即期承兌交單（D/A日）方式，通過(guò)賣(mài)方銀行及銀行，經(jīng)買(mǎi)方承兌后，向買(mǎi)方轉(zhuǎn)交單證，買(mǎi)方在匯票期限到期時(shí)支付貨款。DocumentsagainstAcceptance：Aftershipment，theSellershalldrawasightbillofexchange，payable_daysaftertheBuyersdeliversthed

8、ocumentthroughSellers，ankand_BanktotheBuyeragainstacceptance（D/A_days）。TheBuyershallmakethepaymentondateofthebillofexchange.（4）貨到付款：買(mǎi)方在收到貨物后天內(nèi)將全部貨款支付賣(mài)方（不適用于FOB、CRF、CIF術(shù)語(yǔ)）。Cashondelivery（COD）：TheBuyershallpaytotheSellertotalamountwithin_daysafterthereceiptofthegoods（ThisclauseisnotappliedtotheTermsof

9、FOB，CFR，CIF）。14.單據(jù)（DocumentsRequired）：賣(mài)方應(yīng)將下列單據(jù)提交銀行議付/托收：TheSellershallpresentthefollowingdocumentsrequiredtothebankfornegotiation/collection：（1）標(biāo)明通知收貨人/受貨代理人的全套清潔的、已裝船的、空白抬頭、空白背書(shū)并注明運(yùn)費(fèi)已付/到付的海運(yùn)/聯(lián)運(yùn)/陸運(yùn)提單。FullsetofcleanonboardOcean/CombinedTransportation/LandBillsofLadingandblankendorsedmarkedfreightprep

10、aid/tocollect；（2）標(biāo)有合同編號(hào)、信用證號(hào)（信用證支付條件下）及裝運(yùn)嘜頭的商業(yè)發(fā)票一式份；Signedcommercialinvoicein_copiesindicatingContractNo.，L/CNo.（TermsofL/C）andshippingmarks；（3）由出具的裝箱或重量單一式份；Packinglist/weightmemoin_copiesissuedby；（4）由出具的質(zhì)量證明書(shū)一式份；CertificateofQualityin_copiesissuedby；（5）由出具的數(shù)量證明書(shū)一式份；CertificateofQuantityin_copiesis

11、suedby；（6）保險(xiǎn)單正本一式份（CIF交貨條件）；Insurancepolicy/certificatein_copies（TermsofCIF）；（7）簽發(fā)的產(chǎn)地證一式份；CertificateofOriginin_copiesissuedby；（8）裝運(yùn)通知（Shippingadvice）：賣(mài)方應(yīng)在交運(yùn)后_小時(shí)內(nèi)以特快專(zhuān)遞方式郵寄給買(mǎi)方上述第項(xiàng)單據(jù)副本一式一套。TheSellershall，within_hoursaftershipmenteffected，sendbycouriereachcopyoftheabove-mentioneddocumentsNo.。15.裝運(yùn)條款（Te

12、rmsofShipment）：（1）FOB交貨方式賣(mài)方應(yīng)在合同規(guī)定的裝運(yùn)日期前30天，以方式通知買(mǎi)方合同號(hào)、品名、數(shù)量、金額、包裝件、毛重、尺碼及裝運(yùn)港可裝日期，以便買(mǎi)方安排租船/訂艙。裝運(yùn)船只按期到達(dá)裝運(yùn)港后，如賣(mài)方不能按時(shí)裝船，發(fā)生的空船費(fèi)或滯期費(fèi)由賣(mài)方負(fù)擔(dān)。在貨物越過(guò)船弦并脫離吊鉤以前一切費(fèi)用和風(fēng)險(xiǎn)由賣(mài)方負(fù)擔(dān)。TheSellershall，30daysbeforetheshipmentdatespecifiedintheContract，advisetheBuyerby_oftheContractNo.，commodity，quantity，amount，packages，grosswe

13、ight，measurement，andthedateofshipmentinorderthattheBuyercancharteravessel/bookshippingspace.IntheeventoftheSellersfailuretoeffectloadingwhenthevesselarrivesdulyattheloadingport，allexpensesincludingdeadfreightand/ordemurragechargesthusincurredshallbefortheSellersaccount.（2）CIF或CFR交貨方式賣(mài)方須按時(shí)在裝運(yùn)期限內(nèi)將貨物由裝

14、運(yùn)港裝船至目的港。在CFR術(shù)語(yǔ)下，賣(mài)方應(yīng)在裝船前2天以方式通知買(mǎi)方合同號(hào)、品名、發(fā)票價(jià)值及開(kāi)船日期，以便買(mǎi)方安排保險(xiǎn)。TheSellershallshipthegoodsdulywithintheshippingdurationfromtheportofloadingtotheportofdestination.UnderCFRterms，theSellershalladvisetheBuyerby_oftheContractNo.，commodity，invoicevalueandthedateofdispatchtwodaysbeforetheshipmentfortheBuyertoar

15、rangeinsuranceintime.16.裝運(yùn)通知（ShippingAdvice）：一俟裝載完畢，賣(mài)方應(yīng)在小時(shí)內(nèi)以方式通知買(mǎi)方合同編號(hào)、品名、已發(fā)運(yùn)數(shù)量、發(fā)票總金額、毛重、船名/車(chē)/機(jī)號(hào)及啟程日期等。TheSellershall，immediatelyuponthecompletionoftheloadingofthegoods，advisetheBuyeroftheContractNo.，namesofcommodity，loadingquantity，invoicevalues，grossweight，nameofvesselandshipmentdateby_within_hour

16、s.17.質(zhì)量保證（QualityGuarantee）：貨物品質(zhì)規(guī)格必須符合本合同及質(zhì)量保證書(shū)之規(guī)定，品質(zhì)保證期為貨到目的港個(gè)月內(nèi)。在保證期限內(nèi)，因制造廠商在設(shè)計(jì)制造過(guò)程中的缺陷造成的貨物損害應(yīng)由賣(mài)方負(fù)責(zé)賠償。TheSellershallguaranteethatthecommoditymustbeinconformitywiththequatity，specificationsandquantityspecifiedinthisContractandLetterofQualityGuarantee.Theguaranteeperiodshallbe_monthsafterthearrival

17、ofthegoodsattheportofdestination，andduringtheperiodtheSellershallberesponsibleforthedamageduetothedefectsindesigningandmanufacturingofthemanufacturer.18.檢驗(yàn)（Inspection）（以下兩項(xiàng)任選一項(xiàng)）：（1）賣(mài)方須在裝運(yùn)前日委托檢驗(yàn)機(jī)構(gòu)對(duì)本合同之貨物進(jìn)行檢驗(yàn)并出具檢驗(yàn)證書(shū)，貨到目的港后，由買(mǎi)方委托檢驗(yàn)機(jī)構(gòu)進(jìn)行檢驗(yàn)。TheSellershallhavethegoodsinspectedby_daysbeforetheshipmentandhav

18、etheInspectionCertificateissuedby_.TheBuyermayhavethegoodsreinspectedby_afterthegoods，rrivalatthedestination.（2）發(fā)貨前，制造廠應(yīng)對(duì)貨物的質(zhì)量、規(guī)格、性能和數(shù)量/重量作精密全面的檢驗(yàn)，出具檢驗(yàn)證明書(shū)，并說(shuō)明檢驗(yàn)的技術(shù)數(shù)據(jù)和結(jié)論。貨到目的港后，買(mǎi)方將申請(qǐng)中國(guó)商品檢驗(yàn)局（以下簡(jiǎn)稱(chēng)商檢局）對(duì)貨物的規(guī)格和數(shù)量/重量進(jìn)行檢驗(yàn)，如發(fā)現(xiàn)貨物殘損或規(guī)格、數(shù)量與合同規(guī)定不符，除保險(xiǎn)公司或輪船公司的責(zé)任外，買(mǎi)方得在貨物到達(dá)目的港后日內(nèi)憑商檢局出具的檢驗(yàn)證書(shū)向賣(mài)方索賠或拒收該貨。在保證期內(nèi)，如貨物由于設(shè)計(jì)或

19、制造上的缺陷而發(fā)生損壞或品質(zhì)和性能與合同規(guī)定不符時(shí)，買(mǎi)方將委托中國(guó)商檢局進(jìn)行檢驗(yàn)。Themanufacturersshall，beforedelivery，makeapreciseandcomprehensiveinspectionofthegoodswithregardtoitsquality，specifications，performanceandquantity/weight，andissueinspectioncertificatescertifyingthetechnicaldataandconclusionoftheinspection.Afterarrivalofthegood

20、sattheportofdestination，theBuyershallapplytoChinaCommodityInspectionBureau（hereinafterreferredtoasCCIB）forafurtherinspectionastothespecificationsandquantity/weightofthegoods.Ifdamagesofthegoodsarefound，orthespecificationsand/orquantityarenotinconformitywiththestipulationsinthisContract，exceptwhenthe

21、responsibilitieslieswithInsuranceCompanyorShippingCompany，theBuyershall，within_daysafterarrivalofthegoodsattheportofdestination，claimagainsttheSeller，orrejectthegoodsaccordingtotheinspectioncertificateissuedbyCCIB.Incaseofdamageofthegoodsincurredduetothedesignormanufacturedefectsand/orincasethequali

22、tyandperformancearenotinconformitywiththeContract，theBuyershall，duringtheguaranteeperiod，requestCCIBtomakeasurvey.19.索賠（Claim）：買(mǎi)方憑其委托的檢驗(yàn)機(jī)構(gòu)出具的檢驗(yàn)證明書(shū)向賣(mài)方提出索賠（包括換貨），由此引起的全部費(fèi)用應(yīng)由賣(mài)方負(fù)擔(dān)。若賣(mài)方收到上述索賠后_天未予答復(fù)，則認(rèn)為賣(mài)方已接受買(mǎi)方索賠。ThebuyershallmakeaclaimagainsttheSeller（includingreplacementofthegoods）bythefurtherinspectionc

23、ertificateandalltheexpensesincurredtherefromshallbebornebytheSeller.TheclaimsmentionedaboveshallberegardedasbeingacceptediftheSellerfailtoreplywithin_daysaftertheSellerreceivedtheBuyersclaim.20.遲交貨與罰款（LatedeliveryandPenalty）：除合同第21條不可抗力原因外，如賣(mài)方不能按合同規(guī)定的時(shí)間交貨，買(mǎi)方應(yīng)同意在賣(mài)方支付罰款的條件下延期交貨。罰款可由議付銀行在議付貨款時(shí)扣除，罰款率按每天

24、收%，不足天時(shí)以天計(jì)算。但罰款不得超過(guò)遲交貨物總價(jià)的_%.如賣(mài)方延期交貨超過(guò)合同規(guī)定天時(shí)，買(mǎi)方有權(quán)撤銷(xiāo)合同，此時(shí)，賣(mài)方仍應(yīng)不遲延地按上述規(guī)定向買(mǎi)方支付罰款。買(mǎi)方有權(quán)對(duì)因此遭受的其它損失向賣(mài)方提出索賠。ShouldtheSellerfailtomakedeliveryontimeasstipulatedintheContract，withtheexceptionofForceMajeurecausesspecifiedinClause21ofthisContract，theBuyershallagreetopostponethedeliveryontheconditionthattheSelle

25、ragreetopayapenaltywhichshallbedeductedbythepayingbankfromthepaymentundernegotiation.Therateofpenaltyischargedat_%forevery_days，odddayslessthan_daysshouldbecountedas_days.Butthepenalty，however，shallnotexceed_%ofthetotalvalueofthegoodsinvolvedinthedelayeddelivery.IncasetheSellerfailtomakedelivery_day

26、slaterthanthetimeofshipmentstipulatedintheContract，theBuyershallhavetherighttocanceltheContractandtheSeller，inspiteofthecancellation，shallneverthelesspaytheaforesaidpenaltytotheBuyerwithoutdelay.ThebuyershallhavetherighttolodgeaclaimagainsttheSellerforthelossessustainedifany.21.不可抗力（ForceMajeure）：凡在

27、制造或裝船運(yùn)輸過(guò)程中，因不可抗力致使賣(mài)方不能或推遲交貨時(shí)，賣(mài)方不負(fù)責(zé)任。在發(fā)生上述情況時(shí)，賣(mài)方應(yīng)立即通知買(mǎi)方，并在天內(nèi)，給買(mǎi)方特快專(zhuān)遞一份由當(dāng)?shù)孛耖g商會(huì)簽發(fā)的事故證明書(shū)。在此情況下，賣(mài)方仍有責(zé)任采取一切必要措施加快交貨。如事故延續(xù)天以上，買(mǎi)方有權(quán)撤銷(xiāo)合同。TheSellershallnotberesponsibleforthedelayofshipmentornon-deliveryofthegoodsduetoForceMajeure，whichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingortransit.T

28、heSellershalladvisetheBuyerimmediatelyoftheoccurrencementionedaboveandwithin_daysthereaftertheSellershallsendanoticebycouriertotheBuyerfortheiracceptanceofacertificateoftheaccidentissuedbythelocalchamberofcommerceunderwhosejurisdictiontheaccidentoccursasevidencethereof.UndersuchcircumstancestheSelle

29、r，however，arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.Incasetheaccidentlastsformorethan_daystheBuyershallhavetherighttocanceltheContract.22.爭(zhēng)議的解決（Arbitration）：凡因本合同引起的或與本合同有關(guān)的任何爭(zhēng)議應(yīng)協(xié)商解決。若協(xié)商不成，應(yīng)提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)深圳分會(huì)，按照申請(qǐng)時(shí)該會(huì)當(dāng)時(shí)施行的仲裁規(guī)則進(jìn)行仲裁。仲裁裁決是終局的，對(duì)雙方均有約束力。AnydisputearisingfromorinconnectionwiththeContractshallbesettledthroughfriendlynegotiation.Incasenosettlementisreached，thedisputeshallbesubmittedtoChinaInternationalEconomicandTradeArbitrationCommission（CIETAC），ShenzhenCommission，forarbitrationinaccordancewithitsrulesineffectatthetimeofapplyingforarbi
