附件二境外培訓(xùn)項(xiàng)目合作協(xié)議（參考樣本）甲方：【培訓(xùn)項(xiàng)目組團(tuán)單位名稱】(以下簡稱“甲方”)注冊(cè)地址：聯(lián)系人及聯(lián)系電話：乙方：【境外培訓(xùn)機(jī)構(gòu)名稱】(以下簡稱“乙方”)注冊(cè)地址：聯(lián)系人及聯(lián)系電話： 甲乙雙方經(jīng)過認(rèn)真協(xié)商，就甲方委托乙方在 _國（地區(qū)）組織實(shí)施以下培訓(xùn)項(xiàng)目達(dá)成協(xié)議:一、培訓(xùn)主題、時(shí)間、地點(diǎn)及人數(shù)1.培訓(xùn)主題為 _；2.培訓(xùn)團(tuán)組是指本培訓(xùn)協(xié)議中，甲方委托乙方組織接受境外培訓(xùn)的所有人員； 3.培訓(xùn)團(tuán)組出發(fā)日期（離境日期）為 _年_ _月_ _日，回國日期（抵境日期）為 _年_ _月_ 日，在 _國（地區(qū)）培訓(xùn)時(shí)間共_天； 4.培訓(xùn)團(tuán)組人數(shù)為_ _人； 5.主要培訓(xùn)地點(diǎn)在 _國（地區(qū)） _市_單位(學(xué)校或公司名稱)； 6.培訓(xùn)團(tuán)組的行程路線（城市）：_（含離抵境地點(diǎn)和境外培訓(xùn)地點(diǎn)）。二、培訓(xùn)目的和內(nèi)容學(xué)習(xí)_ 、 、 方面的先進(jìn)技術(shù)或管理經(jīng)驗(yàn)，提高培訓(xùn)團(tuán)組成員專業(yè)和管理水平。（甲方針對(duì)培訓(xùn)主題提出內(nèi)容和要求）三、培訓(xùn)方式乙方應(yīng)采取包括但不限于如下方式對(duì)培訓(xùn)團(tuán)組進(jìn)行培訓(xùn)：1.專家授課：【列明對(duì)授課專家業(yè)務(wù)水平、最低授課時(shí)間、授課范圍或內(nèi)容、典型案例分析等方面的要求】2.實(shí)地交流訪問或?qū)嵙?xí)：【列明交流訪問時(shí)間、地點(diǎn)和單位，訪問內(nèi)容等】 四、雙方責(zé)任和義務(wù)甲乙雙方在安排本培訓(xùn)項(xiàng)目的境內(nèi)外各項(xiàng)活動(dòng)中，應(yīng)遵守中國和乙方所在地的法律、中國政府有關(guān)因公出國（境）管理規(guī)定和國家外國專家局關(guān)于出國（境）培訓(xùn)管理規(guī)定，甲乙雙方各自的責(zé)任和義務(wù)為： (一)甲方責(zé)任和義務(wù) 1.負(fù)責(zé)培訓(xùn)團(tuán)組人員的組織工作，向乙方提供培訓(xùn)團(tuán)組人員名單； 2.負(fù)責(zé)辦理出國護(hù)照、簽證等有關(guān)手續(xù)； 3.負(fù)責(zé)提出培訓(xùn)要求、培訓(xùn)日程、路線和授課教師資格等； 4.負(fù)責(zé)支付乙方為完成培訓(xùn)任務(wù)而經(jīng)雙方共同商定的費(fèi)用； 5.負(fù)責(zé)跟蹤了解培訓(xùn)團(tuán)組在境外期間的各項(xiàng)活動(dòng)，給予政策引導(dǎo)和咨詢； 6.不得向乙方提出違反出國（境）培訓(xùn)規(guī)定及外事紀(jì)律的要求。（二）乙方責(zé)任和義務(wù) 1.負(fù)責(zé)向甲方簽發(fā)邀請(qǐng)函； 2.負(fù)責(zé)按甲方的要求進(jìn)行課程設(shè)計(jì)，配備高質(zhì)量的師資和專業(yè)翻譯，制訂行程安排并通過甲方報(bào)國家外國專家局出國培訓(xùn)管理司批準(zhǔn)后執(zhí)行； 3.負(fù)責(zé)組織專家授課、對(duì)口交流或?qū)嵙?xí)等業(yè)務(wù)實(shí)踐活動(dòng)，應(yīng)超過培訓(xùn)團(tuán)組在境外日程的2/3； 4.不得擅自改變培訓(xùn)課程、日程和路線，不得組織安排培訓(xùn)團(tuán)組前往其他國家、未經(jīng)批準(zhǔn)的城市和色情、賭博場所；5.負(fù)責(zé)培訓(xùn)團(tuán)組食、宿、行等接待服務(wù)工作； 6.負(fù)責(zé)給培訓(xùn)團(tuán)組提供住宿條件應(yīng)達(dá)到的要求為 ； 7.保證培訓(xùn)團(tuán)組培訓(xùn)及公務(wù)活動(dòng)時(shí)全程安排商務(wù)用車和專業(yè)司機(jī)接送； 8.不得將培訓(xùn)團(tuán)組轉(zhuǎn)手給其它機(jī)構(gòu)或團(tuán)體接待； 9.及時(shí)反饋培訓(xùn)團(tuán)組在境外期間的重要情況和問題，或根據(jù)甲方的要求提供對(duì)培訓(xùn)團(tuán)組在境外期間培訓(xùn)的質(zhì)量評(píng)估及相關(guān)情況； 10.不得給予培訓(xùn)團(tuán)組或其他人員任何回扣；11.乙方對(duì)培訓(xùn)合作情況、參訓(xùn)人員的個(gè)人和財(cái)務(wù)信息等應(yīng)采取合理的保障措施，防止敏感信息泄露、濫用或未授權(quán)的使用或披露。（三）雙方協(xié)商后明確的其他責(zé)任和義務(wù) 五、費(fèi)用及付款方式 1.甲乙雙方亦同意，由_方負(fù)責(zé)為培訓(xùn)團(tuán)組人員辦理境外人身意外傷害和緊急醫(yī)療救助保險(xiǎn)。2.甲方參團(tuán)人員按照在中國政府規(guī)定的標(biāo)準(zhǔn)范圍內(nèi)支付乙方出國（境）培訓(xùn)費(fèi)用，人均費(fèi)用_元（貨幣名稱）。用于支付: 培訓(xùn)授課、專業(yè)翻譯及相關(guān)費(fèi)用；培訓(xùn)團(tuán)組的食宿行費(fèi)用； _、_、_等費(fèi)用。（根據(jù)實(shí)際成行人數(shù)相應(yīng)增減） 3.甲方參團(tuán)人員在培訓(xùn)團(tuán)組抵達(dá)_ _國（地區(qū)）后向乙方交付培訓(xùn)費(fèi)用（或甲乙雙方協(xié)商確定付款方式和時(shí)間進(jìn)度）； 4.乙方應(yīng)如實(shí)為甲方出具培訓(xùn)費(fèi)用的有效發(fā)票（包括培訓(xùn)費(fèi)、住宿費(fèi)和城市間交通費(fèi)等具體明細(xì)）；5.對(duì)因團(tuán)組人數(shù)變化、行程變更、課程取消收取的費(fèi)用或其他額外費(fèi)用，或培訓(xùn)項(xiàng)目另有特殊要求的，應(yīng)由甲乙雙方協(xié)商解決。六、爭議或索賠的仲裁本協(xié)議受中華人民共和國法律管轄。甲乙雙方同意，因本協(xié)議產(chǎn)生的任何爭議或糾紛，應(yīng)友好協(xié)商解決，如無法達(dá)成一致，須提交中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)，依提請(qǐng)仲裁時(shí)該會(huì)的仲裁規(guī)劃裁決。仲裁裁決是終局性的，對(duì)雙方均有約束力。甲方代表簽字（蓋章）： _ 日期： _ 姓名： 職務(wù):乙方代表簽字（蓋章）： _ 日期： _ 姓名： 職務(wù):Overseas Training Program Cooperation Agreement（Sample for Reference）- This agreement is signed between - Unit for Training Program (hereinafter referred to as “Party A”):Registered Address:Contact Person and Telephone:- and -Name of Overseas Training Organization (hereinafter referred to as “Party B”):Registered Address:Contact Person and Telephone:Following serious consultation, Party A agrees to authorize Party B to conduct the following training program in (country or region) based on the following terms and conditions:1. Topic, Time, Place and Number of Traineesa. Topic of the Training: b. The training group refers to a total of people designated by Party A for overseas training which will be conducted by Party B. c. Date of departure: year month day, date of entry: year month day. Total days for training in (country or region): d. Number of trainees: e. Main training venue: (country or region) city (name of university or company)f. Itinerary of the training group (cities): _ (including the departure/entry places and the overseas training venues). 2. Purpose and Content of the Training To acquire knowledge of advanced technologies and methods for managing experiences on , , to improve the professional capabilities and management ability of the trainees. (Party A should put forward specific training content and requirements.) 3. Methods of Training Party B should conduct the training by means of:a. Lectures by teachers: (specify the requirements of teachers professional level, minimum teaching hours, teaching scope and case analysis, etc.)b. Exchange visits or fieldwork: (specify visit time, place, agency to visit and content, etc.) c. Others:4. Responsibilities and ObligationsDuring the overseas training, both parties should abide by the laws of China and the country in which Party B is located, and the policies and regulations on overseas training formulated by the Chinese government and the SAFEA. The responsibilities and obligations of both parties come as follows: A. Responsibilities and Obligations of Party Aa. Responsible for organizing the training group and giving the list of trainees to Party B.b. Responsible for going through passports, visas and related documents.c. Responsible for putting forward the training requirements, curriculum, itinerary and qualification of teachers, etc.d. Responsible for payment for the completion of the training agreed by both parties.e. Responsible for all overseas activities of the training group including providing guidance and consultation on related policies. f. Not allowed to ask Party B for any requests that violate the regulations on overseas training and disciplines on foreign affairs. B. Responsibilities and Obligations of Party B a. Responsible for sending invitation letters to the Party A. b. Responsible for design of curriculum, selection of high-qualified teachers and interpreters and design of itinerary in line with the requirements of Party A, and implementation of training activities approved by the Department of Overseas Training of SAFEA. c. Responsible for setting the hours of training activities like lectures, visits or fieldwork totaling over two-thirds of the entire training hours. d. Not allowed to change the training curriculum and itinerary without approval. Not allowed to help the training group to travel to other countries or unapproved cities, or go to sites known to feature pornography or gambling. e. Responsible for providing food, accommodation, transportation and other relevant services for the training group. f. Responsible for the confirming that the standard of accommodation arranged for the training group reaches the requirements of . g. Responsible for safe vehicles and professional drivers during the training period. h. Not allowed to transfer the training group to other organizations or agencies. i. Responsible for timely feedback of any important issues and situations during the training period or, as Party A requested, giving an evaluation report of the training group. j. Not allowed to pay kickbacks to the training group or any individuals. k. Responsible for safeguarding the integrity of the training cooperation, personal and financial information of trainees and the others. Any leakage, abuse or unauthorized use of sensitive information is prohibited.C.Other Responsibilities and Obligations Agreed by Both Partiesa. b. c. . 5. Fees and Paymenta. Based on the agreement of both parties, (Party A or Party B) should cover life accident insurance and emergency medical insurance for the trainees during the training period.b. Party A should pay Party B the fees of overseas training within the financial standards set by the Chinese government, per capita training fee _ yuan (name of currency).
