Any activity of Nominated Agent like instruction, requirement or modification is deemed to be the activity of Buyer and binding on Buyer, unless otherwise specified by Buyer with written confirmation of Seller. 1 協(xié)議主題1. Object of the Agreement1.1以當(dāng)前文件為準(zhǔn),賣(mài)方須制造并將貨物所有權(quán)讓渡給買(mǎi)方，同時(shí)買(mǎi)方須按當(dāng)前文件規(guī)定接受并支付（*）貨款。1.1 Subject to the provisions of the Agreement, Seller shall manufacture and pass the title of the Products to Buyer while Buyer shall accept and make full payment of the Products. 1.2 商品設(shè)計(jì)、價(jià)格、規(guī)格、種類(lèi)、最小數(shù)量 、最大數(shù)量和價(jià)格條款都必須在當(dāng)前協(xié)議及后續(xù)經(jīng)雙方書(shū)面確認(rèn)的補(bǔ)充協(xié)議(包括但不限于訂單、形式發(fā)票等)中明確規(guī)定。1.2 Design, price, specification, type, min & max amount and price term for the Products shall be explicitly specified in the Agreement and future agreement as may written agreed by the Parties, including but not limited to order and proforma invoice. 1.3 為能讓賣(mài)方合理交貨，買(mǎi)方須提交給賣(mài)方定單，其中要詳細(xì)列明產(chǎn)品的設(shè)計(jì)、規(guī)格、數(shù)量和其他標(biāo)明的權(quán)利（及其相關(guān)特征）。1.3 In order for appropriate delivery by Seller, Buyer shall provide Seller a purchase order, indicating designs, specifications and quantities for the Products as well as other rights (and relevant characters) 1.4 賣(mài)方提供的所有產(chǎn)品都應(yīng)該符合*（產(chǎn)品標(biāo)準(zhǔn)）1.4 All products supplied by Seller will conform to*（產(chǎn)品標(biāo)準(zhǔn)）. 2 雙方權(quán)利和義務(wù)2. Rights and liabilities of the Parties2.1 賣(mài)方2.1 Seller2.1.1 賣(mài)方制造的產(chǎn)品必須有合理的包裝并按條款刷嘜。產(chǎn)品準(zhǔn)備妥當(dāng)可發(fā)運(yùn)后賣(mài)方須通知買(mǎi)方。2.1.1 The Products supplied by Seller shall be appropriately packed and marked subject to the provisions of the Agreement. Seller shall notify Buyer once shipment is ready. 2.1.2賣(mài)方收到提單三天內(nèi)，以書(shū)面形式通知買(mǎi)方貨物預(yù)計(jì)到港時(shí)間。2.1.2 Within 3 days upon receipt of B/L，Seller shall notify Buyer, in written form, of estimated arrival date of the Products. 2.1.3 如果賣(mài)方由于一些非人為原因造成貨物未能按照原定時(shí)間進(jìn)行裝運(yùn)，則買(mǎi)賣(mài)雙方必須重新確認(rèn)交期。如因賣(mài)方原因?qū)е鲁鲞\(yùn)日期有變化，賣(mài)方須以書(shū)面形式與買(mǎi)方確認(rèn)，并在確認(rèn)的最終出運(yùn)日內(nèi)安排出運(yùn)；如因買(mǎi)方原因?qū)е鲁鲞\(yùn)日期有變化，買(mǎi)方須以書(shū)面形式與賣(mài)方做好確認(rèn)，并與賣(mài)方約定最遲出運(yùn)日期，以便賣(mài)方安排出運(yùn)。2.1.3 If Seller fails to make shipment according to time schedule due to non-human factors, the Parties may reset the delivery date. If a shipment date changes due to Sellers fault, a new shipment date will be written agreed by the Parties, which is the deadline for shipment of the Products. If a shipment date changes due to Buyers fault, a new shipment date shall also be written agreed by the Parties. 2.1.4 萬(wàn)一在交易過(guò)程中買(mǎi)方出現(xiàn)問(wèn)題或發(fā)生事故，賣(mài)方應(yīng)在互惠和互相體諒的原則上討論并協(xié)商解決。2.1.4 In the event that any trouble or incident comes to Buyer during the transactions, Seller shall settle such issue by consultation in line with mutual benefit and understanding principle. 2.2 買(mǎi)方2.2 Buyer2.2.1 按協(xié)議規(guī)定買(mǎi)方須及時(shí)支付貨款。2.2.1 Buyer shall make due payment on time subject to the provisions of the Agreement. 2.2.2 買(mǎi)方須提供給賣(mài)方包裝樣式和其他一些必要的配件，包括買(mǎi)方要求賣(mài)方開(kāi)發(fā)的樣*。雙方應(yīng)共同簽字封樣。2.2.2 Buyer shall provide to Seller packing styles and other necessary spare parts, including the sample, which shall be sealed with signatures of the Parties 2.2.3 若買(mǎi)方要求賣(mài)方為其開(kāi)發(fā)新*型則買(mǎi)方須提供所有必須的技術(shù)參數(shù)和信息。2.2.3 If Buyer demand a new type of mold, all necessary technical parameters and information are required. 2.2.4 若買(mǎi)方從賣(mài)方處收到有瑕疵的產(chǎn)品時(shí)，買(mǎi)方須提供相關(guān)圖片和樣件給賣(mài)方，以供賣(mài)方進(jìn)一步確認(rèn)并商議賠償問(wèn)題。一旦賣(mài)方賠償了不良產(chǎn)品, 該不良產(chǎn)品的所有權(quán)歸賣(mài)方所有。 買(mǎi)方不得因個(gè)別產(chǎn)品存在瑕疵而拒絕接受所有貨物。在所有問(wèn)題未妥善解決且沒(méi)有得到賣(mài)方書(shū)面確認(rèn)之前，買(mǎi)方不得擅自處理，否則給賣(mài)方造成的損失由買(mǎi)方無(wú)條件全額承擔(dān)，且買(mǎi)方仍需履行其對(duì)賣(mài)方的付款義務(wù)。2.2.4 If any defect is received by Buyer, Buyer shall submit relevant photos and samples to Seller for confirmation and compensations. Once any compensation for a defect is made, the title of such defective product shall be passed to Seller. Defects in parts shall not justify Buyers refusal of Products in whole. Unless all issues are appropriately settled with written confirmation of the Seller, Buyer is not entitled to dispose any products, or he will be unconditionally liable for all losses suffered by Seller hereof without prejudice to the performance of his obligation of due payment. 2.2.5 在交易過(guò)程中，如賣(mài)方因非主觀意愿導(dǎo)致的特殊情況發(fā)生問(wèn)題或事故，買(mǎi)方應(yīng)在互惠和互相體諒的原則上討論并協(xié)商解決。2.2.5 If any trouble or incident comes to Seller without his fault during the transactions, Buyer shall settle the disputes by consultation in line with mutual benefit and understanding principle.2.3 雙方2.3 The Parties2.3.1 在貿(mào)易過(guò)程中，如出現(xiàn)貨物質(zhì)量問(wèn)題，且雙方就該質(zhì)量問(wèn)題占貨物總量的比例存在較大分歧，則將來(lái)須以雙方都認(rèn)可的第三方的檢測(cè)機(jī)構(gòu)檢測(cè)的結(jié)果作為評(píng)判該質(zhì)量問(wèn)題的標(biāo)準(zhǔn)。2.3.1 If any quality problem incurs during the transactions and there is a big difference between the Parties on the proportion of defects in the whole products, a testing result from a third testing institute approved by the Parties shall be regards as the grounds for quality assessment. 2.3.2 買(mǎi)方不得以部分產(chǎn)品存在質(zhì)量問(wèn)題為由拒絕支付全部貨款，在賣(mài)方書(shū)面允許的情況下，買(mǎi)方可以對(duì)于存在質(zhì)量爭(zhēng)議部分產(chǎn)品貨款暫緩支付，但沒(méi)有質(zhì)量爭(zhēng)議部分產(chǎn)品的貨款必須按照本協(xié)議及后續(xù)協(xié)議約定及時(shí)付出。2.3.2 Defects in part of Products shall not justify Buyers refusal to make full payment. With written agreement from Seller, Buyer may withhold the payment of defects. However, the payment for the part without quantity problem shall be made on time subject to the provisions the Agreement and future agreement. 2.3.3 如買(mǎi)方未能及時(shí)按照雙方約定時(shí)間及時(shí)付款，除非賣(mài)方書(shū)面同意，否則買(mǎi)方必須按照未付貨款金額的日萬(wàn)分之五，根據(jù)實(shí)際拖欠付款的天數(shù)（從合同約定付款日的第二個(gè)工作日起，截止至貨款到帳日止）向賣(mài)方支付違約金。2.3.3 If Buyer fails to make payment timely, he shall pay 0.05% of the amount owed per day as a penalty, which is calculated based on the delayed days (from the second working day after payment due date through actual payment date) . 3.價(jià)格條款3. Price3.1 貨物參考價(jià)如附件A3.1 Reference prices of the Products are listed in Attachment A. 3.2 以上參考價(jià)格的有效期為一年 (從本協(xié)議簽訂之日起算)。實(shí)際成交價(jià)格會(huì)隨國(guó)際*和*的變動(dòng)而調(diào)整。最終成交價(jià)格以每單實(shí)際約定價(jià)格為準(zhǔn)。3.2 Reference price in Article 3.2 is valid only for one year (from the Effective Date of the Agreement). Purchase price may be adjusted with the price fluctuation of * and * in international market and is subject to the agreed price specified on the purchase order.4.支付條款4. Payment Term4.1 提單簽發(fā)日后90天內(nèi)付款。4.1 Payment term is 90 days after B/L Issue Date. 4.2 各方確認(rèn)：買(mǎi)方是本協(xié)議項(xiàng)下唯一對(duì)賣(mài)方承擔(dān)債務(wù)的責(zé)任主體。指定代理方僅是買(mǎi)方指定的受本協(xié)議條款和條件約束的代理人。4.2 The Parties confirm that Buyer is the sole party to bear liabilities under the Agreement while Nominated Agent is only a agent of Buyer, who is bound by the terms and conditions of the Agreement. 5. 交貨條款.5. Delivery5.1 買(mǎi)方應(yīng)該根據(jù)實(shí)際原料采購(gòu)周期及產(chǎn)品生產(chǎn)的周期約定交貨期限。5.1 Buyer shall determine delivery date by taking into account periods of raw material purchase and products manufacture. 5.2 產(chǎn)品周期: *需要35-40天(在已有模具無(wú)須開(kāi)發(fā)的情況下)5.2 Products manufacture period: 35 to 40 days for* (if any mold ready) 6. 開(kāi)發(fā)6. Processing 6.1 開(kāi)發(fā)期限： 6.1 Processing period:. 6.2 定單數(shù)量要求(賣(mài)方支付100%的開(kāi)模費(fèi))6.2 Quantity in purchase order (Seller shall be liable for all of mold making fee.) 年份(從開(kāi)模完成起算)在兩年內(nèi)(從第一次裝運(yùn)起算24個(gè)月)尺寸每年每種最小數(shù)量Year (from completion date of mold making)two years (i.e. 24 months from the first shipment date)Size rangeMinimum amount per type per year6.3 在每個(gè)定單中每個(gè)單品的最小數(shù)量須達(dá)到60只。6.3 A minimum quantity per item on every purchase order shall be 60. 6.4 如果買(mǎi)方實(shí)際定單數(shù)量達(dá)到以上要求數(shù)量, 則模具的所有權(quán)歸買(mǎi)方所有, 賣(mài)方不得擅自銷(xiāo)售這些*型。6.4 If the requirement for minimum quantity in Article 6.3 is met by Buyer, the title of mold is passed to Buyer and Seller is not allowed to sell such mold without approval. 7. 質(zhì)量保證.7. Quality 7.1 產(chǎn)品外觀問(wèn)題須在收到貨物后1個(gè)月內(nèi)提出，如未提出則視同外觀無(wú)質(zhì)量問(wèn)題。7.1 Claims regarding any defect on appearance of the Products shall be made within one month after delivery of the Products. No claim in the specified term aforesaid is deemed to be acceptance of quality of the appearance of the products. 7.2 產(chǎn)品表面處理的質(zhì)保期是2年, 產(chǎn)品結(jié)構(gòu)的質(zhì)保期為終身。7.2 Warranty period for appearance of products is two year and for products instruction is permanent. 8.指定代理人的監(jiān)管8. Supervision on Nominated Agent8.1買(mǎi)方需隨時(shí)對(duì)其指定的代理人的行為及其存在狀態(tài)進(jìn)行監(jiān)管。8.1 Buyer shall make irregular supervisions to the activities and status of his nominated agent. 8.2若買(mǎi)方撤銷(xiāo)其指定代理人的代理權(quán)，應(yīng)毫不遲延地通知賣(mài)方，否則引起的損失有買(mǎi)方承擔(dān)。8.2 If Nominated Agent is disqualified, Buyer shall notify Seller immediately or would be liable for all losses incurred hereof. 9.保密性Confidentiality 合同雙方都有義務(wù)對(duì)商業(yè)機(jī)密進(jìn)行保密,不得將機(jī)密泄露給第三方。The parties shall keep strictly confidential on trade secrets and is not allowed to disclose them to any third party. 10. 物權(quán)保留10. Title retention 買(mǎi)方收到貨物后，在相應(yīng)貨款全額支付賣(mài)方前，該對(duì)應(yīng)貨物的所有權(quán)歸賣(mài)方所有。同時(shí)對(duì)于定制類(lèi)產(chǎn)品，如買(mǎi)方未能按照約定及時(shí)支付相應(yīng)的貨款，賣(mài)方有權(quán)對(duì)該批貨物進(jìn)行轉(zhuǎn)賣(mài)及處理，且買(mǎi)方不得以侵權(quán)、違約或其他相關(guān)名義對(duì)賣(mài)方提起訴訟。Title to the Products shall remain vested in Seller and shall not pass to Buyer until the corresponding purchase price for the Products has been paid in full. Moreover, in the case of customized products, if Buyer fails to make full payment timely, the Seller is entitled to resell and dispose the products and Buyer can not raise a suitcase against Seller on the grounds of tort, breach of contract or others. 11.本合同的解釋和履行適用中華人民共和國(guó)法律。11. The Agreement shall be governed by and construed in accordance with the Laws of the Peoples Republic of China.所有因本協(xié)議產(chǎn)生的或與之有關(guān)的任何爭(zhēng)議、辯論或主張應(yīng)提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)上海分會(huì)按照其當(dāng)時(shí)有效的仲裁規(guī)則在上海進(jìn)行仲裁。仲裁裁決是終局的且對(duì)雙方或各方均有約束力，同時(shí)任何方可向有司法管轄權(quán)的法院申請(qǐng)執(zhí)行該裁決。Any dispute, controversy or claim arising out of or relating to the Agreement shall be submitted to China International Economic and Trade Arbitration Commission in Shanghai for arbitration in accordance with its arbitration rules then in effect.
