,whichmayincludebutnotlimitedtocreditinsurance,propertyinsurance,andliabilityinsurance.b.Responsibility:TheThirdPartyInsurershallberesponsibleforthepaymentofanyclaimsmadeundertheinsurancepolicy,subjecttothetermsandconditionsthereof.TheBorrowerandLendershallbesolelyresponsibleforanyclaimsthatmayariseduetotheirownactionsorinactions.5.ThirdPartyAuditorsa.AuditEngagement:TheBorrowerorLendershallprovidetheotherpartywithwrittennoticeofitsintentiontoengageaThirdPartyAuditor.Theauditengagementshallbesubjecttothepriorwrittenconsentoftheotherparty,whichshallnotbeunreasonablywithheld.b.RoleandResponsibility:TheThirdPartyAuditorshallconducttheauditinaccordancewithgenerallyacceptedauditingstandardsandreportthefindingstotheBorrowerandLender.6.LimitationofLiabilityofThirdPartiesTheLenderandBorroweracknowledgethattheinvolvementofThirdPartiesmayintroduceadditionalriskstotheLoan.Therefore,thefollowingtermsshallapplytolimittheliabilityofThirdParties:a.LimitationofLiability:TheLenderandBorrowershallnotbeliabletoThirdPartiesforanyactsoromissionsoftheotherparty,includingbutnotlimitedtobreachesofthisAgreementorfailuretoperformtheirobligationshereunder.ThirdPartiesshallbesolelyresponsiblefortheirownactsoromissionsandshallnotseekindemnificationorrecoveryfromtheLenderorBorrowerforanylossesordamagessufferedasaresultofsuchactsoromissions.b.Indemnification:TheLenderandBorrowershallnotberequiredtoindemnifyorholdThirdPartiesharmlessforanyclaims,actions,ordemandsarisingoutoforinconnectionwiththeirinvolvementintheLoan.c.ExclusionofCertainLiability:NothinginthisAgreementshallbedeemedtoexcludeorlimittheliabilityofThirdPartiesforfraud,wilfulmisconduct,oranyotherliabilitythatcannotbeexcludedorlimitedapplicablelaw.7.ThirdPartyServiceProvidersIntheeventthattheBorrowerorLenderengagestheservicesofaThirdPartyServiceProvidertoperformcertainservicesrelatedtotheLoan,thefollowingtermsshallapply:a.EngagementofServiceProvider:TheBorrowerorLendershallprovidetheotherpartywithwrittennoticeofitsintentiontoengageaThirdPartyServiceProvider.Theengagementshallbesubjecttothepriorwrittenconsentoftheotherparty,whichshallnotbeunreasonablywithheld.b.RoleandResponsibility:TheThirdPartyServiceProvidershallperformtheservicesasagreeduponbetweentheBorrowerorLenderandtheServiceProvider.c.CompensationandFees:8.ClarificationofRolesandResponsibilitiesThefollowingprovisionsshallclarifytheroles,responsibilities,anddivisionsofrightsandobligationsbetweentheBorrower,Lender,andThirdParties:a.Borrower'sResponsibility:TheBorrowershallensurethattheThirdPartyperformsitsobligationsunderthisAgreementinaccordancewiththetermsandconditionsherein.TheBorrowershallindemnifyandholdtheLenderharmlessagainstanyclaims,losses,ordamagesarisingoutoforinconnectionwiththeactsoromissionsoftheThirdParty.b.Lender'sResponsibility:TheLendershallprovidetheBorrowerwithallnecessaryinformationanddocumentationrelatedtotheLoanandThirdParties.c.ThirdParty'sResponsibility:TheThirdPartyshallperformitsobligationsunderthisAgreementinaccordancewiththetermsandconditionsherein.TheThirdPartyshallindemnifyandholdtheBorrowerandLenderharmlessagainstanyclaims,losses,ordamagesarisingoutoforinconnectionwiththeactsoromissionsoftheThirdParty.d.DivisionsofRightsandObligations:TheBorrowershallhavetherighttochoosetheThirdPartytoprovideservicesunderthisAgreement.TheLendershallhavetherighttorequestinformationordocumentationfromtheBorrowerortheThirdPartyregardingtheLoan.第三部分：其他補充性說明和解釋說明一：附件列表：1.LoanAgreement(本合同)詳細要求：包含借款金額、利率、貸款期限、還款計劃、擔(dān)保條款、保密條款、適用法律和管轄權(quán)等條款。說明：本合同是借款雙方就貸款事項達成的完整協(xié)議。2.SecurityAgreement(擔(dān)保協(xié)議)詳細要求：詳細描述擔(dān)保物的類型、價值、處置方式等。說明：本協(xié)議是借款雙方就擔(dān)保事項達成的補充協(xié)議。3.InsurancePolicy(保險單)詳細要求：保險單的詳細信息，包括保險金額、保險期限、保險范圍等。說明：本保險單是借款雙方就保險事項達成的補充協(xié)議。4.FinancialStatements(財務(wù)報表)詳細要求：借款方的財務(wù)報表，包括資產(chǎn)負債表、利潤表和現(xiàn)金流量表。說明：本報表用于評估借款方的財務(wù)狀況。5.AuditReport(審計報告)詳細要求：審計師對借款方財務(wù)報表的審計結(jié)果。說明：本報告用于驗證借款方的財務(wù)報表的真實性和準確性。6.RepaymentSchedule(還款計劃表)
