hallbeconductedin[specifiedlanguage]andtheplaceofarbitrationshallbe[specifiedlocation].10.TerminationandExitProcedures10.1.TerminationConditionsThiscontractmaybeterminatedeitherpartyupontheoccurrenceofanyofthefollowingevents:BreachofanymaterialtermofthiscontracttheotherpartyInsolvencyorbankruptcyofeitherpartyTerminationmutualagreementoftheparties10.2.ExitProceduresIntheeventoftermination,thepartiesshall:FulfilltheirobligationsunderthecontractuntiltheeffectivedateofterminationReturnanyconfidentialinformationormaterialsreceivedfromtheotherpartyResolveanyoutstandingpaymentsorobligations10.3.PostTerminationObligations11.ConfidentialityandNonCompeteClause11.1.ConfidentialityObligations11.2.NonCompeteClause12.MiscellaneousProvisions12.1.ForceMajeureNeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthiscontractduetocircumstancesbeyonditsreasonablecontrol,suchasnaturaldisasters,war,orgovernmentactions.12.2.AmendmentsandModificationsAnyamendmentsormodificationstothiscontractshallbeinwritingandshallbeexecutedbothparties.12.3.EntireAgreementThiscontractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,whetherwrittenororal,relatingtothesubjectmatterofthiscontract.13.SignaturesandExecutionThiscontractshallbeexecutedintwo(2)originalcopies,eachpartyretainingone(1)copy,andshallbeeffectiveuponthesignaturesoftheauthorizedrepresentativesofbothparties.13.1.Signatures[SignatureofSeller'sAuthorizedRepresentative][SignatureofBuyer'sAuthorizedRepresentative]13.2.ExecutionDateThiscontractisexecutedonthis[specificdate].13.3.ValidityThiscontractisvalidandbindinguponthepartiesheretofromtheexecutiondateuntilterminatedorexpiredasprovidedherein.14.Appendices14.1.ProductInformation[Attachdetailedproductinformation,includingspecifications,features,andtechnicaldata]14.2.MarketingPlan[Attachthemarketingplan,includingstrategies,timelines,andbudgetallocation]14.3.AdditionalAgreements[Attachanyadditionalagreementsordocumentsrelevanttothiscontract]第二部分:第三方介入后的修正15.ThirdPartyInvolvement15.1.DefinitionofThirdPartyForthepurposeofthiscontract,a"thirdparty"shallrefertoanyentityorindividual,otherthantheSellerandBuyer,thatisengagedtoprovideservicesorassistanceinconnectionwiththeperformanceofthiscontract.Thismayinclude,butisnotlimitedto,intermediaries,consultants,distributors,manufacturers,andserviceproviders.15.2.RolesandResponsibilitiesofThirdParties15.2.1.IntermediariesProvidingaccurateandtimelyinformationtobothparties.Ensuringtheproperexecutionofagreementsandtransactions.Assistingindisputeresolutionifnecessary.15.2.2.ConsultantsConductingthoroughresearchandanalysis.Assistingintheimplementationofthecontract'sprovisions.15.2.3.DistributorsDistributorsshallberesponsibleforthephysicaldistributionoftheeducationalproductstotheoverseasmarket.Theirresponsibilitiesshallinclude:Ensuringtimelydeliveryofproducts.Maintaininginventorylevels.Handlingcustomerinquiriesandreturns.15.2.4.ManufacturersManufacturersshallproducetheeducationalproductsinaccordancewiththespecificationsandqualitystandardssetforthinthiscontract.Theirresponsibilitiesshallinclude:Maintainingproductionschedules.Ensuringproductquality.Providingnecessarydocumentationandcertifications.15.2.5.ServiceProvidersServiceprovidersshallofferservicessuchaslogistics,marketing,ortechnicalsupport.Theirresponsibilitiesshallinclude:Providingservicesasagreeduponinthecontract.Ensuringthequalityandtimelinessofservicedelivery.CommunicatingwiththeSellerandBuyerregardingservicerelatedmatters.15.3.AdditionalTermsandConditions15.3.1.SellerandBuyerObligationsWhenathirdpartyisinvolved,theSellerandBuyershall:Providethethirdpartywithallnecessaryinformationandsupportrequiredtofulfillitsobligations.Coordinatewiththethirdpartytoensurethesmoothexecutionofthecontract.Monitortheperformanceofthethirdpartyandaddressanyissuesthatmayarise.15.3.2.ThirdParty'sRightsandObligationsTherightsandobligationsofthethirdpartyshallbeasagreeduponintheseparateagreementortermsofengagemententeredintobetweenthethirdpartyandeithertheSellerorBuyer.Thethirdpartyshall:Complywithallapplicablelaws,regulations,andcontractualobligations.MaintainconfidentialityofanysensitiveinformationsharedtheSellerorBuyer.Provideregularreportsonitsperformanceandprogress.15.4.LimitationofLiability15.4.1.ThirdParty'sLiabilityTheliabilityofthethirdpartyshallbelimitedtothescopeofitsobligationsasdefinedintheseparateagreementortermsofengagement.Thethirdpartyshallnotbeliableforanyindirect,incidental,orconsequentialdamagesarisingfromtheperformanceornonperformanceofitsobligationsunderthiscontract.15.4.2.SellerandBuyer'sLiabilityTheSellerandBuyershallremainjointlyandseverallyliablefortheirobligationsunderthiscontract.However,theirliabilityshallbelimitedtotheextentthattheycanbeheldresponsiblefortheirownactionsoromissions.15.5.Indemnification15.5.1.IndemnificationThirdPartyThethirdpartyshallindemnifytheSellerandBuyeragainstanyclaims,losses,ordamagesarisingfromitsbreachoftheseparateagreementortermsofengagement.15.5.2.Indemnific
