Thisagreement(“Agreement”)ismadeandenteredintoonthis______dayof________,20______(the“EffectiveDate”),between[Landlord'sFullNameorCompanyName],havingitsprincipalplaceofbusinessat[Landlord'sAddress],(the“Landlord”)and[Tenant'sFullNameorCompanyName],havingitsprincipalplaceofbusinessat[Tenant'sAddress],(the“Tenant”)(collectivelyreferredtoasthe“Parties”andindividuallyasa“Party”).
Recitals
WHEREAS,theLandlordownsaresidentialpropertylocatedat[PropertyAddress](the“Property”)whichissubjecttothisAgreement;
WHEREAS,theTenantdesirestoleasethePropertyfromtheLandlordunderthetermsandconditionssetforthinthisAgreement;
NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereincontained,theLandlordandtheTenantherebyagreeasfollows:
1.LeaseTerm
ThetermofthisAgreement(the“LeaseTerm”)shallcommenceontheEffectiveDateandshallcontinueforaperiodof[NumberofYears]years(the“InitialLeaseTerm”)fromtheEffectiveDate.UpontheexpirationoftheInitialLeaseTerm,thisAgreementshallautomaticallyrenewforadditionalsuccessive[NumberofYears]yearterms(each,a“RenewalTerm”)unlesseitherPartyprovideswrittennoticeofitsintentionnottorenewatleast[NumberofDays]dayspriortotheexpirationoftheInitialLeaseTermoranyRenewalTerm.
2.Rent
TheTenantshallpaytheLandlordamonthlyrentof[Amount]SingaporeDollars(S$[Amount])(the“Rent”)fortheProperty.TheRentshallbepayableinadvanceonthefirstdayofeachcalendarmonthduringtheLeaseTerm.Rentshallbepaidbycash,check,orwiretransfertotheLandlord'sdesignatedaccount.
3.SecurityDeposit
UpontheexecutionofthisAgreement,theTenantshallpaytotheLandlordasecuritydeposit(the“SecurityDeposit”)intheamountof[Amount]SingaporeDollars(S$[Amount]).TheSecurityDepositshallbeheldbytheLandlordassecurityfortheperformanceoftheTenant'sobligationsunderthisAgreementandforanydamagetothePropertycausedbytheTenantortheTenant'sguests.
4.UseandOccupancy
TheTenantshalluseandoccupythePropertysolelyforresidentialpurposesandshallnotusethePropertyforanyillegal,fraudulent,orimproperpurpose.
5.MaintenanceandRepairs
TheTenantshallmaintainthePropertyingoodrepairandconditionduringtheLeaseTerm.TheTenantshallimmediatelyreportanydamageordefecttothePropertytotheLandlord.
6.AlterationsandImprovements
TheTenantshallnotmakeanyalterations,improvements,orchangestothePropertywithoutthepriorwrittenconsentoftheLandlord.
7.Subletting
TheTenantshallnotsublet,assign,ortransferthePropertywithoutthepriorwrittenconsentoftheLandlord.
8.Holdover
IntheeventthattheTenantremainsinpossessionofthePropertyaftertheexpirationorterminationofthisAgreement,theTenantshallpaytheLandlordrentatthethenprevailingmarketrateforthePropertyforeachdaytheTenantremainsinpossessionoftheProperty.
9.DefaultandTermination
IntheeventofadefaultbyeitherPartyunderthisAgreement,theotherPartymay,atitsoption,terminatethisAgreementuponwrittennoticetothedefaultingParty,andthedefaultingPartyshallbeliableforanydamagesincurredbythenon-defaultingPartyasaresultofsuchdefault.
10.GoverningLaw
ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofSingapore.
11.EntireAgreement
ThisAgreementconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal.

ThefollowingdocumentsareherebyincorporatedintothisAgreementbyreference:

WHEREAS,theThirdPartydesirestoguaranteetheperformanceoftheTenant'sobligationsunderthisAgreement;
NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereincontained,thePrincipal,Subtenant,andGuarantorherebyagreeasfollows:
1.LeaseTermandRent
1.1ThetermofthisAgreement(the“LeaseTerm”)shallcommenceontheEffectiveDateandshallcontinueforaperiodof[NumberofYears]years(the“InitialLeaseTerm”)fromtheEffectiveDate.UpontheexpirationoftheInitialLeaseTerm,thisAgreementshallautomaticallyrenewforadditionalsuccessive[NumberofYears]yearterms(each,a“RenewalTerm”)unlesseitherthePrincipalortheSubtenantprovideswrittennoticeofitsintentionnottorenewatleast[NumberofDays]dayspriortotheexpirationoftheInitialLeaseTermoranyRenewalTerm.
1.2TheTenantshallpaytheLandlordamonthlyrentof[Amount]SingaporeDollars(S$[Amount])(the“Rent”)fortheProperty.TheRentshallbepayableinadvanceonthefirstdayofeachcalendarmonthduringtheLeaseTerm.Rentshallbepaidbycash,check,orwiretransfertotheLandlord'sdesignatedaccount.
2.Guarantor'sObligations
2.1TheGuarantoragreestoguaranteethefullandtimelypaymentofRentandanyothersumsdueunderthisAgreementbytheSubtenant.
2.2TheGuarantoracknowledgesthatitsliabilityunderthisAgreementissecondarytotheliabilityoftheSubtenantandthattheLandlordmayseekpaymentfromtheGuarantorintheeventoftheSubtenant'sdefault.
3.Principal'sRightsandObligations
3.1ThePrincipalshallhavetherighttoterminatethisAgreementupontheoccurrenceofamaterialbreachbytheSubtenantortheGuarantor,uponwrittennoticetotheSubtenantortheGuarantor,asapplicable.
3.2ThePrincipalshallensurethattheSubtenantcomplieswithalltermsandconditionsofthisAgreementandshallberesponsibleforanydamagesresultingfromtheSubtenant'sfailuretodoso.
4.Subtenant'sRightsandObligations
4.1TheSubtenantshallhavetherighttopeacefulenjoymentofthePropertyandshallcomplywithallapplicablelaws,regulations,andthisAgreement.
4.2TheSubtenantshallnotassign,sublet,ortransferthePropertywithoutthepriorwrittenconsentofthePrincipal.
5.DefaultandTermination
5.1IntheeventofadefaultbytheSubtenantortheGuarantorunderthisAgreement,thePrincipalmay,atitsoption,terminatethisAgreementuponwrittennoticetothedefaultingParty,andthedefaultingPartyshallbeliableforanydamagesincurredbythePrincipalasaresultofsuchdefault.
6.GoverningLaw
ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofSingapore.
7.EntireAgreement
ThisAgreementconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal.
8.Attachments
ThefollowingdocumentsareherebyincorporatedintothisAgreementbyreference:

3.2TheBuyershallhavetherighttorequestanynecessaryrepairsoradjustmentstotheAssetpriortothecompletionofthesale.
3.3TheBuyershallberesponsibleforthepaymentoftheSalePricetotheVendorandforfulfillingallobligationsunderthefinancingagreementwiththeFinancier.
4.Vendor'sRightsandObligations
4.1TheVendorshallprovidetheBuyerwithallnecessarydocumentationrelatedtotheAsset,includinganywarrantiesorguarantees.
4.2TheVendorshallnotsellortransfertheAssettoanythirdpartywithoutthepriorwrittenconsentoftheBuyer.
4.3TheVendorshallberesponsibleforanydefectsorissueswiththeAssetthatarisepriortothecompletionofthesale.
5.Financier'sRightsandObligations
5.1TheFinanciershallhavetherighttoreceivepaymentsfromtheBuyerinaccordancewiththefinancingagreement.
5.2TheFinanciershallhavetherighttotakepossessionoftheAssetintheeventoftheBuyer'sdefaultunderthefinancingagreement.
6.DefaultandTermination
6.1IntheeventofadefaultbytheBuyerunderthefinancingagreement,theFinanciermay,atitsoption,terminatethisAgreementuponwrittennoticetotheBuyer,andtheBuyershallbeliableforanydamagesincurredbytheVendorasaresultofsuchdefault.
6.2IntheeventofadefaultbytheVendorunderthisAgreement,theBuyermay,atitsoption,terminatethisAgreementuponwrittennoticetotheVendor,andtheVendorshallbeliableforanydamagesincurredbytheBuyerasaresultofsuchdefault.
7.GoverningLaw
ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofSingapore.
8.EntireAgreement
