9.GoverningLawandDisputeResolution:

a.TheThirdPartyshallfacilitatethesupplyofproductsfromtheSuppliertothePrincipal,ensuringcompliancewiththetermsandconditionsofthisContract.

b.TheThirdPartyshallactasanintermediarybetweenthePrincipalandtheSupplier,andshallnotdiscloseanyconfidentialinformationprovidedbyeitherpartytoanythirdpartywithoutpriorwrittenconsent.

c.TheThirdPartyshallnotbeliableforanybreachofcontractbyeitherthePrincipalortheSupplier,excepttotheextentthatsuchbreachiscausedbytheThirdParty'snegligenceorwillfulmisconduct.

5.PaymentTerms:

10.GoverningLawandDisputeResolution:

a.IftheDistributorfailstopaytheProducertheagreedpricewithinthespecifiedtimeframe,theProducermayterminatethisContractandclaimdamagesforanylossesincurred,includingbutnotlimitedto,thecostofunsoldinventoryorlostsales.

b.IftheDistributorfailstomarketorpromotetheproductsasagreed,theProducermayterminatethisContractandclaimdamagesforanylossesincurred,includingbutnotlimitedto,lostsalesorbranddamage.
