REPRESENTATIONSANDWARRANTIES

1.4.TheAgentfurtherrepresentsandwarrantsthatitwillactingoodfaithandexerciseduediligenceintheperformanceofitsobligationsunderthisAgreement.

OBLIGATIONS

2.1.ThePrincipalshallprovidetheAgentwiththenecessaryinformation,materials,andsupportrequiredfortheAgenttoperformitsdutiesunderthisAgreement.

2.2.TheAgentshallactasthePrincipal'sagentandshalluseitsbesteffortstopromoteandsellthePrincipal'sproductsorservices.

2.3.TheAgentshallnotrepresentoractonbehalfofanyotherpartythatmaycompetewiththePrincipal.

2.4.TheAgentshallcomplywithallapplicablelaws,regulations,andindustrystandardsintheperformanceofitsobligationsunderthisAgreement.

TERMANDTERMINATION

3.1.ThetermofthisAgreementshallcommenceon[StartDate]andshallcontinueforaperiodof[Duration],unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.

3.2.EitherPartymayterminatethisAgreementatanytime,withorwithoutcause,uponwrittennoticetotheotherParty.

3.3.UponterminationofthisAgreement,theAgentshallreturnallconfidentialinformationandmaterialsprovidedbythePrincipal.

PAYMENTANDCOMMISSION

4.1.TheAgentshallbeentitledtoreceiveacommissiononsalesgeneratedbytheAgent'sefforts,asagreeduponbythePartiesinwriting.

4.2.PaymentofthecommissionshallbemadetotheAgentwithin[PaymentTerms],followingthesubmissionofavalidinvoicebytheAgent.

4.3.ThePrincipalshallnotbeliableforanytaxesorotherchargesassociatedwiththepaymentofthecommission.

CONFIDENTIALITY

5.1.ThePartiesagreetomaintaintheconfidentialityofallconfidentialinformationdisclosedtothembytheotherPartyduringthetermofthisAgreement.

5.2."ConfidentialInformation"shallmeananyandallinformation,whetherwrittenororal,thatisdisclosedbyonePartytotheotherParty,includingbutnotlimitedtotechnical,financial,business,orotherinformation.

5.3.ThePartiesagreenottouseordisclosetheConfidentialInformationforanypurposeotherthantheperformanceoftheirrespectiveobligationsunderthisAgreement.

INDEMNIFICATION

6.1.ThePrincipalshallindemnifyandholdtheAgentharmlessfromandagainstanyandallclaims,liabilities,losses,damages,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwiththePrincipal'sbreachofanytermorconditionofthisAgreement.

6.2.TheAgentshallindemnifyandholdthePrincipalharmlessfromandagainstanyandallclaims,liabilities,losses,damages,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwiththeAgent'sbreachofanytermorconditionofthisAgreement.

LIMITATIONOFLIABILITY

7.1.ThePrincipalshallnotbeliabletotheAgentforanyindirect,special,incidental,orconsequentialdamagesarisingoutoforinconnectionwiththeperformanceofthisAgreement.

7.2.TheAgentshallnotbeliabletothePrincipalforanyindirect,special,incidental,orconsequentialdamagesarisingoutoforinconnectionwiththeperformanceofthisAgreement.

ThefollowingdocumentsareherebyincorporatedintothisAgreementbyreference:

1.TheattachedExhibitA,whichincludesthetermsandconditionsofthecommissionagreement.

TERMANDTERMINATION

RIGHTSOFTHEPRINCIPAL

4.1.ThePrincipalshallhavetherighttoapproveanymajordecisionsmadebytheAgentortheThirdPartythatmayaffectthePrincipal'sinterests.

4.2.ThePrincipalshallhavetherighttoreviewandapprovethesalesstrategyandmarketingplandevelopedbytheAgent.

4.3.ThePrincipalshallhavetherighttoreceiveperiodicreportsfromtheAgentandtheThirdPartyontheprogressandperformanceofthisAgreement.

4.4.ThePrincipalshallhavetherighttorequiretheAgentortheThirdPartytoprovideadditionalinformationorresourcestofacilitatethesuccessfulexecutionofthisAgreement.

INTERESTSOFTHEPRINCIPAL

5.1.ThePrincipalshallbenefitfromtheexpertiseandresourcesprovidedbytheThirdPartytoenhancetheeffectivenessoftheAgent'ssalesefforts.

5.2.ThePrincipalshallbenefitfromthestrategicpartnershipbetweentheAgentandtheThirdParty,whichisdesignedtomaximizesalesandmarketpenetration.

5.3.ThePrincipalshallbenefitfromtheincreasedmarketshareandrevenuegeneratedbytheAgent'ssalesefforts,facilitatedbytheThirdParty'ssupport.

OBLIGATIONSOFTHEAGENTANDTHETHIRDPARTY

6.1.TheAgentshalluseitsbesteffortstoachievethesalestargetssetforthinthisAgreement.

6.2.TheAgentshallprovidetimelyandaccuratereportstothePrincipalonitssalesactivitiesandperformance.

6.3.TheThirdPartyshallprovidethenecessarysupportandresourcestotheAgenttoensurethesuccessfulexecutionofthisAgreement.

6.4.TheAgentandtheThirdPartyshallcomplywithallapplicablelaws,regulations,andindustrystandardsintheperformanceoftheirobligationsunderthisAgreement.

LIMITATIONSANDRESTRICTIONS

7.1.TheAgentshallnotengageinanyactivitiesthatmaydamagethePrincipal'sreputationorinterests.

7.2.TheAgentshallnotdiscloseanyconfidentialinformationofthePrincipaltoanythirdpartywithoutthePrincipal'spriorwrittenconsent.

7.3.TheThirdPartyshallnotuseanyconfidentialinformationofthePrincipalforanypurposeotherthantheperformanceofthisAgreement.

7.4.TheAgentandtheThirdPartyshallnotenterintoanyagreementthatconflictswiththetermsofthisAgreement.

INDEMNIFICATION

8.1.ThePrincipalshallindemnifyandholdtheAgentandtheThirdPartyharmlessfromandagainstanyandallclaims,liabilities,losses,damages,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwiththePrincipal'sbreachofanytermorconditionofthisAgreement.

8.2.TheAgentshallindemnifyandholdthePrincipalandtheThirdPartyharmlessfromandagainstanyandallclaims,liabilities,losses,damages,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwiththeAgent'sortheThirdParty'sbreachofanytermorconditionofthisAgreement.

LIMITATIONOFLIABILITY

9.1.ThePrincipalshallnotbeliabletotheAgentortheThirdPartyforanyindirect,special,incidental,orconsequentialdamagesarisingoutoforinconnectionwiththeperformanceofthisAgreement.

9.2.TheAgentshallnotbeliabletothePrincipalortheThirdPartyforanyindirect,special,incidental,orconsequentialdamagesarisingoutoforinconnectionwiththeperformanceofthisAgreement.

ThefollowingdocumentsareherebyincorporatedintothisAgreementbyreference:

4.3.TheAgentshallhavetherighttorequestadditionalsupportorresourcesfromthePrincipalortheThirdPartytoensurethesuccessfulexecutionofthisAgreement.

INTERESTSOFTHEAGENT

5.1.TheAgentshallbenefitfromtheenhancedsalesopportunitiesandmarketaccessprovidedbythecollaborationwiththeThirdParty.

5.2.TheAgentshallbenefitfromtheincreasedprofitabilityduetotheadditionalservicesorresourcesofferedbytheThirdParty.

5.3.TheAgentshallbenefitfromtheimprovedreputationandcustomersatisfactionresultingfromtheenhancedperformanceunderthisAgreement.

OBLIGATIONSOFTHEPRINCIPALANDTHETHIRDPARTY

6.1.ThePrincipalshallfulfillitsobligationstoprovidetheAgentwiththenecessaryinformation,materials,andsupportasagreeduponinthisAgreement.

6.2.ThePrincipalshallnotdiscloseanyconfidentialinformationoftheAgentortheThirdPartywithoutthepriorwrittenconsentoftheAgentortheThirdParty.

6.3.TheThirdPartyshallprovidetheadditionalservicesorresourcestotheAgentinatimelyandeffectivemanner.

6.4.ThePrincipalandtheThirdPartyshallcomplywithallapplicablelaws,regulations,andindustrystandardsintheperformanceoftheirobligationsunderthisAgreement.

LIMITATIONSANDRESTRICTIONS

7.1.ThePrincipalshallnotimposeanyunnecessaryrestrictionsontheAgent'sabilitytoperformitsdutiesunderthisAgreement.

7.2.ThePrincipalshallnotunreasonablywithholdapprovaloraccesstonecessaryinformationorresources.

7.3.TheThirdPartyshallnotuseanyconfidentialinformationoftheAgentorthePrincipalforanypurposeotherthantheperformanceofthisAgreement.

7.4.ThePrincipalandtheThirdPartyshallnotenterintoanyagreementthatmayconflictwiththerightsorinterestsoftheAgent.

INDEMNIFICATION
