1.AppointmentandTerm

ThePrincipalPartyherebyappointstheAgentPartyasitsexclusiveagenttoengageinthefollowingactivitiesonitsbehalfduringthetermofthisAgreement,whichshallcommenceontheEffectiveDateandterminateontheExpirationDate(collectively,the"Term"):

a.Tosell,distribute,andmarketthePrincipalParty'sproductsandservicesin[Territory/Market];

b.TonegotiateandenterintocontractswithcustomersintheTerritory/Market;

c.Toprovidecustomersupportandafter-salesservicetothecustomersintheTerritory/Market.

2.CompensationandExpenses

TheAgentPartyshallbeentitledtoreceivethefollowingcompensationandexpensesfromthePrincipalParty:

a.Acommissionof[Percentage]%ofthenetsalesofthePrincipalParty'sproductsandservicesintheTerritory/Market;

b.ReimbursementforallreasonableandnecessaryexpensesincurredbytheAgentPartyintheperformanceofitsdutiesunderthisAgreement,subjecttopriorwrittenapprovalbythePrincipalParty.

3.ResponsibilitiesandObligations

TheAgentPartyagreestoperformthefollowingresponsibilitiesandobligations:

b.TomaintaintheconfidentialityofthePrincipalParty'sproprietaryinformationandtradesecrets;

c.Tocomplywithallapplicablelaws,regulations,andindustrystandardsintheTerritory/Market;

4.TermandTermination

2.PrincipalParty'sRightsandObligations

ThePrincipalPartyshallhavethefollowingrightsandobligations:

b.TherighttoreceiveregularreportsfromtheAgentPartyandtheThirdPartyontheprogressandperformanceoftheirduties;

3.AgentParty'sRightsandObligations

b.Theobligationtoactingoodfaithandwithduediligenceintheperformanceofitsduties;

d.Theobligationtocomplywithallapplicablelaws,regulations,andindustrystandardsintheTerritory/Market.

5.AgentParty'sandThirdParty'sResponsibilitiesandLimitations

TheAgentPartyandtheThirdPartyagreetothefollowing:

a.TheAgentPartyshallnotsubcontractanyofitsobligationsunderthisAgreementwithoutthepriorwrittenconsentofthePrincipalParty;

b.TheThirdPartyshallnotenterintoanyagreementsorcommitmentsthatwouldconflictwiththetermsofthisAgreement;

6.PrincipalParty'sRightsintheEventofBreach

7.GoverningLawandJurisdiction
